8 DEALER PROGRAMS 1. FULL LINE (FLDR) DEALER - The Full Line Dealer Program offers the highest discount to dealers that merchandise, promote and commit to purchasing and maintaining inventory of the full range of SeaLife products (see FLDR program requirements below). The Full Line Dealer (FLDR) must purchase a minimum of $3,500 of SeaLife product within the current calendar year. FLDR Exclusive Program Benefits: Qualify for discounted Full Line Dealer (FLDR) prices. Qualify for SeaLife sponsored promotions available only to Full Line Dealers. Listed as a Full Line Dealer on the SeaLife website dealer locator. Receive top priority on shipment allocation of new products. Receive free merchandising and point-of-sale materials. FLDR Program requirements: A. New dealers must place an opening order of at least $1,750 which includes at least two (2) units from each Product Category selection below to qualify for FLDR pricing. SeaLife payment terms are credit card, prepayment, COD or Net 30 Days to Full line Dealers (Subject to credit approval) on their opening FLDR order. B. The FLDR dealer agrees to maintain a minimum inventory level of at least two (2) units from each of the following SeaLife product categories at all times throughout the calendar year as detailed below. Product Categories: SeaLife current DC Series Digital Cameras and/or sets (Any combination with minimum of one set) SeaLife Micro HD Camera SeaLife Lighting products: Sea Dragon External Flashes and Photo Video Dive Lights SeaLife Accessories: Flex Connect Arms, Trays & Accessories, Wide Angle Lenses, AquaPod, Batteries, Straps, Moisture Muncher and Memory cards. C. To maintain FLDR status for the next calendar year, the dealer must have purchased a minimum of $3,500 with the product mix as detailed in 1.B. by December 31 of current year. D. FLDR Dealer agrees to utilize available SeaLife merchandising materials and maintain powered, working products on display for demonstration purposes with customers. E. FLDR Dealer agrees to actively promote SeaLife products to its customers using at least two of the following methods: Teach underwater photography courses which include hands-on demos of current SeaLife cameras. Run SeaLife camera demo events with current SeaLife cameras. Outfit one or more instructors with SeaLife cameras to use as their primary underwater camera F. FLDR Dealer agrees to regularly train sales personnel on the SeaLife camera features and benefits. 2. DIVE (DIV) DEALER The DIV Price Level is for all Authorized SeaLife Dealers that purchase less than $3,500 annually. Note: Full Line Dealer status may be terminated for any dealer not meeting all program requirements. SeaLife s management, at its sole discretion, reserves the right to terminate or modify this program at any time without notice. 9 Terms and Conditions of Sales Sales Terms and Conditions Payment terms are Prepayment or Cash On Delivery (COD). We accept VISA, MasterCard, and AMEX credit cards. Credit terms are available upon request and require completion of credit application and credit approval. A late charge of 1.5% per month (18% per annum) will be calculated and added to ALL PAST DUE INVOICES. This charge may be revised periodically in order to comply with United States Federal and State statutes. A service charge of $35.00 will be assessed on ALL RETURNED CHECKS. In addition, all discounts and freight allowances will be charged back at this time. Payment delinquency will result in the refusal of orders. SeaLife reserves the right to pursue and initiate all available legal remedies in the collection of amounts owed. Any special discounts, prices or policies that deviate from those printed in price lists must be approved in writing. Prices prevailing at time of shipment apply to all orders including back ordered items. All prices are subject to change without notice. An account showing no purchases for the duration of a full calendar year will be deemed inactive. In order to re-activate the account, the dealer must contact their local SeaLife Sales Representative or customer service dept. Dealers based in USA shall not export SeaLife product to any other country. SeaLife has established distributors in other countries with exclusive importing rights. Exporting outside the USA is a violation of the US Dealer Policy (See Dealer Policy for details). In order to receive and maintain designation as an authorized SeaLife United States retailer and have its orders accepted by SeaLife, a dealer must a) provide superior service and product support b) position SeaLife products as quality products and c) comply with restrictions and guidelines announced by SeaLife in the Dealer Policy and otherwise, for the marketing and sale of SeaLife products. (See Dealer Policy for details) Possession of a SeaLife price list does not constitute an agreement to conduct future business. SeaLife reserves the right to reject any and all orders at its discretion. Payment Please remit to Pioneer Research, 97 Foster Rd, Ste 5, Moorestown, NJ. (Note: The SeaLife brand is a division of Pioneer Research, a company incorporated in the state of New Jersey). When making payment to Pioneer Research, please adhere to the following guidelines: Mail payment 5 business days prior to due date to allow for the timely receipt and processing of your payment Write account number on all checks Attach remittance advice indicating invoice numbers that are paid with your check. Do not make deductions from your payments. Should any errors occur on invoices regarding prices, due dates, etc., notify Pioneer Research with specific detailed information within 10 days of invoice date. Upon verification of any errors, Pioneer Research will make the necessary adjustments to your account Freight Allowance and Shipping Policy FOB Origin Moorestown, NJ, USA Actual freight charge will apply to all orders under $2, Orders over $2,000 will ship UPS Ground freight at no cost within the continental USA. Costs for shipments via any other courier or service will be prepaid and added to the invoice. Delivery to carrier constitutes delivery to purchaser. Claims for merchandise missing or damaged in transit must be filed within 10 days of receipt. Claims for shipping errors or incorrect pricing must be reported to SeaLife within 10 days of invoice date and accompanied with invoice showing date of purchase. NO ADJUSTMENTS WILL BE MADE AFTER 10 DAYS Unless Ship Complete is specified on the purchase order, SeaLife may make partial shipments against purchase orders for all items in stock. Items not in stock will be backordered and shipped out as soon as they become available. Freight charges will apply to all backorders, unless the original purchase order exceeds $2, Return and Replacement Policy All returned merchandise must have Return Authorization Number (RA#) on outside of each shipping box, along with a work order for returned merchandise and return address. To obtain RA#, please contact SeaLife Customer Service by phone (856) or info@sealife-cameras.com Unauthorized return shipments will be refused and returned to sender. Authorized returns of saleable merchandise other than shipments made in error will be subject to a 10% restocking charge plus any applicable freight charges.
