1 TELUS ommunications ompany 2nd Revised Page ancels 1st Revised Page GSM-based Roaming Service Service Description This service provides GSM-based wholesale roaming to mobile wireless carriers, other than Bell Mobility and Rogers ommunications Partnership ( RP ), that hold one or more anadian mobile wireless spectrum licenses. GSM-based wholesale roaming is provided in accordance with the terms and conditions established by the RT in Telecom Regulatory Policy RT This GSM-based Roaming Service provides retail customers of anadian mobile wireless carriers to originate or terminate communications when they are outside of their wireless carrier footprint by roaming on the ompany s wireless network based on the ommission s requirements set out in Telecom Regulatory Policy RT GSM-based Roaming Service shall be provided to wholesale wireless roaming customers on the terms and conditions set out in the wholesale roaming agreement with that customer that was in force on 5 May 2015 to the extent that those terms and conditions are not inconsistent with the terms and conditions in this tariff Definitions Where there is an Agreement created by TELUS and the mobile wireless carrier ( the parties ) for the provision of GSM based roaming services whereby a roaming subscriber obtains access to TELUS roaming network, the parties acknowledge that such Agreement shall be subject to Industry anada lient Procedures ircular P , entitled onditions of Licence for Mandatory Roaming and Antenna Tower and Site Sharing and to Prohibit Exclusive Site Arrangements,, as may be updated or amended by Industry anada from time to time ( the Industry anada ol ). The Industry anada ol allows, among other things, TELUS to provide roaming services under commercial terms and conditions, including at commercial rates, but any rates negotiated for GSM-based Roaming Service shall be provided in accordance with this Tariff. For the purposes of this Tariff Item: "HPMN'' shall mean Home Public Mobile Network PMN'' shall mean Public Mobile Network "VPMN'' shall mean Visited Public Mobile Network which allows Roaming ustomers of an HPMN Operator to use its PMN in accordance with the Telecom Regulatory Policy RT "Available Footprint" shall mean at any particular time, the geographic areas being covered by the VPMN in anada. The Available Footprint shall be limited to geographic areas where the VPMN, or an Affiliate of the VPMN, owns and operates the UTRAN (Universal Terrestrial Radio Access Network) or EUTRAN (Evolved Universal Terrestrial Radio Access Network but shall exclude any areas where the VPMN (as defined below) has deployed a Private Network. For the purpose of this definition, a private network means a network deployed by the VPMN for a specific customer or groups of customers, on which the party s broader customer base does not have access to such network deployment.

GSM-based Roaming Service enables the retail customers of a wireless carrier (the home network carrier) to automatically access voice, text, and data services by using a visited wireless carrier s network (also referred to as the host network ), including the radio access network (RAN), when they travel outside their home carrier s network footprint using GSM-based technologies. A "HPMN Operator'' shall mean the Party which is providing mobile telecommunications services to its customers in a geographic area where it holds a licence or has a right to establish and operate a Public Mobile Network. "VPMN Operator" shall mean the Party who allows Roaming ustomers of an HPMN Operator to use its Public Mobile Network. LA shall mean Location Area ode TA shall mean Tracking Area ode TAP shall mean Transferred Accounting Procedure IREG shall mean International Roaming Expert Group for the purposes of connectivity and roaming service testing and certification between the HPMN and VPMN. PRD shall mean Permanent Reference Document by the GSM Association Technical Specification and may be updated from time to time. IR.21 shall mean IREG Document 21 as defined by the GSM Association and may be updated from time to time. AA.14 shall mean Agreement Annex 14 as defined by the GSM Association and may be updated from time to time. PTRB - The body is responsible for the testing and certification of GSM and LTE devices and for generating the input regarding testing of standards development. 3GPP - The 3rd Generation Partnership Project (3GPP) unites Seven telecommunications standard development organizations (ARIB, ATIS, SA, ETSI, TSDSI, TTA, TT), known as Organizational Partners and provides their members with a stable environment to produce the Reports and Specifications that define 3GPP technologies.

3 TELUS ommunications ompany 1st Revised Page ancels Original Page Definitions ontinued "Permanent Roaming" is defined as a situation whereby a Roaming ustomer consumes more than fifty (50%) percent of their voice and/or data volumes, during three (3) consecutive calendar months on TELUS, when measured against such Roaming ustomer's aggregate voice and/or data usage on both the HPMN and the VPMN. Roaming provides a HPMN s subscribers with the ability to access voice and data services offered by the HPMN s home network at a level of quality comparable to that offered for similar services by the VPMN to its own subscribers. For further clarity, the VPMN is not required to provide a HPMN s subscribers with a service that the HPMN operator does not itself provide to its own subscribers, nor to provide a HPMN s subscribers with a service which the HPMN operator does not itself provide. "Roaming ustomer" shall mean a Person a. with a valid subscription for roaming use issued by an HPMN Operator but does not include subscribers of other anadian or international mobile wireless carriers that are roaming on the HPMN Operator's network; and b. who is using the Supported Technology utilizing a GSM SIM (Subscriber Identity Module) and/or a GSM USIM (Universal Subscriber Identity Module) to enable that Person to access the mobile telecommunications service(s) of the VPMN Operator, for Roaming in the Available Footprint of VPMN Operator, provided such person or entity is served by the HPMN Operator's PMN and is located in a region where the HPMN has not acquired spectrum or has acquired spectrum and is yet to build towers to provide coverage to its own customers; Short Message Service (SMS) A wireless messaging service that permits the transmission of a short text message from and/or to a digital mobile telephone while on the TELUS Available Foot print. Wholesale Roaming enables the retail customers of a mobile wireless carrier (i.e. the home network carrier) to automatically access voice, text, and data services by using a visited wireless carrier s network (also referred to as the host network ), including the radio access network ( RAN ), when they travel outside their home carrier s network footprint. Wholesale roaming arrangements or agreements set out the rates, terms and conditions between wireless carriers that allow customers to roam on another carrier s networks.

In respect and subject to other national binding regulations to provide roaming services, this tariff enables the establishment of roaming relationships between a HPMN and VPMN in mutual accordance with: a. all relevant GSM Association Technical Specifications. b. all binding GSM Association Permanent Reference Documents that specifically apply to domestic roaming. c. the non-binding GSM Association Permanent Reference Documents d. TELUS domestic agreement AA.14 in accordance with section a. to c. above. e. TELUS IR.21 in accordance with section a. to c. above. f. the technical requirements set forth in this tariff. including in each case all the commercial aspects, as defined in this Tariff. Additional requirements and exceptions to the Technical Specifications and GSM Association Permanent Reference Documents, are detailed in this Tariff. For the avoidance of doubt, there is no obligation on the part of an HPMN Operator to use the Services for Roaming offered by a VPMN Operator. GSM-based Roaming Service must allow roaming on its GSM-based mobile wireless networks to all subscribers served by their wholesale roaming customer, including the subscribers of any MVNOs operating on their wholesale roaming customers networks. N 2. Implementation of the Network and Services a. Both Parties agree that the Roaming ustomers, during Roaming, may experience conditions of service different from the conditions they experience when accessing their own HPMN Operator's PMN. However, the VPMN Operator will use best efforts to provide the Services such that the Roaming ustomers will have access to the Services at a level of quality comparable to that offered for similar services to the VPMN Operator's own customers. b. Network Interconnection: The implementation of the Signalling Protocols and/or lnter PLMN backbone (as defined in IREG PRDs) shall be in accordance with the Technical Specifications and relevant GSM Association Permanent Reference Documents with the exception of PMN specific deviations and/or chosen options agreed by both Parties during the testing phase. The technical information relevant for Roaming shall be exchanged between the Parties as part of IREG testing procedures and IREG PRDs. Each Party agrees to adhere to the processes set out in PRD IR.21, Section 4: Procedures for Updating the Database, when making changes in the numbering and addressing information with an impact on Roaming.

The HPMN agrees that it will i. abide by the provisions of the anadian Wireless Number Portability Guidelines (WNPG), as amended from time to time; and ii. enter into an lntercarrier Number Portability Operations Agreement (INPOA) with the VPMN, in the form of such agreement approved by the RT. d. Restrictions on Reselling and Roaming. The HPMN shall not offer, resell or otherwise make available the Services of the VPMN to any Person other than i. to its own end user customers; and ii. Resellers provided that the subscribers of such Resellers comply with the requirements to be a Roaming ustomer. No Party shall have any access hereunder to the network or services of any third party network operator with which the VPMN Operator may have roaming arrangements. 3. The HPMN shall be the ompany s customer for the services provided under this Item. The provision of this Tariff Item is subject to the ompany s General Terms of Service (as referenced in Item 100) and all applicable service conditions, rates and charges, as amended from time to time and approved by the RT. The HPMN shall pay to the ompany all charges incurred for services provided through any connections furnished to the HPMN pursuant to this Tariff Item, such as long-distance telephone calls, directory assistance, operator assistance and other chargeable services. Terms, conditions and charges for non-tariffed or forborne services shall be as specified by the ompany from time to time. 4. The provision of GSM-based Roaming Service by the ompany to the HPMN pursuant to this Tariff Item does not constitute a partnership, joint venture or joint undertaking between the ompany and the HPMN. 5. The ompany shall not be responsible to the HPMN s end-customers for end-to-end service.

6 TELUS ommunications ompany 1st Revised Page ancels Original Page The ompany reserves the right to modify or change, from time to time and in its sole discretion, its network, facilities, equipment or service (including exchange boundaries or Local alling Area boundaries) in accordance with the applicable provisions of the ompany s tariffs and RT directives. 7. GSM-based Roaming Service shall be provided by the ompany, upon request from a HPMN, only at such locations (and in respect of such facilities and equipment of the ompany) that meet the applicable industry and technical standards and guidelines, as well as RT stipulations, established for interconnection. The service shall be provisioned subject to the availability of suitable ompany facilities and equipment at the service location requested. 8. Where the ompany s network does not meet the technical or operational service requirements of the HPMN s system and network service (or any part thereof), the HPMN shall supply, or obtain from the ompany, additional service and equipment as required to meet such technical or operational service requirements. The HPMN shall pay to the ompany all of the ompany s charges for such additional labour, service and equipment in addition to all other charges the HPMN is required to pay to the ompany pursuant to this Tariff Item. 9. Management of Modifications to the Services, Facilities and ertain Procedural Matters a. hanges to Services. The VPMN Operator may, at its sole discretion, from time to time make changes to the Services by, among other things, adding, removing, replacing or modifying the Services (a "hange"), provided that the same additions, deletions, replacements and/or modifications, as the case may be, shall apply to equivalent services provided by the VPMN Operator to its own customers. The VPMN Operator shall use commercially reasonable efforts to provide the HPMN Operator with ninety (90) days written notice prior to implementing a hange. Following notice of a hange served by the VPMN Operator, both Parties shall discuss the impact of any such hange for Roaming ustomers and the necessary actions to be performed, including without limitation, in relation to: i. network and billing test procedures as set out in the Technical Specifications; ii. administrative activities; and iii. the targeted starting date of the applicable hange.

For greater certainty, and without limiting other obligations which may need to be assumed by the HPMN Operator as a result of the VPMN Operator implementing a hange, the HPMN Operator shall be responsible for all of its own costs and expenses associated with accessing the VPMN Operator's Network in order to make use of or benefit from the Services. In addition, the VPMN Operator shall not be responsible to compensate the HPMN Operator for any of the costs and expenses that the HPMN Operator may incur as a result of the HPMN Operator evaluating the impact and implications of a hange proposed by the VPMN Operator. c. No Limits on hanges: Subject to Management of Modifications to the Services, Facilities and ertain Procedural Matters above, nothing in this tariff shall be construed or interpreted as: i. limiting the VPMN Operator's right to make changes or modifications to the Services provided that such changes or modifications comply with GSMA standards, specifications and protocols; and ii. representing that the Services as offered by the VPMN Operator will remain the same during the Term. The Parties hereby expressly acknowledge and agree that the VPMN Operator shall have full and complete discretion as to the management of its Network, and with respect to resulting changes or modifications to the Services. 10. harging, Billing and Accounting a. harging and Rates: When a Roaming ustomer uses the tariffed Services of the VPMN Operator (voice calls within anada, SMS and data), the HPMN Operator shall be responsible for payment of charges for the Services in accordance with the rates specified within this tariff. All other roaming services are subject to commercial negotiation between the HPMN and the VPMN. b. Implementation of Billable Records. The Parties shall implement the exchange of TAP via a Data learing House (DH) in accordance with the GSMA PRDs further details are available in the TELUS Domestic Roaming AA.14. c. Billing and Accounting: The Parties shall implement billing and accounting according to the GSM Association Permanent Reference Documents as same may be amended upon the mutual written agreement of the Parties in order to conform with any modifications adopted by the GSM Association.

Settlement Procedure: The procedure for settlement of amounts between the parties is set forth in the TELUS Domestic Roaming AA.14. The Parties may amend the procedure for settlement upon their mutual written agreement. e. No Hand-Off: There shall be no hand-off of calls or data sessions between the PMNs of the Parties. 11. ustomer are Roaming ustomers shall contact the ustomer are Services of the HPMN Operator while Roaming. Roaming ustomers shall not contact the VPMN Operator. The HPMN Operator's ustomer are Services will be the sole point of contact for the Roaming ustomers of the HPMN Operator. The HPMN Operator may then contact the VPMN Operator for troubleshooting as needed. The contact details for the HPMN Operator are detailed in the TELUS Domestic IR No Permanent Roaming a. The HPMN acknowledges and agrees that the purpose of this tariff item is to provide incidental roaming to supplement the services offered by the HPMN as defined in Telecom Regulatory Policy RT and to allow the HPMN s Roaming ustomers to use the VPMN only when such Roaming ustomers are outside of the HPMNs network. The HPMN hereby agrees that: i. Roaming made available in this Tariff shall not be used for Permanent Roaming purposes; ii. it shall not permit Permanent Roaming by any of its Roaming ustomers; iii. it shall terminate roaming privileges for any Permanent Roamers within twenty four hours (24) of the VPMN providing the I.M.S.I (International mobile subscriber identity) of the Permanent Roamers; and iv. it shall take any and all actions necessary from time to time to monitor any Permanent Roaming that has or may have taken place on the VPMN and forthwith terminate any such Permanent Roaming. b. Without limiting other remedies available to the VPMN under this tariff item, if the VPMN becomes aware that any Roaming ustomer is engaged in Permanent Roaming, the VPMN shall have the right to suspend and/or deny, as the case may be, Roaming access hereunder to such Roaming ustomer. c. Annual Reporting on Permanent Roaming Further to the Permanent Roaming prohibition in this tariff item, the HPMN agrees that the VPMN may request a corporate certificate from the HPMN (executed by the HPMN s financial vice-president or equivalent level) attesting that the HPMN has complied with this tariff item. The certificate covers the HPMN s performance during the twelve (12) month period ending immediately before the date upon which this certificate was requested.

9 TELUS ommunications ompany 1st Revised Page ancels Original Page The HPMN must ensure that its services, facilities or equipment will not interfere with, impair or cause damage to the ompany s services, facilities or equipment; or endanger the safety of ompany employees or the public. In the event of any failure to comply with this condition, the ompany will notify the HPMN in writing that temporary discontinuance of the use of the ompany s services, facilities or equipment may be required. When prior notice is not practicable, the ompany may temporarily discontinue, without notifying the HPMN, the provision of a service, facility or equipment if such action is reasonable under the circumstances. In cases of such temporary discontinuance, the HPMN will be notified verbally (and in writing as soon as possible after the temporary discontinuance) and afforded the opportunity to correct the situation. 14. For planning purposes only, the HPMN shall furnish TELUS with best effort roaming volume forecasts for three years of voice minutes, Megabytes data usage, SMS count usage and unique roamers count two weeks after the request of roaming services and at the beginning of each calendar year. However, the HPMN shall not be obligated to meet their forecasts. Such forecasts as provided by the HPMN shall be kept confidential. 15. In Telecom Regulatory Policy RT , paragraph 65, the ommission stated that With respect to the availability of economically feasible and practical substitutes, the ommission notes that wholesale roaming enables wireless carriers to a. provide coverage in areas where they do not have spectrum, F b. fill in coverage gaps in areas where they do have spectrum, but have not deployed network facilities. onsistent with the above, the rates in Item are to be applied for roaming usage by a HPMN on the ompany s network in the Available Footprint so long as they meet one of the following conditions: a. in areas where a mobile wireless carrier does not have mobile wireless spectrum and b. in areas where a mobile wireless carrier does have mobile wireless spectrum, but has not yet deployed the spectrum. Roaming usage by the HPMN in other regions not covered by a. or b. above but in the Available Footprint will be charged at commercially negotiated rates.

10 TELUS ommunications ompany 1st Revised Page ancels Original Page The HPMN Operator shall strive to avoid any capacity offloading in areas where both the HPMN Operator and the VPMN Operator have Networks, especially in the densely populated urban areas. The HPMN Operator will ensure that its handset preferentially seek out its Network and does not seek out the VPMN Operator's Network when the HPMN Operator's network is successfully identified with a signal strength that can provide service. The parties' engineering groups will share such data and other information reasonably necessary or convenient to identify occurrences of capacity offload by specific area. If the HPMN Operator repeatedly offloads capacity in a particular area where it has a Network then the HPMN Operator shall take reasonable steps to prevent any further reoccurrences in that area, such as by the installation of additional capacity in that area. In the event that the HPMN Operator does not address the issue of offloading within a particular area where offloading has occurred within thirty (30) days of written notice thereof from the VPMN Operator, the VPMN Operator shall be entitled to suspend all or any of its Services to Roaming ustomer(s) in the area where the offloading occurred until such time as the appropriate corrective action has been taken by the HPMN Operator to prevent such offloading in such area on a go-forward basis. If it is technically more practicable, the VPMN Operator may request that the HPMN Operator take actions to suspend the requested Services to the Roaming ustomers in the area where the offloading occurred. 17. The ompany shall only respond to trouble reports from the HPMN, or the HPMN s duly authorized representatives, after the HPMN has first determined the trouble does not originate in the HPMN s system or network service. The HPMN shall instruct its end-customers to report all cases of trouble to the HPMN. In the event a trouble reported to the ompany by the HPMN and subsequently found to be not caused by the ompany s network or services, the ompany will charge the HPMN based upon the reasonable costs incurred by the ompany or in accordance with the ompany s tariffs as applicable.

The HPMN Operator shall not knowingly sell or otherwise provide Devices used for Roaming on the VPMN Operator Available PMN, including all modifications thereto, unless such Devices: i. are capable of operating on the HPMN Operator's PMN; ii. initially have and continue to have PTRB approval; and iii. comply with all applicable laws, rules, and regulations, including the rules and regulations of Industry anada. b. In the event that the VPMN Operator believes, acting reasonably, that any Devices used or to be used for Roaming on the VPMN Operator Available PMN adversely affect or could adversely affect the VPMN Operator Available PMN or other customers of the VPMN operator or the VPMN Operator otherwise has concerns with regard to such Devices, then the VPMN Operator may require, upon written notice to the HPMN Operator, that such Devices be tested prior to permitting their use or continued use, as the case may be, on the VPMN Operator's Network. For greater certainty this Section shall not apply to Devices similar in nature to the devices in use by the HPMN Operator's subscribers or otherwise made available by other operators and members of the GSM Association. The Parties hereby agree that the general intent of this Section is to address the use by Roaming ustomers of complex devices, or devices that have a very distinct purpose from any of the devices offered by the VPMN Operator to its own subscribers. c. All Devices of the Roaming ustomers which are to be used for Roaming on the VPMN Operator Available PMN must be able to operate on the HPMN Operator's PMN using the radio spectrum frequencies used by the HPMN Operator's PMN in the respective exchanges in which the Roaming ustomers' mobile phone numbers are located. d. The HPMN Operator shall ensure that the Devices of Roaming ustomers are able to receive and comply with applicable codes (for example: 3GPP TS V5.5.0 ( ) standard ause ode 13: "Roaming Not Allowed in this Location Area") from the VPMN Operator in order to deny access of any such Device in a particular geographic area and in order to prohibit such Device from reattempting registration on the VPMN Operator's PMN until it has moved into another geographic area.

Suspension of Services to Individual Roaming ustomers or all Roaming ustomers. In addition to the suspension rights provided to the VPMN Operator in this Tariff and the provisions provided for in General Tariff (RT 21461) Item the VPMN Operator, may without liability suspend or terminate all or any of its Services to Roaming ustomer(s): a. to the applicable Roaming ustomers, in the event that there is more than incidental roaming by a HPMN Operator's Roaming ustomers to their primary usage of the HPMN Operator's services as described in Restrictions on Reselling and Roaming above. b. in circumstances where it would suspend or terminate those Services to its own subscribers, including but not limited to: i. Roaming ustomers using Devices which are defective or illegal; or ii. Roaming ustomers causing any technical or other problems on the VPMN Operator's Public Mobile Network; or iii. Suspected fraudulent or unauthorized use; or iv. Authentication of the subscription not being possible; or v. Maintenance or enhancement of its Public Mobile Network. 22. Suspension of Services to all Roaming ustomers. In case of a proposed suspension of Services to all the HPMN s Roaming ustomers with the exclusion of the scenarios covered in the section Suspension of Services to Individual Roaming ustomers or all Roaming ustomers above, the VPMN Operator shall use its best efforts to give 30 days' written notice, to the HPMN Operator prior to the suspension taking effect. To the extent the conditions leading to suspension of Services can be remedied by the VPMN Operator, the VPMN Operator shall use commercially reasonable efforts to restore the Services as soon as possible. If the suspension continues for more than one month, the HPMN Operator shall have the right to terminate this Agreement with immediate effect by written notice to the VPMN Operator.

13 TELUS ommunications ompany ARRIER AESS TARIFF RT Original Page Suspension of Services for technical reasons to all Roaming ustomers by the HPMN Operator. Notwithstanding the provisions of the Telecom Regulatory Policy RT , the HPMN Operator has the right at any time, for technical reasons, without liability but giving written notice to the VPMN Operator, to suspend access to any or all of the Services for the Roaming ustomers. Alternatively, if it is technically more practicable, the HPMN Operator may require that the VPMN Operator take actions to suspend the requested Services to all of the Roaming ustomers. The VPMN Operator shall use technically reasonable efforts to comply with such requirement within seven (7) calendar days after receipt of the notice. The suspension may be removed as soon as the technical reason for the suspension has been overcome to the satisfaction of the HPMN Operator.

The ompany may terminate the service under this Tariff Item upon written notice to the HPMN indicating the effective date of termination, and without incurring any liability whatsoever to the HPMN, in any of the following circumstances: i. upon failure of the HPMN to comply with any provision specified in this Tariff Item or ompany s other Tariffs (collectively, the ompany Tariffs, or Tariffs ), provided the HPMN has been advised in writing of an event of alleged default, and the HPMN does not remedy or take reasonable steps to remedy the alleged default within thirty (30) days after receipt of such written notice and completely remedy the alleged default within a reasonable time thereafter; or where the HPMN fails to pay to the ompany charges for services, and associated facilities and equipment provided by the ompany pursuant to its Tariffs, other than charges reasonably disputed on the due date shown on the bill pursuant to the Tariffs. b. Notwithstanding any other provision of this Tariff Item, the ompany shall be entitled, at its option, to terminate service under this Tariff immediately upon written notice to the HPMN in the event that: i. the HPMN becomes insolvent or bankrupt, commits an act of insolvency, bankruptcy or any other offense under the Bankruptcy and Insolvency Act (anada) or other applicable statute, makes an assignment for the benefit of creditors, fails to make payment of any of its obligations as they become due, for any reason whatsoever is unable to meet any of its obligations as they generally become due, or is unable to pay all of its obligations, due and accruing due; ii. a trustee or receiver of the HPMN or any part of the HPMN s assets is appointed by any court or under provision of the Bankruptcy and Insolvency Act (anada) or other applicable statute by or against the HPMN and is acquiesced to by the HPMN or results in an adjudication of bankruptcy or receivership of the HPMN by an authority of competent jurisdiction; iii. the HPMN takes advantage of legislation of any kind available for the protection of debtors from creditors; iv. the HPMN is liquidated, whether voluntarily or involuntarily; v. the HPMN ceases to carry on business in the ordinary course; or vi. the ompany receives notification specified in Item c, below

The HPMN shall notify the ompany in writing no less than one-hundred-andtwenty (120) days prior to any occurrence, or of the possibility of such occurrence, of the events identified in Item b.i, ii, iii, iv or v above. d. Where notice of termination is issued under this Tariff Item, all charges for services, and associated facilities and equipment provided to the HPMN, pursuant to the Tariffs shall immediately become due and payable. e. Expiration or termination of this Tariff Item shall not relieve the HPMN of its obligation to pay any amounts due to the ompany and shall not deprive the ompany of any of the rights, remedies or actions that accrue to it up to and including the effective date of expiration or termination. f. In the circumstances described in Item a, the ompany may, in its sole discretion and in lieu of termination, suspend any or all services (and associated facilities and equipment) provided pursuant to this Tariff Item or any other agreement between the HPMN and the ompany, or deny any orders for such services (and associated facilities and equipment) until such time as the perceived event giving rise to the entitlement to terminate has been eliminated. Notice of suspension shall be given prior to suspension where practical, and otherwise as soon as reasonably practical thereafter. g. Subject to Item b, prior to the termination of the service under this Tariff Item, the ompany shall provide the HPMN with thirty (30) days prior written notice stating the reason for the termination and the scheduled termination date.

16 TELUS ommunications ompany 1st Revised Page ancels Original Page In addition to the provisions provided for in General Tariff (RT 21461) Item onfidentiality of ustomer Records, neither ompany nor HPMN shall disclose to any third party during the service requisition or subscription period of this Tariff Item, and for three (3) years following the termination or expiration of the subscription in question, any confidential information as follows: a. For the purposes of Tariff Item and subject to Item b, confidential information means any data or information, tangible or intangible, that is of value to the disclosing party and is not generally known in the industry or to competitors of the disclosing party. onfidential information shall include: i. tangible information, marked by the disclosing party with the word onfidential or otherwise identified by an appropriate stamp or legend indicating its confidential nature; ii. onfidential information disclosed orally or visually and identified by the disclosing party as confidential when disclosed, and confirmed by the disclosing party in a written notice within thirty (30) days following disclosure, which notice shall include markings similar to those outlined in Item a.i above; and iii. all other information that, notwithstanding the absence of markings or designations, would be understood by the parties, exercising reasonable business judgment, to be confidential. b. onfidential information shall not include information that is: i. previously known to a party free of any obligation to keep it confidential; ii. or has been or is subsequently made public by a party that owns that information or by a third party who is under no obligation of confidence to any party; iii. independently developed by a party without reference to or knowledge of the other party's confidential information; or, iv. disclosed with the prior approval of the owner of the information.

Any combination of confidential information regarding, for example, products or features of technology, shall not be deemed to be within the foregoing exception (as identified in Item b above) merely because individual portions of such combination are disclosed or separately known in the public domain or known by the receiving party. d. Each party acknowledges that the confidential information disclosed by a party is and shall remain the property of the party that disclosed the confidential information. The parties agree that they shall hold confidential information exchanged hereunder in confidence and shall use the same solely for the provisioning of service under this Tariff Item. e. The parties further agree that they shall not disclose any confidential information to anyone except those employees or contractors to whom such disclosure is necessary for the purposes authorized herein. In the event such confidential information must be disclosed by any party to a third party in order to provision the service under this Tariff Item, the disclosing party shall, prior to disclosure, obtain written consent from the party wishing to disclose the confidential information and obtain from the third party a written agreement regarding confidentiality of the confidential information, the terms of which shall be substantially the same as those contained herein. f. Notwithstanding Item a to e, a party may disclose confidential information to its professional advisors without the written consent of the disclosing party where, in the opinion of such party, the advice of its professional advisors is necessary to accomplish the objectives of provisioning service under this Tariff Item. In addition, either party may reveal such confidential information as may be reasonably necessary as required by law including to any governmental authority having jurisdiction over it, or its affiliates, for the purpose of obtaining applicable regulatory approvals as may be required hereunder. If a party is involved in court proceedings and is subject to a legally enforceable demand for discovery of confidential information, that party shall give written notice to the owner of the confidential information prior to disclosing the confidential information, and shall cooperate in seeking such reasonable protective arrangements as may be requested by the owner. g. Nothing in Tariff Item shall affect the right of any party to take such action as it may deem advisable, including legal action, to protect its confidential information.

Each party acknowledges and agrees that any use or disclosure of confidential information of the other party in a manner inconsistent with the provisions of this Item condition may cause such other party harm which will not be compensated by monetary damages alone and, accordingly, each party will, in addition to other available legal or equitable remedies, be entitled to seek an immediate injunction restraining the other party from committing or continuing to commit a breach. A party need not show or prove any actual damage sustained by it and may avail itself of injunctive relief in addition to and without prejudice to any other remedies available to it. i. In the event that the HPMN Operator is served with court orders or warrants in connection with interception of private communications on 'the VPMN Operator's Network, the HPMN Operator may advise the concerned governmental authority to issue the court order or warrant in the name of the VPMN Operator. j. In relation to lawful intercept, the VPMN Operator will be responsible for addressing any interception of private communications court orders and warrants relating to its Network served on the VPMN Operator by any governmental authority. k. As per paragraph 148 of Telecom Regulatory Policy RT , the customer of GSM-based Roaming Service shall not be prevented from disclosing the identity of their wholesale roaming providers to their current or potential customers. 26. For a new wholesale wireless roaming customer, GSM-based Roaming Service shall be provided on the same terms and conditions as a negotiated agreement in force on May 5, 2015 with an existing customer who is, as much as possible, of similar scale and scope as the new customer, to the extent that those terms and conditions are not inconsistent with the terms and conditions in this tariff.
