Unless otherwise stated: SSI will configure and publish branded exam prep site for customer, located at: Students will have unlimited access to all product features and tools, described in depth in this agreement. Customer will be provided with Administrative Account access to register students on an ongoing basis SSI manages technology, content, and support infrastructure Customer does not have access or rights to own or modify system Source Code without express consent by SSI Additional products (exam vouchers, instructor courses) are available for a separate fee. Pricing Schedule A license is charged for students registered and activated within the exam system for the default duration (90 days). The pro-rated fixed cost per student is $53.00 Payment Terms All fees are based on monthly licenses sold SSI will charge Customer s account each month, using authorized payment method on record; electronic receipt will be provided to Customer POC Electronic payments are due in full and processed on the last day of each month. Accounts are subject to cancellation if payment cannot be processed, or if account privileges are abused. A Website Support Fee of $99.00 will be applied for partners who do not register a minimum of two (2) students during a given month. Contract Term During this term, SSI shall provide exam preparation for Customer purposes on a monthly basis. 7 Appendix A: Standard Assumptions and Usage Guidelines Agreement Term and Cancellation This Agreement shall continue in effect from the date of agreement execution ( The Effective Date ) until either party gives 30 days notice prior to the end of the term. Either party may terminate this Agreement at any time, with or without cause and without further obligation except for payment due for services rendered prior to date of such termination. Use of Exam Preparation Content Exam preparation content available via our products has been created exclusively for use by our customers. Our exam preparation content including images, text, and supporting material (collectively "SSI Exam Prep Content") are owned by SSI Solutions INC. Unless SSI Solutions INC explicitly provides permission, no party may copy, modify, distribute (outside of the exam preparation system), display, license, or independently sell SSI exam preparation content without express consent by SSI. Extreme care has been taken in the compilation of site content and features. The information, statements, and testing content contained therein are believed to be correct. This content, its owners, operators, and/or representatives shall not be held liable for any loss, damage or inconvenience arising from potential inaccuracies.
