1 Business Practice Non-Firm 1. General Policies 1.1 Transmission Service Reservation (TSR) priorities are established for Non-Firm pointto-point (PTP) transmission service in accordance with APS s Open Access Transmission Tariff (OATT) at Sections 14.2 and 14.7 for. 1.2 Pre-Confirmed Applications for Short-Term PTP Transmission Service will receive priority over earlier-submitted requests that are not Pre-Confirmed and that have equal or shorter duration. 1.3 Requests or reservations with the same duration and, as relevant, pre-confirmation status (pre-confirmed, confirmed, or not confirmed), will be given based on the queue date and time. 1.4 APS does not offer discounts and does not negotiate on Price. 1.5 Firm PTP Transmission Service will always have a reservation priority over Non-Firm PTP Transmission Service. 1.6 Non-Firm Conditional reservation deadlines: Preemption of competing reservations will occur up to 25 minutes prior to the conditional reservation deadline if the Transmission System becomes oversubscribed. 1.7 Duration The number of consecutive, same MW service increments within the Start and Stop time. Service increment is defined as Hourly, Daily, Weekly, Monthly and Yearly (long-term) Only consecutive service increments with constant MW amounts between the Start and Stop Time are counted to measure the duration of the transmission request An Hourly transmission request can vary the MW amount from hour to hour. The duration of an hourly transmission request with any variation in MWs between Start and Stop Time will be one (1) hour for purposes of displacement analysis. 2. OASIS Status Definitions The following are possible OASIS status values and will be used throughout this business practice: ACCEPTED = assigned by APS to indicate the service request at the designated OFFER_PRICE has been approved/accepted. If the reservation request was submitted PRE-CONFIRMED, OASIS will immediately set the reservation status to CONFIRMED. ANNULLED = assigned by APS when, in special circumstances, by mutual agreement with the Customer, a confirmed reservation is to be voided (final state). CONFIRMED = assigned by Customer, in response to APS posting "ACCEPTED" status, to confirm service. Once a request has been "CONFIRMED", a transmission Page 1 of 5

2 service reservation exists (final state, unless overridden by DISPLACED or ANNULLED). COUNTEROFFER = assigned by APS to indicate that CAPACITY_GRANTED is less than CAPACITY_REQUESTED. DISPLACED = assigned by APS when a "CONFIRMED" reservation from a Customer is displaced by a higher priority reservation and the Customer is not offered or has not exercised right of first refusal (i.e., refused to match terms of new request) (final state). INVALID = assigned by APS indicating an invalid field in the request such as improper POR, POD, source, sink, etc. (final state). QUEUED = initial status assigned by OASIS on receipt of customer transmission service request. RECEIVED = assigned by APS to acknowledge QUEUED requests and indicate the service request is being evaluated, including for completing the required ancillary services. REFUSED = assigned by APS to indicate service request has been denied due to lack of availability of transmission capacity. PROVIDER_COMMENTS should be used to communicate details for denial of service (final state). RETRACTED = assigned by APS when the Customer fails to confirm or withdraw the request within the required time period (final state). STUDY = assigned by APS to indicate some level of study is required or being performed to evaluate the request. SUPERSEDED = assigned by APS when a request which has not yet been confirmed is displaced by a higher priority reservation (final state). WITHDRAWN = assigned by Customer at any point in request evaluation to withdraw the request from any further action (final state). 3. Request Confirmation: Timelines 3.1 A Customer can choose to Pre-confirm its transmission request on OASIS. If a TSR is Pre-confirmed, APS acceptance of it completes the reservation contract and the OASIS status will change directly to CONFIRMED. 3.2 APS s acceptance of an original TSR not PRE-CONFIRMED changes its status to ACCEPTED. An ACCEPTED TSR is not a contract until the Customer confirms it on OASIS within the confirmation timelines described below regardless of class, service increment, or queue time. 3.3 If insufficient Available Transmission Capacity (ATC) is available to grant the entire MW request, a COUNTEROFFER for remaining capacity will be offered. 3.4 The Customer must respond within the timelines reflected in the Confirmation Timelines Table If the Customer does not CONFIRM the counteroffer within the allotted timeframe, the opportunity is lost and the transmission request will be RETRACTED. 3.6 If there is no ATC available for the requested period, the TSR will be REFUSED due to insufficient ATC. Pre-emption (Displacements) 4.1 A CONFIRMED, ACCEPTED or PENDING TSR may be pre-empted or displaced by a higher priority TSR with no Right of First Refusal (ROFR). Pre-emption occurs until the conditional time period (See Section 1.6). 4.2 For a request or reservation that is SUPERSEDED or DISPLACED, APS will indicate the Assignment Reference number of the competing request and the reason for the denial of service in the SELLER_COMMENTS field. Competition (Right of First Refusal (ROFR)) 5.1 If there is insufficient capacity to satisfy all requests and reservations for Short Term PTP transmission service, A Transmission Customer with a CONFIRMED TSR for shorter duration or equal duration has the ROFR to match any longer term or equal duration request The OASIS TSR must be Pre-Confirmed to displace another TSR Under certain competing circumstances, transmission requests receive a ROFR in accordance with NAESB WEQ Table 4.3 as may be amended from time to time by NAESB. In the event that a conflict occurs between NAESB and the OATT, the OATT prevails Before the conditional reservation deadline, if ATC is insufficient to satisfy all requests and reservations, an Eligible Customer with a reservation for shorter term service or equal duration service and lower price has the ROFR to match any longer term request or equal duration with a higher price before losing its reservation priority. As stated previous in this business practice, APS does not negotiate on price. Therefore, the pro-forma ROFR for price will not apply When a longer duration request pre-empts multiple shorter duration reservations, the shorter durations shall have simultaneous opportunities to exercise the ROFR Duration and time of response will be used to determine the order by which multiple shorter duration reservations will be able to exercise the ROFR. Curtailment of Non-Firm Transmission Service 6.1 If multiple transactions require curtailment or interruption, they will be made to transactions of the shortest term (e.g., hourly non-firm transactions then, daily nonfirm transactions then, weekly non-firm transactions). 6.2 Transmission Service for Network Customers from resources other than designated Network Resources (secondary network service) will have a higher priority than any Non-Firm PTP Transmission Service under the Tariff. 6.3 Non-Firm PTP service over secondary Point(s) of Receipt and Point(s) of Delivery will have a lower priority than any Non-Firm PTP service under the Tariff. This Business Practice describes general conditions and practices. There may be specific circumstances that require some variation from or are not addressed by this Business Practice.
