1 Test Agreement Test Description: nbn Enterprise Ethernet Test This Agreement is a Standard Form of Access Agreement for the purposes of Part XIC of the Competition and Consumer Act 2010 (Cth) where one is required for NBN Co to supply a Test Product

2 Test Agreement Test Description: Enterprise Ethernet Test Parties nbn co limited (ABN ) of Level 11, 100 Arthur Street, North Sydney NSW 2060 (nbn); and [Insert full legal name of Test Participant] (ABN [insert ABN]) of [insert registered address] (Test Participant). Background A. This Test Description, together with the Standard Test Terms, forms the Test Agreement for the Enterprise Ethernet Test. B. The purpose of the Enterprise Ethernet Test is to enable nbn to build, and nbn and Test Participant to test the performance of, a test version of nbn s proposed enterprise ethernet product. C. To conduct the Enterprise Ethernet Test, nbn will build the Test Network and supply the Enterprise Ethernet Test Product in respect of the Test Premises subject to this Agreement until 28 September 2018, unless extended or terminated in accordance with this Agreement Pre-conditions To participate in the Enterprise Ethernet Test and before nbn supplies the Enterprise Ethernet Test Product to Test Participant, Test Participant must, by a date determined by nbn: have entered into a WBA; have entered into the Standard Test Terms; and have undertaken on-boarding for nbn Ethernet. If Test Participant ceases to comply with the conditions in clause 1 nbn may immediately: exclude Test Participant from the Enterprise Ethernet Test; cease supplying the Enterprise Ethernet Test Product to Test Participant; and terminate this Agreement. Test Product and Components Enterprise Ethernet Test Product The Enterprise Ethernet Test Product is a Test Product comprised of: the Components described in clauses 2.2 and 2.3, supplied by nbn to Test Participant on a test basis subject to the terms and conditions of this Agreement; and the Component described in clause 2.4, supplied by nbn to Test Participant subject to the terms and conditions of the WBA. Subject to this Agreement, nbn will supply Test Participant with the Enterprise Ethernet Test Product in respect of the Test Premises. Operator Virtual Connection (OVC) An Operator Virtual Connection or OVC is an Ethernet-based Layer 2 virtual connection on the Test Network that carries Test Participant s traffic between an NNI and UNI. Between one and eight OVCs can be associated with each UNI. User Network Interface (UNI) The User Network Interface or UNI is a physical port on an NTD to which nbn supplies the Enterprise Ethernet Test Product in respect of each Test Premises. 2

3 2.4 3 nbn will determine the type and model of NTD installed for the purpose of providing Test Participant with access to the UNI. Network-Network Interface (NNI) A Network-Network Interface or NNI is the interface at a POI where the Enterprise Ethernet Test Product is handed over to Test Participant. Test Participant must use an existing NNI ordered under the WBA, or order a new NNI under the WBA, at each POI which nbn notifies to Test Participant is a POI associated with a Test Premises. Establishing Test Premises Test Participant will use reasonable endeavours to notify to nbn, no later than 17 January 2018, of 5 to 10 Premises: (iv) which are within a 40 kilometre radius of the Melbourne or Sydney general post office; within the footprint of the Fibre Network, FTTB Network or FTTN Network; with a Site Proprietor and an occupant who are willing to facilitate the Design and Build Activities and the Enterprise Ethernet Test; and which are not subject to heritage, environmental or cultural restrictions or protections. nbn may select up to 3 of the Premises proposed by Test Participant in accordance with clause 3, or such other Premises as agreed between the parties in writing, to be the Test Premises for the purposes of this Agreement. For clarity, nbn may not select any Test Premises, in which case nbn may request Test Participant to repeat the process in clause 3. Test Participant will provide nbn with any information, data and assistance reasonably requested by nbn to enable nbn to select Test Premises, including: physical details of the Premises (such as entry-points, building layout and conduit locations); the times during which nbn will be able to perform the Design and Build Activities at the Premises; and other details required by nbn to produce Build Documentation. 4 Design and Build Activities In respect of each Test Premises: 5 nbn will: perform the Design and Build Activities in accordance with the Build Documentation; and use reasonable endeavours to complete the Design and Build Activities within a reasonable time of any estimated completion date for the Design and Build Activities having regard to all relevant circumstances; and Test Participant will provide and procure: Ordering all physical access to the Test Premises (in accordance with any information provided under clause 3 where relevant) as may be necessary or desirable to enable nbn to perform the Design and Build Activities, including rights of access to and from, and tenure in relation to, the Test Premises, such access to be safe and provided in a timely manner; all power access, rack space, cable pathways and other reasonable assistance required by nbn to carry out the Design and Build Activities, including in accordance with any Build Documentation. Test Participant must not order, and nbn is not required to supply, the Enterprise Ethernet Test Product in respect of a Test Premises until nbn has issued a notice to Test Participant confirming that the Test Network has been made available at that Test Premises. Test Participant must only: use the processes as specified by nbn to order connections or modifications of the OVC and UNI; and order connections and modifications to the number of OVCs and UNIs, and the features for those OVCs and UNIs, as specified by nbn in respect of each Test Premises. Test Participant must, to the extent specified by nbn, acquire: 3

4 6 6.1 an NNI under the WBA, at each POI which nbn notifies to Test Participant is a POI associated with a Test Premises; and facilities access under the WBA or other agreement between nbn and Test Participant, for each POI at which nbn supplies an NNI in respect of the Enterprise Ethernet Test Product. Test Participant s obligations General obligations Test Participant will, in accordance with this Agreement and any Test Plan: (d) (e) 6.2 use its best endeavours to procure the participation of End Users in the Enterprise Ethernet Test in the numbers and for the periods set out in the Test Plan; provide, or procure the provision of, access to the agreed Test Premises in accordance with clause 7 of the Standard Test Terms to the extent necessary or desirable, including for the purpose of carrying out any activity reasonably required for design and installation of nbn equipment in respect of the Enterprise Ethernet Test; at nbn s request, assist nbn to install and provision any nbn equipment provided by nbn at the Test Premises; at nbn s request, make the relevant Enterprise Ethernet Test Contact available at the Test Premises to assist nbn in respect of nbn s rights or Test Participant s obligations under this Agreement, including in respect of design, installation, fault investigation and resolution, disconnection and removal of networks, facilities and equipment; and only use the Enterprise Ethernet Test Product for the Enterprise Ethernet Test. Enterprise Ethernet Test feedback As part of the Enterprise Ethernet Test, Test Participant must provide to nbn at nbn s request information and feedback regarding the: performance, usage and interoperability of; and ordering, activation, installation, and assurance processes related to the supply of, the Enterprise Ethernet Test Product and all ancillary matters as may be described in any Test Plan. 6.3 Enterprise Ethernet Test review and report At regular monthly intervals during the Enterprise Ethernet Test and within 10 Business Days of completion of the Enterprise Ethernet Test, the Test Participant will, at nbn s request: 7 meet with nbn to review and evaluate the performance of the Enterprise Ethernet Test Product; and use reasonable endeavours to obtain and assist nbn to obtain directly additional feedback from any relevant third parties regarding the performance of the Enterprise Ethernet Test Product, the Test Network and nbn s relevant processes and procedures. Service performance and fair use Test Participant acknowledges and agrees that no service level, rebate or compensation of any kind, however described, is available or applicable to any aspect or component of the supply of the Enterprise Ethernet Test Product except in respect of any goods and services described in clause 5, for which service levels, rebates or compensation may apply under the applicable agreement for such goods and services. This Test Description incorporates, as if set out in full: the nbn Ethernet Fair Use Policy under the WBA; and the provisions of section 13 (Speeds, performance and availability) of the nbn Ethernet Product Description under the WBA, which are taken to apply to the Enterprise Ethernet Test Product to the extent applicable, in addition to all other qualifications, conditions and limitations in this Agreement, subject to the following: (iv) references to Customer or Customers are to be read as Test Participant or Test Participants ; references to Ordered Product or Ordered Products are to be read as Test Product and Test Products ; 4

5 8 (d) 9 (v) (vi) references to Product Description are to be read as this Test Description ; and references to nbn Ethernet are to be read as Enterprise Ethernet Test Product. nbn may amend this Test Description to give effect to any new, varied or replacement Fair Use Policy. Property rights and beneficial interest Nothing in this Test Description gives Test Participant any right, title or interest (whether legal, equitable or statutory) in any part of the Build Infrastructure, or the NTD(s) made available by nbn to Test Participant or used by Test Participant. Each NTD made available by nbn to Test Participant or used by Test Participant is nbn Equipment and the Tangible Property of nbn for the purposes of the Standard Test Terms. The Build Infrastructure does not constitute a fixture on the Test Premises on or in which it is located. nbn reserves the right to remove the Build Infrastructure and nbn Equipment at any time. Charges nbn will not charge Test Participant for the Design and Build Activities or the Enterprise Ethernet Test Product, except for any goods and services described in clause 5, which will be payable under the applicable agreement for such goods and services. 10 Term, termination and withdrawal This Test Description will terminate on 28 September 2018, unless extended by nbn and notified to Test Participant or terminated in accordance with clauses 10 or 10. nbn may issue a Cancellation Notice at any time in accordance with the Standard Test Terms to terminate any one or more of the following: (iv) this Test Description; the Design and Build Activities; the Enterprise Ethernet Test; and the supply of the Enterprise Ethernet Test Product at any Test Premises. (d) (e) 11 If Test Participant wishes to terminate this Test Description, withdraw from the Design and Build Activities or from the Enterprise Ethernet Test, or terminate the supply of the Enterprise Ethernet Test Product at any Test Premises (including because an End User wishes to withdraw from the Design and Build Activities or testing, as the case may be): Test Participant will immediately notify nbn of its intention and the reason for its intended termination or withdrawal; the parties will meet at the request of either party and use reasonable endeavours to resolve any concerns with a view to allowing testing to continue; nbn may cease performing any Design and Build Activities or supplying the Test Product (as the case may be); (iv) if the issue is not resolved within 30 days after nbn receives Test Participant s notice, Test Participant may terminate this Test Description or withdraw from the Enterprise Ethernet Test by giving written notice to nbn. If Test Participant enters into an agreement with nbn for the supply of an enterprise ethernet product on a non-test basis, nbn may, in its sole discretion: terminate this Test Description and the Enterprise Ethernet Test by issuing a Cancellation Notice in accordance with the Standard Test Terms; or continue supplying the Ethernet Enterprise Test Product as an Enterprise Ethernet Product described in and subject to the terms of that agreement, by giving notice to Customer. Upon termination or expiry of this Agreement, Test Participant must take all steps directed by nbn (if any) to disconnect the Components ordered under this Agreement to the extent necessary to give effect to this clause 10. Contact points nbn and Test Participant will each appoint a person as a contact point in relation to 5

6 12 process issues (if any) arising from the Enterprise Ethernet Test and, in addition, Test Participant will appoint a person as a contact person in respect of each Test Premises to provide access to and assistance in accordance with this Agreement (each, an Enterprise Ethernet Test Contact). nbn and Test Participant will provide telephone and contact details of their Enterprise Ethernet Test Contacts to each other on or before the commencement of the Enterprise Ethernet Test. Interpretation and definitions In this Test Description, the singular includes the plural and vice versa, and any capitalised term used but not defined in the Test Description: has the meaning given to that term in the Standard Test Terms; and that isn t defined in the Standard Test Terms has the meaning given to that term in the WBA, and: Build Documentation means any documentation provided by nbn to Test Participant which nbn expressly states is Build Documentation for the purposes of this Agreement. Build Infrastructure means any network, systems, equipment and facilities constructed, configured, extended or upgraded by nbn as part of the Design and Build Activities, including: the Test Network; and any other network, systems, equipment and facilities specified in the Build Documentation. Component means each of the components of an Enterprise Ethernet Test Product, as described in clauses 2.2 to 2.4. Design and Build Activities means the construction, configuration, extension and upgrade activities which nbn expressly states, in Build Documentation, that nbn will undertake. Enterprise Ethernet Test means the supply by nbn to Test Participant of the Enterprise Ethernet Test Product together with the performance by both parties of ancillary obligations set out in this Test Description (including the provision of feedback and reports by Test Participant to nbn) in accordance with this Agreement. Enterprise Ethernet Test Contact has the meaning given in clause 11 of this Test Description. Enterprise Ethernet Test Product means the Test Product described in clause 2.1. NNI or Network-Network Interface has the meaning given in clause 2.4. NTD means a network termination device provided by nbn for the purposes of the Enterprise Ethernet Test. OVC or Operator Virtual Connection has the meaning given in clause 2.2. POI means a point of interconnection between the Test Network and the Test Participant Network, as nbn notifies to Test Participant from time to time. Standard Test Terms means version 2.4 or later of the agreement entitled Test Agreement Standard Test Terms entered into, or to be entered into, between nbn and Test Participant. Test Description means this document, which is issued by nbn under the Standard Test Terms. Test Network means the fibre network, comprising solely fibre lines between Network Boundaries including only point-to-point fibre between a fibre access node and a Premises, that is owned or controlled by, or operated by or on behalf of, nbn (or any Related Body Corporate of nbn), other than the Fibre Network, FTTB Network, FTTN Network or HFC Network. Test Participant Network means the networks, systems and facilities used or capable of being used by Test Participant in relation to the carrying of communications by means of guided or unguided electromagnetic or optical energy (and which are not part of the nbn Network or the Test Network). Test Premises has the meaning given in clause 3. UNI or User Network Interface has the meaning given in clause
