1 Product terms and conditions No ML.05.IN.77.A Product name: SmartMLX+ Mail service 1. Product contents 1.1 Within the framework of the SmartMLX+ Mail service, Elion: Lets the Customer use a mail and groupware server administered by Elion and installed on Microsoft software (the Server) as specified in clause 1.4; Provides Customer Support as specified in clause 1.9; Guarantees availability of the service as specified in clause 1.11; 1.2 Transferring mails and data from an existing system is a separate service and can be ordered for a fee specified in the Pricelist; 1.3 The Customer will do everything that is required from their side to be able to use the Product. A working communications solution that enables access to the Server is required for using the Product. 1.4 Elion provides the Customer with an opportunity to use the following features of the Server (see clause 1.5): The ability to receive electronic mail that has been sent to the User Accounts; The ability to send electronic mail through the User Accounts to other User Accounts as well as to Internet addresses; The ability to use Resource Accounts (see clause 1.6); The ability to use Forwarding Accounts (see clause 1.7); Protection against mail viruses and spam; Access to the account through a browser, Outlook or other mail software using EWS, SMTP or IMAP protocols; The ability to use personal mail folders, mailing lists, tasks and a personal contact database and calendar; The opportunity to use the support of Customer Service; Access to the account through a mobile phone supporting ActiveSync; The ability to use public calendars and contact base; The ability to look at the free/occupied status of other User Accounts; 1.5 User Account A User Account is an account created for the Customer on the Server, through which it is possible to send and receive electronic mail and on which it is possible to store and process electronic mail, contact data, data concerning tasks and meetings To obtain access to the User Account (logging in), the user authorised to use the User Account will provide a user name and password to the server. The authorised user of the User Account is responsible for keeping the password secret The User Account is created and deleted and its parameters modified by the Customer themselves through the web-based administration tool of SmartMLX+ within the scope offered by it, or by Elion upon the request of the Contact Person (a monthly fee service that applies to all accounts). If the Customer does not wish to use the administration service for a monthly fee, the Customer will pay for ordered modifications according to the Pricelist (service paid for by the hour) The parameters of a User Account include: a) A user name, made up of a user identification chosen freely by the Customer, the symbol "@", and the Login Domain specified in the Product Contract; b) A password that has to meet the Server requirements regarding its minimal length and complexity. If the password was created by Elion when creating the User Account or set upon the directions of the Contact Person, it has to be changed by the user of the User Account when the user first logs in; the user has to change their password at least once every 50 days;

2 c) The real name of the user of the User Account, set by Elion upon the request of the Contact Person; d) The mail address consisting of a part freely chosen by the Customer, the symbol "@" and the Mail Domain specified in the Product Contract. 1.6 A Resource Account is a limited usage rights account created for the Customer on the Server that enables the planning of the free/occupied status of the Customer's resources. 1.7 A Forwarding Account is a limited usage rights account created for the Customer on the Server, which enables forwarding of the mail that has arrived to that account to other User Accounts as well as Internet addresses. 1.8 Data volume limitations Data volume is calculated on the basis of all User Accounts, File Tree and Contacts together There are no data volume limitations; the Customer will be charged for the actual data volume used If the data volume that has been specified in the Pricelist as included in the monthly fee is surpassed, the Customer will be charged according to the Pricelist. 1.9 Customer Service Service Time is the time on workdays (Monday to Friday, except national holidays) from 9 AM to 6 PM The phone number of Customer Service is and the mail address is help@elion.ee Customer Service accepts calls during Service Time; is always open During Service Time, Customer Service will react to the Customer's queries that cannot be completed by the Customer themselves through the web-based administration tool, within 1 (one) hour from receiving the query During Service Time, Customer Service will react to the Customer's queries within 8 (eight) hours from receiving them Queries received outside of Service Time will be handled within 4 (four) hours from the beginning of Service Time Contact Persons The Customer appoints at least one Contact Person in the Product Contract The Customer is aware that the Contact Person has the right to present requests to Elion on behalf of the Customer to add, delete and change User Accounts or to modify User Accounts using the web-based SmartMLX+ administration tool The Contact Person has access to the web-based administration tool of User Accounts, which can be used to change the Customer's User Accounts' passwords as well as add, delete and change user accounts' parameters Customer Service employees have a right and an obligation to identify the Contact Person. A Contact Person is considered identified if they call from a phone number specified in the Product Contract or send a mail message from an address specified in the Product Contract. In other cases, a Customer Service employee may call or mail back using the contacts specified in the Product Contract, or ask the Contact Person their identification data and the number of the Product Contract Availability Elion guarantees that unavailability of service will not exceed 4 hours during Service Time and 8 hours altogether in any calendar month A server is considered available if it realises the features listed in clause Server unavailability is not considered unavailability if it is caused by: a) Performing scheduled maintenance works that the Customer has been notified of in advance; b) A mail virus epidemic, i.e. an explosive growth in their spread in Estonia, Europe or the world; c) Malfunctioning of communications networks that disturb or disrupt the Internet connection that the Customer is using for the Product. d) Unreasonably large cyber-attacks against servers located in Elion's server hosting facilities.

3 2. Reporting and invoicing 2.1 The Customer can obtain information about the Product Contract and its fulfilment from the web environment Elion will present an invoice to the Customer by the 10th day of the month following the month of rendering the services. The invoice is presented in a written and reproducible form and sent to the mail address specified as the address of the Contact Person in the Product Contract, or made available through the web environment mentioned above. 2.3 When compiling the invoice mentioned in clause 2.3, Elion will use at its basis information regarding fulfilment of the Product Contract and the Pricelist effective in the month of rendering the service. 2.4 If the unavailability of the Server has exceeded the limits set in clause , Elion will, upon the request of the Customer, recalculate a sum of 2% of the monthly fee the Customer is paying for the Product for each hour that the unavailability of the Server exceeded these limits. 3. Other provisions 3.1 Elion will render the SmartMLX+ Mail service in accordance with the legal acts of the Estonian Republic and good practices. This means, among other things, that Elion will not assist the Customer in any way in installing, using, producing or distributing pirated software; in conducting any kind of illegal surveillance activities; in using data networks in ways that violate good practices (this includes distribution of spam or pornographic materials). If Elion becomes aware of such activities by the Customer, Elion may stop rendering the service without prior notice. Appendix 1 USAGE TERMS AND CONDITIONS OF MICROSOFT SOFTWARE The present document applies to your usage of Microsoft software, including the software given to you by Elion as specified below, and it may include data carriers, print materials and online or electronic documentation (separately or together named "SOFTWARE PRODUCTS"). Elion is not the owner of SOFTWARE PRODUCTS and using them is subject to certain rights and limitations that Elion has to inform you about. Your right to use SOFTWARE PRODUCTS depends on your contract with Elion and your understanding and accepting the following terms and conditions that Elion is not authorised to modify, improve or change. 1 Terms Client software is software that enables Devices to access services or features provided by Server software or to use them. A Device is a computer, workstation, terminal, palmtop computer, pager, phone, PDA, smartphone or other electronic device. Server software is software that provides services or functionality on a computer acting as s server. Redistribution software is software that is described below, in clause 4 ("Using Redistribution Software").

4 2 OWNERSHIP OF SOFTWARE PRODUCTS The software products have been licensed to Elion by an affiliate company of Microsoft Corporation ("Microsoft"). The Software products (and their parts, including, without limitation, images, photos, animations, video and audio material, music, text and applets included in the Software products) and their intellectual rights belong to Microsoft or its suppliers. The Software products are protected by copyright laws and international copyright treaties as well as other acts and treaties pertaining to intellectual property. Owning software products, accessing them and using them does not cause a transfer of the ownership of Software products or their intellectual rights to you. 3 USING CLIENT SOFTWARE. You may only use the Client Software that has been installed on your Device by Elion in accordance with the instructions and only for the services rendered to you by Elion. 4 USING REDISTRIBUTION SOFTWARE. In conjunction with the services rendered to you by Elion, you may get access to certain "sample", "redistribution" and/or developing ("SDK") software code and programming tools (separately and together referred to as "Redistribution Software"). YOU MAY NOT USE, MODIFY, COPY AND/OR DISTRIBUTE REDISTRIBUTION SOFTWARE IF YOU DO NOT EXPRESSLY AGREE AND FULFILL CERTAIN ADDITIONAL CONDITIONS THAT ARE APPLIED TO ELION AND THAT HAVE BEEN SPECIFIED IN THE SERVICES PROVIDER USE RIGHTS ("SPUR") and which Elion is obliged to present to you in this case. Microsoft does not allow you to use Redistribution Software, if you do not expressly agree and fulfil such additional conditions that Elion presents to you. 5 COPIES. You may not make copies of Software Products; however, with the condition that you may (a) upon Elion's specific authorisation make one (1) copy of Client Software on your Device; and (b) you may make copies of certain Redistribution Software as specified in Paragraph 4 (Using Redistribution Software). When your contract with Elion is terminated or cancelled, you must delete or destroy all such Client Software and/or Redistribution Software upon notification from Elion or when your Device is transferred to another person or unit, depending on whichever happens earlier. No copies can be made of print materials accompanying Software Products. 6 REVERSE ENGINEERING, DECOMPILATION AND DISASSEMBLING LIMITATIONS. Software Products must not be reverse engineered, decompiled or disassembled, except in case and only to the extent that an applicable law expressly allows it regardless of the present limitation. 7 PROHIBITION OF RENTING. You may not rent, lease, loan, pawn or transfer Software Products directly or indirectly to any third person, and you may not allow any third person to access the functionality and/or to use the Software Products. 8 TERMINATION. Without limitation of other rights, Elion can terminate your rights to use the Software Products if you do not comply with the present terms and conditions. In case of termination or cancellation, you must stop using and/or accessing the Software Products, and destroy all copies of Software Products and of all their components.

5 9 MICROSOFT GIVES NO WARRANTY, ACCEPTS NO RESPONSIBILITY AND DOES NOT COMPENSATE. WARRANTY, RESPONSIBILITY FOR DAMAGE AND MEANS OF COMPENSATION, IF APPLICABLE, ARE OFFERED BY ELION ONLY, NOT BY MICROSOFT, ITS AFFILIATES OR RELATED COMPANIES. 10 PRODUCT SUPPORT Product support for Software Products is provided to you by Elion, not by Microsoft, its affiliates or related companies. 11 LACK OF FAULT TOLERANCE SOFTWARE PRODUCTS MAY CONTAIN TECHNOLOGIES THAT ARE NOT FAULT TOLERANT AND HAVE NOT BEEN DESIGNED, PRODUCED OR MEANT FOR USING IN ENVIRONMENTS OR APPLICATIONS IN WHICH A SOFTWARE FAULT CAN CAUSE DEATH, INJURY OR SERIOUS BODILY, MATERIAL OR ENVIRONMENTAL HARM. 12 EXPORT LIMITATIONS The origin of the Software Products, in accordance with the US Export Control Act, is USA. You agree to comply with all international and national laws applicable to the Software Products, including the regulations of the Export Department of USA and other limitations regarding end users, end usage and destination imposed by the US Government and other governments. You can find additional information at 13 LIABILITY FOR VIOLATION. In addition to liability to Elion, you agree that you have direct legal liability to Microsoft for violating the present terms and conditions.
