9 Event Sponsor Agreement This Agreement is between Liferay, Inc. ( Liferay ) and the legal entity specified as Company in the attached Event Sponsor Order Form ( Order Form ) that completes and submits an executed Order Form to Liferay. This Agreement shall become effective as of the date on which Liferay issues a written confirmation of acceptance to Company in response to Company s submission of an Order Form. As used herein, Event shall mean the Liferay Symposium North America Exhibit Booth Specifications Platinum and Gold-Level sponsorships include provision of a Booth at the Event. Liferay will provide an identification sign for each Booth. Company shall provide for itself, at its own expense and discretion, any other installations, furnishings, utility connections, displays and other equipment and services it may require at its Booth. Company s use of any third-party vendors shall be subject to approval by Liferay and the Venue. Payment Terms A) Company shall pay to Liferay the full amount of fees as specified on an accepted Order Form. All fees due under this Agreement are payable in advance of the Event, and in any case no more than thirty (30) days from receipt of a correct invoice. B) In the event that Company does not pay fees when due, Liferay reserves the right to deny Company s attendance and/or participation in the Event and remove Company s name and logos from any Event-related materials, including without limitation from the Event-related website, until such time that fees have been paid in full. C) Company shall reimburse Liferay for all costs (including reasonable attorney s fees) resulting from late payment or associated with collecting delinquent or dishonored payments by Company that are more than thirty (30) days past due. Interest charges at the maximum allowable statutory rates may be added to any such past due amounts. Assignment of Space Upon receipt of full payment from Company for fees due under an accepted Order Form, Liferay shall assign to Company a demo station, including display and/or tabletop space ( Booth ) for the duration of the Event. Liferay will try to accommodate any special requests and needs of Company as to the size and location of Company s Booth within commercially reasonable means. Company acknowledges and agrees, however, that Liferay s ability to accommodate such requests and specific Booth assignments are subject availability and subject to change at Liferay s sole discretion. Company may not assign its space or any portion thereof to an unaffiliated third party without the prior written consent of Liferay, which Liferay may grant or withhold at its sole discretion. If such permission is given, the third party assignee shall agree to assume full responsibility of Company s obligations under this Agreement and Company shall remain jointly and severally liable to Liferay for the conduct of such assignee and assignee s representatives under this Agreement. Use of Booth Demonstrations: Within the confines of its assigned Booth, and subject to other terms and conditions of this Agreement, Company may, during designated exhibition hours, operate audio and video equipment to display, for example, presentations and product demonstrations, and may host visitors. Presenters and any other audio elements of presentations or recordings may not exceed an ordinary speaking volume. Installations: Subject to the other terms and conditions of this Agreement, Company may place and distribute Company literature, erect and install temporary signage, furnishings, displays and lighting and other equipment to its Booth. Booth installations or décor may not span any walkway with ceiling or floor covering. Installation, erection, operation, use and dismantling of Company s Booth shall be in accordance with the official Event schedule as determined by Liferay. Hours: Liferay schedules booth exhibition hours specifically to allow Event attendees, including Company s representatives, to maximize attendance and participation in the various large-group sessions, functions, seminars and other activities during the Event. As such, Company may operate and use its Booth only during those exhibition hours designated on the Event s official schedule. Safety and Compliance: Company shall be solely liable for the compliance with the following safety and compliance rules (collectively, Safety and Compliance Rules ): 1. Company and Company s Booth shall fully comply at all times with all applicable laws, regulations, and ordinances including, but not limited to city fire codes, and the Venue s fire, safety and security rules; 2. Company s activities, installations and materials at or in the Booth will in no way interfere with the activities, installations, or demonstrations of any other booths; 3. Company s activities and installations shall not impede any of the Venue s footpaths or designated walkways; and 8

10 4. Company s materials, presentations, activities, products or services shall not be of an objectionable, inappropriate, or offensive nature or otherwise unsuitable for the Event. If, Liferay or the Venue determines in their sole and exclusive discretion that Company is in violation of any of these Safety and Compliance Rules, Liferay or the Venue may require Company to make certain changes immediately to its Booth or use of the Booth, including removal of any non-conforming installations or materials, at Company s sole expense. If Company does not comply, Liferay or the Venue reserve the right to immediately shut down any and all use of the Booth and remove Company and all Company representatives from the Event. Company Conduct Only those representatives of Company who have registered for the Event may attend the Event. Company and all of its representatives in attendance at the Event in whatever capacity shall conduct themselves at all times in accordance with highest standards of decorum and professionalism. Liferay reserves the right to deny entrance, remove or otherwise exclude any Company or Company representatives who violate such standards in Liferay s sole and exclusive discretion. Use of Name and Logo Company grants to Liferay and its affiliates, a non-transferable and non-exclusive license to reproduce and display Company s provided logo and Company s name for the limited purpose of identifying Company as a sponsor of the Event. Such use may include, but is not limited to the Liferay website, the Event website, press releases, Event announcements and s and in other marketing materials. Liferay acknowledges and agrees that any and all goodwill in and to any use of the Partner Marks shall inure to the benefit of Partner. Electricity and Internet Service Electricity and Internet service (i.e., wi-fi and/or wired) may be available to Company at the Booth through the Venue or a third party provider. Such services may be subject to a fee. Company acknowledges and agrees that Liferay does not guarantee that such connections or services will not be interrupted or error free and agrees that Liferay shall not have any liability for the provision, or Company s use, of any such services. Insurance Liability If Company wishes to insure any of its property displayed, installed or otherwise used at the Event, Company may do so at Company s own cost and expense. Company acknowledges and agrees it is solely liable for and that Liferay shall have no duty or liability for any damage or loss of Company s property used at the Event for any reason. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL LIFERAY OR ITS AFFILIATES HAVE ANY LIABILITY TO COMPANY, UNDER ANY LEGAL OR EQUITABLE THEORY, WHETHER IN CONTRACT, TORT (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE), PRODUCT LIABILITY, STATUTE OR OTHERWISE, FOR OR IN CONNECTION WITH: (I) ANY ECONOMIC LOSSES, LOSS OF REVENUE, LOSS OF CUSTOMERS OR BUSINESS, LOSS OF OR DAMAGE TO REPUTATION OR GOODWILL, LOSS OF ANTICIPATED PROFITS, LOSS UNDER OR IN RELATION TO ANY OTHER CONTRACT, LOSS OF DATA OR INTERRUPTION OF SERVICES, LOSS OF ANTICIPATED SAVINGS OR BENEFITS, OR COVER; (II) ANY LOSSES, COSTS, EXPENSES OR DAMAGES ARISING OUT OF OR IN CONNECTION WITH ANY MALFUNCTIONS, REGULATORY NON-COMPLIANCE, DELAYS, PRODUCT LIABILITY, RELIANCE, BREACH OF ANY IMPLIED DUTY; OR (III) ANY LOSSES, COSTS, EXPENSES OR DAMAGES OTHER THAN DIRECT DAMAGES, INCLUDING WITHOUT LIMITATION, ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, LOSSES, COSTS OR EXPENSES. IN EACH CASE (I) THROUGH (III), WHETHER OR NOT FORESEEABLE; EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, LOSSES, COSTS OR EXPENSES. NOTWITHSTANDING THE FOREGOING, IN ANY EVENT LIFERAY SHALL ONLY BE LIABLE FOR DIRECT DAMAGES AND LOSSES CAUSED BY LIFERAY S WILFUL OR GROSSLY NEGLIGENT MATERIAL BREACH OF AN ESSENTIAL CONTRACTUAL OBLIGATION. AS USED HEREIN, AN ESSENTIAL CONTRACTUAL OBLIGATION MEANS AN OBLIGATION ARISING UNDER THIS AGREEMENT WHOSE FULFILMENT IS NECESSARY FOR A PROPER EXECUTION OF THE ESSENTIAL PURPOSE AND INTENT AGREEMENT SUCH THAT COMPANY EXPLICITLY RELIES ON ITS CORRECT FULFILMENT. THIS SECTION ALLOCATES THE RISKS BETWEEN THE PARTIES UNDER THIS AGREEMENT. THIS ALLOCATION IS AN INTRINSIC PART OF, AND THE BASIS OF, THE BARGAIN BETWEEN THE PARTIES AND WITHOUT SUCH ALLOCATION, LIFERAY WOULD NOT HAVE ENTERED INTO THIS AGREEMENT. 9

11 Company Indemnification The Company hereby indemnifies, and shall defend, and hold Liferay harmless from any and all claims, demands, suits, liability, damages, losses, costs, attorney s fees, and expenses which might result or arise from the acts or omissions of Company or its officers, agents, employees, contractors, or other representatives related to or in connection with participation in the Event, use of the Booth or non-compliance with the terms of this Agreement. Force Majure If for any reason beyond Liferay s reasonable control, including but not limited to fire, strike, earthquake, damage, construction/renovation to the Venue, government regulation or action, public catastrophe, act of God, or any similar reason, Liferay determines that the Event or any part thereof cannot be held, should not be held or that the Venue is unfit for occupancy, Liferay at its sole discretion may cancel the Event or any part thereof. In such instance, Liferay may terminate Company s Order Form and shall determine and refund to the Company its proportionate share of the balance of the fees paid which remains after deducting all charges and expenses incurred by Liferay. Cancellation by Company In the event of a cancellation by Company after acceptance of an Order Form, Liferay may charge a cancellation fee based on the date of Company s cancellation in accordance with the following schedule: If 180 days or more before the first day of the Event - 10% of sponsorship fees If 120 days or more before first day of the Event % of sponsorship fees If 60 days or more before first day of the Event % of sponsorship fees If under 60 days before first day of the Event - 100% of sponsorship fees The parties acknowledge and agree that such cancellations fees represent a genuine pre-estimate of Liferay s losses and costs associated with Company s cancellation. Cancellation by Liferay Liferay reserves the right to terminate Company s Order Form at any time in its sole discretion upon refund of any prepaid sponsorship fees to Company with no further liability on the part of either party; provided, however, that if Liferay s termination is for Company s breach of the terms and conditions of this Agreement, the Order Form or for Company conduct that, in Liferay s sole discretion, reflects poorly on Liferay s or the Event s reputation, Liferay may retain any and all prepaid sponsorship fees. Confidentiality The parties agree to maintain strict confidentiality regarding the provisions of this Agreement and the Order Form. Parties also agree to maintain strict confidentiality regarding any information of a confidential or personal or sensitive nature relating to the participants of the Event including, but not limited to participants personal and financial data or data contained in any list of Event participants. Agreement to Terms, Conditions and Rules Company and Company s representatives shall at all times during the Event abide by and observe all applicable laws, rules and regulations, and ordinances. Company agrees to observe and abide by the foregoing terms and conditions and by such additional terms, conditions, and rules made and informed of by Liferay from time to time for the efficient and safe operation of the Event. Liferay does not make any warranties or other agreements except as set forth above. Any amendment to this Agreement must be in writing signed by Liferay. The rights of Liferay under this Agreement shall not be deemed waived except as specifically stated in writing and signed by an authorized representative of Liferay. If any term of this Agreement shall be declared invalid or unenforceable, the remainder of the Agreement shall continue in full force and effect. This Agreement shall be binding upon the heirs, successors, and assigns of the Company subject to the terms of this Agreement regarding consent to assignment. This Agreement and all matters arising out of or relating to this Agreement shall be governed by the substantive laws of the State of California with the exclusion of its conflict of laws rules. Any legal action or proceeding relating to this Agreement shall be instituted in a state or federal court located in Los Angeles County, State of California. Company and Liferay agree to submit to the jurisdiction of, and agree that venue is proper in, such courts in any such legal action or proceeding. This Agreement represents the final, complete and exclusive agreement between the Company and Liferay concerning the subject matter of this Agreement. 10
