Introduction With Avaya Equinox Meetings Online, Avaya redefines the market with an outstanding Meeting as a Service cloud offer, whether they are voice centric, video centric, web collaboration or any combination of the above. The service is being made available to Customers through an Avaya Channel Partner. The offer can be described as follows: Global offer, available in the following countries: Global offer available now for ordering in the following countries: o North America: Canada, US o Europe, Middle East and Africa (EMEA): Austria, Belgium, France, Israel, Italy, Netherlands, South Africa, Spain, Switzerland, UK o Latin America and the Caribbean (AI): Argentina, Aruba, British Virgin Islands, Bermuda, Cayman Islands, Chile, Colombia, Costa Rica, Ecuador, Grenada, Mexico, Peru, Puerto Rico o Asia Pacific (APAC): Australia, New Zealand Solution supports Avaya Equinox Client for Windows, Mac, ios, Android, Meetings for web (WebRTC) Avaya meeting room end points, as well as integration with a company s existing H.323 or SIP room system equipment. Video Meeting Rooms (VMRs) are sold on a named user basis. The Service is offered on a subscription basis through select Partners. Please contact your Partner or refer to your agreement with your Partner for all issues regarding ordering, pricing, invoicing, payment terms, Service activation, support, and any other questions you may have on this Service. Avaya will host internally (manage, maintain, support) the Avaya video infrastructure. 1.1 Glossary For this Service Description, the following terms will be used: Virtual Meeting Room (VMR) A virtual meeting space for multi-party video collaboration. End User A credentialed VMR owner. An End User has scheduling access for VMR and management login credentials. Participant An End User or non-credentialed guest who uses a VMR for a meeting space. A Participant occupies one Seat. Seat An allocation of concurrent user capacity of the video service. From a capacity standpoint, 1 Seat = 1 Participant = 1 device. Customer or end Customer A company buying the service for its End Users from Partner. It is possible that a Customer will buy a single Seat. In such a case, Customer and End User may mean the same. Partner or Channel Partner Avaya distributors or resellers (Tier 1 or Tier 2) that are authorized and approved by Avaya to resell the Services. Page 3 of 9

Avaya Equinox Meetings Online Service Features The Avaya Equinox Meetings Online solution will support the following popular features: 2.1 Avaya Equinox Meetings Online Offer Dedicated hosted virtual meeting rooms Up to 50 concurrent Participants per meeting Video, Audio conferencing, Web Collaboration Persistent video presence for up to 28 meeting Participants The Maximum time limit for any meeting is set to 5 days The meeting will terminate automatically if only one person is still in the meeting after 15 minutes. Built-in moderator controls Up to 1080p Full High Definition quality video Audio IP or telephony and video IP dial-in Support for SIP and H.323 connectivity through firewalls Streaming of live content to up to 500 Participants (video resolution of 480p) Web collaboration (Content sharing: presentation / collaboration) New Avaya Equinox Meet-Me client New Equinox Web Client (WebRTC no download client) Support for desktop (PC, Mac) Support for mobile devices (Android, ios) Group chat / private chat Secured connection Customer usage reports Partner supports and on-boards Customer Service ticketing and reporting for Tier 2-4 via Avaya Equinox Meetings Online Support Microsoft Outlook Plug-in (PC) Support of traditional IP video conferencing endpoints (H.323 and SIP) Screen link Wireless presentation support with Avaya video room systems Mobile link Mobile meeting continuity between Avaya Equinox client, and room systems Knock on the door late arrivers with Avaya Equinox Client, and room systems have to ask for permission to join the meeting Slider allows review of previously presented content Lecture mode to mute all Participants except of presenter, Raise Hand to ask permission to get unmuted and ask question during lecture mode Network Quality Indicator the user gets a real-time indication of the quality of the connection Exchange Web Server (EWS) integration Page 4 of 9

5 3. SERVICES TERMS 3.1 Term of Service The Service is offered on a subscription basis through select Partners. Please contact your Partner or refer to your agreement with your Partner for all issues regarding ordering, pricing, billing, invoicing, payment terms, Service activation, support, and any other questions you may have on this Service. 3.2 Free Trial Period Customers have the option to start with a 30-day free trial of the Service. Avaya will allow one free trial per customer (no free trial in case of renewal). Customers will be able to request conversion of a free trial into a paid Service by contacting the Partner. During the free trial, the system functionality will be limited to 10 Virtual Meeting Rooms. The limit is removed when moving to the paid Service. 3.3 Subscription Service The Service is offered on a subscription basis and billing for the Service is either annual pre-paid or monthly in arrears. Contact your Partner or refer to your agreement with your Partner for further details around ordering, billing, payment terms, invoicing terms, Service activation, order terms, and any renewals. 3.4 Flexibility to Modify Number of Virtual Meeting Rooms The Service is designed to give customers flexibility, so a customer may add or reduce virtual meeting room; in a monthly subscription basis; however, this flexibility is not available on an annual pre-paid order, where the service does allow for additional Virtual Meeting Rooms, but not reduction of VMRs. Please contact your Partner for support for any changes to the number of Virtual Meeting Rooms required. 3.5 Changes or Discontinuations to the Service Avaya may at its sole discretion modify the aspects, features, or functionality of the Service without prior notice. Notwithstanding the foregoing, Avaya will endeavor to provide Customer with fifteen (15) days prior notice for any material changes. In addition, Avaya may, at its discretion and without liability, discontinue its Service offering in the market and terminate the Service. Avaya will endeavor to provide sixty (60) days prior written or electronic notice to the Partner, but the timing may be greater or less at Avaya s discretion. In such circumstances, the Data Retention clauses described in Section 4.4 apply. On the effective date of discontinuation, all Partners shall immediately cease any and all use and resale of the Service and destroy all documentation, training materials and confidential information associated with the Service within Partner s possession or control, unless otherwise required by Avaya. Partners shall also promptly notify end Customers of the discontinuation of the Services and require end Customers to immediately cease all access and use of the Service. 3.6 Software Updates The Avaya Equinox Meetings Online platform, on which the Service is based, will require updates from time to time. Updates may take the form of bug fixes, changes in the desktop Client, new or enhanced functionality, new software modules, and updated or new versions of the software, and are intended to improve or enhance the Service. Customer agrees to receive such updates as part of its subscription to the Service. Page 5 of 9

6 3.7 Terms of Use for the Service; Compliance with Laws and Regulations Access or use by Customer of the Service constitutes Customer s agreement to the Terms of Use for Hosted Services set forth at Avaya Terms of Use for Hosted Services ( Terms of Use ) and Avaya Privacy Statement ( Privacy Statement ) or successor sites designated by Avaya, or made otherwise available by Avaya upon request. If Customer does not agree to such Terms of Use or Privacy Statement, Customer must not use the Service. Customer s right to use the Service will at all times be conditioned on compliance with payment obligations for the Service and compliance with such Terms of Use. If there is an express conflict between the terms of this Service Description, the Terms of Use, or the Privacy Statement, the terms of this Service Description will govern, followed next by the Terms of Use, and finally followed by the Privacy Statement. 3.8 Notice of Any Security Breaches and Emergency Security Issues Avaya retains the right to provide notice of security breaches as they relate to the Service as necessary to comply with applicable laws and regulations. In the event of a security breach, Partner and Customer will cooperate and coordinate fully with Avaya with respect to the timing and content of any such notice. To the extent permitted by applicable law, Avaya is not responsible for any costs of notifying any end Customers of such a security breach, and the end Customer is responsible for all costs of notifying the end Customer s employees and, if applicable, its customers of a security breach. If there is an emergency security issue, the end Customer s account may be suspended automatically. If there is a suspension, Avaya will endeavor to ensure that suspension would be to the minimum extent required and of the minimum duration to prevent or terminate the issue. If an end Customer s account is suspended without prior notice, Avaya will provide the reason for the suspension as soon as is reasonably possible. 3.9 Restrictions This Service may not be used for High Risk Activities and may not be sold to an end Customer using the Service for any High Risk Activities. High Risk Activities means activities where the use or failure of the Service could lead to death, personal injury, or environmental damage, such as the operation of nuclear facilities, air traffic control, or life support systems. This Service may also not be used for the transmission of personal health information Emergency Services Notice and Disclaimer THE END USERS / CUSTOMER UNDERSTAND AND ACKNOWLEDGE THAT THE SERVICE, AS PROVIDED BY AVAYA, IS NOT CONFIGURED TO SUPPORT OR PROVIDE EMERGENCY CALLS OR COMMUNICATIONS OF ANY KIND, INCLUDING, BUT NOT LIMITED TO 911 AND E911 SERVICE. IT IS RECOMMENDED THAT ANY USER OF THE SERVICE HAVE AN ALTERNATIVE MEANS OF ACCESSING EMERGENCY SERVICES. YOU MAY HAVE AN OBLIGATION TO PROVIDE EMERGENCY SERVICES, INCLUDING, BUT NOT LIMITED TO 911/E911 SERVICE, BY VIRTUE OF YOUR RESALE OR PROVISION OF THE SERVICE. IN ORDER TO PROVIDE EMERGENCY SERVICES TO USERS, YOU MUST IMPLEMENT AN APPROPRIATE EMERGENCY SERVICE SOLUTION THROUGH A THIRD-PARTY AND PROPERLY CONFIGURE THE SERVICE TO ROUTE EMERGENCY CALLS. YOU OR PARTNER ARE SOLELY RESPONSIBLE FOR CONFIGURING AND TESTING ANY EMERGENCY SERVICE SOLUTION, INCLUDING CONFIGURATION OF THE SERVICE. AVAYA (INCLUDING ITS AFFILIATES) SHALL NOT HAVE ANY RESPONSIBILITY OR LIABILITY FOR ANY AND ALL CLAIMS, DEMANDS, SUITS, PROCEEDINGS, LIABILITIES, SETTLEMENTS, Page 6 of 9

7 ATTORNEYS FEES, COSTS, EXPENSES, PENALTIES, FINES, JUDGMENTS AND DAMAGES OF ANY KIND RESULTING FROM ANY ACTS OR OMISSIONS RELATED TO YOUR CONFIGURATION OF THE SERVICE AND/OR PROVISION OF EMERGENCY SERVICE. NOTWITHSTANDING ANYTHING TO THE CONTRARY, AVAYA (INCLUDING ITS AFFILIATES) SHALL HAVE NO LIABILITY OR RESPONSIBILITY ARISING OUT OF ANY EMERGENCY SERVICES OR ANY ACTS, OMISSIONS, FAILURES OR INTERRUPTIONS OF SERVICE, NEGLIGENCE OR OTHER MISCONDUCT OF ANY EMERGENCY SERVICE PROVIDER, INCLUDING, WITHOUT LIMITATION, 911 OR E911 PROVIDER, OTHER EMERGENCY CALL CENTER PROVIDER, PARTNER OR CUSTOMER. AVAYA (INCLUDING ITS AFFILIATES) MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO THE NATURE, SCOPE, EXTENT, PERFORMANCE, COMPATIBILITY, OR QUALITY OF ANY EMERGENCY SERVICES OR SIMILAR SERVICES. YOU HEREBY AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS AVAYA AND ITS OFFICERS, DIRECTORS, MANAGERS, EMPLOYEES, AFFILIATES, ATTORNEYS, AND AGENTS, FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, SUITS, PROCEEDINGS, LIABILITIES, SETTLEMENTS, ATTORNEYS FEES, COSTS, EXPENSES, PENALTIES, FINES, JUDGMENTS AND DAMAGES OF ANY AND ALL KIND WHATSOEVER (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEYS FEES) BY OR ON BEHALF OF YOU, PARTNER, CUSTOMER OR AN END USER OR ANY USER OF THE SERVICE, ARISING OUT OF OROTHERWISE RELATING TO ANY ACTS, OMISSIONS, FAILURES OR INTERRUPTIONS OF THE SERVICE, NEGLIGENCE AND OTHER MISCONDUCT OF AVAYA IN CONNECTION WITH EMERGENCY SERVICES. 8 4. TERMINATION OF SERVICE 4.1 Effect of Termination or Expiration In the event of termination or expiration of the Service for any reasons, Customer shall immediately cease use of the Service and permanently destroy all documentation, training materials and confidential information associated with the Service within Customer s possession or control. All access to the Service shall cease immediately upon the termination or expiration of the Service. 4.2 Data Retention Following Termination or Expiration Avaya will endeavor to (but is not required to) provide storage for Customer data for thirty (30) days after termination or expiration of the Service or Service Order Term for that Customer. Avaya has no responsibility or liability for the loss or deletion of any Customer data or failure to store the Customer data. Page 8 of 9

9 5. AVAILABILITY, MAINTENANCE & SUPPORT 5.1 Maintenance Activity Maintenance activity on the hosting infrastructure and the Avaya Equinox Meetings Online application will be required from time to time. For planned maintenance activity, Customer will be provided with a written notification at least 1 week in advance of the planned date. For urgent maintenance activity, Customer will be provided with a written notification of the proposed time and duration, including an advisory of the risks and potential outcome of not performing the maintenance activity. Avaya reserves the right to perform the urgent maintenance as notified. Maintenance is deemed urgent when there is a risk that degraded performance or other service impact will result if the maintenance is not conducted expediently. Avaya reserves a weekly maintenance window every first and third weekend of every month, from Saturday 6:00PM GMT through Sunday 4:00am GMT, to make changes to the Service, without prior notification to partners or end Customers. Most changes should not be service affecting, however service disruptions during the maintenance window can not be avoided in all situations. 5.2 Reporting a Problem Customer can report a problem to their IT Administrator or Avaya Partner. Avaya Equinox Meetings Online Support. Avaya Partners can receive Tier 2-4 services support from Avaya Global Support Services (GSS). Upon receipt of a service request, Avaya will perform troubleshooting and diagnostics to isolate the problem and to determine whether the Service is working in accordance with Avaya s standard and published documentation, including all associated application and configuration notes.
