2 CHANGE NOTICE NUMBER #3 TO THE DEFINITIVE AGREEMENT DATED SEPTEMBER 26, 2014 BY AND BETWEEN THE CITY OF LOS ANGELES AND XEROX STATE & LOCAL SOLUTIONS, INC. Contract #C This CHANGE NOTICE is issued this day of September 2016 ( Effective Date ), by and between the City of Los Angeles, a municipal corporation ( CITY ), and Xerox State & Local Solutions, Inc., ( XEROX ), individually referred to as party and collectively as parties, with reference to the following: WHEREAS, XEROX has entered into an Agreement on September 26, 2014, with the CITY for the purpose of providing Parking Citation Processing and Collection Services ( Prime Contract ) Contract #124676; WHEREAS, Section 10.1 of the Prime Contract specifies that a Change Notice is appropriate for any change which does not significantly affect the scope of work, as set forth in the Statement of Work; WHEREAS, XEROX and CITY have completed various discussions concerning the clarification and expansion of the scope of work of the Agreement; NOW, THEREFORE, for and in consideration of the mutual promises and covenants made herein, and other good and valuable consideration, the receipt of which is hereby acknowledged, CITY and XEROX mutually agree to modify Agreement as follows: Automated License Plate Recognition Technology (ALPRt As part of the procurement for parking services that resulted in this contract, the City expressly anticipated the need to upgrade its ALPR system at some point during the performance period of the Contract, and Xerox submitted this service as part of their response to the RFP. The City now wishes to upgrade its ALPR system A full equipment list for this change order can found in Appendix C and this list is added to Section Hardware and Software support of the main Agreement (Statement of Work, Exhibit 1) Highlights of the upgraded ALPR system are listed below: Genetec Security Desk Back-Office System (15) AutoVu Sharp X Scofflaw Dual Camera units and appropriate scoffiaw enforcement hardware/software (Patroller)/installation GPS system hardware, wiring, and in-vehicle license (3) Pre-wired Scofflaw Vehicles

3 o (15) Panasonic CF 19 Toughbook s (laptops), appropriate laptop hard mount brackets, with wireless functionality and maintenance coverage for use in ALPR units for system software operation and wireless communication Wireless monthly data plans for all ALPR Panasonic Toughbook equipment 5-year Advanced Return Warranty Repair - all ALPR units and associated Laptop Computers Network Hosting of servers and storage of data - up to 12 months of scofflaw hit data or up to 1TB storage ( as allowed for by CA State law) Ongoing training and support - 96-hour replacement of damaged ALPR or Laptop equipment Compensation As of the effective date of this contract change, compensation for the ALPR technology will follow the schedule detailed in the attached Pricing, Appendix A. Appendix A will be added to the end Section 7 Citation Processing Cost of the main agreement under the title Automated License Plate Recognition Technology ( ALPR). All other terms and conditions of the Agreement Los Angeles Parking Citation Processing and Collections contract, Contract # and prior change notices remain in full force and effect. 4 Appendix A Pricing Automated License Plate Recognition Technology ( ALPR) Assumptions: 1. Reflects billing for 47 months starting October 2016 of service through August, 2020 (which also includes the 1 year option period of contract). Cancellation of contract will result in a lump sum payment of all unamortized costs. 2. Should the start date of billing change, the above monthly/% of collections will also change. If the contract is continued beyond August 2020, City and Xerox will mutually negotiate fees for the program support going forward % of dollars collected as a result of scofflaw enforcement (from City Share) - see sample collection calculation. For example, in March 2015, there were 976 impounds resulting in $379,611 collected, the City received $296, The revenue share will be calculated based on the $296,855,80 that the City received. As such revenue share due to Xerox would have been calculated $7, ($296,855*2.5% = $7,421.40) 4. Amortization table for this change order is found in Appendix B and will be added to the main agreement Amortization Schedule ( Attachment 1) 5. Warranty - all stated warranty will end once the current contract ends, remaining warranty and responsibility will transfer to the CITY.
