1 TMT Finance terms and conditions Please read this carefully because it sets out the terms of a legally binding agreement between you and TMT Finance. These are the terms and conditions on which you may use the TMTFinance.com website and subscription services, which we call TMT Finance Content. These terms apply to your use of TMTFinance.com and all TMT Finance Content irrespective of the delivery platform or device you use to access it. By accessing TMTFinance.com you are agreeing to these terms and conditions. If you use TMTFinance.com in the course of your business or work, you are also agreeing to these terms and conditions on behalf of that business. We only make these terms and conditions available in the English language. If you do not agree with the terms and conditions (or are not authorised to do so on behalf of your business or work) you should not use TMTFinance.com or any TMT Finance Content and should cancel any subscription in accordance with your cancellation rights. Introduction These terms and conditions were last updated on February 20, 2014 and replace all previous terms and conditions for TMTFinance.com. TMT Finance may update these terms and conditions for legal or regulatory reasons, or to reflect changes in our services or business practices. If you are a TMTFinance.com subscriber, any changes will become effective from the date of your next payment following the change unless we notify you otherwise. If you are not a TMTFinance.com subscriber, any changes will become effective as soon as we notify you of them. We may in exceptional circumstances cease to publish TMTFinance.com, TMT Finance Content or cease to provide subscription services. If we do so, then we will have no further obligation to you, unless you are a subscriber in which case we will offer you a refund of the unexpired period of your subscription. See Section 7 for details. 2. Access and Use Our ability to invest in high quality journalism depends on our users complying with this section. We recommend that you also read our Copyright Policy (See Section 10) that summarises how you are allowed to use TMT Finance Content. It also invites organisations that may be using TMT Finance Content without the appropriate permissions to approach us with a view to discussing the purchase of a licence to legitimise that use. Unless you are a registered user you may not be permitted to view any articles; if you are a registered user, you can view a limited number of articles a month; if you have a Premium Subscription you can view all of our articles. From time to time we may invite specific groups of users to access certain sections of TMTFinance.com which may be the same as or different to the access given under either of the subscriptions. Permitted Use: All TMT Finance Content belongs to TMT Finance or its licensors who own all intellectual property rights (including copyright and database rights) in TMT Finance

2 Content and any selection or arrangement of the TMT Finance Content. No intellectual property rights in any TMT Finance Content are transferred to you. You may do the following: View TMT Finance Content for your personal use on any device that is compatible with TMTFinance.com or any TMT Finance application (this might be your PC, laptop, smartphone, tablet or other mobile device) Store TMT Finance Content on any device for your personal use. Print single copies of articles on paper for your personal use. You may not republish or redistribute any TMT Finance Content, unless receiving prior permission from TMT Finance. This can be done by ing although TMTFinance reserves the right to decline or ignore such requests. On condition that you do not create a Substitute (as defined below) you may do the following: Share links to articles by using the social sharing tools we make available. Forward the original TMT Finance headline and a link to the TMT Finance article (on TMTFinance.com) to other individuals. Download RSS feeds and view them for your personal use. We define a Substitute as a product or service that reduces the need for users or other third parties to pay for TMT Finance directly, or which creates revenue from the TMT Finance Content to the detriment our own ability to generate revenues from that content. To request permissions not listed above, please enquiries@tmtfinance.com If TMT Finance notifies you that it believes you are creating, republishing or redistributing summaries outside of these parameters, you shall immediately cease doing so and your TMTFinance subscription may be withdrawn. Restrictions on Use: You cannot use TMTFinance.com or the TMTFinance Content for any unlawful purpose or other than as set out in the Permitted Use section above, unless you have written agreement from us. This means that you cannot: share your user name and password with anyone else if you are a registered user. Each user name and password combination is for one person s use only. Sharing a password means a copy of the TMT Finance Content may subsequently be made by someone who is not authorised to do so. Password sharing is a breach of our terms and conditions and is likely to result in an infringement of copyright. We monitor usage of TMTFinance Content to detect password sharing. copy, publish, republish or redistribute, communicate or disseminate to third parties full text articles, photographs, graphics, tables or images in any way copy, publish, republish or redistribute headlines in any way other than as permitted by the Permitted Use section above (including as part of any syndication, content aggregation, news aggregation, library, archive or similar service). archive or store any of the TMTFinance Content for access by anyone other than yourself. create derivative works from the TMTFinance Content.

3 Photocopy, scan copies or produce screen shots of TMTFinance Content. remove the copyright or trade mark notice from any copies of TMT FINANCE Content made under these terms and conditions. create a database in electronic or structured manual form by systematically and/or regularly downloading, caching, printing and storing all or any of the TMTFinance Content. frame, harvest or scrape the TMTFinance Content or otherwise access the TMTFinance Content for similar purposes. use or attempt to use the TMTFinance Content outside the parameters we set depending on what subscription you have. Linking: If you would like to link to TMTFinance.com, please read and comply with the following guidelines and all applicable laws. A site or service that links to TMTFinance: may display an TMTFinance logo but must not otherwise use any TMTFinance trade marks without permission from TMT Finance; may not remove, distort or otherwise alter the size or appearance of the logo; may link to the homepage of TMTFinance.com must not in any way imply that TMTFinance.com is endorsing it or its products or services; must not misrepresent its relationship with TMTFinance or present false information about TMTFinance; must not be a site or service that infringes any intellectual property or other right of any person or that otherwise does not comply with all relevant laws and regulations; must not be a site or service that contains content that could be construed as distasteful or offensive. 3. Privacy Policy and Registration All information received by you from your use of TMTFinance.com will be used by TMT Finance in accordance with our Privacy Policy (see section 11). Please read this for details of how we may process your personal data. On registration, you must provide TMT Finance with accurate, complete registration information and it is your responsibility to update and maintain changes to that information on the applicable TMTFinance.com registration or subscription pages. TMT Finance is entitled to rely on any information you provide to us. Each registration is for a single user only. On registration, you will choose a user name and password ( ID ). You are not allowed to share your ID or give access to TMT Finance Content through your ID to anyone else. TMT Finance does not allow multiple users on a network or within an organisation to use the same ID. TMT Finance may cancel or suspend your access to TMTFinance.com if you share your ID without further obligation to you. You may not create additional registration or subscription accounts for the benefit of others or with the aim of avoiding our use of IDs to control access to and use of TMTFinance.com. You are responsible for all use of TMTFinance.com made by you or anyone else using your ID and for preventing unauthorised use of your ID. If you believe there has been any breach of security such as the disclosure, thetmt Finance or unauthorised use of your ID or any payment information, you must notify TMT Finance immediately by ing us at

4 We recommend that you do not select an obvious user password (such as your name) and that you change it regularly. If you provide TMT Finance with an address that will result in any messages TMT Finance may send you being sent to you via a network or device operated or owned by a third party (e.g. your employer or college) then you promise that you are entitled to receive those messages. You also agree that TMT Finance may stop sending messages to you without notifying you. 4. Third Party Sites and Services TMTFinance.com may contain links to other Internet websites or online and mobile services provided by independent third parties, including websites of our advertisers and sponsors ( Third Party Sites ), either directly or through frames. Third Party Sites may be co-branded with TMT Finance and so include TMT Finance s trade marks. It is your decision whether you purchase or use any third party products or services made available on or via Third Party Sites and you should read Section 6 below carefully. Our Privacy Policy does not apply to Third Party Sites. TMTFinance.com contains advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on TMTFinance.com complies with international and national law. TMT FINANCE is not responsible for any error or inaccuracy in advertising or sponsorship material. 5. Our Responsibilities This section makes clear to what extent, if any, TMT Finance accepts responsibility (liability) to you for your use of TMTFinance.com or TMT Finance Content or in respect of any third party products or services that we refer to or link to on TMTFinance.com. Unless you are a subscriber to TMTFinance.com or have a temporary access pass, we accept no financial responsibility to you arising from your use of TMTFinance.com or the TMT Finance Content. If you are a subscriber to TMTFinance.com or have a temporary access pass, we limit our financial responsibility to you arising from your use of TMTFinance.com or the TMT Finance Content to the price you paid for your subscription or temporary access pass. In no circumstances do we accept responsibility for your use of Third Party Sites or in respect of any Third Party Products. By Third Party Sites we mean websites, online or mobile services provided by third parties, including websites of advertisers and sponsors that may appear on TMTFinance.com. By Third Party Products we mean products or services provided by third parties. Limitations of TMT Finance Content: the TMT Finance Content (including any information we publish regarding Third Party Products) is only for your general information and entertainment purposes and is not intended to address your particular requirements. In particular, the TMT Finance Content, including content provided by third parties, does not constitute any form of advice, recommendation, representation, endorsement or arrangement by TMT Finance. It is not intended to be and should not be relied upon by users in making (or refraining from making) any specific investment, purchase, sale or other decisions. TMT Finance does not control third party communications networks (including your internet service provider), the internet, acts of god or the acts of third parties. 6. Payments, Term and Fees Contract formation: TMT Finance will try to process your subscription or temporary access pass promptly but does not guarantee that your subscription or temporary access pass will be activated by any specified time. By submitting your payment and other subscription details, you are making an offer to us to buy a subscription or temporary access pass. Your offer will only be accepted by us and a contract formed when we have successfully verified your payment details and address, at which point we will provide you with access to your subscription or temporary access pass. TMT Finance reserves the right to reject any offer in its discretion, for any or no reason. Payment details: when you subscribe or purchase a temporary access pass you must provide us with complete and accurate payment information. By submitting payment details you promise that you are entitled to purchase a subscription or temporary access pass using those payment details. If we do not receive payment authorization or any authorisation is subsequently cancelled, we may immediately terminate or suspend your access to your subscription or temporary access pass and may in suspicious circumstances contact the issuing bank/payment provider and/or law enforcement authorities/other appropriate third parties. Fees: Subscriptions are non-refundable after commencement and TMT Finance reserves the right to withhold services on the event of non-payment.

6 Term: your subscription to TMT Finance will end after 12 months Although you may notify us of your intention to cancel at any time, such notice will only take effect at the end of your then current subscription period. You may cancel by ing TMT Finance, or calling Pricing: the subscription price and temporary access pass price will be made clear to you on our sign-up pages or otherwise during the sign-up process and may vary from time to time. You agree to pay the fees at the rates notified to you at the time you take out your subscription or purchase your temporary access pass. TMT Finance will charge you in British Pounds Sterling, unless otherwise agreed. Pricing errors: if we incorrectly state a price to you whether online or otherwise, we are not obliged to provide you with a subscription or temporary access pass at that price, even if we have mistakenly accepted your offer to buy a subscription or temporary access pass at that price, and reserve the right to subsequently notify you of any pricing error. If we do this, you may cancel the subscription or temporary access pass without any obligation to us and we will refund you any money you have paid us in full or you may pay the correct price. Cancellations by us: TMT Finance reserves the right to suspend or terminate your subscription if you breach these terms and conditions, with or without notice and without further obligation to you. You will not be entitled to any refund in these circumstances. If however we terminate or suspend your subscription for any other reason and/or permanently cease publishing TMTFinance.com, the TMT FINANCE Content or cease to provide subscription services then, unless there are exceptional circumstances, we will provide you with a pro rata refund to your credit card, which means that we will refund you with any amounts that you have paid us in advance that relate to any remaining and unexpired period of your subscription. Who your subscription contract is with: if you buy a TMT Finance subscription, then you will be contracting with TMT Consultants Ltd,, whose principal place of business is at Tulip House, 70 Borough High Street, London SE1 1XF, United Kingdom. 7. Choice of Law and Jurisdiction The use of TMTFinance.com and these terms and conditions will be subject to English law. For the exclusive benefit of TMT Finance and to the extent possible in the applicable jurisdiction, TMT Finance will retain the right to bring or enforce proceedings as to the substance of the matter in the courts of the country of your residence or, where these terms and conditions are entered into in the course of your trade or profession, the country of the place of business in which you agreed to these terms and conditions or (if different) the country of your principal place of business. 8. General You may not license or transfer any of your rights under these terms and conditions. If any provision of these terms and conditions is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the

7 remaining provisions of these terms and conditions, which will remain in full force and effect. Failure by either party to exercise any right or remedy under these terms and conditions does not constitute a waiver of that right or remedy. Headings in these terms and conditions are for convenience only and will have no legal meaning or effect. 9.
