BC Society Annual Report Overview Filing a BC Society Annual Report The following overview provides the information you need to file a BC Society Annual Report online. For business or legal advice, you should go to a small business consultant or a lawyer. Click on a particular topic of interest below, or read the whole guide using the scroll bar. Background Important Information Getting Started Background Section 68 of the Society Act requires every society to file an Annual Report within 30 days after the annual general meeting was held. Information you enter in this report must be current as at the close of the annual general meeting. The annual report filing reminds the society to promptly file any change to the information shown in the Corporate Register. It also tells the Corporate Registry that the society is still active. Downloads Download this overview for printing Form 11 - BC Society Annual Report You may wish to fill in the paper form so that all your information is in order before you complete the form electronically. To view the downloads, you require Adobe Acrobat Reader. If a society does not file its annual report each year it will not be in good standing. If the society fails to file its Annual Report with this office for three years, the Registrar may strike the society from the register and dissolve it. A society s annual reports must be filed in consecutive order. If the society has outstanding annual reports that were due before July 23, 2011 those annual reports must be submitted to the Corporate Registry on paper. Only annual reports due on or after July 23, 2011 can be filed electronically. Access Code Annual General Meeting Office Addresses Directors Society Email Address Authorized Representative View Summary Payment Details Receipt Access Code If you have received a paper copy of the Annual Report Reminder the society's access code is found in Item 2 on the Annual Report Reminder. Annual Report Reminders are sent to the society on its anniversary date of its most recent annual general meeting. To file an annual report, you may use an access code from any annual reports that have not yet been filed. If you do not have the access code then it must be submitted to the Corporate Registry on paper. Only annual reports with an access code can be filed electronically. Annual General Meeting (AGM) Date Information AGM held Show the date the annual general meeting was held. Section 56 of the Society Act requires every society to hold its first annual general meeting not more than 16 months after the date of incorporation. After that, an annual general meeting must be held at least once every calendar year and not more than 16 months after the adjournment of the previous annual general meeting. AGM not held Choose this option if the annual general meeting was not held in the calendar year for the report. Office Addresses Before July 23, 2011, the addresses for the registered and records offices shown in the corporate register were physical addresses. Now, these office addresses include both a physical and a mailing address. In Societies Online, the physical address has been defaulted to become the mailing address as well. If this makes the mailing address incorrect, you can file a Notice of Change of Address as part of the Annual Report filing to correct or change the mailing address to meet postal requirements. For example, you can correct the mailing address by adding in a P.O. Box number, or enter another address.

if there is an error in your addresses due to the way this information was converted over to the new online system, please contact BC Registry Services at 250-356-8609 before you have completed filing your annual report to have it corrected for you. If the office addresses have changed as of the date of this annual report, you may change the addresses as part of the Annual Report filing by filing a Notice of Change of Address. Note that when you change the addresses, they are not effective until the beginning of the following day. You will not be able to file other annual reports online for the society until the address change is effective. An additional fee is required to file a change to the address of the society. Directors Before July 23, 2011, the addresses for the directors shown in the corporate register were their physical address. Now, these director's addresses include both a physical and a mailing address (if applicable). In Societies Online, the director's physical address has been defaulted to become the mailing address as well. If this makes the mailing address incorrect, you can update the director s address as part of the Annual Report filing. For example, you can correct it by adding in a P.O. Box number, or enter another address. If any of the society s directors have changed as of the date of this annual report, you may change the directors as part of this filing as well. There is no additional fee. Society Email Address The Corporate Registry is beginning to collect society email addresses to make communicating with societies easier and faster in the future. This feature is optional. The email address will only be used by the Corporate Registry to communicate with our customers. Authorized Representative Confirm that the information entered for the annual report filing is accurate and that you are authorized to file on behalf of the society. View Summary Please review the details of your filing before you pay to ensure all of the information on the Annual Report is complete and correct. See the fee schedule to review the fee for this filing.

Payment Details Enter the name on the credit card that will be used to pay for this filing. As well, enter the contact phone number of that person. If you would like to receive a receipt for this filing, enter your email address. If there are any payment problems, this email address will be used to contact you. Once you click Proceed to Payment, you will be asked for your credit card information. Receipt When you are presented with the receipt, you will be able to view a print-friendly version of the your filed document and the receipt. You require Adobe Acrobat Reader. Getting Started Before you begin, ensure you have the following information on hand: The society's incorporation number. The society's access code found in Item 2 on the Annual Report Reminder. Annual General Meeting date. The physical and mailing addresses for the society's registered office address. The names and physical and mailing addresses for each of the society's directors. Credit card (Visa, Mastercard or American Express) information.
