Q1 from Daisy Distribution! Welcome to Quarter 1 Welcome to 2017 and a Happy New Year to you and all your teams. The last year brought much in terms of change not only within the industry, but across the world. The UK s vote to leave the European Union, Donald Trump s accession to the White House and the continued conflicts across the world have all lead to disruption and unrest the effects of which are yet to be fully felt, but closer to home there have been equally momentous developments. BT finally completed its acquisition of EE and has already set about driving change and improvements through the business; O2 s merger with Three (Hutchison) was vetoed by the European Commission leaving it exploring other options; Ofcom ordered the separation of BT and Openreach while we ourselves announced the intent to acquire of Alternative Networks adding to the Group s IT and Telecoms competencies. It is in this area that I would like to concentrate in sharing with you our plans for 2017 and the strategy to enhance our partners businesses by using our own capabilities alongside your own. In essence we have a portfolio of products that address business digital advancement, categorised by three distinct proposition areas: enabling an Agile Workforce to work wherever and however they like; ensure the business is constantly Connected and Protected safeguarding it and the data held within it against threat; and providing an Always On Infrastructure giving customers the peace of mind that there is a resilience and robustness to their network. Within these proposition areas there are 12 solutions that satisfy most typical SMB business requirements and it is here that I want to focus in detailing how we propose to deliver these solutions to partners. There are some that are packaged, commissionable solutions that partners can take today and sell through into their customers; others where product specialists from within Daisy can support partners in their delivery; and the option of where a partner does not want to sell these that we can do so on their behalf. Equally we are aiming to get to a position where we can offer partners the full choice of how these products are delivered to a customer: on a network bill; on a Daisy bill; or on a partner s own bill under reseller terms. This year is, I believe, pivotal to partners taking the next step into evolving as Digital providers and securing their futures through having multiple touchpoints with customers and at Daisy we are more committed than ever to be working with partners to enable them. We are blessed in having relationships with EE, O2, Virgin Media Business and Vodafone as well as our own internal Daisy partnership and I know that all our partners share this vision of being a single provider of multiple solutions. O2 Latest News O2 Commercial Terms 105 SMALL BIZ NEW CONNECTION BONUS* Following changes made to O2s commercial model Daisy Distribution has made some changes to its own proposition to take effect from 3rd January 2017. Research shows that revenues generated from new business joining onto the O2 network are falling, with 80% of all new connections being made onto a 19 average monthly tariff. However, at the same time customers are investing in data with 80% of current new business customers taking a 2GB data package, but many requiring a higher data allowance as their business circumstances change. These statistics are the basis for O2s connection bonus reinvestment which reflects the need to move customers up the tariff ladder while affording them the data allowance that their usage behaviour demands. Connection Bonus A new connection bonus of 50 will be payable on all Small Biz tariffs where 10+ are connected in a calendar month. Where a partner connects 25+ new in the same calendar month the connection bonus will increase to 75, payable back to connection 1. In addition a 30 tariff bonus will be payable on all Small Biz tariffs of and above taken at the point of new connection, where a 3GB and higher data allowance is taken. Qualifying tariffs are those illustrated**. Revenue share payable on the Small Biz tariffs will remain at 40% which if the average new business customer spend increases from the current 21 average to the new target equates to a further 28.80 revenue advance. The Small Biz Shared Data tariff at 20.26 also attracts the 40% revenue share, but no other bonuses will apply to it. SIM Only and Mobile Broadband tariff revenue share has reduced to 33% for new connections and customers upgrading onto these plans. Both are excluded from the volume bonus matrix and will not attract any revenue share advance. Connections made onto the legacy Sharer plans and Pay As You Use tariffs will be paid at the standard 40% revenue share but will not be applicable for any bonus and will not towards the 10+ and 25+ volume thresholds. PARTNER COMPARISON GRID*** An illustration of the new proposition demonstrates the value to a partner in moving the customer just one step up the tariff ladder assuming only the first 10+ bonus threshold is achieved. BCAD SUBMISSIONS In addition to these changes there are the changes to the rules concerning the acceptance of BCADs requesting additional funding. Requests which fall into the following criteria will NO LONGER be accepted: Deals of less than 30 ARPU where there are fewer than 15 connections Deals using the SIM Only proposition All other Small Biz deals where there are fewer than 100 connections with an ARPU of no greater than 5 of the line rental subscription value o e.g. Small Biz 3GB 29 * 50 where the average spend per user does not exceed 34. MaaS 360 Adding to its Digital portfolio, O2 has launched Maas360 mobile device management. MaaS360 empowers a fully flexible working approach, enabling staff to work from wherever, whenever with the peace of mind that their devices are secured and protected, controlled from a single place that allows you or your customer to see, manage, report and control the fleet. Selling at 3.40 per license per month for a combined device and threat management solution, the application is available comes in three standalone flavours: Mobile Device Management; Mobile Threat Management and Secure Productivity Suite. Mobile Device Management safeguards devices against loss and theft, Mobile Threat Management protects against malware and other electronic threats and Secure Productivity Suite provides a solution for the protection of data held on the mobile device in the event of loss or theft, however it is the ability to combine the Mobile Device and Mobile Threat Management into one deliverable that makes this solution most appealing. MaaS360 is suitable for mobile estates of any size and receives a 15% revenue share as well as a 20 Digital product bonus for licenses of 2.50 MRC and above connected to a minimum 12 month contract term. O2 Revenue Share Illustrated - New The following graphic illustrates the updated O2 revenue share model for new connections effective from 1st April 2015. 2015 Stage 1 - A customer is connected onto a new O2 agreement and enters into a or 36 month contract term. An advance of 40% of the committed line rentals is paid for a fixed term of months. This advance covers single user plans, leader and sharers and all and any associated value added services. Stage 2 - Customer Bill Monthly Mobile Line Rental 25.50 365 Business 7.00 McAfee 3.00 The customer receives a monthly airtime bill from O2 covering all elements of their monthly spend. This detail is made available to partners through the Daisy Partner Portal as a monthly MI release and forms the basis for the monthly revenue share release. Stage 3 - A monthly reconciliation or true-up is performed on the customer s account, usually 2 months in arrears where there is a reclaim of 1/th of the original customer revenue share advance and a payment of 40% of the actual monthly billed revenue. Stage 4 - Revenue Share Statement O2 Advance 4.80 Advance Contribution 4.80/ Customer Billing 35 Revenue Share Release 3.80 (40% is 14) This routine continues throughout the customer contract term until such a point as the customer resigns and moves onto a new agreement, illustrated overleaf, falls out of contract at which point all revenue share payments cease, or disconnects from the network. In all instances the 2 months arrears are trued-up and payments made. Stage 5 - As you bring more customers onto the O2 network and subsequently retain and grow your base, the monthly revenue share contribution into your business grows exponentially delivering increased value and contributing residual revenue and margin. 8

O2 Revenue Share Illustrated - Resigns The following graphic illustrates the updated O2 revenue share model for resign connections effective from 1st April 2015. 2015 Stage 1 - Once the customer has reached the last 12 months of their existing contract term there are a number of resign options available to partners. 2017 2016 Stage 2 - For a period of 60 days from the start of the last 12 month term the customer can be resigned and a new revenue share advance taken. This advance will be at 40% of the full new month agreement of the single user plans, leaders and sharers with any bolt-on s applied for the first time (please note, this applies where a bolt on has never been assigned to an mobile number before. If you change a customers bolt on no advance will be payable) existing bolt-ons on the account will not be advanced but will enter the monthly 40% true up routine. O2 Travel O2 Travel Europe Data, Calls and Texts in Europe (zones 1 & 2) Cost (ex VAT) 1.66 per day Opting in to O2 Travel & 50MB Traffic Management Additional Information Each day you use data, make calls and send texts in Europe, customers pay just 1.66 (ex VAT) with O2 Travel. It costs nothing to add O2 Travel to a tariff and customers only pay when they use it. The daily charge applies from midnight to midnight UK time. Customers can opt in to O2 Travel by simply texting TRAVEL to 23336. They can also contact customer services by dialling 8002 from their mobile to opt in/out. Customers using O2 Travel have the option to continue experiencing full data speeds once they ve used 50MB in a day. They ll receive this text alert: O2: Just to let you know you ve used 50MB from your O2 Travel daily allowance. You can still use O2 Travel, including your inclusive texts and calls, but data speeds might be a bit slow until you get your new allowance at midnight UK time. Fibre Overview Please note: Fibre speeds are up to and may be considerably less depending on factors like the distance to the roadside cabinet and router performance. BT Wholesale maintenance class 4 and 5 care, are the BT Wholesale standard care levels. Class 5 is very similar to the old BT 40 hour fix and class 4 is very similar to the Old BT 20 hour fix. Class 5 is standard in tariff care and class 4 is the enhanced care. This is for the broadband service only and NOT for the underlying PSTN line over which the broadband service is delivered. A standard phone line is required to support Fibre. A BT Engineer visit will be required to install the Network Termination Unit (NTU) for the fibre connection. Our Implementation Team will contact your customer to arrange the appointment. Fault Reporting You can call the Connected 4 Business Team directly on 0800 9777337 and then enter your customer s faulty O2 Landline number and then select option 1 and then option 0 for Landline and Broadband Technical Support to report the fault. Please don t call PCS and ask them to use the speed dial to transfer your call to Connected 4 Business as you won t get through any quicker. The 0800 9777337 number is to report O2 Landline and Business Broadband faults only. You can also use if for our of hours fault reporting. The Router With O2 s wires only fibre products, your customer can use their own router or O2 can supply one. The O2 router is a plug and play type, cost 35 and you can order this via intouch. If a customer uses their own router O2 will support the broadband service up to the router only and give generic setting for the customer to configure their own router. Existing ASDL routers need to be replaced to support fibre. Customers with O2 Router will be fully supported - this is ideal for non-technical minded customer or customers who want a complete support wrap. 41
