February 22, 2013 We are pleased to welcome you as a business customer of Trustmark. If you currently have BankTrust s online banking services and logged into the service during 2012 or 2013, you will be automatically converted to TrustNetWeb Online Banking for business accounts. This transition will take place during the Merger Weekend, which begins at the close of business on March 22, 2013. By now you will have received a Welcome mailing from Trustmark, including a Transition Guide. If you refer to page 19 in the Guide, you will find information about the transition of your online service to Trustmark. Step-by-step instructions for activating your new TrustNetWeb service are included in the enclosed TrustNetWeb User Guide. To complete this activation, you will need your new case-sensitive Company ID that will be mailed to you under separate cover. Please note that if you have previously subscribed to the book transfer or bill pay services through BankTrust, you must recreate/re-enter your book transfer templates and/or bill payment payees into TrustNetWeb. To assist you in this process, we have enclosed a list of your current bill payees as well as the necessary documents to establish your TrustNetWeb account. Your BankTrust online banking, bill pay and transfer services will continue to operate as usual until the two banks computer systems are fully integrated beginning as of the close of business on Friday, March 22, 2013. You will not be able to make any online payments or transfers through TrustNetWeb unless you complete, sign and return the enclosed enrollment form, agreement and Certificate of Resolutions: Cash Management Services to Trustmark before March 22, 2013. Trustmark s online banking fees are listed in the enclosed agreements. Please note that the TrustNetWeb Online Banking monthly maintenance fee, transaction costs, additional document fees and use of the TrustNetWeb Wire module and Bill Pay service will be waived until September 1, 2013. If you have any questions about TrustNetWeb Online Banking and Bill Pay enrollment or about making transfers through TrustNetWeb, please contact us at 1-800-844-2000, ext. 5278 or visit your local Trustmark branch after the Merger Weekend. We look forward to meeting you and learning more about your business. We have enclosed a copy of Corporate Treasury Services: Simplifying Cash Management, to introduce you to our full array of products and services designed to support your business. Once again, welcome! Sincerely, Christopher Styga Senior Vice President Corporate Treasury Services Bank Deposits FDIC Insured TNB-GEN

TrustNetWeb USER GUIDE As a BankTrust Business online banking customer, your business accounts have been converted to Trustmark s TrustNetWeb, which will allow you to access the same account information available from your current service. You have been automatically established as the Company System Administrator (CSA) for TrustNetWeb as you were for your BankTrust online service. In order to facilitate this transition, it will be necessary for you to log in with your new Company ID (sent in a separate mailing to establish new security parameters), your Login ID and your temporary password and accept the terms and conditions for use of TrustNetWeb. During a brief offline period on Saturday of the Merger Weekend, your business information (company name, address, etc.) will be converted to TrustNetWeb. Current balance information will then be available beginning Sunday of the Merger Weekend. If you have previously subscribed to the book transfer or bill pay services through BankTrust, it will be necessary for you to re-establish your book transfer templates or bill pay payees. The entry of this information will allow you to clear obsolete transfers or payments, ensuring payment efficiency and template accuracy. Please note that any transfers or payments scheduled after the Merger Weekend will not be processed and must be scheduled through Trustmark s book transfer or bill pay services beginning Sunday of the Merger Weekend. You will also need to enroll for estatements to continue to receive a statement via the web instead of receiving a paper statement. Effective as of the close of business on Friday of the Merger Weekend, business customers will be required to complete new Certificate of Resolutions: Cash Management Services and Operating Agreements, as BankTrust agreements currently in place will be terminated. Previous subscribers to Internet-based Online Banking Services, Wire Transfer, Automated Clearing House (ACH) Origination, Positive Pay and other services will be required to complete new agreements associated with those services. These agreements are included in this package, along with a detailed guide specifically outlining each product. Business customers who utilized Internet-based EDI Reporting or Partial Reconciliation will be accessing these services through Trustmark s services. See the appropriate user guide referencing EDI Reporting and Partial Recon services for more details. Please refer to the TrustNetWeb Business Online Banking Quick Facts and Comparison Grid below and on the following page. These provide important information about the system, including instructions for logging in, initiating transfers, requesting stop payments, utilizing bill pay, contacting customer support and the applicable fee schedule for the service. Business customers who would like to access their personal accounts online are encouraged to use Trustmark s free personal online banking service, TrustTouchWeb. If your BankTrust business and personal accounts were both accessible with the same Login ID, your accounts have been made accessible via our TrustNetWeb Business Online Banking service; the corresponding paperwork, including the required Consumer Addendum, is included. We are delighted to welcome you as a TrustNetWeb customer. Because of your loyalty to BankTrust, Trustmark wishes to offer you our basic online banking service at no cost for a limited transition period. If for any reason you do not wish to subscribe to the TrustNetWeb service at this time, you may notify us by telephone at 800-844-2000, extension 5278 or by email at corporatetreasuryservices@trustmark.com. For security purposes, please refer only to the Company ID number when contacting support; it is not necessary to include any other information. Your BankTrust online banking system will be available through www.trustmark.com for a transitional time period so that you may review transactional and statement history for dates prior to the Merger Weekend. TrustNetWeb Business Online Banking Quick Facts System Access. The case-sensitive new Company ID, provided in a separate notice, as well as a new Login ID and a temporary password are required for your initial login to TrustNetWeb. You will need to follow the online instructions and agree to the TrustNetWeb Agreement, the Electronic Funds Transfer Disclosure and the e-delivery Notice in order to access the system. These agreements, which govern the use of TrustNetWeb, are available for review on www.trustmark.com. In order to view or print the agreements, simply click on the links provided after entering TrustNetWeb via the Enroll Now button. Transfers. Fund transfers transmitted before 5:00 p.m. CT on a business day will process that night. Transfers transmitted on a nonbusiness day or after 5:00 p.m. CT on a business day will process on the next business day. Future-dated transfers on the former BankTrust system with a transfer date after the Friday of the Merger Weekend will not be processed. You must re-establish these transfers on the TrustNetWeb service. Both recurring and future-dated transfers are available through TrustNetWeb. Please indicate in the transfer instruction the specific date on which the transfer is to be made. TrustNetWeb allows you to make transfers to Trustmark loans and credit cards; however, transfers (advances) may not be made from loans or credit cards. TrustNetWeb User Guide 1 (Rev. 1/13) TNB-004E-101

Account/Transaction History. We will be converting your accounts from BankTrust s online banking system to Trustmark s TrustNetWeb service. You may add other eligible deposit or loan accounts once you are signed onto TrustNetWeb by sending a secure message to TrustNetWeb Customer Support. To do so, click Messages near the top of the page, then Send Secure Message. Please include your new account number in the message. Bill Payments. If you have previously subscribed to the bill pay services through BankTrust, it will be necessary for you to re-establish your bill pay payees. Please note that any payments scheduled after the Friday of the Merger Weekend will not be processed and must be scheduled through Trustmark s book transfer or bill pay services beginning Sunday of the Merger Weekend. When scheduling a payment on TrustNetWeb, you will notice that the system inserts an earliest possible scheduled payment date that is typically four (4) or fewer business days from the current date. The scheduled payment date that you select must fall between this date and the actual due date reflected on your billing statement to ensure that there is ample time to process your payment. The payment amount will be deducted from your account at the earlier of the selected payment date or the date that a debit or check for the payment amount is presented to Trustmark. Payments transmitted on a non-business day will process on the night of the next business day. While TrustNetWeb is a convenient way for you to organize many of your bill payments, Trustmark discourages the use of the service to pay taxes, payees outside the United States and court-ordered payments. Future-dated and recurring payments on the current BankTrust system will not be converted to the new TrustNetWeb services. Future-dated payments entered on the new TrustNetWeb service will be processed after the Merger Weekend. Stop Payments A stop payment request transmitted on TrustNetWeb does not process automatically and is not effective as of the time you transmit it. It must be manually processed and loaded on Trustmark s computer system. Therefore, it is possible that the processing time for a stop payment order submitted to a branch or the Customer Contact Center may be shorter than an order submitted via TrustNetWeb. The cut-off time for transmitting a stop payment request on TrustNetWeb is 9:00 p.m. CT. Stop payment instructions entered on a non-business day or after 9:00 p.m. CT on a business day are not entered until the night of the next business day.
