CERTIFICATION AGREEMENT Contents TOC 1 Subject of the contract and basic principles for certification 1. This Certification Agreement regulates the provision of all services by the Hohenstein Laboratories GmbH Co. KG (referred to below as "HL") in relation to a customer (referred to below as the "customer") in the context of certification of products. 2. The customer instructs HL. The application comprises a test process followed by certification. The Certification Agreement and the General Terms and Conditions of Business of the Hohenstein Institute are binding on both parties. 2 Testing 1. In the event of product testing, the customer provides HL with the number of test samples required for the testing, free of charge, together with all technical information required for the assessment (e.g. risk analysis, instructions for use and other technical documentation). If necessary, HL is entitled to request additional test samples free of charge. The product assessment will be based on the test sample/s submitted. 2. Documentation should generally be provided in German. It may be presented in a different language subject to prior agreement; however, HL reserves the right to ask for certain passages to be presented in German or to arrange to have them translated at the customer's expense. The same applies where translations are requested from HL by the accrediting inspectors or supervisory authorities. 3. Test samples are tested in accordance with legal regulations and requirements and other specifications agreed with the customer. If there are no norms, standards or legal regulations for the particular type or scope of testing, HL will define its own test programme. 4. The customer is liable for any additional costs incurred as a result of the fact that test documentation is not submitted in full, or tests are delayed or have to be repeated as a result of delayed, inaccurate or incomplete information or failure to comply with the required acts of cooperation. 5. Test requests are processed on the assumption that all necessary documentation and test samples have been submitted. On completion of the test process, the customer will receive written notification or a test report. 6. The customer may only pass on test reports and similar information to third parties in their entirety. Publishing or reproducing them for advertising purposes requires written permission from HL in advance in every case. 7. The customer is not entitled to alter the reports that are sent to him. Any report that is sent refers only to the sample that was tested and extracts from it may not be reproduced without permission from HL. The reports that are issued do not entitle the customer to use test marks. 8. The test samples provided to HL by the customer will be destroyed three months after completion of the testing or returned to the customer at his expense. The only exceptions to this are test samples which must be stored in accordance with legal regulations or a separate agreement with the customer. 3 Certifications, certificates, confirmations 1. Test reports may only be used as the basis for evaluation in the context of certification provided that they come from laboratories that have been accredited under the rules of DIN EN ISO/IEC 17025 or that verifiably work in accordance with them. 2. The HL Certification Centre mainly carries out assessments and certification on the basis of test reports from HL and the Hohenstein Textile Testing Institute (HTTI), which are subject to the same QM system. Test reports from other test laboratories may also be taken into account for evaluation in the context of certification. Test reports that are intended to serve as the basis for certification must not be more than three years old at the time of certification and must be based on valid test specifications. 3. If the customer is applying for an EC type examination certificate, he must declare to the Certification Centre/notified testing body that he has not submitted the same application to any other certification centre/notified testing body. 4. The maximum period of validity for all certificates and confirmations is five years. Product certificates can be limited to specific quotas or batches. 5. Certificate-holders have to pay a fee to participate in the certification system and for the issuing of certificates. Licensing fees are also payable, on a graduated annual basis or at an agreed flat rate, for the upkeep and archiving of the certificates and for use of the test mark. The amount of the fee is based on the service on which the agreement is based. 6. The fact that tests have been carried out, followed by the issuing of expert opinions or certificates, does not exempt the customer either from his contractual warranty obligations with regard to defects or from his legal product liability obligation or his duty to assess and monitor any predictable incorrect usage. 7. The HL Certification Centre reserves the right to publish the products it has certified, for the information of the relevant authorities and notified bodies, consumers and other interested parties. This does not require separate permission from the certificate-holder. Similarly, it can also publish information about certificates that have been declared invalid or withdrawn. Furthermore, the HL Certification Centre may also reveal the contents of a certificate that has been issued to third parties on request. 8. If there are changes to the testing specifications and/or the certification requirements, follow-up testing may be required even where a certificate is still valid. This will take place following consultation with the customer. Changes to the test specifications may occur while testing is taking place. Then the product should be tested and assessed according to the new specifications. No test mark will be issued based on the previous testing specifications. 4 Customer's rights arising from the certification process 1. For the period of validity of certificates that are issued, the customer is entitled to: a. apply test marks to his products, following successful testing and certification and after the test marks have been authorised for use; b. use the authorised test marks on printed materials etc. for advertising purposes in relation to the product; c. reproduce test mark approvals that have been granted, in unchanged form, on advertising materials; d. use EC type examination certificates (Module B) and EG conformity certificates (Module F) in connection with the conformity evaluation process; e. use test reports for GS marks as documentary evidence of product safety in connection with the conformity evaluation process (Module A); f. in the case of CE marking, use the EU identification number 0555 for HL as a notified body, if quality control for the end product has been certified in compliance with the demands of the guidelines. 2. Other advertising measures taken by the customer that refer to the work of HL must be agreed with HL. This applies particularly to advertising that refers to the testing and certification work of HL. 5 Customer's obligations arising from the certification process 1. For the period of validity of the test mark approvals that are granted, the customer is obliged to: a. continuously monitor the production of certified products to ensure that they are identical to the approved samples; b. as part of the process for granting test mark approvals, periodically allow HL to carry out recurring inspections of the product manufacture or the product itself; c. ensure that product development and production take place in strict compliance with the approved QM system; d. inform the Certification Centre of any proposed product changes, whether resulting from a further development or from replacing components or materials, before implementing the change, and have it approved; e. record and archive any complaints relating to the product that are made by the market or by third parties, and present these to the Certification Centre on request, together with information about the measures that have been taken; f. inform the Certification Centre in advance of any proposed relocation of the production facilities that were assessed, or any proposed transfer of the company to a different company or a different company owner (in the event of a change of company name or legal status, a new certification agreement must be signed and the certificates re-issued, for which a charge will be made); g. if he as the certificate-holder is not himself the producer, reach contractual agreement with the actual producer on compliance with the specifications to be observed during manufacture of the product, including the producer's acceptance of any required inspection measures; h. remedy promptly any safety deficiencies that emerge subsequently in products bearing a CE marking or an HL test mark based on a type examination certificate, and take appropriate measures to minimise the damage in the marketplace. In all cases, the customer must immediately suspend the distribution of the defective products and inform the Certification Centre/notified test body; i. ensure that his reporting obligations to the authorities as a manufacturer or distributor are met by himself or someone authorised by him, despite the product having been certified; j. lodge any claims in relation to certification in accordance with the scope of validity of the certification process; k. avoid using the product certification in such a way as would bring the Certification Centre into disrepute, or making any statement about its product certification process which the Certification Centre could regard as misleading or unjustified; l. where the certification documents are made available to third parties, reproduce the documents in their entirety or as defined in the certification schedule; FO-QM 11.Produkte.001 - RevSta 0 Page 7 of 10

m. when referring to the product certification in communication media such as documents, brochures or advertising materials, comply with the requirements of the Certification Centre or as defined in the certification schedule; n. comply with any requirements which may be described in the certification schedule and which refer to the use of compliance markings or to information about the product; o. allow the accrediting organisation and/or the authorising body of HL to carry out witness audits at his production facilities and those of his subcontractors; the same requirement will be imposed on his subcontractors; p. in the event of any change to a certified product, apply new identification e.g. a new article number, for the changed product if it, too, is to be certified; q. accept that HL may, in accordance with legal or official reporting obligations, disclose information that became available to it in the course of the certification process and that, at the request of the accrediting organisation and/or the relevant authority, information, documents etc. relating to both the contract with the customer and the subject of the contract may be disclosed by HL. 2. The customer is not entitled to alter certificates issued to him or to issue secondary licences to third parties for certificates and/or approvals for the use of test marks that have been awarded to him. 3. Documentation must be retained for a period of ten years after the expiry of the test marks or certificates or, in the case of EC type examination certificates, for ten years after the products were last distributed, unless otherwise regulated by legal provisions. 6 Changes to the validity of certificates 1. The Certification Centre is entitled, at any time and with immediate effect, to restrict the original scope of validity of certificates, suspend their validity or declare them invalid and withdraw them if a. the product being marketed no longer complies with the approved sample and/or poses a risk for the end user or for third parties; b. any deficiencies in the product or system that emerge subsequently, as a result of recurring inspections, market testing or in any other way, are not corrected by the certificate-holder within a reasonable time; c. the certificate-holder is unable to confirm that his products are consistently being produced as tested and/or certified; d. the accreditation has expired or been cancelled; e. the certificate-holder does not allow recurring monitoring in accordance with the Product Safety Act (ProdSG), the accreditation regulations or European directives and regulations to be carried out, or prevents or restricts its proper execution; f. the certificate-holder refuses to undergo further testing in the event of changes to the testing specifications and/or certification requirements; g. certificates or copies of certificates have been altered and therefore falsified; h. misleading or otherwise unauthorised advertising is being carried out using the test reports, certificates or test marks; i. it emerges that the certified product is undisputedly or verifiably a case of plagiarism; j. any payment that is due for certification, licences and/or preparatory testing is not made by the assigned deadline, after the certificate-holder has received a warning. If the payments refer to more than one certificate, than the Certification Centre decides to which certificates this measure should apply. FO-QM 11.Produkte.001 - RevSta 0 Page 8 of 10

2. Certificates expire if a. the period of validity shown on the certificate has expired; b. the certificate-holder terminates the Certification Agreement, informing the Certification Centre in writing to this effect; c. the certificate-holder is declared bankrupt or an application to open insolvency proceedings against him is rejected due to lack of assets. 3. The certificate-holder automatically loses the right to continue to apply the HL test mark to the products listed on the certificate or, in the case of a CE marking, to use the EU identification number, on any products affected by the restriction or suspension or which, as a result of the termination of the agreement, expire on a certain date or have recently been declared invalid. If the certificate is declared invalid or expires, it should be returned in the original to the Certification Centre. 4. The Certification Centre must publish any restrictions, suspensions, declarations of invalidity, withdrawals and deletions of product certificates. In particular, in the event of any breaches of the regulations, it must send the customer's name and address, the nature of the breach and the reason why the certificate has been declared invalid, together with information about the product, to the relevant authorities. 7 Monitoring of product manufacture where a GS safety mark is awarded 1. In order for a GS safety mark to be awarded, an initial visit to the production facilities must have taken place (factory inspection). In order to safeguard and maintain the consistent product quality of the certified products, HL subsequently carries out regular inspections of the production facilities (follow-up) or the certified products. An annual inspection should normally be expected. When the production facilities are inspected, at least one of the certified products must be presented. 2. If the Certification Centre becomes aware of any discrepancies, as a result of the inspection of production facilities, or in any other way, then the Certification Centre may reduce the interval between inspections. In particular cases, the Certification Centre can require the goods to be inspected before the first shipment. Furthermore, HL is also entitled to inspect, at any time without prior notice, the products, production facilities and warehouses described on the certificate (and in the case of foreign certificate-holders, also the warehouses of the importers or German representatives and branches). It is entitled to take samples of products for which a certificate has been issued for the purpose of control testing, at no charge, and also to carry out reviews at production facilities and warehouses. 3. In exceptional cases, in place of the recurring inspection of production facilities to guarantee consistent quality, product testing may be carried out on a test sample that is representative of series production. In that case, a batch-based certificate is issued for the product in question. 8 Market inspections The Certification Centre can at any time take samples from the market of products bearing a test mark from HL or with a CE marking using the EU identification number for HL for the purpose of control testing. If, during the control testing, any discrepancies from the certified samples or deficiencies in the products are identified, the certificate-holder receives a written report on the results of the control testing with a request to remedy the defect. The costs of all inspection measures are charged to the certificate-holder. 9 Objections and complaints An objection is a request by the customer to HL to review its test and certification decisions. A written objection or complaint relating to test and certification decisions can be lodged with the Management Board of HL within 30 days of receipt. In the event of an objection, HL will provide a written justification for its decision. If the justification that is given is not acceptable to the customer and no agreement can be reached with the HL Management Board, the customer has the right to take legal action. In the case of complaints, HL will respond to the person making the complaint in accordance with HL procedures. FO-QM 11.Produkte.001 - RevSta 0 Page 9 of 10

10 Disclaimer of warranty 1. The Certification Centre offers no guarantee that, on the basis of the certification process that it carries out for the customer's company, authorities, inspection officers, other technical bodies or similar institutions which are required to make a judgment on the company or its products, will give a positive assessment or issue approval. 2. It offers no guarantee that the protective rights under this contract are legally valid or effective nor that it is free of legal or other deficiencies. In particular, the Certification Centre offers no guarantee that the inspection mark of the Certification Centre may be used for competitive purposes without restriction. 3. The Certification Centre accepts no liability for any disadvantage suffered by the customer in connection with the failure to award a certificate or with its restriction, suspension or deletion, or if it is declared invalid, withdrawn or published. 11 Termination This agreement can be officially terminated by either side at the end of a month, subject to a period of notice of three months. The right to cancel with compelling reason is unaffected. 12 Written form, partial invalidity 1. No supplementary agreements to this contract have been reached. Changes and additions are only legally effective if made in writing. The same applies to the waiving of the requirement for written form. 2. In the event of one or more of the provisions of this contract been declared invalid, the parties will agree on an alternative legally valid provision that is as close as possible to the invalid provisions in its legal and economic effect.
