4. Outline of terms and conditions of limited liability agreement The Company has concluded, with Messrs. Toyoaki Nakamura, Hideyo Hayakawa, Hiromichi Toda and Yuji Nishimi, a limited liability agreement that limits the liability for damages set forth in Article 423, Paragraph 1 of the Company Act to the minimum liability amount stipulated in Article 425, Paragraph 1 of the Company Act, under the provision of paragraph 2 of Article 23 of the Articles of Incorporation. If the election of these four nominees is approved, the Company intends to continue the above agreement. Furthermore, if the election of Messrs. Ryuichi Nakashima and Ryuichi Kitayama and Ms. Mayumi Tamura is approved, since these 3 nominees shall qualify as non-executive directors as set forth in Article 427 of the Company Act, the Company also intends to enter into an agreement similar to the aforementioned agreement with these three nominees. 5.
