BellSouth Long Distance, Inc. Original Page 1 Effective February 11, 2010 Domestic Asynchronous Transfer Mode (ATM) Service will no longer be available to new Customers. Existing Customers may maintain their existing service(s) under their BellSouth Business Class Family of Services agreement or Customized Pricing Arrangement (collectively the "Agreement") and continue to conduct moves, additions and administrative changes as needed, until their Agreement expires subject to the terms of the Agreement. Existing Customers may extend their current Agreement past its term for twelve (12) months, provided the 12 month extension is signed on or before June 30, 2011. Renewals of expired agreements will not be permitted after June 30, 2011. At the expiration of the current or extended term, Customers may continue to maintain their existing service on a monthly basis subject to the terms and conditions of this Pricing Guide or migrate to a comparable service offered by another long distance affiliate of the Company. 6.1 Service Description BellSouth Long Distance ATM service is a high-speed, connection oriented multiplexing and switching service that uses fixed-length cells to support transmission of multiple types of traffic (such as data, voice and video) over a Local Area Network (LAN) or Wide Area Network (WAN). Long Distance ATM service allows for a fixed-length 53-byte cell (48-byte payload and 5-byte header) to transport user data across the network. Switching is done based on the contents of the cell header. Provision of Long Distance ATM service and local access connectivity is subject to the availability of facilities. This service is available in all 50 states, Puerto Rico and U.S. Virgin Islands. 6.1.1 BellSouth Long Distance ATM Service components: (A) Customer Premises Equipment (CPE) Customer is solely responsible for all aspects of CPE, including, without limitation, the purchase, installation, and maintenance of CPE. Upon request, the Company will assist the Customer in obtaining the necessary CPE and CPE support. For Customers requiring CPE and/or CPE support, such services shall be provided pursuant to a separate written agreement. CPE information, terms and conditions are not contained in this Pricing Guide. (B) Dedicated Access A Dedicated Access channel provides the physical connection between the Customer s premises and the Company's ATM network. The speed of the Dedicated Access channel determines the BellSouth Long Distance ATM service access rate. Customers shall pay access and other interconnection charges (as set forth in Section 7 of this Pricing Guide) for connectivity from the Customer s premises to the nearest available Company Point of Presence (POP). As an alternative to local channels provided by the Company, the Customer may provide its own local channels or obtain such channels from an alternative access vendor (i.e. "Customer Provided Access"). Such interconnection of Company provided services with Customer Provided Access facilities is described in Section 7.1 of this pricing guide.

Original Page 2 6.1 Service Description (continued) 6.1.1 BellSouth Long Distance ATM Service components: (continued) (C) Port The ATM Port provides a gateway into the BellSouth Long Distance Domestic Interexchange ATM Network, as defined in Section 6.4.1, and allocates the network s available capacity to the Virtual Connections it supports. Long Distance ATM service supports four User Network Interface (UNI) Port speeds as defined below:.1 DS - 1 (up to 1.536 Mbps).2 DS - 3 (up to 44.210 Mbps).3 OC - 3 (up to 149.760 Mbps).4 OC - 12 (up to 599.04 Mbps) (The OC - 12 UNI Port is available on an Individual Case Basis only.) At least one Port must exist for each customer premises directly connected to the BellSouth Long Distance Domestic Interexchange ATM Network. (D) Virtual Connections Virtual Connections are two-way, software-defined data paths between two Ports that act as replacements for private or dedicated leased lines in the Customer s network. BellSouth Long Distance ATM service supports cell routing on a pre-established connection or Permanent Virtual Circuit (PVC). ATM logical connections have a twolayered hierarchical addressing scheme: virtual channels (VCs) and virtual paths (VPs). A VC is the lowest order logical address in ATM. It refers to a specific circuit on an ATM link. A VP is the highest order logical address and refers to a given group of channels on a link. Customers have the option of choosing whether they want VC or VP connections. Customers may select desired committed cell rates in increments of 8 Kbps Duplex for each PVC. Depending on the ATM service category selected by the Customer, Long Distance ATM service may support Port oversubscription. In no event can the Peak Cell Rate of a particular VC exceed the Port Connection speed of either Port it is assigned to in the ATM network. The Customer will pay a monthly charge for based on the Quality of Service and associated Usage Parameters selected by the Customer.

Original Page 3 6.2 Usage Parameters The following Usage Parameters for traffic control and congestion control apply to particular Virtual Connections on the BellSouth Long Distance Domestic Interexchange ATM Network: Peak Cell Rate (PCR) - The maximum instantaneous rate (in Kbps or cells per second) that a source will transmit on a particular Virtual Connection. Sustained Cell Rate (SCR) - The average rate (evaluated in Kbps or cells per second over Sample Periods in one calendar month) that a source would transmit on a Virtual Connection. Maximum Burst Size (MBS) - The maximum number of back-to-back cells that a source can transmit over a particular Virtual Connection at the PCR. Minimum Cell Rate (MCR) - The minimum cell rate designated by a Customer on a particular Virtual Connection. 6.3 Quality of Service Parameters for Virtual Circuits 6.3.1 Permanent Virtual Circuits Five Quality of Service parameters are available for BellSouth Long Distance ATM service PVCs. These parameters are available individually for each connection. The available parameters are as follows: Constant Bit Rate (CBR) - The CBR service layer provides a fixed amount of bandwidth for a Peak Cell Rate that is continuously available during the service connection term. The CBR can support applications with a tightly constrained Cell Transfer Delay (CTD) and Cell Delay Variation (CDV) and a low Cell Loss Ratio (CLR). Variable Bit Rate - Real Time (VBR-rt) - The VBR-rt service layer provides a sustained data rate (in Kbps or cells per second) with a guaranteed burst rate (in Kbps or cells per second) for occasional use at peak transmission periods (bursty applications). The VBR-rt can support applications with a tightly constrained CTD and CDV and a low CLR. The Usage Parameters are PCR, SCR (where PCR=SCR) and MBS. PVCs are priced at Kbps of the PCR or the SCR. Variable Bit Rate - Non-Real Time (VBR-nrt) - The VBR-nrt service layer provides a sustained data rate (measured in Kbps or cells per second) with a guaranteed burst rate (measured in Kbps or cells per second) for occasional use at peak transmission periods (for bursty traffic without tight parameters on CDV). The VBR-nrt can support applications with a tightly constrained CTD and a low CLR. The Usage Parameters are PCR, SCR and MBS. PVCs are priced based on the Kbps of SCR. Available Bit Rate (ABR) - The ABR service layer provides a guaranteed minimum capacity or MCR available on a VC with the ability to burst above the minimum capacity with low CLR when network capacity is available. ABR is not intended to support non-real time applications. CDV is not controlled in this service, however, higher efficiency is enabled by providing feedback on network congestion information allowing for the control of the source rate. The Usage Parameters are MCR and PCR.

Original Page 4 6.3 Quality of Service Parameters for Virtual Circuits (continued) 6.3.1 Permanent Virtual Circuits (continued) Unspecified Bit Rate (UBR) - The UBR service layer provides capacity only as it is available on the network. No guarantees on minimum capacity or MCR are defined and the BellSouth Long Distance Domestic Interexchange ATM Network makes no performance commitment. All cells are eligible to be discarded by the BellSouth Long Distance Domestic Interexchange ATM Network. UBR is intended for applications that do not require specified bit rate or timing synchronization between source and destination or applications that utilize a higher layer protocol for this function. A UBR PVC is priced at the Kbps of the PCR. 6.3.2 Frame Relay Service to ATM Service Interworking Frame Relay service to ATM service interworking is supported by BellSouth Long Distance ATM service. The Interworking function will allow for the connection of Frame PVCs to ATM host circuits. This function will be made available to customers at no extra charge. This function is performed through the Frame Relay Forum FRF.8 specifications. 6.4 Service Assurance Guarantee 6.4.1 Definitions The following definitions apply to Section 6 of this Pricing Guide only: BellSouth Long Distance Domestic Interexchange ATM Relay Network - the ATM network located in those areas of the United States Mainland, Hawaii and U.S. Virgin Islands comprise only of BellSouth Long Distance On-Net Facilities. The BellSouth Long Distance Domestic Interexchange ATM Network does not include local access circuits or tail circuits provided by any carrier or local access provider or any customer premises equipment. BellSouth Long Distance POP - a BellSouth Long Distance designated point of presence that lies directly on the BellSouth Long Distance Domestic Interexchange ATM Network and houses a Company carrier class Asynchronous Transfer Mode switch where direct interconnection between that network and the network or facilities of another carrier is possible. BellSouth Long Distance POP to BellSouth Long Distance POP - a PVC between and inclusive of two Ports located at two BellSouth Long Distance POPs on the BellSouth Long Distance Domestic Interexchange ATM Network. BellSouth Long Distance POP to BellSouth Long Distance POP does not include any other components, including, but not limited to, any local access circuits or tail circuits connecting a customer premises to the BellSouth Long Distance Domestic Interexchange ATM Network customer premises equipment or inside wiring at a customer premises. BellSouth Long Distance On-Net Facilities - the physical media, including switches, circuits and/or ports that are provided (whether leased or owned) by (i) the Company or (ii) affiliates of the Company. BellSouth Long Distance On-Net Facilities shall not include local access circuits or tail circuits provided by any carrier or local access provider, or customer premises equipment and inside wiring at the customer premise.

BellSouth Long Distance, Inc. Original Page 5 6.4.1 Definitions (continued) Calendar Month - Refer to Section 1. End-to-End - a PVC between two customer premises in which the route of the PVC is only on (i) the BellSouth Long Distance Domestic Interexchange ATM Network and (ii) local access circuits and tail circuits secured by the Company for Customer from each of the two customer premises to the nearest BellSouth Long Distance POPs. End-to-End shall be deemed to extend to and include the network termination point at the applicable customer premises but shall not include customer premises equipment and inside wiring at the customer premises. Network Availability - 100% x [(Total Minutes in Calendar Month) (Total Minutes of Network Non-Availability per Affected Port)]/(Total Minutes in Calendar Month) Network Non-Availability - any service interruption caused by the Company that results in a particular Port to be totally unable to communicate with other Ports of Customer. Port - an access port used in connection with the Service that is comprised solely of BellSouth Long Distance On-Net Facilities and is a part of the BellSouth Long Distance Domestic Interexchange ATM Network. Sample Period - an interval, as determined by the Company, in which information on the transfer and receipt of ATM cells over a particular PVC is recorded. One Sample Period per PVC will be taken per hour. Service - shall refer to the ATM service to be provided to Customer by the Company on the BellSouth Long Distance Domestic Interexchange ATM Network. Total Minutes of Network Non-Availability - The total of all minutes of Network Non- Availability for a specific Port in one calendar month. 6.4.2 Availability Objective and Associated Credits The Company guarantees that the BellSouth Long Distance Domestic Interexchange ATM Network will be available during each calendar month as follows: (1) a minimum of ninety-nine and nine-hundred ninety-one thousandth percent (99.991%) of the minutes in a calendar month for BellSouth Long Distance POP to BellSouth Long Distance POP Circuit Availability; and (2) a minimum of ninety-nine and four-hundred ninety-one thousandth percent (99.491%) of the minutes in a calendar month for End to End Circuit Availability. For purposes of the performance objective included in this section, the Company's trouble management system determines the number of minutes of Network Non-Availability. The Network Non-Availability shall be deemed to commence with the Company s receipt from Customer of a notice of the Network Non-Availability and the Company s issuance of a trouble ticket; or the Company s detection of the Network Non-Availability and prompt issuance of a trouble ticket. The Network Non-Availability shall conclude when the Company makes a reasonable determination that the Service has been restored.

Original Page 6 6.4.2 Availability Objective and Associated Credits (continued) The Customer shall, subject to the terms, exclusions and restrictions described herein, be entitled to receive from the Company a credit if Network Availability of the Service to be provided to the Customer by the Company on the Service on a particular Port for any Calendar Month falls below the percentage shown in the applicable credit schedule included in this section. The Service, for purposes of this section, will be deemed to be unavailable to the Customer only if the Service on a particular Port (Affected Port) is subject to an interruption (other than as noted herein) that results in a Network Non-Availability. The credit to which the Customer may be entitled under this section shall be (i) equal to the applicable percentage of the Customer s monthly recurring charges for the Affected Port and Affected PVC terminated to such Port after application of any credits or discounts (Eligible ATM Charges) and (ii) applied to the Customer s interstate usage. The credit shall not include credits on any other monthly recurring charges charged to the Customer for any other service. The following credit schedule provides Network Availability objectives measured solely from BellSouth Long Distance POP to BellSouth Long Distance POP. If the Customer receives a credit in accordance with this schedule for a particular Affected Port in a particular Calendar Month, the Customer is not entitled to any other credits under this section for that Port and associated PVC in that Calendar Month. If the Customer s End-to-End Service is solely from BellSouth Long Distance POP to BellSouth Long Distance POP, the Customer shall be entitled to a credit under the Credit Schedule for BellSouth Long Distance POP to BellSouth Long Distance POP Service in lieu of the following credit schedule.

CLR is defined as the value obtained by taking the number of Customer cells that are lost on a particular PVC on the BellSouth Long Distance Domestic ATM Network during a Sample Period due to error or congestion on the BellSouth Long Distance Domestic ATM Network and dividing by the number of cells transmitted across the particular PVC during the Sample Period (excluding cells in transit during a Sample Period). The Company s monthly average CDR objective for a particular Customer PVC on the BellSouth Long Distance Domestic ATM Network is shown in the following schedule for each Quality of Service category. Original Page 8 6.4.3 Network Cell Delivery Rate Objective (continued) Subject to the terms, exclusions and restrictions described in this section of the Pricing Guide, if in any two (2) consecutive Calendar Months, the Company does not meet its objective for CDR (for traffic covered) as specified in the previous schedule for a particular PVC (Impacted PVC), the Customer will receive a credit from the Company for the second Calendar Month (and each consecutive Calendar Month thereafter until the Company is in compliance with the CDR parameters specified in that schedule) in accordance with the applicable schedule below and the procedures set forth herein. The credit will be equal to the designated percentage of the Customer s PVC monthly charges after all applicable discounts and credits have been applied (Eligible PVC Charges) for the Impacted PVC for that Calendar Month. In order to be eligible for a credit under this Section, a trouble ticket must be issued under the Company's trouble management system in the manner set forth in Section 6.4.2 within five (5) business days after the conclusion of the particular Calendar Month in which the Company failed to achieve the delivery rate objective for which the Customer may receive a credit. Original Page 10 6.4.4 Network Transit Delay Objective The following schedule shows, for each Quality of Service category, the roundtrip monthly average ATM cell Network Transit Delay (NTD) objective for a particular PVC on the BellSouth Long Distance Domestic Interexchange ATM Network that is between two (2) Ports and does not pass through a Network-To-Network Interface. The cell latency objective is measured in milliseconds. NTD measures only delay on the BellSouth Long Distance Domestic Interexchange ATM Network for a particular PVC. External factors to the BellSouth Long Distance Domestic Interexchange ATM Network that may cause delay (including, without limitation, access serialization, access link congestion, customer provided equipment, etc.) are excluded from the measurement. Unspecified Bit Rate (UBR) and Available Bit Rate (ABR) are not a quality of service with a guaranteed NTD. Subject to the terms, exclusions and restrictions described in this section, if in any two (2) consecutive Calendar Months, the Company does not meet its objective for NTD as specified in the schedule above for a particular PVC (Affected PVC), the Customer shall receive a credit from the Company for the second month (and each consecutive Calendar Month thereafter until the Company is in compliance with the NTD parameters specified in that schedule) in accordance with the following schedule and procedures described herein. The credit will be equal to the designated percentage of the Customer s Eligible PVC Charges for the Affected PVC for that Calendar Month. Original Page 11 6.4.5 Guarantee Against Chronic Problem Conditions Subject to the terms, exclusions and restrictions described herein, if, during three (3) consecutive Calendar Months or any six (6) Calendar Months in any twelve (12) month period, the aggregate amount of credits received by the Customer in accordance with this Section for a particular Affected Port and associated PVC terminated to such Port, Impacted PVC or Affected PVC, as applicable, exceeds fifty percent (50%) of the Customer s total monthly charges, after application of any discounts or credits, for that Port and/or PVC, as applicable, during the applicable period, the Customer may, upon fifteen (15) days prior written notice to the Company, terminate the Affected Port and associated PVCs terminated to such Port, Impacted PVC or Affected PVC, as applicable, without incurring any early termination charges otherwise due in accordance with this Pricing Guide or the Customer contract for that Port and/or PVC, as applicable, except for usage charges accrued to the date of termination. Subject to the terms, exclusions and restrictions described herein, if, during three (3) consecutive Calendar Months or any six (6) Calendar Months in any twelve (12) month period, the aggregate amount of credits received by the Customer in accordance with this section for all Affected Ports and associated PVCs terminated to such Ports, Impacted PVCs or Affected PVCs exceeds fifty percent (50%) of the Customer s total monthly charges, after application of any discounts or credits, for all of the Customer s Ports and PVCs during the applicable period, the Customer may, upon fifteen (15) days prior written notice to the Company, terminate all of the ATM service provided to the Customer by the Company on the BellSouth Long Distance Domestic Interexchange ATM Network, without incurring any early termination charges associated with the Services, except for usage charges accrued to the date of termination. Any termination right available to the Customer under this section must be exercised within fifteen (15) days after the Customer first becomes eligible to exercise the applicable termination right. In the event the Customer fails to comply with the condition set forth in the immediately preceding sentence, the Customer shall, with respect to the applicable termination right, have waived the Customer's right to such termination right. In the event the Customer is unable to meet any minimum monthly commitment under a contract applicable to the contracted Services as a direct result of the termination of a PVC, Port or the Services pursuant to this Service Assurance Guarantee, the Customer and the Company shall negotiate in good faith to reach an alternative minimum monthly commitment which will be in consideration of eligible revenue to the Company for which the Customer no longer receives credit in determining whether the minimum monthly commitment is satisfied. 6.4.6 Exclusions and Restrictions A period of Network Non-Availability or the failure of a cell to be properly transmitted for purposes of measuring NTD and CDR objectives included in this document shall not be deemed to have occurred in the event that the Service is unavailable or impaired due to any of the following: (A) (B) Interruptions or times of service degradation on a PVC that is not an Accepted Circuit where an Accepted Circuit is defines as one that the Company and the Customer have tested and mutually agree is working as ordered following provisioning of an order or change order and for which the Company has commenced billing the Customer; Interruptions or times of service degradation caused by the negligence, error or omission of the Customer or others authorized by the Customer to use or modify the Customer s service;

Original Page 12 6.4.6 Exclusions and Restrictions (continued) (C) (D) (E) (F) (G) (H) (I) (J) (K) (L) Interruptions or times of service degradation due to failure of power at customer premises or failure or poor performance of customer premises equipment; Interruptions or times of service degradation during any period in which the Company or its agents are not afforded access to the premises where the access lines associated with Customer s service are terminated, provided such access is reasonably necessary to prevent a degradation or to restore service; Interruptions or times of service degradation during any period when the Company has posted on the Company's Web site or communicated to the Customer in any other manner that the Customer s service will be unavailable for maintenance or rearrangement purposes, or the Customer has released the service to the Company for the installation of a customer Service Order; Interruptions or times of service degradation during any period when the Customer elects not to release the service(s) for testing and/or repair and continues to use it on an impaired basis; Interruptions beyond BellSouth Long Distance s reasonable control (Force Majeure Event) including but not limited to: acts of God, fire, flood, explosion, storm, labor strikes, lockouts, insurrections, acts of terrorism, riots, wars (declared or undeclared), acts of government authority, or of any civil or military authority, national emergencies, cable or fiber cuts resulting from the actions of third parties beyond the reasonable control of the Company; Interruptions or times of service degradation resulting from the Customer s use of the service in an unauthorized or unlawful manner; Interruptions or times of service degradation resulting from a disconnect for the Customer s breach of a term set forth in the agreement pursuant to which the Service is provided to the Customer; Interruptions or times of service degradation resulting from incorrect, incomplete or inaccurate orders from the Customer (including, without limitation, the Customer s over subscription of Ports); Interruptions or times of service degradation due to improper, inaccurate or special network specifications requested by the Customer that are not included in the Company s standard specifications of the service and/or the Company s internal operational processes; Interruptions or times of service degradation resulting from a failure of the local access circuit or tail circuits not secured by the Company;

Original Page 13 6.4.6 Exclusions and Restrictions (continued) (M) (N) (O) Delays or times of service degradation when the BellSouth Long Distance Domestic Interexchange ATM Network is functioning in emergency re-route or auto-recover configurations or delays or times of service degradation resulting from service interruptions covered under the Network Availability objective; Any interruptions, added latency, lost cells or times of service degradation resulting in whole or in part due (in any manner) to the Customer s use of a Network to Network Interface between the BellSouth Long Distance Domestic Interexchange ATM Network and the network of a third party carrier; or Interruptions or times of service degradation occurring after the Company reasonably believes it has restored a particular Service and is unable to contact the person designated by the Customer as being the person to contact in the event of an interruption or 6.4.7 Terms and Conditions for Application of Credits To be eligible for Service Assurance Guarantee credits under this section, the Customer must, in addition to complying with the other terms included in this Pricing Guide, submit necessary supporting documentation and request reimbursement or credits hereunder within thirty (30) days of the conclusion of the service month in which the requisite unavailability or service degradation occurs. In the event the Customer fails to comply with the condition set forth in the immediately preceding sentence, the Customer shall, with respect to that remedy, have waived its right to such remedy. In the event that the Customer is entitled to multiple credits under this Service Assurance Guarantee arising from the same event, such credits shall not be cumulative and the Customer shall be entitled to receive only the maximum single credit available for such event. Cumulative credits for all performance objectives included in this document for the Service for any Calendar Month must exceed $25.00 to be processed. The Customer may receive credits for a particular Service pursuant to the performance objectives included in this document for a maximum of four (4) consecutive months or a maximum of six (6) months in any twelve (12) month period. The remedies included in this Service Assurance Guarantee are the Customer s sole and exclusive remedies for disruption or degradation of the Service and shall apply in lieu of any other service interruption guarantee or credit, outage guarantee or credit or performance credit for which the Customer might have otherwise been eligible. The objectives and related remedies set forth in this section shall not apply to the Company provided services other than the Service.

BellSouth Long Distance, Inc. 1 st Revised Page 14 d/b/a AT&T Long Distance Service Effective: February 1, 2011 6.5 Rates and Charges BellSouth Long Distance ATM service is available under the Integrated Service Packages offerings in Section 8 of this Pricing Guide. Terms and conditions of the provision of Long Distance ATM service as part of an Integrated Service Package, including, without limitation, discounts, usage minimums, and term commitments are set forth in Section 8 of this Pricing Guide. The rates and charges described in this section are the base rates and charges prior to any volume and term discounts given to the Customer. Customers who subscribe to Integrated Service Packages in Section 8 of this Pricing Guide may obtain discounts from these base rates and charges. Effective February 1, 2011 the monthly recurring charges for ATM Service will increase for Customers who purchased service on a month-to-month basis or receive service on a month-to-month basis under a Customized Pricing Arrangement ("CPA") or Business Class Family of Service agreement ("BCFS") whose initial, renewal or minimum service term has expired. The amount of such increase in monthly charges will be 50% above the last monthly rate charged prior to the expiration of the original term contract for Customers who elect or have elected, to retain service beyond the expiration of their CPA or BCFS, or 50% above the monthly recurring charges listed in this Section if the Service was originally provided on a month-to-month basis. (C/I) (C/I) Rates set forth herein do not include Dedicated Access channels and access-related charges (including, without limitation, installation charges, inside wiring, construction charges assessed by the LEC and distance and termination charges assessed by the LEC). Therefore Dedicated Access channels and accessrelated charges are additional charges.
