3 1. Introduction The European Bank for Reconstruction and Development (the "Bank") is an international financial institution. The Bank was established by treaty in 1990, with its headquarters in London, to foster the transition towards open market oriented economies and to promote private and entrepreneurial initiatives in Central and Eastern Europe, the Baltic States and the Commonwealth of Independent States that are committed to and applying the principles of multiparty democracy, pluralism and market economics. The Bank has 63 members (61 countries, the European Community and the European Investment Bank). Further information about the Bank's roles and activities can be found on the Bank's website: 2. Contract terms The constitutive treaty, the Agreement Establishing the European Bank for Reconstruction and Development (which can be downloaded from our website at and the bilateral agreements concluded between the Bank and its Members grant a number of privileges, immunities and exemptions to the EBRD in order to enable it to fulfill its functions, including, inter alia, immunity from jurisdiction. These privileges and immunities are implemented into English law by the European Bank for Reconstruction and Development (Immunities and Privileges) Order The terms and conditions of the contracts entered into by the Bank will have to respect these privileges immunities. The Bank will provide its standard terms and conditions to the selected suppliers as part of the Invitation to Tender document. In order to qualify for the next stage of the competition suppliers are required to confirm that they will agree to the Bank s standard dispute resolution clauses (see Annex 2) in any contract that arises from this procurement process. 3. Confidentiality The information provided in this RFI, its schedules and annexes and the subsequent document(s) are provided to the supplier by the Bank as information of confidential nature. This also applies to all communications (whether written or oral) between the Bank and the recipients of this RFI. Information received from the Bank may not be divulged to a third party without the prior express written consent of the Bank. 4. EBRD Logo Protection Please be advised that the EBRD logo is a registered service mark and as such should not be reproduced without the express written permission of the Bank. Furthermore, without the prior written consent of the Bank, the recipients of the RFI cannot use the Bank's name in any public announcements, promotional, marketing or sales materials. 4 5. Purpose of this RFI The purpose of this RFI is to evaluate the prospective supplier's suitability to provide the service to the Bank in order to compile a list of pre-qualified suppliers. This document is the first phase of the Bank's tender process to select an appropriate supplier. 6. Description of the RFI Process 6.1 Timescale The timeline for the pre-qualification and the tender process is the following: (i) 28 th June 2012: RFI is issued and sent to prospective suppliers; (ii) 5 th July 2012: final date for prospective suppliers to send questions to the Bank regarding the RFI; (iii) 12 th July May 2012: responses to questions submitted by prospective suppliers circulated by the Bank; (iv) 19 h July 2012: final date and time for prospective suppliers to submit their responses to this RFI; (vi) 26 th July 2012: results of the pre-qualification process are communicated to suppliers; and a timetable for an Invitation to Tender documentation is sent to pre-qualified suppliers; 6.2 Clarifications Suppliers must send any questions concerning this RFI to the following contact person: Thomas Gale galet@ebrd.com All questions must be sent by to the address designated above. Questions not sent in the required format and in the timeframe indicated in para 6.1 above will be disregarded by the Bank. All questions provided in the required format and the timeframe will be answered by the Bank and published on the Bank s website in line with the timetable indicated in para Submission of Pre-qualification Questionnaire (PQQ) Suppliers must send their responses to the information required by this RFI to the following contact person: Thomas Gale galet@ebrd.com All responses must conform to the instructions in Annex 1 and be sent by , by the date indicated in paragraph 6.1. All the information provided must be fully compliant with the requirements described in this RFI. Suppliers who provide non-compliant responses shall not be considered. 5 In submitting their RFI response, prospective suppliers indicate their intention to accept all the terms contained in this RFI, attachments and schedules. The Bank reserves the right to remove from the pre-qualification process at any time a prospective supplier if, in its discretion, the Bank finds that the prospective supplier committed misrepresentation and/or provided incorrect information to the Bank. 6.4 Pre-qualification notification Only suppliers who are, in the discretion of the Bank, suitably qualified and meet the required standards of financial stability will receive an Invitation to Tender. The Bank will provide more details concerning the tender process in the Invitation to Tender documentation. Pre-qualified suppliers and suppliers who fail to be included in the list of pre-qualified suppliers will be notified by by the date indicated in para Miscellaneous The Bank reserves the right to change this RFI documentation, including the deadlines and requirements provided herein. Furthermore, the Bank reserves the right to cancel the tender process at any time at its discretion. Nothing in this RFI shall be construed as a waiver, renunciation or modification by the Bank of any immunities, privileges and exemptions of the Bank accorded under the Agreement Establishing the European Bank for Reconstruction for Development, international convention or any applicable law. 6 Annex 1 Description of Services 1. Definition of Requirements Current WAN Provision EBRD are headquartered in the City of London where the majority of systems, applications and management / support resources are located; EBRD maintain a network of Resident Offices (ROs) throughout its Countries of Operation. The Bank currently maintains offices to which access to these applications is extended throughout Central and Eastern Europe, the Baltic States and the Commonwealth of Independent States. An expansion of the Bank s region to encompass the southern and eastern (SEMED) region is being considered. Head Office systems are duplicated in a backup Data Centre (also in London) to provide resilience and a disaster recovery capability. EBRD currently use the Internet to provide RO access to Head Office SAP application servers both directly and via a Citrix portal located in London; the same WAN infrastructure is also used to transport voice and video traffic. Local (RO) data and mail storage maintains user specific files within a user s home RO. EBRD Technology Strategy EBRD wish to rationalise local and data stores to a central (Head Office) location; the withdrawal of local facilities however requires increased network performance, consistency of response and availability to maintain the usability of IT applications. To satisfy these requirements, EBRD has elected to implement a secondary (MPLS) managed service network infrastructure; the managed service will be required to transport both real time (RTP) and interactive application data. Request for Information 2.1 General Instructions and Information Form of Response Service Providers (SPs) are to enter their responses within the attached Pre-qualification Questionnaire (PQQ) or within their response to this document as indicated - SPs are requested to adhere to the numbering convention within both documents to assist EBRD in evaluating their responses Supplementary Information Should SPs wish to provide additional information, this should be placed within their response to this document at the relevant points Classes of Location Due to the reliance upon the availability of communications to certain locations, EBRD may wish to specify higher levels of response and availability for certain locations; the references to Location Classes within the PQQ are defined as: Class A - Major / Central Locations London HQ London Data Centre Class B - Regional Centres / Medium size locations Moscow Warsaw Istanbul Kiev Class C Regional Offices All Other locations Category of Failure To reflect the relative importance of locations to the overall Enterprise, EBRD wish to define service responses based on severity or impact; the references to Event Categories within the PQQ are defined as: Category A Loss of service affecting all or partial connectivity to a Class A location Loss of facilities or partial connectivity affecting > 50% of Class B locations Category B Loss of facilities or all or partial connectivity to > 25% of Class B network locations Loss of facilities or all or partial connectivity to > 30% of Class C network locations Category C Loss of facilities or all or partial connectivity to < 25% of Class B network locations 2.2 Managed Service Delivery Please enter your responses to this section within the PQQ. 8 2.2.1 Information & Definitions SP Owned A physical location (wholly owned or leased for the specific purpose of Service Delivery, Management and Support) within the same country, or the same city as the EBRD location containing terminating equipment for the purpose of connecting EBRDs Locations to the managed service core network. 3rd Party Provider or Partner For locations where SPs are reliant upon the service of 3 rd parties or service providers for the connection of the local equipment to the managed service core network please provide details within Section 1.2 3rd Party Providers. Please also detail the type of services provided, Bandwidth (the provision of managed, leased line capacity) or MPLS network to network interconnect (NNI), the number of managed locations with that provider that you have (both in total and in the specific country) and the total length of the commercial relationship in the PQQ. Physical Delivery Options Please provide the available options for local tail physical media (fibre or copper); if in country SP owned or operated line plant is to be used, please identify all SPs concerned with the end-to-end connection between the EBRD location and the POP. Please also state whether in your experience of the county concerned, whether you have been able to achieve diverse routing (from existing services) of the managed service access tails Supplementary Information Please provide any additional information concerning delivery of the managed service to the country or location that might assist EBRD to assess the likely quality and resilience of the incountry/regional service. 2.3 Service Management Implementation Time Please provide standard lead-times (from contract award) for delivery of service (including manager CE routers) for both copper and fibre delivery Availability Please provide the contractual availability and the period in which it is calculated with respect to your standard SLA within the location and country specified. Please also detail your standard performance reporting schedule with regards to performance against contracted SLA within your response Service Restoration Please provide the contractual response time for response, on site and service restoration as defined in Section above for the Class of Office specified with respect to your standard SLA within the location and country specified Changes to Service Please detail your standard lead times changes to local equipment or core network configuration (Service Class bandwidth etc.), and physical works (such as NTU re-location) within a location in the PQQ. 9 2.3.5 Service Operation Service Performance Please detail the assured performance figures for all the Classes of Service applicable to your service offering (please insert rows in the PQQ if required) Class Bandwidth Exceed Policy Please indicate which action will be taken should contracted Classes of Service bandwidth be exceeded within the PQQ. Please provide an overview of how bandwidth utilisation against Class subscription and also CIR will be calculated Service Operations and Management 2.4 Management Information Please confirm which diagnostic, service management and equipment status information will be available to EBRD Network Operations Please confirm which management protocols will be available to EBRD Network Operations (i.e. SSH, telnet, SNMP, ICMP etc.) and any other facilities and information for use by EBRD Network Operations in assisting the diagnosis of faults On line Management System Access Please provide a full list of functions, reports and diagnostic operations facilitated by on line portals or other management tools. Please provide a full list of performance and service level adherence reports available from the service on-line portals Fault Management Please provide full details of the operations and status, progress and historical statistical information available through on-line access to your trouble ticketing and other fault management systems. 2.5 Security Arrangements Please provide comprehensive details of measures you have implemented and maintain to ensure the security of your core network locations and equipment; this should include (as a minimum): Physical security and controls Logical security and controls Routine Procedures and processes Governance of policy and process Which recommendations are followed, if any (vendor or formal frameworks, operational best practices) to secure the Core How Internet and Xtranet connections are secured at ingress and egress points How Inter VPN segregation is secured How CE routers are secured whilst offering read only access (use of Show commands) and access to SSH, telnet, SNMP, ICMP and other facilities and information for use EBRD Network Operations Whether separate CE routers will be provided should EBRD elect to take Internet service via your managed service Which other security services are within your portfolio Overview of roles, responsibilities and demarcation points with regards to security PUR/1205/13 Provision Provision of an MPLS WAN 8

10 Review, reporting and escalation procedures specific to security breaches or related events Will separate or converged provider edge routers be provided for VPN and Internet? Considering the EBRD s network model what type of PE router will be recommended? 2.6 Technical Requirements Multicast EBRD will be implementing multicast applications within 2013; please confirm that your managed service allows the traversal of PIM sparse and sense mode. 11 Annex 2 Dispute Resolution Clause X.1 This [Contract] shall be construed in accordance with [English] law. Any noncontractual obligations arising out of or in connection with this [Contract] shall be governed by and construed in accordance with [English] law. X.2 Any dispute controversy or claim arising out of, or relating to this [Contract] or the breach, termination or invalidity hereof or any non-contractual obligations arising out of or in connection with this [Contract] which cannot be amicably settled, shall be settled by arbitration in accordance with the UNCITRAL Arbitration Rules as in force and effect on the date of this [Contract]. There shall be one (1) arbitrator, and the appointing authority for the purposes of the UNCITRAL Rules shall be the LCIA (London Court of International Arbitration). Any provision of such rules relating to the nationality of an arbitrator shall, to that extent, not apply. The seat and place of arbitration shall be London, England and the English language shall be used throughout the arbitral proceedings. The [Parties] hereby waive any rights under the Arbitration Act 1996 or otherwise to appeal any arbitration award to, or to seek determination of a preliminary point of law by, the courts of England or elsewhere. The arbitrator shall not be authorised to grant, and the [Contractor] agrees that it shall not seek from any judicial authority, any interim measures or pre-award relief against the [Bank], any provisions of the UNCITRAL Arbitration Rules notwithstanding. X.3 Nothing in this [Contract] shall be construed as a waiver, renunciation or modification by the [Bank] of any immunities, privileges and exemptions of the [Bank] accorded under the Agreement Establishing the European Bank for Reconstruction for Development, international convention or any applicable law. Notwithstanding the foregoing, the [Bank] has made an express submission to arbitration under [Section X.2] of this [Contract] and accordingly, and without prejudice to its other privileges and immunities (including, without limitation, the inviolability of its archives), it acknowledges that it does not have immunity from suit and legal process under Article 5(2) of Statutory Instrument 1991, No. 757 (The European Bank for Reconstruction and Development (Immunities and Privileges) Order 1991), or any similar provision under English law, in respect of the enforcement of an arbitration award duly made against it as a result of its express submission to arbitration pursuant to [Section X.2] of this [Contract]. X.4 Unless the [Bank] directs otherwise, the [Contractor] shall continue performing its respective obligations under this [Contract] while the dispute is being resolved unless and until such obligations are terminated or expire in accordance with the provisions of this [Contract].
