4 AGREEMENT FOR WEB SITE SPONSORSHIP This Sponsorship Agreement ("Agreement") is entered into this day of, ("the Effective Date") by and between the Eastern Connecticut REALTORS (ECAR) and (the "Sponsor"). Sponsor desires to place a banner display on the pages of easternctrealtors.com and the ECAR desires to receive a fee for such Sponsorship space, as set forth in the terms and conditions described below. Therefore, in consideration of the promises, undertakings and covenants set forth in this Agreement, the parties agree as follows: 1. PUBLICATION a. This agreement provides for the placement of banner displays submitted by the Sponsor to ECAR for placement on easternctrealtors.com for months. b. Horizontal Banners: Sponsor understands that their banner display will become part of a rotating banner of up to six banners that will be randomly displayed on all major pages of the public and member side of the web site. The ad displayed will not change until the page is refreshed. c. Vertical Banners: Sponsor understands that their banner display will become part of a rotating banner of up to two banners that will be randomly displayed on all major pages of the public side of the web site. The ad displayed will not change until the page is refreshed. 2. SELECTION OF WEB PAGES a. In accordance with the current rate sheet, Sponsor wishes to advertise using horizontal banners for months at a cost of $. b. TOTAL COST The cost of this Agreement shall be ($ ) per the duration of this Agreement, payable upon the execution of this Agreement. 4. SPONSORSHIP COPY ECAR may, in its sole discretion edit or reject any Sponsorship copy or art submitted by the Sponsor. Web Site Sponsorship shall be submitted in accordance with the following Web Site Sponsorship specifications: a. The horizontal sponsorship area is 468 pixels wide by 60 pixels high. b. The vertical sponsorship area is 160 pixels wide by 240 pixels high.

5 c. The area may be used for text, links to web sites and/or graphics. Graphics must be in.jpeg or.gif format and are provided by the Sponsor by or on disk. d. Your banner ad will link to your website at 5. LIMIT OF LIABILITY ECAR's liability to the Sponsor for any typographical errors, incorrect insertions or omissions in Sponsorship published, or any other damages or injuries of any kind related to the publication of such Sponsorship, shall be limited to the reprinting of that part of the display which was omitted or in error. Omissions or errors must be brought to the attention of ECAR no later than one week following placement on the Web Server. 6. CHANGES TO SPONSORSHIP COPY The Web Site Sponsorship display ad may be changed monthly in accordance with Web Site Sponsorship specifications. 7. INDEMNIFICATION All displays are accepted and published by ECAR upon the representation that the Sponsor is authorized to publish the entire contents and subject matter thereof. In consideration of ECAR s acceptance of such displays for publication, the Sponsor will indemnify and save ECAR harmless from and against any loss or expense resulting from claims or suits based upon the contents or subject matter of such displays, including, without limitation, claims or suits for libel, violation of right of privacy, plagiarism and copyright infringement. 8. MISCELLANEOUS ECAR reserves the right to revise, modify, or otherwise edit the website at any time for any reason. We also reserve the right to make a determination regarding the placement, order, and arrangement of banners on particular pages. ECAR cannot be held responsible for perceived damages to the advertiser for errors or technical issues with the server resulting in "downtime". ECAR reserves the right to revise the banner advertising policy as appropriate or required. This agreement may not be assigned by the Sponsor without ECAR s written consent. This agreement constitutes the entire understanding and agreement of the parties and supersedes all prior written or oral agreements with respect to the subject matter of this agreement. This Agreement may not be modified or amended without express written agreement of both parties. Waiver of any provision of this Agreement by a party shall not constitute a waiver of any other provision or waiver of the same provision at any other time. This Agreement shall be governed and construed in accordance with the laws of the State of Connecticut.
