1 Charles Ostin Assignment 03 Draft Proposal & Binding Contract Draft Proposal Introduction/Present Situation Local Client desires to open up a business called Inspiration Media, which will in several ways, resemble a service organization. It will definitely be a profit making business but, in reality, has a mission and goals, as well as products and services, more like a nonprofit. It would be a website for people committed to their own spiritual evolution and desirous of serving the greater good. Client is dependable, creative, intelligent and fun to work with. The purpose of her website would be to provide cutting edge information to people who want to be inspired and motivated to make positive changes in their lives, community, and the world. She wants the website to be linked and work in harmony with her Podcasting site and Blog site, so that all three sites drive and support one another. She also wishes to have the ability to have people sign up for ed information in the form of a newsletter and messages. She wishes to sell Inspirational and Personal Growth style CDs, DVDs, and downloadable MP3s to generate enough money for her to earn a living, pay for the sites, obtain audio/video equipment, fund projects, and promote her mission and goals. Statement of Goals Clients three main goals for her having the site are, in her own words, ( 1 ) Inspire people to greater awareness of information and the tools and techniques for personal growth. (2) Increase the awareness of possibilities for getting involved in service and action. ( 3 ) Sell inspirational products. The goal for launching the site is December 10, Site will be evaluated and tested by client s friends who will be given various tasks to perform on the site, such as go to the blog, sign up for ed newsletter, find information, navigation tasks, etc, and see how easily they can understand and perform these tasks. Outline of Site Content. The website will consist of the main Home Page, whereby the user can directly access the seven basic sub pages with navigation labels on the left hand margin using text in web safe pale yellow #ffffcc, 255R, 255G, 204B, S-20%. (see site map on other attached PDF). The Home Page and sub pages will all have a light green background with 2 dark green left and right margins.. Both colors are web safe with the light green #999966, being 153R, 153G,102B and the dark green #006666, with 0R, 102g, 102B. On all the pages, clients Inspiration Media logo will be placed in the very top left margin and utilize the same two colors of the background and margins as to blend into the margin, resembling a stencil. In the top right hand margin, the classic, public

2 domain, photo of the Earth taken from the Moon, aka Apollo Earth,: will be inserted and appear suspended. On the Home page, there will be a box in the left hand margin, just under the logo, for visitors address to subscribe to newsletter. All of the pages will have at least two inspiring quotes. One quote will appear just below the heading of each page and the other quote, or quotes, will appear somewhere within the right hand margin. There will not be any mastheads for Home page or subpages, just a plain text title at the top of each page. The title and text in the main body of the pages will be dark charcoal #333333, 51R, 51G, 51B. The subpages will consist of the following theme content: Our Focus, will explain the mission/vision/purpose of the organization as well as brief history and background of the client. It will have a photo of client. Personal, is concerned with Personal Transformation, Transforming Ourselves, and will provide information, tools, resources and coaching to assist those who aspire to transcend self-imposed limitations and move toward living their best and highest lives. It will have information on topics such as physical health/wellness (latest research info on topics like fitness, diet, sleep, hormones, etc.), psychological well-being (articles, info and latest research on happiness, cognitive neuroscience, psychology), career (this is actually interface to acting in the external world too and will include resources for finding/creating life s work or calling, financial abundance, pursuing dreams and passions at mid-life). This page will have some supportive image or images, not obtained yet, as well as, an audio or video clip of client, not yet obtained. Most likely, at a later date, as these articles increase, there might be an archive page. World, will concern World Community/ Our World and the People in it/ Acting for Change/ Global Action. It will have an image or images, yet to be obtained, with stories and info across diverse fields and cultures that will inspire and empower people to act for change and to know that they can make a difference. Serve as a resource center/hub to connect site visitors with people, ideas, programs and organizations throughout the world who are having positive impact. Unity theme that we re all in this together and that each person has a part to play in global transformation, according to his/her individual talents, gifts and issues or needs in the world that move them. Baby Boomers, is a page for late-blooming Boomers (or something like that). Client will share some of her personal story of someone born smack in the middle of the Boom generation, inspirational stuff for mid-life and beyond. Photo of client, or some image or images not yet obtained. Blog/Podcast, will explain what podcasting and blogs are all about and how to use them. It will have links to clients podcast site and blog. Plan to have one or two supporting images, not yet obtained. Store, is the page for the Inspiration Store, where listing of client s audio and video products that are for sale and how to purchase them through various distribution companies such as itunes, Borders, CD Baby, etc. Contact, will have addresses, phone numbers, addresses of various people and organizations associate with Inspiration Media. The above-named client is engaging Charles Ostin, a sole proprietor, located at 1426 Garden St. Apt. #65, Santa Barbara, California 93101, as an independent contractor for the specific project of developing and/or improving a World Wide website to be installed on the client's web space on a web hosting service's computer. The client hereby authorizes Charles Ostin to access this account, and authorizes the web hosting service to provide Charles Ostin with "write permission" for the client's webpage directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project. The client also authorizes Charles Ostin to publicize their completed website to Web search engines, as well as other Web directories and indexes. Web Hosting. The client understands that any web hosting services require a separate contract with a web hosting service such as Go Daddy. The client agrees to select a web hosting service which allows Charles Ostin full access to the website and a cgi-bin directory via FTP and telnet. The client further understands that if the web hosting service's operating system is not a Unix system, standard CGI software may not work, and providing a substitute may incur additional charges.

4 Standard Services The following are included in the cost estimate by Charles Ostin: Words of text supplied by the client in MS Word docs on CDR, DVD, or via attachments. Webpages of more than 1,200 words of text may be subject to additional fees, especially if they require a great deal of formatting.) Installation of webpages on the client's web hosting service. Custom Graphics Package. Masthead graphic on first page (simple custom graphic incorporating company logo). Top-of-page graphic for all other pages in your website. Colorful lines and bullets, and colored and textured background. Minor updates and changes to existing webpages for four months, subject to the limits outlined below. Additional changes billed at hourly rate. For online stores, this includes only "regular" pages, not product pages or the ordering system pages. Site publicity to at least a dozen major Web search engines, such as Google, Yahoo, AltaVista, Ask Jeeves, MSN Search, Lycos, HotBot, AOL Search, Netscape Search, Teoma, Gigablast, etc.. response link on each webpage to any address the client designates. Links to external pages, up to an average of 4 per page. Rollovers up to an average of 10 per page Webpages up to at least 10 separate pages /phone consultation (Up to 8 hours total general Internet orientation education, marketing strategy, Web design consultation, and helping clients learn to use their own webpage editor. Telephone long distance charges are in addition to package rates quoted. Additional education and consultation is at our hourly rate.) Feedback or guest book form (Basic CGI program included. Includes up to 20 fields. Extra charges may be incurred if the client's web hosting service does not use a Unix operating system. Not included in the package price for sites smaller than 6 pages. This is not included in online stores, since the shopping cart software is a functional equivalent.) Audio and Video Up to two audio and one video clips.

Changes to Submitted Text. Please send us your final proofread text. Time required to make substantive changes to client-submitted text after the webpages have been constructed will be additional, billed at the hourly rate Subcontractors Charles Ostin reserves the right to assign other web designers, photographers, graphic artists, or other subcontractors to this project. Maintenance and Hourly Rate. This agreement includes minor webpage maintenance to regular webpages (not store product pages) over a four-month period, including updating links and making minor changes to a sentence or paragraph. It does not include removing nearly all the text from a page and replacing it with new text. If the client or an agent other than Charles Ostin attempts updating the client's pages, time to repair webpages will be assessed at the hourly rate, and is not included as part of the updating time. The four-month maintenance period commences upon the launch of the website. Exempt Warranties Charles Ositn does not warrant that the functions contained in these webpages or the Internet website will meet the client's requirements or that the operation of the webpages will be uninterrupted or error-free. The entire risk as to the quality and performance of the webpages and website is with client. In no event will Charles Ostin be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these webpages or website, even if Charles Ostin has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. Completion Date. Charles Ostin and the client agree to work together to complete the website in a timely manner. Client agrees to submit all photos, images, artwork, CD, wav, and MP3 audio, digital video, and final proofread text to Charles Ostin by October 7, Charles Ostin agrees to submit a first draft of the Website no later than November 12, Target date for the completion of the website is December 10, Work Schedule A. Final site completion A. due: 12/10/07 Copyrights and Trademarks The client represents to Charles Ositn and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, logos or other artwork furnished to Charles Ostin for inclusion in Web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Charles Ostin from any claim or suit arising from the use of such elements furnished by the client. Copyright to the assembled work of Web pages produced by Charles Ostin is owned by Charles Ostin. Upon final payment of this contract, all rights owned by Charles Ostin as to the design, graphics, and text in this Web site transfer to the client in accordance with the laws of the United States and the State of California. Initial Quote Notwithstanding any prices listed in literature or on Web pages, the client and Charles Ostin agree that the services described in this contract shall be completed for $6,000. Changes requested by the client beyond those limits will be billed at the hourly rate of $65hr. This rate shall also govern additional work authorized beyond the maximums specified above for such services as general Internet orientation education, marketing consulting, webpage design, editing, modifying product pages and databases in an online store, and art, photo, graphics services, and helping clients learn how to use their own webpage editor. CGI programming charges (if any) are not included in this rate.. Any additional work not specified in this contract must be authorized in writing. Payment Client agrees to pay to Charles Ostin an initial sum of $2,500 upon execution of this agreement. All remaining charges agreed upon and which may accrue shall become due and payable to Charles Ostin upon completion of the services described above. If an amount remains delinquent 30 days after its due date, an additional 2.5% penalty on outstanding balance will be added for each month of delinquency. Charles Ostin reserves the right to remove Web pages from viewing on the Internet until final payment is made. Should collection activities become necessary, the client agrees to pay all fees relating to said activity. Refunds/Bailout Options If for any reason Charles Ostin or Client feel they can no longer work together, client shall only be charge $40 an hour for time Charles Ostin spent on client s website and client shall be refunded any remaining amount of deposit or billed for any cost which exceed client s deposit.

7 Disputes This contract has been entered into in the County of Santa Barbara, California. Any disputes arising from this contract will be by binding arbitration in the City of Santa Barbara, California. This Agreement shall be governed by the laws, rules, and regulations enacted by and of the State of California. Undersigned hereby agree to the terms, conditions and stipulations of this agreement on behalf of his or her organization or business. This Agreement constitutes the entire understanding of the parties.
