1 This document is a comparison of file sharing and collaboration capabilities offered by Soonr Workplace and Anchor. Narrative is provided when there is no direct comparison between the capabilities or when clarification is necessary to highlight a particular item. Compared capabilities are organized by major functions in the table below. Soonr Workplace can generate a QR code associated with Public Links that can be embedded into other types of documents (such as a training manual) to support business logic and workflow. Using Soonr, users can comment on Projects, folders, or files, and can notify other users of comments by either SMS or . Anchor does not support commenting in any way. Soonr supports "Connections", while Anchor allows the creation of Guest users. They are similar in purpose. However, Anchor automatically creates a guest account for a public link share recipient if logging-in is required for the public link. This seems to allow any public link share recipient to have an account on the company team. With Anchor, share notifications are sent through , but cannot be sent by SMS. This can only be applied through file locking. However, file locking is not selective, and it excludes everyone from editing. Soonr Workplace for ios and Android allow in-app editing of Microsoft Office (including Office 2010) file types including Word, Excel, and PowerPoint. New Office documents, Text Documents, and PDF Documents can also be created on ios and Android tablets and smartphones. Anchor does not have any integrated Office document edit capabilities with their mobile apps and require the use of third party apps, which is an opportunity for data leakage and unauthorized use. Soonr Workplace for ios and Android allows mark-up and annotation of over 50 file types on the mobile device. New annotation documents (such as a handwritten note or a marked-up scan of a document or a photo) can also be created on ios and Android tablets and smartphones. Anchor does not have any integrated annotation capabilities with their mobile apps. Anchor requires the use of third party apps, which is an opportunity for data leakage and unauthorized use. Soonr supports " to Project" for both the body (saved as.eml file) and attachments. Anchor doesn't support this. Soonr supports web-based or mobile file viewing for over 50 different file types, including MS Office. Anchor supports web-based file viewing for image and pdf file types only. Anchor requires 3 rd - party mobile viewers. The Soonr Go mobile sync app eliminates the need to favorite individual files for off-line access. Soonr Go mobile sync agents installed on ios (available now) and Android (2Q15)devices allow selected Projects or sub-folders to be synced between the cloud and the mobile device. Implementing a full duplex always-on connection, Soonr Go also provides for much more complete administrative control of mobile apps, including device approval and device wipe. Soonr Workplace mobile apps eliminate the need for a scanner and can use a device s camera to scan documents to the cloud. This feature enables powerful workflow applications like signing or approving contracts or documents and scanning and marking up photos. Soonr Workplace allows an unlimited number of computers to be associated with a user s account for backup and sync operations, and also allows remote access to computers running a Soonr Desktop Agent from the Workplace mobile app or a web browser. This can be enabled/disabled by the Team admin for security reasons as required. In Anchor, one must go to the Web UI to select which folders to sync, as this is not possible from their desktop agent. Furthermore, while Anchor does provide network bandwidth controls, they do not provide historical log files on sync behavior, backup controls, a project loader, or many of the other Soonr features. While Anchor does support computer back-up, there is no administrative ability to disable this feature or otherwise control usage. Soonr supports the ability to selectively disable this feature on a per-user basis. Both Anchor and Soonr Workplace create a sync folder on the desktop, or at an alternate user-designated location. Allows admins to limit the bandwidth demand that desktop agents place on the local LAN. When backing-up large files that change frequently, Soonr uses incremental and delta backup strategies (detecting parts of files that change) to optimize the use of bandwidth resources and optimize backup performance. To facilitate rapid on-boarding of new employees, the Soonr desktop agent includes a "bootstrapping" feature which allows LAN-accessible projects to be synchronized to the new user's computer without the necessity of sync'ing from the cloud. Anchor does not support this important feature. Both Soonr and Anchor support the ability to configure arbitrary retention periods. Soonr retention period is 180 days by default, but can be increased by contacting Soonr sales. Anchor does not specifically set a default retention period. However, with Soonr, old versions do not count against user storage quota. With Anchor, they do. This is the primary reason for the focus on custom retention periods with Anchor - retention costs money with Anchor. With Soonr, 180 days of retention (including deleted files) is free of charge. Through the desktop agent, Soonr and Anchor provide the ability to either manually or automatically lock Office files for editing on both Windows and Mac computers. However, with Anchor, auto-locking is not supported for either Word for Mac or for.xls files opened with Excel. Soonr supports full text search, which specifically includes file content - not just file names. Anchor's search feature does not include file content in search results. Soonr supports integrated video and slideshow playback on both the web UI and on mobile devices. Anchor does not support this feature. Anchor does not support any similar feature. While deleted files can be restored through both Anchor and Soonr, with Anchor, deleted files continue to count against individual storage quota, costing the customer more money. With Soonr, deleted files do not count against individual storage quota. Soonr provides streaming for viewing multi-media content on web browsers and mobile apps. Anchor does not support media streaming. Workplace can be integrated into Microsoft Office 365 as a Cloud Service so that it is available to all Office 365 apps (such as Word, Excel, and PowerPoint) from any PC that has a Workplace Desktop agent installed. Anchor does not support this. Allows public links to be sent via e- mail instead of attachments, and allows integrated access to Soonr from within an Outlook agent. Soonr supports web editing through both Google Docs and Office 365. Anchor does not support any form of web editing. Soonr provides support for flexible and explicit reassignment of projects on demand, as well as when deleting a user. Soonr implements a multi-select feature, thus allowing easy and flexible project reassignment to one or more users at the same time, in a single executed action. 7 Windows File Servers Macintosh Linux Anchor does not support computers running Linux. Soonr Workplace Linux Agent allows the sync agent to be installed on computers running Linux as a user. This enables integration with the local Linux file system and syncing of all shared Projects to the Linux computer. Synology NAS Anchor does not support sync with NAS appliances, unless they are mapped as a network resource through a Windows agent. Soonr offers a native Synology NAS Agent, which allows the sync agent to be installed on Synology NAS devices running Linux. This enables integration with the local NAS file system and syncing of all shared Projects to the NAS appliance. Dedicated Mobile Application ios - Soonr Workplace - Anchor and Soonr both offer ios apps. However, the Anchor version is limited to mobile access, and does not provide the Soonr-style "one-app" experience. The Soonr Workplace mobile app contains an embedded document creation and editing utility. Thus Office documents can be natively created and edited within the secure Soonr Workplace environment. Furthermore, Soonr Workplace includes an embedded annotation app which allows for document market entirely within the Soonr environment. With Anchor, users must utilize 3 rd party apps, and must export company content to potentially untrusted environments. ios - Soonr Go Soonr Go is an advanced ios-based mobile app which provides all of the advantages of the Soonr Workplace Copyright , Soonr, Inc., All Rights Reserved Page 7

This allows comprehensive sync and administrative management capabilities for mobile devices. Anchor and Soonr both offer Android apps. However, the Anchor version is limited to mobile access, and does not provide the Soonr-style "one-app" experience. The Soonr Workplace mobile app contains an embedded document creation and editing utility. Thus Office documents can be natively created and edited within the secure Soonr Workplace environment. Anchor makes no public statement about HIPAA compliance of their SaaS service, and makes no offer to sign a HIPAA Business Associate Agreement. Soonr operates 2 redundant data centers in the US, Europe, Australia and Canada, for a total of 8. Each data center in each region is fully redundant for its regional counterpart, thus allowing continued regional operation even in the event of the complete loss of a regional data center. 9 Jurisdictional Diversity and US/EU Safe Harbor SOC2 Type 2 Audit Report of internal Operational Controls Enterprise Features Groups & Subgroups for Sharing and Security Integrated company branding Super Admin role - Atlanta, Salt Lake City, Kelowna (Canada), and Amsterdam. However, they do not offer geo-redundancy in any of their regions. Furthermore, Anchor utilizes only the data center in Salt Lake City, UT. Soonr operates data centers in the US, Canada, EU, and Australia. Therefore, customer data in each respective region never leaves that region. Furthermore, Soonr complies with US/EU Safe Harbor principles, and has formally registered such compliance with the US Department of Commerce. Anchor operates entirely from the Salt Lake City, UT efolder data center, and does not offer any these assurances. Soonr obtains third party security audits from top-tier firms for its internal operational controls based on SSAE-16 and ISAE 3402 standards for auditing for Service Organization Controls. Soonr maintains a current SOC2 Type 2 audit report for review by partners and customers. Although Anchor claims SSAE16 Type 2 compliance, they do not make any claim of having an SOC audit report to support this claim. Soonr and Anchor both support the creation of Groups for sharing. However, Soonr also supports the application of some security policies to Groups, thus providing admins with a powerful security policy convenience mechanism. Soonr provides for two distinct levels of admins. The Super Admin can directly access the files of all users, while ordinary Admins cannot. This Copyright , Soonr, Inc., All Rights Reserved Page 9

10 AAA Integration (Active Directory) Two Factor Authentication (2FA) using Google Auth / SMS SLA (Service Level Agreement) 99.9% Team Auditing (Account, Group, Active Directory) User Access Auditing (User, Device, Agent, admin) ensures that such sensitive access is very limited. Anchor provides only one single admin level, and this admin can access all data files of all users. Soonr Workplace integrates with Microsoft Active Directory to import users and groups into the Workplace Teams and performs authentication against AD domain controllers for error-free and simple user provisioning. Soonr Workplace and Anchor both support 2FA through either SMS text messaging or through an authenticator app, such as Google Authenticator. Furthermore, Soonr Admins can configure whitelisted IP addresses from which 2FA will not be required. This allows more convenient access from behind the security of company firewalls, for example. Anchor does not support 2FA whitelisting. While Soonr provides a 99.9% uptime SLA guarantee, Anchor makes no such claim or guarantee. While Soonr and Anchor both support team auditing reports (Activity Reports in Anchor), Soonr provides greater flexibility in filtering reported information. Anchor filters activity reports based upon date range only. Soonr can filter reports based upon date, specific event type, device name, device type, and user name. Soonr also supports a much more granular level of identifiable event types. Anchor filters activity reports based upon date range only. Soonr can filter reports based upon date, specific event type, project/file resource name, and user name. Soonr also supports a much more granular level of identifiable event types. Soonr Workplace offers bi-directional sync of Account and Lead records in SFDC with corresponding Project and Single-Sign-On with SFDC so that Soonr Workplace is shown in a frame within Salesforce. The Soonr package can be installed from Salesforce AppEx. Anchor does not support Salesforce Integration. Soonr does not support Autotask integration. Soonr Workplace has many more configuration options for password policies that are managed by the Soonr AAA databases. Anchor maintains only a single fixed policy for all customers, and allows only the password lifetime to be administratively specified. Anchor does not support the configuration of session policies. This allows Soonr Admins to control precisely where users are able to access their account from, and through which access mechanisms. Anchor does not support IP Address Whitelisting. Soonr supports the ability for administrators to prohibit the creation of public links. Anchor does not support this. Soonr generally allows users to explicitly override file locks. Soonr also provides a policy control which can restrict file lock overrides to the Project owner. Anchor allows file lock overrides by Admins, but does not support a policy to modify this behavior. Anchor does not support remote access to computers running their desktop agents, consequently there are no policy options. Soonr Workplace offers built-in mobile application Policies that allow the Enterprise admin to set global policies on mobile content creation. Anchor does not support integrated content creation from their mobile apps, and therefore has no related policy. Anchor does not support such a policy. All Anchor data can always be exported to 3 rd party apps. In Soonr Workplace, mobile Device Policy settings allow the Enterprise admin to require entering a password or passcode when the mobile app is first started, as well as every time a user switches to the Soonr Workplace mobile app. Further, the Enterprise admin can also enable or disable a policy to erase all locally cached app data, including favorited files, after a specified number of failed passcode/password attempts. While Anchor mobile apps do support PIN code access, there is no administrative policy that would require it. It is a user-only option. Also known as a "poison pill" feature, Soonr mobile apps can be configured with a policy to require periodic contact with the cloud service. If the mobile app does not make contact as necessary, then local data is wiped. Anchor does not support such a feature or policy. Soonr Admins can implement Groupbased essential MDM polices that control which mobile devices and laptop computers can be attached to the service. Using this feature, user devices must be explicitly approved by an admin before connecting to the service. Anchor does not support such a feature. Admins can configure Soonr to automatically and securely wipe remote devices upon connection when devices or user accounts are disabled or deleted. Wipe confirmations are also provided.
