2 SUPPLEMENTAL AGREEMENT NO.1 TO CONTRACT NO. C BETWEEN CITY OF LOS ANGELES and RECALL TOTAL INFORMATION MANAGEMENT, INC. THIS Supplemental Agreement No.1 to Contract No. C is made and entered into by and between the City of Los Angeles, a municipal corporation (hereinafter referred to as "City") acting by and through the Information Technology Agency, and Recall Total Information Management, Inc., a Delaware Corporation (hereinafter referred to as "Contractor"). WITNESSETH: WHEREAS, effective February 1,2011, the City and the Contractor entered into Contract No. C whereby Contractor agreed to provide high security temperature and humidity controlled data storage facility that specializes in off-site storage of computer backup data;; WHEREAS, the Master Agreement (Contract by and between the County of Los Angeles and Contractor) expired on September 1, 2012; WHEREAS, the County of Los Angeles at its sole option exercised its right to extend the term of Contract through September 1, 2013 unless otherwise sooner terminated, in whole or in part, as provided in the Contract; WHEREAS, the City still requires the services of the Contractor; WHEREAS, the Contractor has demonstrated to the City of Los Angeles that it is well qualified to perform the services required herein; and WHEREAS, the City now desires to enter into a Supplemental Agreement No.1 with Recall Total Information Management, Inc. concerning Contract No. C by appending Amendment No.1 to Off-Site Data Storage Services Contract by and Between County of Los Angeles (Contract No ) and Recall Total Information Management; NOW, THEREFORE, in consideration of the above premises, and of the covenants and agreements hereinafter set forth, the parties hereby covenant and agree as follows: 1. Term of Contract Section I. Term of the Contract is amended to read as follows: The term of this Contract shall commence February 1, 2011 and will continue in effect through September 1, 2013, with the same terms and conditions, subject to the termination provisions herein. 1

Incorporate herein by reference and attached hereto, Amendment No.1 to Off-Site Data Storage Services Contract By and Between County of Los Angeles (Contract No ) and Recall Total Information Management to City of Los Angeles Contract C Ratification Clause Due to the need for Contractor's services to be provided continuously on an on-going basis, Contractor may have provided services prior to the execution of this amendment. To the extent that said services were performed in accordance with the terms and conditions of this amendment, those services are hereby ratified. 4. Except as amended herein, all other provisions of Contract No, C shall remain in full force and effect. 2

5 AMENDMENT 1 TO OFF-SITE DATA STORAGE SERVICES CONTRACT BY AND BETWEEN COUNTY OF LOS ANGELES AND RECALL TOTAL INFORMATION MANAGEMENT AMENDMENT 1 CONTRACT NO WHEREAS, the Board of Supervisors of the County of Los Angeles, (hereafter "County") and Recall Total Information Management (hereafter "Contractor") entered into Contract Number for Off-Site Data Storage Services on September 2, 2009, and; WHEREAS, the Contract was previously amended by Change Notice 1, dated August 20, 2010; Change Notice 2, dated September 21, 2011; Change Notice 3, dated February 4,2012; and WHEREAS, pursuant to Paragraph 4.2 the Director is authorized to execute and extend the Contract for an additional (1) one-year period; and WHEREAS, the County desires to exercise its right to extend the term of the Contract for the first additional one-year period as set forth in this Amendment 1; and WHEREAS, pursuant to Paragraph 8.1, Change Notices and Amendments, changes which materially affect the scope of work, term, service rates, payments, or any other term or condition under this Contract, an Amendment shall be executed by the Director of Internal Services Department (Director), or his or her designee; and WHEREAS, Paragraph 8.1.5, authorizes the County to add and delete County Departments or Facilities to utilize off-site storage of backup file services at Contractor's. storage facility. NOW THEREFORE, in consideration of the mutual covenants contained herein, the County and the Contractor agree as follows: 1, This Amendment 1 is effective upon the date of execution. 2. The County hereby exercises the option to extend the term of this Contract for the first one (1) year option, from September 2, 2012, through September 1, 2013, unless otherwise sooner terminated, in whole or in part, as provided in the Contract. 3. 6 AMENDMENT 1 CONTRACT NO Exhibit 4, Estimated Monthly Requirement, to the Statement of Work, is deleted in its entirety and replaced by Exhibit 4, dated July 2012, attached hereto, 5. Exhibit 5, Pick up and Return Schedule, to the Statement of Work, is deleted in its entirety and replaced by Exhibit 5, dated July 2012, attached hereto. 6. Exhibit E, County's Administration, to the Contract, is deleted in its entirety and replaced by Exhibit E, dated July 2012, attached hereto. EXCEPT AS EXPRESSLY HEREIN PROVIDED, ALL OTHER TERMS AND CONDITIONS OF THE CONTRACT REMAIN IN FULL FORCE AND EFFECT. IN WITNESS WHEREOF, Contractor has executed this Amendment No.1 or caused it to be duly executed, and the County of Los Angeles, through authority delegated by its Board of Supervisors, has caused this Amendment 1 to be' executed on its behalf by its Director of Internal Services, as of the last date of execution indicated below.
