Introduction Introduction The Registration of Business Names (Jersey) Law 1956, provides that where any change(s) in a registered business name occurs, that within 14 days after that change, must register a statement specifying the nature and date of the change. The application - use this form to register one or more change of particulars for any one registered business name. Change of Particulars RBN3a Form is a continuation of the Change of Particulars should you require more space for section 2d (Change of the Proprietor s Name and/or Address). Change of Particulars RBN3b Form is a continuation of the Change of Particulars should you require more space for Section 2e (Adding or Removing). Processing time The Jersey Financial Services Commission (JFSC) will process the RBN3 within two days of receipt of the application together with the relevant fee unless, where a change of Registered Business Name is proposed, that the new name is rejected or further information is required. If your application includes a proposed change of Business Name and the new name is rejected, this will delay the whole process. It is always a good idea to check that the name on the Companies Register to ascertain whether it is already registered and that it complies with the JFSC s Accept guide. Fees Payment methods includes cash, credit or debit card or cheque (to be made payable to the Jersey Financial Services Commission). Definitions and glossary of terms Applicant Affidavit JFSC Individual LP LLP An Individual who is making an application to obtain a business name in accordance with the Registration of Business Names (Jersey) Law 1956 A legal declaration to verify that they can sign on behalf of the Applicant Jersey Financial Services Commission means a natural person and does not include a body corporate, e.g: a sole trader An applicant which is a Limited Partnership An applicant which is a Limited Liability Partnership Guidance to Completing the Change of Particulars (RBN3) Application Form Page 3 of 5
Instructions to Completing the Instructions to Completing the Section 1 Details of the registered business name must be completed. 1a 1b 1c Insert current registered business name as registered under the Business Names (Jersey) Law 1956. Insert date on which the change of particulars of business occurred. Select from the options provided as to the nature of change of the business name. Remember to complete all the sections if you have ticked more than one box. Section 2 2a - Change of Business Name If a change of business name is to occur, insert the new name in this section. 2b - Change of Address Where a change of address for service/correspondence occurs please insert the new address (including postcode) in this section. Where a change of the principle place of business occurs and is an operating address to the service/correspondence address, please insert the new address (including postcode) in this section. Please note that if you are informing us of a change of address, please ensure that all other addresses are correct (ie: correspondence address, principle place of business, registered office address, etc). 2c - Change of Nature of Business 2d Change of the Proprietor s Name and/or Address Insert the new nature (type of business being undertaken) of the business in this section. If any changes to the registered proprietor s name and/or address has occurred, please insert the relevant details in this section. Instructions to Completing the 2e - Addition or Removal of Existing Proprietors of the Business If any proprietors are to be added or removed from the Registered Business Name please select the appropriate confirmation ( Remove or Add ). Please provide full details of the Individual, Body Corporate, Limited Partnership or Limited Liability Partnerships to which the section relates. Please note that where a proprietor is an Individual their full name must be stated (initials are not acceptable). Where a proprietor has been added in this section, Section 3, Part 1 must be completed. You can record information for the addition or removal of four proprietors, if you require more space, please continue on the Change of Particulars RBN3b Continuation Form. Section 3 part 1 To be completed where additional proprietors (as provided in section 2(e)) have been added to an existing registered business name. 3a 3b 3c 3d 3e 3f 3g Enter your date of birth, enter N/A if applicant is not an Individual. Enter your telephone number. Enter your email address. Sign with an original signature. Enter the date on which the document has been signed. If the application includes Body Corporates, LPs or LLPs please provide the capacity of the signatory. If the application has been signed on behalf of the applicant, please tick to confirm that an affidavit is attached to the application. Section 3 part 2 This section must be signed by all current and any removed registered business name proprietors. All existing proprietors and any proprietors that are being removed must sign and provide their full name in this section.
