4 Introduction Overview Small businesses, typically customers with less than 30 employees, are important to Avaya and represent a very competitive, price driven segment for PBX and key systems. Although they often have basic communication needs, they represent growth for future cloud and UC solutions. This promotion is targeted for the under 30 user market where price is a key component to be competitive. Promotion Description In order to effectively compete in the sub-30 segment, Avaya is pleased to announce the SMB30. The promotion is effective starting May 9, 2016 through June 27, 2017 This promotion focuses on helping partners grow sales with the Avaya TM IP Office platform to customers with under 30 users. It is available to any IP Office Authorized Partner who registers for the SMB30 promotion. All SMB100 partners will be automatically enrolled in the SMB30 promotion The promotion is targeting the small business segment. Additional equipment not specified in the bundle can be placed on the same order but it will not receive the promotional discount. SECTION BELOW LEGAL DISCLOSURE RE: TERMS & CONDITIONS Avaya SMB30 Promotion Additional Terms and Conditions Authorized IP Office Partners will register for the SMB30 Promotion at: There is no growth commitment requirement for the SMB30 promotion. Once the partner has registered, their link id will be tied to the promotion within 48 hours. Partners that are participating in the SMB100 program will be automatically enrolled in the SMB30 Promotion. They do not need to register. From time-to-time, Avaya, in its sole discretion, may permit partners who have participated in other channel programs to participate in the SMB30 program. All eligible items must be on the same order. Extended discounts do not apply to services; however, IPOSS maintenance is strongly recommended to maximize system availability, and software upgrades. This promotion cannot be combined with other Avaya promotion or Special Bid; however, alternative short term promotions may be presented as an option for certain opportunities. The promotional discounts are not applicable to any material code announced as End of Sale during the duration of the promotion This promotion is not combinable Deal Registration under the specific terms and conditions of that respective program. Avaya Software Investment Protection Policy (ASIPP) has been updated to include IP Office. ASIPP provides additional discounts on software in the form of a reduced list price for customers migrating from CS1K/Meridian 1, BCM, CM, DEFINITY or Integral to IP Office. ASIPP licenses are eligible to be included in an SMB30 quote, but cannot be further discounted. Appendix 5 lists the ASIPP codes which will qualify quotes for the SMB30 promotion, but the ASIPP codes will not receive any further discounts as part of this promotion, other material codes included in the quote are eligible for the discount according to the SMB30 guidelines. Standard Avaya policy does allow the inclusion of additional material codes even though they may not receive promotional discounts. However authorized business partners should consult with their distributor to determine if the distributor will permit extra material codes, beyond the pre-determined bundle criteria, to be on the same quote. Avaya s standard quote requirements for promotion eligibility require a quote to be at Ready to Order status, and only a single quote for a single site can contain the material codes to meet minimum eligibility requirements. While no separate SKU is being used to define individual packages, quotes with the required SKU and quantities for less than 30 users will have the discounts listed in the package details table applied by the promotion tool. A unique promotion authorization code applies to each package. Furthermore, only the quantity of materials the customer requires at point of sale can be on the order and be eligible to receive promotional discounts. Per the 2013 Global Reseller Sales Reporting Policy, stocking of products is strictly forbidden. Any violation of the above, or of any of the Page 5 of 18

6 terms and conditions within this document, may result in the promotion discounts being charged back to the reseller, loss of financial benefits, demotion or contract termination. The maximum number of phones associated with each specific package are shown in the requirements. The end customer can purchase less than the maximum number of phones, however, after the initial sale; discounts based on this promotion will not be available for the additional purchases of phones. Partners can set up their own rate cards and embed them into their offers as well as their tools for a maximum of 30 users according to the offer descriptions. All IP Office licenses must be ordered as a License Key within either the ADI or PLDS system. Use of ADI Certificates is not allowed. This promotion is based on the latest competitive information and Foreign Exchange rates. Avaya reserves the right to modify this promotion and associated discounts based upon updated competitive data and change in FX rates. Avaya Partner Value Proposition Predictable and very competitive pricing for customers with less than 30 employees Simplified ordering 12 month term provides the opportunity for partners to include these bundles as part of their standard product offering Shorten sales cycle, quick time to cash Customers can easily scale as their business grows Avaya Partner Promotion Process The SMB30 IP Office promotion can only be executed via the Marketing Promotions Module inside the Avaya One Source tool: 1. Create a new merchandize or configured quote at Avaya s One Source tool 2. Ensure that the quote is at ready-to-order status. 3. Search for available promotions via the check for promotions button a. The Promotion tool will show all eligible promotions based on the quote details 4. Select the appropriate IP Office Bundle promotion code if eligible 5. Apply the selected IP Office Bundle promotion code to the quote 6. Submit order through the standard distributor sales-out process by June 27, The product must ship and invoice from the Distributor by June 30, Non-compliant orders will automatically be rejected by the distributor 7. 9 Appendix 1: General Promotion Terms & Conditions Updated November The terms and conditions outlined herein will be in effect for the duration of this promotion (herein identified as the Promotion ). 2. The word Partner in these terms and conditions means the Avaya distributor or reseller that claims discounts under the Promotion. Partner must be authorized for each product line/service offerings and meet any additional requirements for reselling specific products/services. Partner is not automatically authorized for a product line /service by virtue of receiving this notice. 3. Breach of any of the terms and conditions within this document may result in Partner being de-authorized as an Avaya Authorized Partner. In addition, Avaya has the right, if it so determines, to claim damages from any Partner participating in this Promotion, in the sum of the difference between the price at which the Avaya products are sold pursuant to this Promotion, and the price which the Partner would have paid under normal circumstances, without the Promotion. 4. All sales made from this Promotion are fulfilled under the terms and conditions under which Partner has agreed to resell products and services. This Promotion does not alter or change the terms and conditions under which Partner has agreed to resell Avaya solutions unless otherwise specifically stated in this Promotion. 5. Avaya expressly disclaims any and all liability relating to the results of any of its marketing plans or promotions. 6. The Avaya account representatives have no authority to interpret or vary the terms of this Promotion. 7. Avaya reserves the sole right to interpret and establish the terms and conditions of this Promotion. 8. Partner must place a single Purchase Order on their distributor for all material codes included in the approved quote, upon which the promotional discount has been authorized. The distributor must execute product shipment, invoicing all claim details, including mandatory materials, with invoice dates that are on or before the promotion claim by date. Any invoice submitted, but not completed by the promotion claim by date, will be viewed as a non-compliant purchase order and should be rejected by the distributor. Distributor claims received post the last promotion claim by date reporting period will be rejected by Avaya. 9. When applicable to a specific promotion, all IP Office licenses must be ordered as a License Key within either the ADI or PLDS system. Use of Certificates is not allowed when receiving transactional preferential pricing (promotions, special bids, deal registration, etc). 10. This Promotion may not be used in conjunction with any other Avaya promotion unless otherwise specified within the terms and conditions of this Promotion or another Avaya promotion. 11. All orders must be placed through Avaya s order management system or an authorized Distributor. Billing, shipment, and payment of equipment purchased under this Promotion follow standard Avaya procedures. 12. Information contained herein is confidential and proprietary information of Avaya and is provided for the internal use of Avaya and its authorized Partners. Except as specifically authorized in writing by Avaya, the Partner shall not alter any terms and conditions of this promotion. Any attempted alteration shall be deemed null and void and of no force or effect. In no event shall Avaya be liable for any errors or omissions resulting from the information contained herein. 10 13. Partner s participation in this Promotion is Avaya partner's acceptance of the terms and conditions of this Promotion. In the event that Partner does not agree with any terms or conditions of this promotion, Partner may not participate in this program. 14. Both Avaya and the Partner agree that customer information, or any other sales-related information, provided under this Promotion is confidential and proprietary whether marked as such or not. Avaya agrees that it shall use such information solely for the purposes of this Promotion or for internal Avaya operation management. 15. It is Partner s responsibility to ensure all products purchased under this Promotion are resold to End Users within the Territory which Partner is authorized by Avaya to resell Products. It is Partner s responsibility to ensure no Products sold under this Promotion are resold to unauthorized resellers and/or intermediaries. Breach of this condition shall be considered material. 16. Avaya reserves the right to audit all elements of the resale of the Avaya products purchased under this Promotion, for validation that the Products have been resold to End Users within the Territory which Partner is authorized by Avaya to resell Products and to ensure the Promotion requirements are adhered to. Avaya shall be the sole arbiter as to what proof may be required and the Partner is obliged to provide such proof. 17. Orders to be installed as demonstration equipment, defined as hardware and software purchases for use in internal offices, demonstration centers, training facilities, technical labs, and other locations exhibiting Avaya products for customer viewing, do not qualify for this Promotion. 18. All system upgrades purchased under this Promotion require the Avaya partner to register the system with Avaya in accordance with the terms and conditions under which Avaya partner has agreed to resell Avaya products and services. Failure to do so within the specified time frame will result in the Avaya partner forfeiting any and all promotion incentives. 19. Avaya may confirm the location and installation of all Avaya products sold/licensed under this promotion. 20. All terms and conditions identified in the Reseller Sales Reporting Policy, the Distributor Sales Out Reporting Policy and the Avaya Back End Credit policy not specifically identified above, continue to apply to the sales of all Avaya product. 21. Effective with the launch of the Promotion Module April , it is the Partner s responsibility to ensure that any promotional discount applied to a quote is approved in accordance with the specific terms outlined in the respective promotion offer documentation, for use in the installation location country of the customer. If a Partner applies a promotional discount to a deal outside of the defined and stated parameters posted in the promotion offer definition, the Partner is liable for penalties described in these promotional terms and conditions. 22. This promotion may be offered only for a limited time. Avaya reserves the right to alter or terminate this promotion at its discretion with reasonable notice. Page 10 of 18

11 Appendix 2: Promotion Codes The tables below list the promotion codes associated with each bundle. Separate codes exist for the US. These codes will be displayed when the new merchandise or configured quote is entered into Avaya s One Source tool. By clicking the check promotions button, the automated promotion tool will present all eligible promotions to the partner/distributor. If a quote qualifies for multiple promotions (or packages), the partner/distributor can select only one promotion to apply to the quote. Once a promotion is selected, the appropriate discounts are automatically inserted into the quote, and standard ordering/claims processes apply. See Avaya Partner promotion process for more details.
