Avaya IP Office is the perfect solution for your customer up to 2,000 users, one that will easily and cost-effectively scale up as their business grows. With the Collaborate and Grow with Avaya IP Office promotion, you can offer customer s unified communications through Avaya s flagship collaboration platform at a promotional discount that will help you win the deal. Promotion is available to Avaya IP Office resellers in the EMEA region (EU, Adriatics, Russia/CIS, and MES) until 21 March, Requirements for eligibility and discount rates are shown below. Please review the offer document for a complete list of discountable material codes. Promotion Description Avaya is pleased to announce the Collaborate and Grow with Avaya IP Office promotion. The promotion is effective starting 14 October, 2013 through 21 March, Resellers must register and place order by 21 March 2014; Distributors must ship and invoice the entire solution by 31 March Partners can receive up to a 12% discount off the list price on eligible IP Office hardware & software and Avaya Data Networking switches, and up to 18% off select Avaya phone sets (see Addendum for complete list of eligible material codes). 3 The older VCM material codes that included 12 IP Endpoint Licenses will not be counted towards the IP Endpoint License requirements. We will only count the IPO LIC AV IP ENDPOINT 1, 5, 20 material codes (For R8.1: , , ; for R9.0 using ADI: , , ; for R9.0 using PLDS: , , ) The Collaborate and Grow IP Office promotion cannot be used in conjunction with any other Avaya promotion, Deal Registration program or Special Bid Request. Note that in order to qualify, resellers must register and place order by 21 March 2014 and Distributors must ship and invoice the entire solution by 31 March Promotion Additions: This promotion can be used whether IPO R8.1 or IPO R9.0 is being sold. Please note R8.1 and R9.0 have unique software material codes. Furthermore, R9.0 has 2 sets of material codes, one for use with the ADI licensing tool (will be the majority) and one for use with the PLDS licensing tool (to be used for when IP Office is deployed in a Branch solution, often with Avaya Aura at the core). Avaya also will provide discounts on the Avaya D100 SIP DECT system with the Collaborate and Grow with Avaya IP Office promotion. The Avaya D100 SIP DECT wireless telephone system integrates fully with IP Office to provide full access to system features. Utilizing next-generation digital wireless technology (DECT 6.0), the Avaya D100 SIP DECT wireless telephone system offers crystal-clear, high quality voice communication. Discounts are consistent with the other endpoints listed in the Addendum. Promotion Authorization Requirements: A unique promotion authorization code is to be used for each individual End User and cannot be shared among multiple End Users. Furthermore, only the quantity of materials the customer requires at point of sale can be on the order and be eligible to receive promotional discounts. Per the 2013 Global Reseller Sales Reporting Policy, stocking of products is strictly forbidden. Any violation of the above, or of any of the terms and conditions within this document, may result in the promotion discounts being charged back to the reseller, loss of financial benefits, demotion or contract termination. The following maximum quantities will be verified by the distributor prior to order submission. If these quantities are exceeded the additional quantities will be moved to a separate purchase order and will not receive the promotional discounts. 1. The number of IP/Digital desksets is not to exceed 20% more than the total number of IP/Digital users 2. The number of SD cards is not to exceed 2x the number of v2 chassis

4 Avaya and the distributor reserve the right to question other product quantities if they appear to be in excess. Avaya Partner Value Proposition High revenue and margin sales Competitive offer against Cisco, ShoreTel and other competitive systems Migration offer to retain customers who currently have legacy Avaya/Nortel systems Reoccurring and profitable product and services up-sell Avaya Partner Promotion Process Avaya SME partners will submit with their order the confirmation with the unique Authorization Code, provided by Avaya, which will authorize distributors to offer the promotion. Avaya Partner Process: 1. Customers purchasing a new IP Office system signs a contract with an authorized Avaya partner. 2. Avaya partner submits required information to the Collaborate and Grow with Avaya IP Office registration site: ( 3. Avaya reviews the submission, and if it meets all requirements will provide the Avaya partner with the unique authorization code through an confirmation (within 1 hour of submission). 4. Avaya partner submits the confirmation with the authorization code and minimum order requirements with their order to the distributor. 5. For competitive displacement deals, the partner is required to have the completed certificate of destruction to be kept for one year. 6. Avaya partner must place the order in one purchase order with the minimum configuration from the confirmation and not to exceed the maximum quantities provided within this Offer Document. Non-compliant orders will be rejected by the distributor. 7. Avaya partner must place the order in one PO with the minimum configuration from the confirmation by 21 March, The Distributor must ship and invoice the full solution by 31 March, Non-compliant orders will automatically be rejected by the distributor. Avaya partner must be authorized for each product line/service offerings and meet any additional requirements for reselling specific products/services. The Avaya partner is not automatically authorized for a product line /service by virtue of receiving this notice. 3. Violation of any of the terms and conditions within this document may result in the promotion discounts being charged back to the reseller, loss of financial benefits, demotion or contract termination. 4. Avaya may cancel, suspend, amend, modify, revoke, or terminate this promotion, in whole or in part, for any reason, at any time, with reasonable notice. 5. All sales made from this promotion are fulfilled under the terms and conditions under which Avaya partner has agreed to resell products and services. This promotion does not alter or change the terms and conditions under which Avaya partner has agreed to resell products and services unless otherwise specifically stated in this promotion. 6. All orders must be placed through Avaya s order management system or an authorized Distributor. Billing, shipment, and payment of equipment purchased under this promotion follow standard Avaya procedures. 13. Information contained herein is confidential and proprietary information of Avaya and is provided for the internal use of Avaya and its authorized Avaya partners. Except as specifically authorized in writing by Avaya, the Avaya partner shall not alter any terms and conditions of this promotion. To participate in this promotion, the sales representatives must be working for an authorized Avaya partner and the partner must be authorized to sell the Avaya product/services within the bill of sale. 17. Orders to be installed as demonstration equipment, defined as hardware and software purchases for use in internal offices, demonstration centers, training facilities, technical labs, and other locations exhibiting Avaya products for customer viewing, do not qualify for this promotion. 18. All system upgrades purchased under this promotion require the Avaya partner to register the system with Avaya in accordance with the terms and conditions under which Avaya partner has agreed to resell Avaya products and services. Failure to do so within the specified time frame will result in the Avaya partner forfeiting any and all promotion incentives.
