(Here after called as 2 nd party) xxxxxxxxxxxxxxxxxx (here in after called as 2 nd Party) The 2 nd party accepts that the 1 st party agreed to provide the ITES provide the project to the 2 nd party on an interim agreement of one SLOT[60 pages- 5 days](one seat not sharable) pack on XXXXand 1 st party will co-operate in implementing the process. 1. The 2 nd party accepts that the 1 st party agrees to provide a 60 pages slot data processing project at the rate of Rs.3500/- Which is priced at the rate of Rs.150*/- per page as per Error percentage (as per the quality based) by the 2 nd Party which will be executed by him from XXXXXXX. The billing amount will be paid to 2 nd party after 7 working days from the date of work submitting to the 1 st party subject to conditions set out and agreed between either parties. 2. The 2 nd party accepts that the 1 st party agrees to provide ITES project from time to time regularly to the 2 nd party, if the 2 nd party complete the Project on satisfactory on the first party. 3. The 2 nd party accepts that the 1 st party will only be responsible for payment on satisfactory completion of work by the 2 nd party. 4. The 2 nd Party accepts that the 1 st party is at liberty to terminate the contract with one month prior notice to the 2 nd party. 5. The 2 nd Party accepts that if there is any kind of delay in placing Q.C Report or Project the 2 nd party should cooperate with the 1 st party for three days. 6. The 2 nd party accepts that the 1 st party decision will be the final on deciding all the disputes provided the disputes should be convincible within both the parties.

2 The 2 nd party accepts the accuracy and payments very clearly The accuracy should be ABOVE 70.1% 90.1% % = Rs.9,000/- 80.1% % = Rs. 5,000/- 70.1% % = Rs. 2,000/- Below 70.1%= NIL (SLOT TERMINATE) The 2 nd party accepts that 5 working days for getting the accuracy report after the deadline of the word if submitted within the deadline. The 2 nd party accepts that Payments will be done within 1-2 working days after you receive the accuracy report. The 2 nd party accepts the SPECIFICATIONS FOR IMAGE TO MS-WORD typing. PARAMETERS FOR SLOT COMPLETE REJECTION (100%) 1. File name given is wrong, title mistake, page no mistake, (including the zip folder name) 2. Incomplete file. 3. Type only in Ms-word document. 4. Only word files should be present in the zip file. 5. Total number of image files and Ms-word files are different. 6. Extra temporary files found or file not zipped. 7. Other page data found. 8. The files should be in ms-word only, apart from that if any other format except ms-word format; the whole slot will be rejected. 9. The file should be zipped by using only WINZIP software. 10. Each job work should be sent as a separate attachment and is separate If the same Ms-word document timing repeated any other days in the period of the same slot. 12. Ms-word document Date and Time must match the slot from workload given date and submission date, otherwise slot will be rejected. After taking the workload completed submission, if any parameter of QC accuracy eligibility not reach, nobody challenge against his non eligibility of his work, if he can t proof the eligibility as per the QC parameter. No argument on refund at any cost. The 2 nd party accepts the instructions for IMAGE to Ms-word (typing) 1. New page data of IMAGE file should start from new Ms-word document. 2. File name should be given as it is given to the image file. 3. Type the text as it appears in the IMAGE file. 4. Flow chart, images, graphs, should be ignored. 5. Don t press ENTER KEY. When line ends, just keep typing by giving a single space. 6. If Enter key used, then it is calcualted as Extra Enter.So it would be considered as error.

3 The 2 nd party accepts that Instructions to follow while TYPING. 1. Font will be Verdana, font size of 10 for the body text. 2. Page Size should be Tabloid. And all other instructions will be clearly given along with the workload everytime. 3. Type in Ms-Word 2007 & above versions only. 4. Always use single space between two words. Usage of double space or long space is calculated as extra space error. Also non-usage of space is calculated as space missing. 5. If you type Small letter as Capital or Capital letter as Small then it will count as Spelling Error. 6. Each Image to be typed in separate word file. 7. The files should be saved in and it should be attached to the and should be sent on the prescribed date within given deadline time. After deadline time the files will not be accepted. Send all the completed job works to the specified within the deadline. The 2 nd party accepts that Percentage deduction list for the errors. File not submitted, incomplete file submitted. 2. Duplication of data found in any page. 3. If first time not achieved the accuracy. 4. Any conversion software used, Slots & Agreement will be cancelled without prior notice. 5. MS-WORD document time and dates not matched the period of mutual agreement of the slot. 6. If 2nd party shares, Use of multiple computer/system. 4 The 2 nd party accepts that PAYMENT DETAILS: 1. Initial Deposit is Rs.3500/-. For this Rs.3500/- you will be Valid for 12 months project.(monthly 3 slots) 2. 2 nd party should achieve 70.1% and above in every cycle. 3. If the 2 nd party don t achieve any payout for the first billing after totally 11months slot rejected. 4. The 2 nd party accepts that at the deposit amount is Refundable only after 3 successful Payments. 5. The 2 nd Party accepts that there is no rework for the Join which has been submitted once. 6. EVERAIN TECHNOLOGIES cannot be held responsible for non-working occurred on account of natural calamity/change in law/unforeseen circumstances. And no claim/representation shall be entertained. 7. The 2 nd party accepts that if his or her account is terminated or seized due to any reason(s) mentioned above. I ll not ask for any kind of refund from the company. The 2 nd party accepts that no dispute shall be entertained regarding Q.C (Quality Checking) report. The accuracy will be decided by the technical officials of the company and is final and cannot be challenged. The 2 nd party accepts that Rejection Criteria (100%): 1. File name of the converted text file does not match with the correspondence image file name. 2. The file should be completed and send it before the deadline mentioned by the company. 3. File name given wrong including the zip file name and the Ms-word document names. 4. There is difference between the no of pages in IMAGE file and the Word file. 5. Extra file found in the Zip file except ms-word files (including temporary files). 6. Incomplete Files. 7. If files received are less than the files delivered to you. 8. Text is in other VERDANA Font. Not followed the formats and guidelines given. 9. If any colour text found in the document. 10. If the File is not zipped. 11. Files should be submitted to mentioned Id only. If submitted to another Id will not be accepted. 12. Any Copy and Paste found in the document. 13. The company decision will be the final on deciding all the disputes.

5 I AM 18 YEARS [OR ABOVE] OF AGE AND hereby, accept the opportunity of executing Ms- Word Typing without any external or internal pressure and opt for Ms-word. I shall not get the work done from any outside commercial agency or individual. I have also gone through the Terms of Offer, as described above (after having gone through the term thoroughly in my full conscience) and acknowledge that I understand and agree to term set forth here above voluntarily and willingly and am bound by the same. I accept that the court in COIMBATORE alone shall have exclusive jurisdiction as regards any claims or matters arise in out of dealing with EVERAIN TECHNOLOGIES and all disputes will be governed by the laws of INDIA. The 2 nd Party accepts and agrees to be bound by the said terms and conditions and to changes made there in from time to time by the EVERAIN TECHNOLOGIES at its sole discretion with notice to the 2 nd party. The 2 nd party agrees that I have no objection to terminate his account for any kind of illegal activities. We, the parties have signed this agreement on Understanding the covenants explicitly and clearly.
