1 AUTOSOFT DMS GM & RIM The AutoSoft DMS and GM RIM Solution General Motors is in the process of switching to an ebxml communication method known as General Motors rth America Exchange. Through this ebxml technology, dealers and General Motors will begin sharing information through a more reliable and secure connection via the Internet. As the first phase of this technology switch, General Motors has announced the national deployment of the GM Retail Inventory Management program (RIM). This will be the first process to take advantage of the new ebxml communication method. Through this technology, dealers will be able to share their parts inventory information with General Motors and enjoy all the benefits of the GM RIM program. AutoSoft International is continually striving to use only the most current technology, so AutoSoft developers and the GM RIM team have been working together to integrate, test, and certify the AutoSoft DMS Parts Inventory module for this new web-based system. AutoSoft has successfully installed and piloted the program in many AutoSoft/GM dealerships and is prepared for this full deployment. Our mutual goal in the use of this advancement is to make future communications quicker and easier, and that is why we made sure that AutoSoft DMS uses the same ebxml-based communications endorsed by General Motors. That means your AutoSoft DMS Parts Inventory module fully integrates with GM RIM and allows you to transfer all of the necessary information to participate in the GM RIM program. In addition to the processes for GM RIM, included in the ASI DMS Parts Inventory module, AutoSoft will provide and install two additional programs, the AutoSoft Data Utilities and Cyclone Interchange. The AutoSoft Data Utilities extracts the GM RIM-specific information from your AutoSoft DMS Parts data and automatically shares that data with the Cyclone Interchange, which transports it to General Motors. The interoperability of these two programs will provide a single connection that enables AutoSoft DMS to easily and rapidly begin communicating with GM over the Internet. This new collaborative communication using the AutoSoft and Cyclone product, which is ebxml certified and approved for use by GM, makes the process effortless. Together, GM RIM and AutoSoft DMS make managing your inventory easier. The automatic integration means less work for you. You can ensure you have the parts you need when you need them, improving customer satisfaction and increasing your parts sales.

2 TAKE COMPLETE CONTROL OF YOUR PARTS INVENTORY! Requirements Below we have outlined the system requirements your AutoSoft server must meet in order to integrate the AutoSoft DMS with GM RIM. These requirements ensure that your system will be able to support the GM RIM software and that your system will perform at maximum efficiency and with the utmost reliability. Use the Pre-Setup Information Sheet provided to help you identify if your system meets the requirements. Although integration may require an initial investment to upgrade your AutoSoft server, these upgrades are necessary to meet requirements for communications with General Motors rth America Exchange. Retail Inventory Management (RIM) Dealer Enrollment and Installation Steps 1. You must complete the necessary GM RIM enrollment forms and submit them to GM. Upon receipt of your enrollment forms, GM will notify AutoSoft of your desire to implement RIM. 2. AutoSoft will contact you to ensure your system readiness (based on the requirements provided in this document and the information you provide on the Pre-Setup Information Sheet) and install the RIM software. 3. AutoSoft will send the startup files to GM once the RIM software is installed. 4. Upon receiving the files, a GM RIM Distribution Analyst (DA) will contact the individual designated on your New Dealer Request form to schedule a "Go Live" date.

Locate the drive with the description "Local Fixed Drive." This should be either C: or D:. Check the Free Space item to identify the amount of free disk space available. 5. Do you have Internet access from your AutoSoft server? If you have Internet access, you have TCP/IP network interface.

Contact your Internet service provider (ISP) if you are unsure which type of Internet access you have. The type of broadband Internet access you use may depend on the size of your dealership and the number of units your dealership moves yearly. Please refer to the Internet Connectivity recommendations outlined by General Motors in the General Motors Infrastructure Standards brochure available on DealerWorld to verify your dealership meets General Motors' recommendations. 5 ASI GM RIM SOFTWARE LICENSE AGREEMENT ASI GM RIM software is released to vendors and their clients with the understanding that it be used only by authorized GM dealers and under strict accordance with the provisions set forth below. OTS Software Associates reserves the right to refuse or rescind usage rights if any of these provisions are not met. By signing this Agreement, you are accepting the provisions disclosed herein. SOFTWARE LICENSE AGREEMENT OTS Associates is the developer, support provider, and Licensor of the software product(s) herein described. This software product(s) is licensed and not sold. Copyright laws and international copyright treaties, as well as intellectual property laws and treaties, protect the software product(s) provided by OTS Software Associates. Under the terms of this agreement, the End User (Licensee), either an individual or a single entity, is granted a nontransferable license for the use the software product(s) described as: Title and ownership of the software product(s) remains with OTS Associates. The End User (Licensee) may not assign, distribute, sell, rent, lease, sublicense, transfer, or lend the software product(s). The End User (Licensee) may not copy, translate, reverse engineer, modify, decompile, or attempt to disassemble the software product(s), or otherwise attempt to discover the source code or structural framework of the software product(s), except to copy the program and data within for backup purposes in support of the End User's (Licensee's) continued use of the software product(s). The End User (Licensee) is entitled to the use of all related media, printed materials, and electronic documentation associated with the software product(s). If the End User (Licensee) fails to comply with any portion of this agreement, OTS Associates may terminate this agreement. Upon termination, the End User (Licensee) agrees to destroy the software product(s), copies of the software product(s), and all of its component parts. The End User (Licensee) agrees that OTS Associates has incurred expenses related to the development and/or support of the software product(s), and is entitled, and agrees to provide fair remuneration for the software product and support thereof under the terms of this agreement. The End User (Licensee) may cancel this agreement upon 30 day written notification to OTS Associates of the End User's (Licensee's) discontinued use of the software product(s). LIMITED WARRANTY OTS Associates warrants that the software product(s) will perform substantially in accordance with any related marketing material, written documentation, or specifications provided the End User (Licensee) prior to or during the term of this agreement by OTS Software Associates, or its authorized representatives, for a period of 90 days from the date of receipt of the software product(s), provided the software product(s) is used on an operating system for which it was designed. OTS Associates further warrants that the media on which the software product(s) is provided will be free of defects in material or workmanship for a period of 90 days. OTS Associates sole obligation and liability for breach of the foregoing warranties shall be to repair or replace the software product(s) and or defective media, as the case may be. Any modification or attempts to modify the software product(s) by anyone other than OTS Associates voids the foregoing warranty. other warranties or conditions are expressed, and none shall be implied, including (but not limited to) the software product(s) and or software support services provided by OTS Associates or its authorized representatives. LIMITATION OF LIABILITY In no event shall OTS Associates be held liable by the End User (Licensee) for any special, incidental, indirect, or consequential damages whatsoever, including (but not limited to) the loss of business profits, business interruption, or any other loss arising out of the End User's (Licensee) use of or inability to use the software product(s) or the provision of or failure to provide software support services relating to the software product(s) even if OTS Associates has been advised of the possibility of such damages.
