3 Part 1 - Instruction to Bidders 1. Tenders shall be prepared and submitted in accordance with this Tender Document. 2. Definitions: 2.1 Tender Document: shall mean this document, consisting of Instructions to Bidders, Detailed Scope of Work, Pricing Format, Submission of Proposals and Clarifications Format. 2.2 Company: shall mean Occidental Petroleum of Qatar Ltd. 2.3 Bidder(s): shall mean the company(s) receiving this Tender Document. 2.4 Tender Proposal: shall mean the offer made by Bidder to comply with the scope of work and provide services based on this Tender Document. 2.5 Closing Date: shall be the date stipulated in this Tender Document or as amended through a tender bulletin. 3. Tender closing Date: Tender closing date shall be October 31, 2017

4 Part 2 - Detailed Scope of Work Provision of Medical supplies in accordance with specifications and requirements of these Commercial Terms. 1. ORDERS COMPANY represents that it has ongoing general requirement for Materials listed in Exhibit 2 hereto, but does not guarantee to call off and take delivery of any of the Materials or utilize any of the Services listed during the Term of these Commercial Terms. However, notwithstanding the foregoing, COMPANY warrants that it is COMPANY's intention to purchase said Materials on an as and when required basis by means of Requests by or fax. Requests shall be communicated to CONTRACTOR by COMPANY's Administration Representative as and when required. With prior mutual agreement, COMPANY may also purchase items not covered by these Commercial Terms but similar in nature to the items on these Commercial Terms. Prices of such items must be presented in writing by CONTRACTOR and agreed upon by COMPANY. Such items, which were not covered in the original Bill of Material in Exhibit 2, are agreed to be automatically appended to the Bill of Material in Exhibit DELIVERY TERMS Delivery terms for these Commercial Terms is Delivered Duty Paid (DDP) at COMPANY's office Navigation Plaza, COMPANY's warehouse at Ras Laffan Industrial City, Qatar (RLIC) or at the location specified in the Request Delivery time: Within Two to Three days from date of Request 3. DELIVERY ADDRESS Material shall be delivered at COMPANY's office Navigation Plaza: Occidental Petroleum of Qatar Ltd. Navigation Plaza C Ring Road Doha Qatar Attn: INSPECTION COMPANY reserves the right to inspect any of the Materials ordered pursuant to these Commercial Terms at CONTRACTOR's premise, stocking facilities or at any other location prior to passing of title of Materials to COMPANY. Materials may be rejected by COMPANY if they fail to meet the agreed upon specifications. In case of rejection of any Materials, disposal of rejected Material shall be at CONTRACTOR's cost and care with no obligations on COMPANY. Furthermore, COMPANY and its authorized representatives, shall have sufficient access, at all reasonable times, to all personnel, books, records, correspondence, instructions, receipts, vouchers, memoranda and any other information required for COMPANY's review of work progress of the Materials ordered pursuant to these Commercial Terms. 2. RETURN OF MATERIALS FOR REASONS OTHER THAN REJECTION Exhibit I Page 3 of 3

5 If, for any reason, COMPANY decides not to use any items purchased hereunder, COMPANY may return such unused material to CONTRACTOR with full credit provided that such material is in re-sellable condition and has not exceeded the expiry date. 3. SERVICE REQUIREMENTS At least one (1) dedicated person, assigned by CONTRACTOR, is to handle the requirements specified in these Commercial Terms. Such person shall be equipped with a mobile telephone and shall be at COMPANY's disposal at all times, seven (7) days a week. Deliveries against Release Orders normally take place during COMPANY's normal working days and hours. Emergency requirements however, could demand deliveries outside of COMPANY's normal working hours or during weekends and national holidays. CONTRACTOR's assigned person shall be on standby and available at all times and ready to respond to any requests made by COMPANY against these Commercial Terms.

13 Part 4 - Submission of Proposals 1. Tender Proposals shall be submitted strictly in accordance with these instructions to Bidders and shall consist of the following: - Detailed Scope of Work - A completely filed pricing format 2. The subject of the submission shall be Tender no xxxx Proposal Submission. 3. The submission shall be sent on the tender closing date by AM Doha Time. Page 6 of 6
