1 PROGRAM LETTER This Program Letter is part of the FY19 Learning Partner Incentive Program Master Agreement between Microsoft and Company. The Effective Date of this Program Letter is December 1, 2018 ( Program Start Date ). Program Name(s): FY19H2 Channel Incentive Program Eligible Product(s) for FY19H2 Incentive Program Base Campaign: All digital MOC (DMOC) titles of Azure/ Data & Analytics/Office 365 (as listed in Table 2) when not part of a Packaged Set (excluding Eligible DMOC Bundles), all Cloud Workshops (as listed in Table 2), Eligible DMOC Bundles (as listed in Table 2), new Role-based Courseware (digital) (as listed in Table 3) and Role-based Packaged Sets (digital) (as listed in Table 4), Exam Replay Voucher (A ), MCP Exam Voucher (A ), Exam Replay with Practice Test bundles (A ), Azure Transition Exam (7SF-00088), Certify with Confidence (A ), Certify with Confidence with Practice Test (A ) and Microsoft Fundamentals Certification Exams (PPM-00001) 1. PROGRAM TERM, INCENTIVE PROGRAM. This Program commences as of Program Start Date and the Program and this Program Letter will automatically terminate on May 31, 2019, unless terminated earlier, in accordance with this Agreement. The Program s enrollment period begins on February 2, 2019 and runs through March 31, 2019 ( Enrollment Period ). The Program s purchase period begins on December 1, 2018 and runs through May 31, 2019 ( Purchase Period ). The Program s payment period begins on June 1, 2019 and runs through July 31, 2019 ( Payment Period ). NOTE: Payment Period is an estimation, actual transfer of funds may occur beyond the listed payment period. 2. ADDITIONAL ELIGIBILITY AND PARTICIPATION REQUIREMENTS. Learning Partner must meet the following requirements to be eligible to participate and earn incentives in this Program: a. Each Learning Partner must be an active MPN member and in good standing in the Learning Partner Program b. Each Learning Partner Location must enroll into the incentive program during the Enrollment Period NOTE: To be eligible for Incentive payout, each active Location must be separately enrolled in the Incentive Program. Locations not enrolled will not be eligible for payment. c. Each Learning Partner must make purchases of incentive eligible products from Courseware Marketplace during the Purchase Period d. To earn an incentive, each Learning Partner Organization must meet, or exceed, any of the thresholds of at least one of the product categories as mentioned in Table 1 3. INCENTIVE PAYMENTS. a. There are 2 ways to earn an incentive payment: 1. One based on Net Purchases of Eligible digital MOC units (Eligible DMOC) (refer to Table 2) when not part of a Packaged Set (excluding Eligible DMOC Bundles), Cloud Workshops 1 P a g e

2 (refer to Table 2), Eligible DMOC Bundles (refer to Table 2), new Role-based courseware (digital) (as listed in Table 3) and Role-based Packaged Sets (digital) (as listed in Table 4) purchases. 2. One based on Net Purchases of eligible Exam Voucher (A ) units, Exam Replay (A ) units, Exam Replay with Practice Test bundles (A ) units, Azure Transition Exam (7SF-00088) units, Certify with Confidence (A ) units, Certify with Confidence with Practice Test (A ) units and Microsoft Fundamentals Certification Exams (PPM-00001) units 3.a.1. Unit means the purchase of 1 SKU s worth of an incentive eligible product. b. Incentive payout percentages are determined by a Learning Partner organization s total Net Purchases (i.e., the sum of the eligible location purchases belonging to the Learning Partner s organization) of eligible Units of Eligible digital MOC/ Cloud Workshops/ Eligible DMOC Bundles/ new Role-based Courseware (digital) and Role-based Packaged Sets (digital)/ Exam Vouchers/ Exam Replay/ Exam Replay with Practice Test bundles/ Azure Transition Exams/ Certify with Confidence / Certify with Confidence with Practice Test/ Microsoft Fundamentals Certification Exams based on the country where the business associated with your MPN Location ID number linked to this Agreement is located. c. Only those Eligible digital MOC/ Cloud Workshops/ Eligible DMOC Bundles/ new Role-based Courseware (digital) and Role-based Packaged Sets (digital)/ Exam Vouchers/ Exam Replay/ Exam Replay with Practice Test bundles/ Azure Transition Exams / Certify with Confidence / Certify with Confidence with Practice Test / Microsoft Fundamentals Certification Exams purchased during the Purchase Period ( Purchase Period") directly from the Courseware Marketplace, in accordance with their payment terms and conditions, using your MPN Location ID number associated with this Agreement will be considered eligible Units that count towards your total number of Net Purchases eligible for an incentive payment. d. Orders for Eligible digital MOC/ Cloud Workshops/ Eligible DMOC Bundles/ new Role-based Courseware (digital) and Role-based Packaged Sets (digital)/ Exam Vouchers/ Exam Replay/ Exam Replay with Practice Test bundles/ Azure Transition Exams/ Certify with Confidence / Certify with Confidence with Practice Test / Microsoft Fundamentals Certification Exams that have not been invoiced by May 31, 2019 will not be considered eligible Units. e. All standalone Role-based Courseware with a class duration of 2 day or less will be counted towards the incentive threshold as 1 unit for every purchase of 3 qty 3 qty (any role-based courseware, standalone or combo of 2/1.5/1/0.5 days) = 1 unit of Incentive threshold) f. Products must have a monetary value to qualify as a unit toward the tier goals. Free or no-cost courses or vouchers will not be considered eligible units for the FY19H2 incentive program g. To be eligible for an incentive payment, each Learning Partner Organization must meet or exceed any of the thresholds of at least one of the product categories as mentioned in Table 1. FY19H2 Incentive Program payouts are restricted to Learning Partner locations registered in the FY19H2 Incentive Program. h. Incentive payout percentage amounts vary based on purchases of Eligible digital MOC/ Cloud Workshops/ Eligible DMOC Bundles/ new Role-based Courseware (digital) and Role-based Packaged Sets (digital)/ Exam Vouchers/ Exam Replay/ Exam Replay with Practice Test bundles/ Azure Transition Exams/ Certify with Confidence / Certify with Confidence with Practice Test / Microsoft Fundamentals Certification Exams and the number of products purchased. 3 incentive payment amount will be determined based on the applicable incentive payout percentage listed in the Table 1 below on Learning Partner s Net Purchases of the applicable product during the Purchase Period. i. Learning Partner s Net Purchases of eligible products which are purchased in any currency other than U.S. Dollar/Euro/Great British Pound will be converted into U.S. Dollars and all conversions from foreign currencies will be made at the foreign exchange mid-market rates as published on (or a successor authority agreed upon by the parties) on the last day that such rates are published during the Purchase Period. j. Incentive payments will be based solely on the amount of Learning Partner's invoiced New Purchases of Eligible Products during the Purchase Period. Eligible Products that have not been invoiced during the Purchase Period will not count as Net Purchases. INCENTIVE PROGRAM payment amounts (if any) will be calculated as follows: NOTE: To be eligible for a Base Campaign Incentive payment, the purchase of qualifying products must be invoiced by May 31, 2019 (the last day of the Purchase Period). Exceptions will not be granted for transactions delayed due to pending credit decisions or financial transaction delays. Each partner is responsible to initiate the purchase of qualifying products to allow plenty of time to be finalized by the end of the Purchase Period: time required may vary by region. Counts all DMOC titles of Azure, Office 365 and Data & Analytics (refer Table 2 below for the eligible course titles) b. Counts all Cloud Workshops (refer Table 2 below for the eligible Cloud Workshops) and Eligible DMOC Bundles (refer Table 2 below for the eligible DMOC Bundles) c. Counts new Role-based Courseware (digital) and Role-based Packaged Sets (digital) (refer Table 3 and Table 4 below for the eligible course titles and packaged sets) 3 P a g e
