2 National Electric Power Regulatory Authority NEPRA Determination of the Authority in the Matter of Generation Licence Application of (A). Background September 09, 2014 Case No. LAG-251 (i). (LCL) is one of the leading cement manufacturers of the country and has production facilities at Karachi (58-KM Main Superhighway) in the Province of Sindh and at Pezu, District Lakki Marwat, Khyber Pakhtunkhwa (KPK). In order to meet its electricity requirements, LCL has installed Captive Power Plant (CPP) at both of its production facilities at Karachi and Pezu. (ii). At its Pezu Plant, LCL has installed a Waste Heat Recovery Steam Generator (WHRSG) of MW at its Kiln, operating on coal. Further, another WHRSG of 6.00 MW is in advance stage of installation, thereby increasing the Installed Capacity of WHRSG to MW. LCL intends supplying around MW Electric Power from the above mentioned WHRSG to Peshawar Electric Supply Company Limited (PESCO). (B). Filing of Application for Generation Licence (i). According to the Section 15 of the Regulations of Generation, Transmission and Distribution of Electric Power Act 1997 ("the NEPRA Act"), for supplying to DISCO LCL is required having a Generation Licence. Accordingly, LCL filed an application for the grant of Generation License under Section 15 of the NEPRA Act, on February 26, 2014 for the above Generation Facility/CPP. Registrar examined the submitted application and found it non-compliant with the NEPRA Page 1 of 7
3 Licensing (Application and Modification Procedure) Regulations, 1999 ("the Regulations"). (ii). In view of the above, Registrar directed LCL for submitting the missing information/documents as stipulated in the Regulations. LCL completed the submission of required information/documents on April 28, After completion of the information, the Authority in its Regulatory Meeting (RM ) held on May 20, 2014, admitted the application for grant of Generation Licence under Regulation 7 of the Regulations. The Authority approved the draft of Notice of Admission (NoA) to be published in the daily newspapers, for informing and seeking comments of general public as stipulated in the Regulation 8 of the Regulations. Furthermore, the Authority approved the list of relevant stakeholders for inviting comments or otherwise assisting the Authority in the matter as stipulated in Regulation 9 (2) of the Regulations. (iii). Accordingly, NoA was published in one (01) Urdu and one (01) English daily newspaper on May 24, 2014 informing the general public, stakeholders and interested/affected parties about the admission and for providing their comments in favor or against the grant of Generation Licence. Moreover, separate notices were also sent to relevant stakeholders on May 26, 2014, for submitting their views/comments in the matter. (C). Comments of the Stakeholders (i). In reply to the above mentioned notices, the Authority received comments from five (05) stakeholders. These included Alternative Energy Development Board (AEDB), Central Power Purchasing Agency (CPPA) of National Transmission and Despatch Company Limited (NTDC), PESCO, Energy & Power Department Government of Khyber Pakhtunkhwa (E&PDGoKPK) and Ministry of Petroleum and Natural Resources (MoP&NR). 4 (ii). The salient points of the comments offered by the above mentioned stakeholders are mentioned hereunder:- (a). AEDB in its comments submitted that GoP is very keen to utilize the Renewable Energy (RE) technologies to overcome the current energy crisis. This project is exclusively based on WHRSG, which falls under Alternate Energy therefore, AEDB supports the issuance of Generation Licence to LCL; (b). CPPA commented that LCL is offering sale of power to PESCO therefore, comments/views of PESCO would be important; (c). PESCO submitted that it can only submit comments/ views if complete details, Feasibility Study (FS), Interconnectivity and Tariff are provided; (d). E&PDGoKPK remarked that LCL plans using WHRSG for energy production which may result low project cost, low tariff. Applicant has not mentioned the Voltage Level by which energy will be supplied to PESCO. It may be proposed that for 16.00MW energy supply, Generation voltage may be 11KV and the same may be stepped up to 132KV to connect it to the National Grid. The aspect of Grid Location may be given due consideration as the cost of project may increase due to lengthy transmission line. As country is facing acute short fall of energy, therefore, each and every kilowatt of energy generated may be utilized to overcome the shortfall; and (d). MoP&NR mentioned that LCL intends to install Thermal Power Plant based on WHRSG installed on Cement Kiln Page 3 of 7
5 operating on coal as fuel and as such no gas is required for utilization in this project. Therefore, this Ministry has no objections/comments for grant of Generation Licence to LCL. (iii). The Authority examined the above comments of the stakeholders and found the same supportive except the observations of PESCO that it will require FS for submitting comments. In view of the said, the Authority considered it appropriate seeking prospective of LCL on the observations/comments of PESCO through a rejoinder in the matter. (iv). In its rejoinder LCL informed that it approached PESCO in August 2009 for supplying MW of Natural Gas based surplus electric power from its Generation Facility/ CPP located at it Cement Plant of Pezu, District Laki Marwat. The representatives of LCL and PESCO (collectively parties) had detailed meetings and exchange of relevant documents including the FS of the Project. Further, all the technical issues pertaining to the above arrangement were resolved including the Interconnection Arrangement for connecting the CPP of LCL with 132 KV Pezu Grid Station of PESCO for dispersal of power. LCL offered to bear all cost pertaining to laying out a Single Circuit Transmission Line [Measuring about eight (08) Km in length] from its Generation Facility/CPP to 132 KV Pezu Grid Station of PESCO. However, the said arrangement could not be materialized as Sui Northern Gas Pipelines Limited (SNGPL) did not issue the necessary NoC for utilizing the allocated Natural Gas. LCL clarified that in order to fulfill its commitment towards PESCO, it has now planed supplying surplus electric power by installing WHRSG at Kiln (operating on Coal) and Diesel Engines (operating on Furnace Oil and Natural Gas) for utilizing the flue gases earlier being discharged in atmosphere thereby increasing the efficiency. (v). The Authority deliberated the comments of the stakeholders and the rejoinder of LCL on the observations of PESCO and found the submissions of LCL adequate. In view of the said, the Authority considered it appropriate to process the Page 4 of 7
6 Generation Licence application of LCL as stipulated in the Regulations and the NEPRA Licensing (Generation) Rules 2000 ("the Rules"). (D). Grant of Generation Licence (i). The Authority considers that availability of sufficient electricity at affordable prices with a reasonable mix of Hydel, Thermal and other Renewable Energy (RE) is imperative for the sustainable economic development of the country. The country is currently facing severe shortage of electricity thus hampering the economic activities. (ii). The Authority is well aware of the fact that installation of new power plants requires a considerable lead time. Therefore, the Authority considers it appropriate that in the short term period, the dormant capacity available with various Industrial Units (including Textile, Chemical and Sugar Mills) is brought into the National Grid. In the present case, LCL has offered to sell upto MW surplus electric power from its CPP to PESCO. (iii). The Authority considers the above offer of LCL reasonable as significant amount of low cost RE will be available to PESCO in the shortest possible. Further, being located close to the cities of Bannu, D.I.Khan, Pezu and Lakki Marwat and their surrounding areas, the proposed arrangement will also help PESCO in mitigating the shortfall of electricity, enabling it to supply electric power to its consumers. (iv). According to Rule 5(1) of the Rules, except where an applicant for a Generation Licence consents to a shorter term, the term of a Generation Licence shall commensurate with the maximum expected useful life of the units comprised in a generation facility. The facility of LCL consists of two (02) Steam Turbines. The latest unit of the said generation facility of LCL will be commissioned by June 30, 2015 and LCL has estimated the useful life of this unit to be thirty (30) years from Commercial Operation Date (COD). LCL has requested the Authority for taking this Page 5 of 7
7 as bench mark in determining the term of its proposed Generation Licence. In this regard, the Authority considers that the normal operating life of a Steam Turbine is taken as years based on its round the year operation, if maintained properly. In view of the fact that LCL has consented to a shorter term therefore, the Authority sets the term of the Generation Licence to thirty (30) years from the date of COD of the Unit No. 2 of the Generation Facility of LCL. (v). Regarding the Tariff, it is hereby clarified that under Section 7(3)(a) of the NEPRA Act, determining of tariff, rate and charges etc. is the sole responsibility of the Authority. In terms of Section 31 of the NEPRA Act read with relevant provisions of the NEPRA (Tariff Standards and Procedure) Rules, 1998 a Generation Company may file a Tariff petition for determination of its Generation Tariff. Further, in terms of Section 32 of the NEPRA Act, read with relevant provisions of the NEPRA Interim Power Procurement (Procedures and Standards) Regulations, 2005, a Generation Company may approach a Transmission or Distribution company for filing a Power Acquisition Request (PAR) and for negotiating a Power Acquisition Contract (PAC). In this particular case, LCL has confirmed that after the grant of Generation Licence it will be approaching PESCO for filing a PAR with the Authority. Further, a PAC will be negotiated with and filed with the Authority for its approval. In view of the said, the Authority directs LCL to approach PESCO for filing a PAR. The Authority directs LCL to charge only such tariff from the Power Purchaser which has been determined, approved or specified by the Authority as stipulated in Rule-6 of the Rules. (vi). The generation facility of LCL for which Licence has been sought, is a Conventional Steam Turbine Power Plant using WHRSG (using the exhaust gas from the Kiln and Diesel/Gas Engines of CPP) of LCL. WHRSG is a RE source which does not cause pollution. However, the operation of the WHRSG and CPP may cause some other type of pollution including Soil Pollution, Water Pollution and Noise Pollution. The Authority has considered these aspects and has made LCL obligatory to comply with the required rules and regulation on environment. Further, LCL has submitted the NoC from Environmental Protection Agency of Govt. of KPK Page 6 of 7
8 (EPAKPK). However, the Authority directs LCL submitting a quarterly report confirming that the operation of its WHRSG and CPP is compliant with required Environmental Standards of the EPAKPK. (vii). The proposed WHRSG of the Co-Generation Power Plant/Generation Facility of LCL will be using RE Resource for Generation of electric Power. Therefore, the same may qualify for the Carbon Credits under the Kyoto Protocol (for RE projects coming into operation upto 2020). In view of the said, the Authority directs LCL to initiate the process in this regard at the earliest so that proceeds for the Carbon Credits are materialized. LCL shall be required to share the proceeds of the Carbon Credits with the Power Purchaser as stipulated in Article-13 of its Generation Licence. (viii). In view of the above, the Authority hereby decides to approve the grant of Generation Licence to LCL on the terms and conditions set out in the Generation Licence annexed to this determination. The grant of Generation Licence will be subject to the provisions contained in the NEPRA Act, relevant Rules and Regulations framed there under. Authority Maj. 9 National Electric Power Regulatory Authority (NEPRA) Islamabad - Pakistan GENERATION LICENCE No. SGC/104/2014 In exercise of the Powers conferred upon the National Electric Power Regulatory Authority (NEPRA) under Section 15 of the Regulation of Generation, Transmission and Distribution of Electric Power Act, 1997, the Authority hereby grants a Generation Licence to: LUCKY CEMENT LIMITED Incorporated under the Companies Ordinance, 1984 (XLVII of 1984) with Company Registration No , dated September 18, 1993 for its Waste Heat Recovery Based Generation Facility Located at Pezu District Lakki Marwat, in the Province of KPK (Installed Capacity: MW Gross ISO/Total) to engage in generation business subject to and in accordance with the Articles of this Licence. Given under my hand this /014 day of September Two Thousand & Fourteen and expires on 29th day of June Two Thousand & Forty Five.
10 Article-1 Definitions Generation Licence Pezu, District Lakki Marwat 1.1 In this Licence (a) "Act" means the Regulation of Generation, Transmission and Distribution of Electric Power Act, 1997; (b) "Authority" means the National Electric Power Regulatory Authority constituted under section 3 of the Act; (c) "Bus Bar" means a system of conductors in the generation facility of the Licensee on which the electric power of all the generators is collected for supplying to the Power Purchaser; (d) "Commercial Operations Date (COD)" means the day immediately following the date on which the generation facility of the Licensee is Commissioned; (e) "CPPA" means "the Central Power Purchasing Agency of NTDC" or any other entity created for the like purpose; (f) "Carbon Credits" mean the amount of carbon dioxide (CO2) and other greenhouse gases not produced as a result of generation of electric power by the generation facility of the Licensee and other environmental air quality credits and related emissions reduction credits or benefits (economic or otherwise) related to the generation of electric power by the generation facility, which are available or can be obtained in relation to the generation facility; (g) "Energy Purchase Agreement" means the energy purchase agreement, entered or to be entered into by and between the Power Purchaser and the Licensee, for the purchase and sale of electric energy generated by the generation facility, as may be amended by the parties thereto from time to time; Page 2 of 6
11 (h) Generation Licence Pezu, District Lakki Marwat "Grid Code" means the grid code prepared by NTDC and approved by the Authority, as it may be revised from time to time by NTDC with any necessary approval by the Authority; (i) "Licensee" means and its successors or permitted assigns; (j) "NTDC" means "the National Transmission and Despatch Company Limited and its successors or permitted assigns"; (k) "Policy" means "the Policy for Development of Renewable Energy for Power Generation, 2006" of Government of Pakistan as amended from time to time; (I) "Power Purchaser" means a Distribution Licensee or CPPA which purchases electricity from the Licensee, pursuant to a power purchase agreement for procurement of electric power; (m) "PESCO" means "Peshawar Electric Power Company Limited and its successors or permitted assigns; (n) "Rules" mean the National Electric Power Regulatory Authority Licensing (Generation) Rules, 2000; and 1.2 Words and expressions used but not defined herein bear the meaning given thereto in the Act or in the Rules. Article-2 Application of Rules This Licence is issued subject to the provisions of the Rules, as amended from time to time. Page 3 of 6
12 Generation Licence Pezu, District Lakki Marwat Article-3 Generation Facilities 3.1 The location, size (capacity in MW), technology, interconnection arrangements, technical limits, technical functional specifications and other details specific to the generation facility of the Licensee are set out in Schedule-I of this Licence. 3.2 The net capacity of the generation facility of the Licensee is set out in Schedule-II hereto. 3.3 The Licensee shall provide the final arrangement, technical and financial specifications and other specific details pertaining to its generation facility/solar Farm before its commissioning. Article-4 Term of Licence 4.1 This Licence is granted for a term of thirty (30) years from the COD of Unit-II. 4.2 Unless suspended or revoked earlier, the Licensee may apply for renewal of this Licence under the National Electric Power Regulatory Authority Licensing (Application & Modification Procedure) Regulations, 1999 (as amended or replaced from time to time), within ninety days (90) days prior to the expiry of the term of this Licence. Article-5 Annual Licence Fee After the grant of the Generation Licence, the Licensee shall pay to the Authority annual licence fee, in the amount, manner and at the time set out in the National Electric Power Regulatory Authority (Fees) Rules, Page 4 of 6
13 Generation Licence Pezu, District Lakki Marwat Article-6 Tariff The Licensee shall charge only such tariff which has been determined, approved or specified by the Authority in terms of Rule-6 of the Rules. Article-7 Competitive Trading Arrangement 7.1 The Licensee shall participate in such manner as may be directed by the Authority from time to time for development of a Competitive Trading Arrangement. The Licensee shall in good faith work towards implementation and operation of the aforesaid Competitive Trading Arrangement in the manner and time period specified by the Authority. Provided that any such participation shall be subject to any contract entered into between the Licensee and another party with the approval of the Authority. 7.2 Any variation or modification in the above-mentioned contracts for allowing the parties thereto to participate wholly or partially in the Competitive Trading Arrangement shall be subject to mutual agreement of the parties thereto and such terms and conditions as may be approved by the Authority. Article-8 Maintenance of Records For the purpose of sub-rule (1) of Rule 19 of the Rules, copies of records and data shall be retained in standard and electronic form and all such records and data shall, subject to just claims of confidentiality, be accessible by authorized officers of the Authority. Article-9 Compliance with Performance Standards The Licensee shall comply with the relevant provisions of the National Electric Power Regulatory Authority Performance Standards (Generation) Rules 2009 as amended from time to time._ Page 5 of 6
14 Generation Licence Pezu, District Lakki Marwat Article-10 Compliance with Environmental & Safety Standards The Licensee shall comply with the environmental and safety standards as may be prescribed by the relevant competent authority from time to time. Article-11 Power off take Point and Voltage The Licensee shall deliver power to the Power Purchaser at the outgoing bus bar of its generation facility at 132 KV voltage. The up-gradation (step up) of generation voltage up to 132 KV will be the responsibility of the Licensee. Article-12 Provision of Information 12.1 The obligation of the Licensee to provide information to the Authority shall be in accordance with Section 44 of the Act The Licensee shall be subject to such penalties as may be specified in the relevant rules made by the Authority for failure to furnish such information as may be required from time to time by the Authority and which is or ought to be or has been in the control or possession of the Licensee. Article-13 Carbon Credits The Licensee shall process and obtain emissions/carbon Credits expeditiously and credit the proceeds to the Power Purchaser as per the Policy. Page 6 of 6

25 Generation Licence Pezu, District Lakki Marwat Interconnection Arrangement/ Transmission Facilities for Dispersal of Power from the Generation Facility/Power Plant The electric power generated by (LCL) from its WHR based Thermal Power Generation Facility shall be dispersed to the Load Center of PESCO. (2). The Interconnection/Transmission Arrangement for the above mentioned facilities will be at 132 KV voltage, connecting the generation facility of LCL to 132 KV Pezu Grid Station of PESCO. (3).
