2 1. ORDERING CB TEST PRODUCTS & SERVICES 1.1. Ordering Procedure 1. Download the current version of our Purchase order, available at: 2. Get an order number. For completed and duly filled orders, this number is provided by a confirmation mail from the test cards service, meaning those orders were taken into account. 4. Proceed to payment: Please report the order number given by the Test cards service with every single payment. Every payment should be made within 20 days: - By bank transfer: report your company name and order number in the payment form. Our bank account reference (IBAN) will be communicated in step 2 with the order number. - By cheque: to Groupement des Cartes Bancaires, by paper mail with the order number written at the back of the cheque, with the purchase order at: Groupement des Cartes Bancaires Service Cartes de test 151 bis rue Saint-Honoré Paris FRANCE Pro forma bills may be issued upon request at compta-clients@cartes-bancaires.com, to formalize the price of the order. (ADD PURCHASE ORDER AS AN ATTACHED PIECE stating the order number received at step 2) 5. Order Processing: Cartes Bancaires will process your order when payment is confirmed. Shipping will be notified at the address provided in your purchase order. 3 Processing time : CB test cards : Please allow for 8 working days for the shipping of your order starting from the reception of payment. This deadline may be extended for orders exceeding 10 lots by product type. Test or development CB cards are shipped by registered post with proof of receipt, to the address provided in the purchase order. The Shipment to Europe usually takes up to 3 working days. This deadline is given as an indication only. The Groupement des Cartes Bancaires may not be held liable for further delay. Test Merchant contract (Merchant cards and test Acquisition): Your order will be processed within 8 working days starting from payment receipt. Opening or renewing a merchant contract usually takes 2 working days, starting from the order processing. In case the order is associated to a merchant card, the latter will be sent at the earliest convenience following the order processing. Delivering merchant cards usually takes around three weeks. This deadline is given as an indication only. The Groupement des Cartes Bancaires may not be held liable for further delay. NB: The Groupement des Cartes Bancaires sends notifications when planning temporarily closure of its order processing services, typically for summer and winter holidays. 2. TERMS & CONDITIONS Terms and conditions for using CB test and development cards are described in the User Agreement section of this document describing the obligations of the User in terms of deliverance and use of CB test and development cards. Note that the legitimate user may never handle his test and development cards to another user. Please note that test cards will be systematically refused on OSCAR readers, until protocol has evolved Lost and stolen cards The User shall register Lost & Stolen cards as soon as possible for opposition by sending a mail at: cartes-de-test@cartes-bancaires.com RMA/GOS/08-002, V4.3 23/11/2018 3/10

4 2.2. Non-functional cards Non-functional cards shall be sent back to Groupement des Cartes Bancaires CB Test Cards Services. If a CB test or development card is damaged or after an excessive use or due to improper handling from the User, in the customized zone of the microcircuit, the Groupement des Cartes Bancaires destroys the card and notifies the User. (ex.: 3 wrong PIN tries) Transaction Any use of test cards or merchant contracts leading to unusal or excessive transaction flow (remote data collection, online authorization ) may be blocked by Cartes Bancaires Merchant contract For merchant contract renewal, the Groupement des Cartes Bancaires must receive a duly completed purchase order no later than 8 working days prior to the expiration date of the contract (see 1.1 Ordering Procedure). Failing this, expired contracts will be closed. Transactions executed from a test merchant contract are not to be compensated. 3. BILLING Test cards orders billing is processed at end of the month. Your customer reference to be reported on the bills must be provided in the Customer Reference section of your purchase order. 5 USER AGREEMENT "CB" TEST AND DEVELOPMENT CARDS The contracting company (hereafter: the User ) seeks to use Groupement des Cartes Bancaires specifications compliant cards in order to test payment or cash withdrawal equipment or applications. Groupement des Cartes Bancaires "CB" (hereafter : The Groupement ) is the only legitimate provider for such cards allowing to perform tests, either called CB test cards or CB development cards (hereafter: "Test Cards"). The Groupement is still owner of the Test Cards provided to the User for this service agreement. The Groupement retains also the right to decline any Test Card order after proper analysis of the information sheet. Such decline will be notified by simple mail. It is thus agreed as follows: The present Terms & Conditions contractually bind the User. This agreement prevails on any other document. ARTICLE 1 OBJECT This document describes: Terms in which Test Cards are handled to the User. Terms & Conditions for using Test Cards, emphasizing again that the respect of these T&C is an essential commitment from the User, who shall conform himself to it, due to security risks inherent to fraudulent use of Test Cards. ARTICLE 2 ORDERS For each Test Cards order, the User shall send a completed purchase order to the Groupement -Test Cards Services department as well as a signed copy of the present User Agreement and a completed and signed Order Detail form. The User shall certify that the information provided in these documents is correct. ARTICLE 3 PRICE Test Cards delivery occurs upon payment by the User according to the current Price, available on demand from the Groupement. Payment is due at reception of the order. ARTICLE 4 CONDITIONS OF USE 1. Test cards may only be used by User employees. A User supervisor is designated for their use. 2. Test Cards shall never be used for on-the-field payment or cash withdrawal. They cannot be confused with real CB customer cards due to their explicit mentions. 3. CB Test Cards shall only be used to test payment and withdrawal equipment in order to improve the functioning and development of CB payment system. 4. The Groupement monitors the activity of each Test Card and retains the right to block any card presenting a security risk for the service hereby presented. If this happens, the User is immediately notified through the address provided in its purchase order. 5. Any attempt at reproducing, modifying the physical support or any information contained on the magnetic fields and/or the microprocessor is expressively forbidden and shall be prosecuted. 6. Every six months, the User must draw an inventory of received test cards, and must be able to localize at any time all Test Cards in its possession. 7. Upon request from the Groupement, the User shall provide the exhaustive list of his Test Cards and their legitimate holders. 8. The User will return the Test cards to the Groupement at any time, at the first request of the latter by simple letter. The User returns it at the first demand of the Groupement by registered mail with acknowledgement of receipt to the Groupement or any establishment designated by the latter. 9. The User acknowledges and accepts these Conditions of Use. 10. Cryptographic or authentication keys provided with CB development Cards shall exclusively be present on test equipment. 6 ARTICLE 5 LOST & STOLEN CB TEST CARDS FORM TO COMPLETE In case any Test Card is lost or stolen, The User:... Represented by:... Shall immediately notify to the Groupement - Test Cards Services (cartes-de-test@cartes-bancaires.com). The User shall then confirm this notification of card cancellation by paper mail sent to Groupement des Cartes Bancaires "CB" - Service Cartes de Test, 151 bis, rue Saint-Honoré Paris FRANCE. Failing to do so, the User is deemed to be negligent and its responsibility toward the Groupement is engaged in compliance with the provisions of the article 7. ARTICLE 6 DURATION OF PROVISION OF TEST CARDS The Test Cards are provided to the User by the Groupement for the validity period. At this point, they become obsolete and can no longer be used. As CB keeps owning these Test Cards, the User shall send them to the Groupement - Test Cards Services no later than 30 days after expiry. No further order will be processed by the Groupement until obsolete Test Cards are returned. However, the Groupement can issue waiver letters allowing the User to keep one or several expired Test Cards under terms described in the waiver letter. ARTICLE 7 USER S RESPONSIBILITY The User will be held liable for any breach of these provisions and may be financially prosecuted. He will be held liable for any damage or loss directly or indirectly suffered by the Groupement during or as a consequence of his usage of Test Cards. Fraudulent or abusive use of Test Cards is punishable according to the rules of French Financial and Monetary Code. As such, the User is responsible for the security and integrity of its Test Cards. In this respect, he will be held financially liable towards the Groupement for any direct or indirect damage related to any criminal offence or prejudicial consequence that may result for any third party. ARTICLE 8 NON-TRANSFERABILITY OF TEST CARDS The Groupement provides Test Cards for the exclusive use of their legitimate User. They cannot be transferred to any third party and must be only operated for tests by designated User employees or attendants, under the supervision and responsibility of the User. Being non-transferable, Test Cards may not be relinquished, leased or sold in any way by the User. ARTICLE 9 TERRITORIALITY Regarding the current security rules applied to the Test Cards and the contractual missions of the Groupement to ensures application and integrity of those cards, the Groupement decides the countries and territories where the Test cards may be used. The Groupement or the User must be able to ensure the legal protection of the CB products. The Test cards can be used within the European economic area (EEA), Japan, North America and in all countries where the trademark CB is registered. This complementary list of countries authorized to receive Test cards is not definitively sealed and is subject to the discretion of the Groupement. ARTICLE 10 RELEVANT COURTS Any dispute arising from these terms is by express agreement definitively resolved by arbitration in accordance with the International Commerce Chamber (ICC) Rules of Arbitration.
