ORDERING CB TEST PRODUCTS & SERVICES Ordering Procedure Download the current version of our order form, available at : 1 Send the completed order form by either: paper mail : cartes-de-test@cartes-bancaires.com Groupement des Cartes Bancaires Service Cartes de Test 151 bis, rue Saint-Honoré Paris FRANCE 2 Get an order number. This number is provided by Cartes Bancaires confirmation mail for valid orders. Please report this number in any subsequent exchange, including payment forms. 3 Proceed to payment : - By bank transfer: ask for our bank account reference (IBAN) at compta-clients@cartes-bancaires.com and report your company name and order number in the payment form. - By cheque: to Groupement des Cartes Bancaires, by paper mail including the relevant mail order & number, at: Groupement des Cartes Bancaires Service Cartes de test 151 bis rue Saint-Honoré Paris FRANCE Pro forma bills may be issued upon request by compta-clients@cartes-bancaires.com, 4 Report your payment to Cartes Bancaires Test Products & Services: For better follow-up, please confirm your payment to cartes-de-test@cartes-bancaires.com, with order number in mail subject. 5 Order Processing: Cartes Bancaires will process your order when payment is confirmed. 3 1.1. Processing time CB test cards: Please allow for 8 working days for the shipping of your order, or possibly more for orders with more than 10 lots by product type. Test or development CB cards ship by registered post with proof of receipt, to the address provided in the order form. Shipping to Europe usually takes up to 3 working days. Cartes Bancaires may not be held liable for further delay. Test Merchant contract (Test Acquiring and Merchant cards): Your order will be processed within 8 working days since payment receipt, plus a usual delay of 2 working days for opening or renewing a merchant contract. Delivering merchant cards usually takes around three weeks. Cartes Bancaires may not be held not liable for further delay. NB: Cartes Bancaires sends notifications when planning temporarily closure of its order processing services, typically for summer and winter holidays. 2. TERMS & CONDITIONS Terms and conditions for using «CB» test and development cards are described in the relevant User Agreement section of this document. Note that the legitimate user may never handle his cards to another user. Please note that test cards are currently declined on Oscar/NEXO readers Lost and stolen cards The User shall register Lost & Stolen cards as soon as possible at: cartes-de-test@cartes-bancaires.com 2.2. Non-functional cards Non-functional cards shall be sent back to Cartes Bancaires Test Products & Services. When card malfunction is due to improper handling (e.g. 3 wrong PIN tries), Cartes Bancaires destroys the card and notifies the User. RMA/GOS/08-002, V3.7 3/8

4 2.3. Transaction flow Any use of test cards or merchant contracts leading to unusal or excessive transaction flow (remote data collection, online authorization ) may be blocked by Cartes Bancaires Merchant contract For merchant contract renewal, Cartes Bancaires must receive a completed order form no later than 8 working days prior to its expiration date (see 1.1 Ordering Procedure). Failing this, expired contracts will be closed. 3. BILLING Orders billing is processed at end-month. Your customer reference to be reported on the bills must be provided in the Customer Reference section of your purchase order. 5 USER AGREEMENT "CB" TEST AND DEVELOPMENT CARDS The contracting company (hereafter: the User ) seeks to use Cartes Bancaires specifications compliant cards in order to test payment or cash withdrawal equipment or applications. Groupement des Cartes Bancaires "CB" (hereafter : CB ) is the only legitimate provider for such cards allowing to perform tests, either called CB test cards or CB development cards (hereafter: "Test Cards"). CB keeps owning Test Cards provided to the User. CB retains the right to decline any Test Card order after proper analysis. Such decline will be notified by simple mail. It is thus agreed, as follows: The present Terms & Conditions contractually bind the User. This agreement prevails on any other document. ARTICLE 1 OBJECT This document describes: Terms in which Test Cards are provided to the User. Terms & Conditions for using Test Cards, emphasizing again that the respect of these T&C is an essential commitment for the User, due to security risks inherent to fraudulent use of Test Cards. ARTICLE 2 ORDERS For any Test Cards order, the User shall send a completed order form to CB Test Cards & Services department as well as a signed copy of the present User Agreement and a completed and signed Order Detail form. The User shall certify that the information provided in these documents is correct. ARTICLE 3 PRICE AND CATALOG Test Cards delivery occurs upon payment by the User according to the current Price and Catalog, freely available from CB. Payment is due prior to order processing. ARTICLE 4 USAGE CONDITIONS 1. Test cards may only be used by User employees, under designated User supervisor. 2. Test Cards shall never be used for on-the-field payment or cash withdrawal. They cannot be confused with customer cards due to their distinctive appearance. 3. Test Cards shall be only used as a means to test payment and withdrawal equipment in order to improve the functioning and development of CB payment system. 4. CB monitors the activity of each Test Card and retains the right to block any card presenting a security risk. If this happens, the User is immediately notified through the address provided in its order form. 5. Any attempt at reproducing, manipulating, disclosing or misusing any information contained on a Test Card is expressively forbidden and shall be prosecuted. 6. Every six months, the User must draw an inventory of received test cards, and must be able to localise at any time all Test Cards in its possession. 7. Upon CB request, the User shall provide the exhaustive list of his Test Cards and their legitimate holders. 8. The User acknowledges and accepts these Usage Conditions. 9. Cryptographic keys provided with Test Cards for development purposes shall exclusively be used on test equipment. RMA/GOS/08-002, V3.7 5/8

6 ARTICLE 5 LOST & STOLEN TEST CARDS In case any Test Card is lost or stolen, The User:... Represented by:... shall immediately notify CB Test Product & Services (cartes-de-test@cartes-bancaires.com). The User shall then confirm this notification by paper mail sent to Groupement des Cartes Bancaires "CB" - Service Cartes de Test, 151 bis, rue Saint-Honoré Paris FRANCE. The user shall also file a claim to its relevant police or justice department and send a copy of this claim to CB. Failing to do so, the User is deemed to be negligent and its responsibility toward CB is engaged as per article 7. ARTICLE 6 TERM OF THE FACILITY The User may operate Test Cards as long as they don t meet their Expiry Date. At this point, they become obsolete and can no longer be used. As CB keeps owning these Test Cards, the User shall send them to CB Test Product & Services no later than 30 days after expiry. No further order will be processed by CB until obsolete Test Cards are returned. However, CB can issue waiver letters allowing the User to keep one or several expired Test Cards under terms described in the waiver letter. ARTICLE 7 USER S RESPONSIBILITY The User will be held liable for any breach of these provisions and may be prosecuted. He will be held liable for any damage or loss directly or indirectly suffered by CB during or as a consequence of its usage of Test Cards. Fraudulent or abusive use of Test Cards is punishable according to the rules of French Financial and Monetary Code. As such, the User is responsible for the security and integrity of its Test Cards. In this respect, he will be held liable toward CB for any direct or indirect damage related to any criminal offence or prejudicial consequence that may result for CB or any third party. ARTICLE 8 NON-TRANSFERABILITY OF TEST CARDS CB provides Test Cards for the exclusive use of their legitimate User. They cannot be transferred to any third party and must be only operated by designated User employees, under its supervision and responsibility. Being non-transferable, Test Cards may not be given, lent or sold by the User. ARTICLE 9 TERRITORIALITY Test Cards may be used within the European Union, Japan and North America. Usage for other countries must be explicitly approved by CB. ARTICLE 10 RELEVANT COURTS Any dispute arising from these terms is by express agreement definitively resolved by arbitration in accordance with the International Commerce Chamber (ICC) Rules of Arbitration. Arbitrors will meet in Paris. They shall be exclusively governed by and construed in accordance with the French law.
