TRAVIS COUNTY, TEXAS GRAMERCY INSURANCE COMPANY 53RD JUDICIAL DISTRICT APPLICATION FOR AUTHORITY TO DESTROY NON-ESSENTIAL RECORDS TO THE HONORABLE JUDGE OF SAID COURT: Comes now Resolution Oversight Corporation, Special Deputy Receiver of Gramercy Insurance Company (the SDR and Gramercy, respectively), and files this Application for Authority to Destroy Non-essential Records (the Application ), and in support thereof would respectfully show the Court as follows: I. INTRODUCTION 1.1 The SDR files this Application for authority to destroy certain non-essential records, which will reduce storage expenses for the Estate. II. AUTHORITY 2.1 The SDR is authorized to file this Application pursuant to TEX. INS. CODE ANN (a), which provides for the destruction of records that are not needed in the administration of the estate, with the approval of this Court. 2.2 The subject matter of the Application was referred to the Special Master appointed in this proceeding in accordance with Paragraph III(32) of the Supplemental Order of Reference to Master entered on August 26, III. BACKGROUND 3.1 Gramercy was placed in receivership in this proceeding on December 4, The Court entered an Agreed Order Appointing Rehabilitator and Permanent Injunction ( Rehabilitation Order ) on December 4, 2012, appointing the Texas Commissioner of Insurance

2 as Rehabilitator (the Rehabilitator ). The Rehabilitator designated Resolution Oversight Corporation as interim SDR of Gramercy on December 7, 2012, and as SDR on February 15, On August 26, 2013, the Court entered an Order Appointing Liquidator and Permanent Injunction (the Liquidation Order ), placing Gramercy in liquidation and appointing the Commissioner as Liquidator of Gramercy. IV. REQUEST TO DESTROY NON-ESSENTIAL RECORDS 4.1 Upon commencement of these receivership proceedings, the SDR was vested with title to all of the books, documents, claim files and all records of the insurer, of whatever nature, and in whatever medium, and wherever located, regardless of whether the records were in the control of Gramercy at the time of the receivership pursuant to TEX. INS. CODE ANN At the time of receivership, Gramercy had records stored with Iron Mountain, Incorporated in three different warehouse locations. These records are very old records of Gramercy. A few of these records need to be maintained until closing of the receivership estate in accordance with the Receiver s records retention policy; however, most of the records are not needed in the administration of the estate. The SDR has compiled a list of these non-essential records, which is attached hereto as Exhibit 1. The SDR submits that maintaining these nonessential records is an unnecessary expense for the estate. The SDR has also determined that the most cost-effective way to destroy these records is to allow the warehouses where the records are stored to destroy them. Therefore, pursuant to TEX. INS. CODE ANN (a), the SDR seeks authority from the Court to allow it to arrange for the destruction of these records. The SDR submits that the cost savings of this recommendation is in the best interest of the estate and its creditors. 2

3 V. OFFER OF PROOF AND VERIFICATION 5.1 This Application is verified by the affidavit and certification pursuant to TEX. INS. CODE ANN (b) of Ernesto A. Garza, designated representative of Resolution Oversight Corporation, solely in its capacity as SDR of Gramercy, which is attached hereto as Exhibit 2. PRAYER WHEREFORE, PREMISES CONSIDERED, Resolution Oversight Corporation, solely in its capacity as SDR of Gramercy, respectfully prays that this Court enter an order: 1. Granting the Application in all respects; 2. Authorizing the SDR to arrange for the warehouses to destroy the records listed on Exhibit 1; 3. Authorizing the SDR to take any actions necessary to implement the Order; 4. Finding that the Order constitutes a final judgment fully resolving all issues relating to the Application, provided that this Court shall retain jurisdiction to issue further orders pursuant to TEX. INS. CODE ANN. Chapter 443; and 5. Granting the SDR such other and further relief to which it may be justly entitled. 4 NOTICE OF SUBMISSION In accordance with the Order of Reference to Master ("Order of Reference") entered in this cause, the attached Application for Authority to Destroy Non-essential Records is set for submission before the Special Master, Tom Collins, ("Master") on Monday, May 2, Pursuant to TEX. INS. CODE (e) and TEX. R. CIV. P. 171, the Order of Reference has established the following rules: 1. The Master may consider the Application by written submission or oral hearing. 2. If no objection is filed in compliance with the Order of Reference, the Master may consider the Application without a hearing, and the Court may enter the order recommended by the Master upon its submission to the Court. A party waives any right to object to the recommendation of the Master if the party does not file an objection in compliance with the Order of Reference. 3. Any objection must be filed with the Travis County District Clerk at least three (3) calendar days before the Submission Date in the above referenced case. 4. A copy of any objection must be sent by to the following: (a) The Master's Docket Clerk at SpecialMasterClerk@tdi.texas.gov. An objecting party must expeditiously coordinate with the Applicant s counsel and with the Master s docket clerk at (512) to request a hearing, unless the Master determines that a hearing is not necessary.
