36 terms and conditions 1. by placing an order the customer accepts in full our conditions of sale as listed here. the order is binding for the customer, while it is binding for knief & co. gmbh only after issue of order confirmation according to the proposed terms. 2. delivery time is approx. 30 days from official date of order. in case of delays it shall not give rise either to indemnities or compensation of any kind on our part. delivery delays that exceed one week will be notified accordingly. in order to be notified of exact terms of deliveries, our sales department should be consulted before hand, in case of payment delay if advanced payment has been agreed, will effect delivery terms either. 3. goods are delivered ex works bremen / germany. the transport task we assign to the carrier is a service and as such it excludes any consequent responsibility on our part; whatever the conditions of transport may be, goods travel at the customer's risk in case of no other incoterms has been agreed. 4. quantity control and eventual complaints must be reported within seven days on receipt of goods. complaints related to material damage due to transportation must be addressed upon delivery directly to the carrier, stating acceptance on condition at delivery note. 5. payments are considered valid only if made to us directly or trough a bank. 6. all pictures contained in our price-lists, catalogue and brochures are only indicative of the single articles, therefore are not binding to their true workmanship. moreover, the company reserves itself the right to modify or suppress single items and complete ranges. 7. the statements, promises and guarantees granted by staff, agents or sales representatives other than the conditions agreed upon or included in this pricelist become legally binding and enforceable only after having been confirmed in writing by our managing board. 8. we reserve to modify or withdraw, temporarily or permanently, our catalogue pricelist and website (or any part thereof) with or without notice to you and we shall not be liable to you or any third party for any such modification or withdrawal. 9. we are not liable respectively responsible for any installation damage or fault carried out on our products once installed. such operation fall within the exclusive responsibility of the installer during his own installation. therefore the recognition or the compensation of any direct or indirect damage, undergone or provoked by our products, is excluded. 10. knief & co. gmbh products are under a 10 years warranty. 11. warranty is valid provided that the product has been regularly installed and maintained. 12. knief & co. gmbh does not acknowledge compensation related to dorect or indirect damage, caused by our products. 13. the receipt of any proof of purchase must be kept by the purchaser. 14. the warranty claim together with the adequate paperwork must be processed through us. 15. delivery cost of faulty goods to our premises must be borne by the sender. 16. upon receipt, the alleged faulty goods will be examined and should the complaint be justified, replacement goods will be sent free of charge. if the complaint is unfounded, an official notification giving reasons for refusal will be sent. 17. our prices are to be understood exclusive vat in euro currency. 18. all copyright, trademarks and all other interllectual property rights in all our materials and / or content made available do remain at all times vested in us or our licensors. you are permitted to use this material only as expressly authorized by us or our licensors. 19. all sale agreements and contracts are concluded at our offices; therefore, any dispute that may arise is exclusive jurisdiction of the bremen / german law court (amtsgericht bremen). this pricelist is published by knief & co. gmbh. all rights reserved. technical amendments and deviations as well as tolerances in color and printing are subject to change. june prices valid till
