All merchandise is shipped F.O.B. our warehouse. Orders are subject to acceptance by seller at its office in Orangeburg, New York. WARRANTY All of the goods which buyer purchases through seller are covered by a limited warranty from the manufacturer, a copy of which is packaged with each of the goods purchased. Please do not replace defective goods from your customer. Your customer should return product to Wenger North America per warranty. CLAIMS All claims, including without limitation, those for shortages or defects in quality, must be made in writing to seller within ten days of receipt of goods. It will be the buyer's responsibility to pursue claims against the carrier when goods have been delayed, damaged or lost in transit. Seller does not honor shortage claims for which a carrier is responsible. RETURNS A return authorization must be issued by Wenger North America prior to return of goods. All goods returned without return authorization are subject to refusal and will be returned freight collect. We will not accept goods that were shipped 12 months prior for credit or replacement. Any merchandise returned as a customer accommodation is subject to a 15% restocking charge. LIMITATION OF LIABILITY Seller will not be liable for incidental, special or consequential damages arising out of the purchase or use of any goods including without limitation, any defect, shortage, delay or breach of warranty. Seller's liability under any circumstances will not exceed the price of the defective goods. DELAYS IN PERFORMANCE Seller will not be liable for any delay in performance due to unforeseen circumstances or causes beyond its control, including, but not limited to, acts of nature, acts of government, labor disputes, delays in transportation and delays in delivery or inability to deliver by seller's suppliers. TIMELY PAYMENT If any action is taken by seller for failure of buyer to pay any amounts due and owing, including, but not limited to, any legal action or lawsuit undertaken by seller for the recovery of monies, merchandise, etc., all expenses, including reasonable attorney's fees, incurred by seller in undertaking such action will be the full responsibility of that respective buyer. ( MSRP ) POLICY & GUIDELINES All Authorized Internet Retailers must obtain approval from Wenger NA to distribute the company s product on line via the Internet. Wenger N.A. will not sell to an Authorized Internet Retailer unless the Retailer complies with MAP guidelines as determined by Wenger N.A. Compliance with Wenger s MAP policy means that Authorized Internet Retailers do not advertise a Wenger product below MAP established by Wenger N.A. Wenger N.A. reserves the right to modify MAP pricing at any time. Authorized Internet Retailers are free to establish their own resale prices for Wenger product (not below set MAP price) and advertise Wenger products at any retail location. Authorized Internet Retailers will be provided a tamper-proof Authorized Dealer Badge for website. Authorized Internet Retailers will use only Wenger N.A. marketing materials exclusively, unless written approval is granted otherwise. Authorized Internet Retailers must promote and headline, on the respective home page, featured Wenger product at specific intervals during said calendar year. Authorized Internet Retailers must purchase Wenger products solely from Wenger NA and may not purchase Wenger products from other sources, including secondary or gray market. Authorized Internet Retailers are only permitted to sell Wenger products to end consumers or entities that Wenger NA has authorized under written distribution agreement. Authorized Internet Retailers may not sell Wenger products to distributors and the like, wholesalers and the like, retailers, other Internet Retailers, Internet portals or auction sites such as E-Bay unless approved by Wenger N.A. in writing. Authorized Internet Retailers must supply Wenger N.A with a listing of all affiliated URL s under which Wenger products are being sold. Authorized Internet Retailers must have a minimum inventory level and satisfy an annual wholesale sales volume assigned by Wenger N.A. Sales Management. Existing drop ship accounts must meet an annualized wholesale sales volume goal to be considered for inclusion for the following calendar year. Wenger N.A. is not currently soliciting any new drop ship Internet Retailing business as Authorized Internet Retailers. Policy subject to change.
