Trade Up for Unix Server is a hardware exchange program which offers financial incentives in form of a rebate to customers purchasing new hp Unix/Integrity server and returning their old equipment. It addresses mainly the HP PAxxxx-based server and the competitive installed base. Trade Up for Unix Server supports customers to - get the latest HP server technology - protect their initial PA and IA64 server investment - benefit from HP s extended product roadmap 1

Customers and channel partners with an HP purchase contract have to contact their HP sales representative for the limit. 3. Standard conditions module 1a and module 1b Validity: see Excel-sheets Module 1a_new: customers purchasing qualified new HP-PA or Integrity based server and trading in qualified HP and Compaq systems are entitled to receive Trade Up for Unix Server rebates. Module 1a_renew: customers purchasing qualified HP-PA or Integrity based server from the HP Renew Program and trading in qualified HP and Compaq systems are entitled to receive Trade Up for Unix Server rebates. Module 1b_new: customers purchasing qualified new HP-PA or Integrity based server and trading in qualified competitor systems are entitled to receive Trade Up for Unix Server rebates. Module 1b_renew: customers purchasing qualified HP-PA or Integrity based server from the HP Renew Program and trading in qualified competitor systems are entitled to receive Trade Up for Unix Server rebates. 3

4 Calculation of the additional CPU rebates: Rebates mentioned in the matrices already include the purchase and return of 1 CPU. Additional CPU rebates: - can only be granted if the system to be purchased includes additional CPUs as well - for calculation of the additional rebate amount the number of additional CPUs returned must equal the number of additional CPUs purchased Examples: a) Customer purchases new system with 3 CPUs and wants to return old system with 2 CPUs >>> HP grants the rebate mentioned in the matrix plus 1 additional CPU rebate b) Customer purchases new system with 3 CPUs and wants to return old system with 5 CPUs >>> HP grants the rebate mentioned in the matrix plus 2 additional CPU rebates c) Customer purchases new system with 3 CPUs and wants to return old system with 3 CPUs >>> HP grants the rebate mentioned in the matrix plus 2 additional CPU rebates 2 pack CPU product numbers (e.g.: A6435A MHz CPU 2 pack): For the calculation of additional CPU rebates this means 2 CPUs. Rp74xx, rp84xx, rx7620 and rx8620: for the calculation of additional CPU rebates always consider the CPU product number as a bundle of 2. 4

5 4. Terms and conditions 1. This promotion is only open to companies registered in Albania, Algeria, Austria, Belgium, Bosnia- Herzegovina, Bulgaria, Croatia, Czech Republic, Denmark, Egypt, Estonia, Finland, France, Germany, Greece, Hungary, Iceland, Ireland, Israel, Italy, Kazakhstan, Latvia, Lithuania, Luxembourg, Macedonia, Malta, Moldova, Morocco, Netherlands, Nigeria, Norway, Poland, Portugal, Romania, Slovenia, Slovakia, Saudi Arabia, Serbia, Montenegro, South Africa, Spain, Sweden, Switzerland, Tunisia, Turkey, United Arab Emirates, United Kingdom, Ukraine. Countries not listed, may contact their local HP office. 2. This offer is only available from January 1 st, 2006 December 31 st, This trade-in offer is only available for old HPe3000 servers, old HP-Unix Workstations, Itanium servers or UNIX based servers irrespective of their manufacturer. 4. HP agrees to purchase the returned equipment (please see rebate matrix for the individual rebates). This is available to anyone who makes written claim on the purchase order and who fulfils the requirements of this program. 5. To qualify, the customer must return one eligible old system for each new server within 120 days after shipment of the new system together with the required documentation to support the claim. 6. All return products must be operable and in good general condition and must have been installed at the customer site for at least 6 months. An eligible system must consist of at least the CPU, hard disk, main memory. Return of monitor, keyboard and mouse is optional. It is the responsibility of the customer to remove or wipe software from any return system in order to remain compliant with all export regulations. Where possible, the returned products should be packed into the boxes provided with the new systems. 7. Customers with an HP purchase contract and HP channel partners have to contact their HP sales admin contact person to coordinate the pick up / return of the return equipment from the customer site and the transport to HP. All other customers need to contact their HP channel partner for this coordination. The costs of the return will be borne by HP provided the customer makes the return equipment available for pickup with the required documentation as agreed. Customers must pay any disassembly costs. 8. Customers who do not return their old equipment in time or return inoperable or incomplete systems are not entitled to the Trade Up for Unix server return credit. HP is entitled to charge the participant the incurred cost for the reconsignment, if a return product other than specified on the purchase order has been placed ready for pick-up by the participant. 9. The Trade Up for Unix server program cannot be used in combination with any other HP sales promotion unless communicated otherwise. 10. The standard purchase agreement discount (PAD) for the Unix/Integrity server is limited. Customers and channel partners with an HP purchase contract have to contact their HP sales representative for the limit. 11. HP warrants environmentally friendly disposal of old devices. 12. Hewlett-Packard retains the right to change or terminate this campaign at any time and without prior notice. 5

6 5. Program limitations The Trade Up for Unix Server program can be applied by all direct customers and enterprise (value) channel partners. Used equipment brokers and commercial (volume) channel partners are excluded from participation. A combination of the Trade Up for Unix Server program with any additional discounts is only valid when the trade in value as well as the return equipment is mentioned in the comment field of the approval (Eclipse). In any case the trade in rebates must NOT exceed the net prices of the new system (main product plus all factory integrated components) purchased. 6. How to apply / ordering requirements Customers with an HP purchase contract For quotes, order management and pick up of the return equipment, direct customers may contact their HP sales representative or HP sales admin contact person. Usage of the Trade Up for Unix Server Program must be mentioned on the purchase order to HP. Customers without an HP purchase contract Please contact your reseller for the coordination of the purchase order and the arrangement of the pick up of the return equipment. Enterprise channel partners For order management and pick up of the return equipment, enterprise channel partner may contact their HP sales admin contact person. Usage of the Trade Up for Unix Server Program must be mentioned on the purchase order to HP. HP Enterprise channel partners are required to have a signed trade in agreement. Commercial channel partners and resellers without an HP purchase contract Please contact your local HP sales office. 7. Ordering requirements The Trade Up for Unix Server modules are time limited. Please make sure this is reflected on your quote. Trade Up for Unix Server orders must fulfill the following requirements: Usage of the Trade Up for Unix Server Program, program number (05-TUP/TSG-UX), trade-in product and total number of CPUs in the return system must be mentioned on the purchase order to HP. To qualify, the customer must return one eligible old system for each new HP-UX or Integrity server purchased. Enterprise channel partners must have a signed Trade-in agreement. Option UEL should be ordered with each new PA-based or Integrity based server. Option UEL includes a return kit, containing barcode labels which customers should apply to the return equipment in order to accelerate the return and credit release 6

Stocking claim process All enterprise channel partners need to have a signed Trade-In Agreement. The signed agreements need to be filed at value order management. Claim process: The stocking partner must fill in the claim sheet completely, sign it and send it to the HP sales admin contact person. A reseller/end user order must be attached to the claim sheet. Claim sheets can be requested from the sales admin contact person. The claim sheet must be submitted to HP 30 days after reseller/end user purchase order has been placed at the latest! In case there was a change in rebate amounts between the reseller/end user order date and the claim entry date, HP grants the rebate amount which was valid at the time of reseller/end user order date. The return equipment must be received at HP within the standard return time frame of 120 days after shipment of the order to the reseller/end user. Scheduled orders: Stocking partners have to send the claim within 30 days of the reseller order. In addition to the claim, the stocking partner must provide a listing with the requested schedule and units. Within 30 days after delivery of the server(s) to the reseller, stocking partners are requested to send a copy of the delivery documents to HP. The delivery documents must include the serial numbers of the new Unix/Integrity server. HP grants the rebate amount which was valid at the time of delivery from the stocking partner to the reseller. 7

8 9. Return process Trade Up for Unix Server return rebates are given only after receipt of the return equipment at HP! Return timeframe Customers must return one eligible old system for each new qualified server within 120 days after shipment of the new system. Return requirements All return products must be operable and in good general condition and must have been installed at the customer site for at least 6 months. An eligible system must consist of at least the CPU, hard disk and main memory. Return of monitor, keyboard and mouse is optional. It is the responsibility of the customer to remove or wipe software from any return system in order to remain compliant with all export regulations. Return procedure Where possible, the returned products should be packed into the boxes provided with the new systems. The return equipment should either be marked with the return labels provided with the new server (option UEL) or marked manually with the following information: - HP order number - Mention "Trade Up for Unix Server return" - Product number/name and quantity, quantity of CPUs Direct customers and Enterprise channel partners have to contact their HP sales admin contact person to coordinate the pickup/return of the return equipment from the customer site and the transport to HP. The HP sales admin contact person will contact the forwarding agent and arranges the pick up and transport to HP via GED1. The costs of the return will be borne by HP. Customers must pay any disassembly costs. HP will check the received return equipment and provided that all the required return requirements are fulfilled, the return credit order will get released. Customers who do not return their old equipment in time or return inoperable or incomplete systems are not entitled to the Trade Up for Unix Server return credit. The HP Sales Admin contact person must cancel the credit section.
