IBM Business Partners must purchase the eligible new products from IBM or an authorized IBM U.S. Distributor. For a list of eligible products, refer to the Qualifying/Eligible products section. Start and/or end dates This is a yearly program starting January 1, 2006 and ending December 31, Who is eligible? The following IBM Business Partners are eligible for this program: o All IBM Business Partners who are authorized to resell xseries products and complete an application, meet the eligibility requirements and agree to the terms and conditions of the program are eligible to apply to participate in this offering. Business Partners with participation start dates on or after January 1, 2006 must meet the following requirements: o A minimum of one Business Partner sales representatives must have completed and pass the module tests and any end of course test in Web-based "XSW02: xseries Advanced Performance Sales Training" course prior to submitting an application for participation in the Program. 2 of 5 1/10/2006 3:01 PM

As proof of course completion and passing scores on the final exam, Business Partners must print the course test-result screens, which will show the student's names and test scores, and submit copies with their Application Form. AND o One Business Partner Sales Representative must have completed Certification Test 670 or Test "IBM Certified Specialist-xSeries Sales" within the 12-month period prior to submitting an application for participation in the program. A copy of the Certification must accompany the Application Form. For certification information, visit the IBM PartnerWorld Professional Certification Web site at: //www-03.ibm.com/certify/certs/index.shtml Technical support competency commitment Business Partners who were participating members in good standing at The conclusion of 2005 and automatically enrolled in the current program are not required to submit Application Forms, or complete Certification Test 071 or 077. Business Partners with participation start dates of on or after January 1, 2006, must meet the following requirement(s): One person to attend 4 day classroom XTR04 - High Performance Technical Training (required for first year EXAct Partner only). You must register for this course and provide registration proof when submitting an application for participation in the program. (OR) One person to attend 2 day technical XTRU4 - High Performance eserver xseries Technical Update (second year EXAct and beyond) (OR) One person to attend annual xseries Technical Conference (second year EXAct and beyond) o One Business Partner technical support representative must have completed Certification Test "xseries Technical Principles V5 or V6" within the 12-month period prior to submitting an Application for participation in the program. A copy of the Certification must accompany the Application Form. AND o One Business Partner technical support representative must complete Certification Test "eserver Technical High Performance Servers V2" within 6 months of the Business Partner's participation start date. If a participant fails to complete Certification Test "eserver Technical High Performance Servers V2", within 6 months of the Business Partner's participation start date, the Business Partner will be removed from the program until the test has been completed and the program coordinator has been notified. 4 incentive payments will be made during this period. All costs associated with completing this education are the responsibility of the Business Partner For course information, visit the IBM Campus -- xseries Education Web site at: // Annual competency commitment certification All participating Business Partners must certify, on an annual basis, that they continue to maintain their competency commitments. This requirement applies Business Partners that are new participants in 2006, as well as those that began their participation in a prior year. As a reminder, IBM will send a semiannual competency commitment certification form to all participants on April 1 and September 1 via to the Business Partner's primary contact. Business Partners are responsible for confirming, no later than December 31, 2006, that they continue to maintain their competency commitments as part of the certification process. Competency commitment certification forms must be completed and returned to the IBM program coordinator between December 1, 2006 and December 31, Business Partners who fail to maintain their competency commitments through the certification process will be removed from the program. It is the responsibility of the Business Partner to ensure that IBM has accurate and current information by which to communicate with the Partner. Additional Program Terms If you are an Approved Fulfillment VAR exiting 2005, you are automatically a Fulfillment VAR entering 2006 for the full year effective January 1, If at the end of 2006 you show no high-end xseries and high-end xseries option revenue based on the part numbers listed above, you will be removed from the program starting the following year. If two participating Business Partner companies merge in 2006, their participation criteria including revenue and competency requirements will be combined on the date IBM views the partner as a single entity. A SAR or esar (Solutions Assurance Review) must be completed prior to x460 sales. The xseries products that are part of this program can only be purchased from the Distributor you selected when you were accepted into the program which is also your anniversary date. Distributor changes can only occur once every twelve months on your anniversary date. You must notify in writing the Program Administrator between days prior to your anniversary date your desire to switch distributors. Transshipment of product 4 of 5 1/10/2006 3:01 PM

5 between Resellers does not qualify as a sale to an End User, and should not be reported as such under the terms and conditions of this incentive. IBM reserves the right to modify or withdraw this program at any time. This program is subject to the terms and conditions of any applicable Agreements. Need help?
