1 Minutes of the Board Meeting Date 30 August 2017 Online Web: Mobile App: download and install gotomeeting from appstore (apple phone) or playstore (android phone), Meeting ID = Voice only: Access Code : Countries: USA UK Time 11:00 12: Welcome by the Chairman The Chairman welcomed all the Board Members and thanked them for taking time of their busy schedules to attend the meeting. 2.0 Participation by the Board Members In accordance with Article 5 of the SATA Constitution and the Final RESOLUTIONS of the 37 th SATA Annual Conference, the following are the Board Members for year 2017/2018 being the CEOs themselves or represented by proxies 1 Chairman Conference Host Swaziland Posts and Telecommunications Corporation 2 Board Member Previous Chairperson 3 Board Member Next Host of the Annual Conference 4 Board Member Host of the Secretariat Telecommunication Company Limited Fibre Networks Telecomunicações de Moçambique 5 Board member Elected (3 years) Malawi Telecom Limited 6 Board Member Executive SATA Secretary Swaziland Mozambique Malawi Mozambique 1
2 The following Board Members participated during the meeting: - Swaziland Posts and Telecommunications Corporation - BoFiNet - Telecommunications Corporation Limited - Telecomunicações de Moçambique - Executive Secretary Malawi Telecommunications Limited did not participate as they had a company board meeting as well. The board meeting had a quorum and proceeded with the meeting. 3.0 Draft Agenda The Chairman requested the Board Meeting to adopt the following agenda: Financial highlights - (separate document) Update on participation by Members during meetings and conferences Final RESOLUTIONS 2017 (Matsapha) Highlights of the implementation of the Final RESOLUTIONS 2017 SADC Cross Border Interconnection Regulations SADC ICT Ministers Meeting 2017 New Initiatives to be championed by the Association Next Board Meeting Any other business The Board Members adopted the agenda The Chairman then requested the Executive Secretary to present the annotated agenda items 4.0 Financial Highlights The Executive Secretary presented the financial highlights of the cash and cash equivalents in the bank, expenditures as per the approved budget, membership contributions highlighting that 25% of the 2017/2018 Membership Contributions were received. 5.0 Update on participation by Members during meetings and conferences The Executive Secretary advised the Board Meeting that Members have highlighted financial challenges for sending delegates to meetings and 2
3 conferences. Members do not have the resources like in the past. The trend was the same for the recently held events Quality of Service and Customer Experience Management Service and Network Operations ITU-T workshop on QoS and QoE for Multimedia Services, 34th Meeting of QSDG ITU-T SG12 3
4 where, for example, there was more than 80% of the delegates coming from outside our region. There was excellent online facilities but only people from TDM, Mozambique participated. The Board was also advised that the association embarked on creating awareness about the power and capabilities of smartphones for accessing online events, by sending regular updates on the use of these technologies for business. 6.0 Final Matsapha RESOLUTIONS 2017 The Final Matsapha RESOLUTIONS 2017 were circulated to all Members including Board Members and are also available from SATA online store, only for Members. 6.1 Highlights of the implementation of the Final RESOLUTIONS 2017 The Executive Secretary advised the Board Meeting that the yearly programmes are built around: Policy and Regulatory Issues ICT Infrastructure Access to Information and Knowledge Capacity Building and Training What we do? Interconnection and Roaming International and Regional Cooperation and Partnerships Technology, Services, Standards and Apps 4 Security in the use of ICTs

6 * * * * * * February Financial Services Telecoms/ICTs Risk Management ICTs for Human Capital Development 18 th Capacity and Traffic Southern Africa * * Harare, Zimbabwe April th Annual Conference The Executive Secretary advised the meeting that the events facilitated during the first quarter of this year include: Quality of Service and Customer Experience Management Service and Network Operations ITU-T workshop on QoS and QoE for Multimedia Services, 34th Meeting of QSDG ITU-T SG12 and the upcoming events are: The C-Level Broadband Forum (CBI4SA) has been combined with SADC ICT Ministers Industry Dialogue 2017 on the Fourth Industrial Revolution (Industry 4.0) and is going to be held at Fairmont Zimbali Resourt, Durban, Kwazulu Natal, South Africa on 6 September All CEOs are invited to attend. ICT Infrastructure and Services 2017, Broadband Southern Africa 2017 and Collaborative C-level Telecoms and ICT Exposure to Latest Technology and Trends 2017 have been co-llocated with FTTH Council Africa Conference 2017 taking place at Cape Town International Convention Centre (CTICC), Cape Town, South Africa for delegates to benefit on the industry exhibition and other programmes. Our logo as a partner with FTTH Council Africa is there on the event website and we look forward to all Members participating. For monitoring the implementation progress of the RESOLUTIONS, the Board Members requested the Executive Secretary to prepare a dashboard to show the status of each of the RESOLUTIONS. 6
7 7.0 Filling of the Vacant Posts As approved during the 37 th Annual Conference (RESOLUTION 40), the Executive Secretary advised the Board Meeting that adverts went and closed on 31 January Proceeding with the recruitment had been stalled before the 37 th Annual Conference as some Members were opting to the use capacity and resource persons from Members to support the functions in the Secretariat. However during the 37 th Annual Conference, the Secretariat was tasked to proceed with filling of the vacant posts: Finance and Administration Officer Programs Manager Technology and Policy The Executive Secretary advised the Board Meeting that the filling of the Finance and Administration Officer post should be completed before the next Board Meeting to be held November 2017 and followed by the Programs Manager Technology and Policy post during the course of the year. For transparency, the Board Meeting then approved for the use of an external recruitment agency and TDM volunteered to provide a list of companies they use for recruitment. 8.0 SADC Cross Border Interconnection Regulations The Executive Secretary advised the Board Meeting that the validation workshop on the EU /African Union funded SADC Regional Cross-Border Interconnection Policy Framework & Regional Interconnection Offer (RIO) took place from 26 to 28 July 2017 at Rainbow Towers in Harare, Zimbabwe. SADC Member States through their regulatory agencies were now tasked to domesticate the validated policy framework and RIO. 9.0 SADC ICT Ministers Meeting 2017 The Executive Secretary advised the Board Meeting that the annual SADC ICT Ministers Meeting 2017 is going to be held at Fairmont Zimbali Resourt, Durban, Kwazulu Natal, South Africa from 4 to 7 September All Members who are able to join their country delegations were invited to attend and contribute to the debates shaping the future of the industry New Initiatives to be championed by the Association in 2017 The item was proposed by the Chairman during his visit to Maputo in August 2017 that the association must identify new initiatives being either programmes 7
8 or projects with greatest impact in the region which the association can champion in partnership with its Members, Members States and other cooperating partners for the benefit of SADC Citizens. BoFiNet was tasked to work with the Executive Secretary on this and report progress during the next Board Meeting 11.0 Proposal for the Next Board Meeting The Executive Secretary reminded the meeting that, since the Board Members agreed to meet physically in Cape Town during AfricaCom every year, the next Board Meeting will therefore be held on 7 November 2017 at Cape Town Convention Centre (CITCC), Cape Town, South Africa 12.0 Any other business The Chairman requested the Board Members for any other business.
