2 SMRT CORPORATION LTD (Incorporated in the Republic of Singapore) (Company Registration Number H) PROPOSED SUBSCRIPTION OF NEW SHARES IN THE SHARE CAPITAL OF 2 GETTHERE HOLDING B.V. The Board of Directors (the Directors ) of SMRT Corporation Ltd (the Company ) wishes to announce that SMRT International Pte Ltd ( SMRT International ), a wholly-owned subsidiary of the Company, has on 30 June 2016 entered into a Subscription and Shareholders' Agreement ( SSA ) with 2 Getthere Holding B.V. ( 2GT ), a company incorporated in the Netherlands, United Technical Services Company ( UTS ), a general partnership established in the United Arab Emirates, Stichting Administratiekantoor 2 G ( STAK ), a company incorporated in the Netherlands, Ir. C.C. van Helsdingen Holding B.V. ("Van Helsdingen Holding"), a company incorporated in the Netherlands, and Mr Carel Christiaan van Helsdingen, the sole shareholder and managing director of Van Helsdingen Holding and the sole managing director of 2GT. Pursuant to the SSA, SMRT International will incorporate a wholly-owned subsidiary in the Netherlands ( Proposed Subsidiary ), following which SMRT International will assign its rights and obligations under the SSA to the Proposed Subsidiary. The Proposed Subsidiary will then subscribe for 5,143 new shares in the share capital of 2GT, representing 20% of the enlarged share capital of 2GT, at a cash consideration of EUR4,000,000 ( Proposed Subscription ). The net asset value per share of 2GT as at 31 December 2015 is approximately -EUR53. This excludes conversion of the UTS loans of EUR2,000,000, which will be executed by UTS ( Conversion ) simultaneously as the Proposed Subscription under the SSA. With this deemed Conversion, the net asset value per share of 2GT as at 31 December 2015 would have been approximately EUR58. The Company has decided to make this investment in recognition of the potential of 2GT s unique solution in the growing Automated Vehicles market. The investment will stand to gain from 2GT s growth opportunities in potential projects both globally and within the region. 2GT is currently owned by STAK (99%) and UTS (1%). Following the Proposed Subscription and Conversion, the shareholding structure in 2GT shall be as follows:- Shareholders of 2GT Stake STAK 69% Proposed Subsidiary 20% UTS 11% The Proposed Subscription is not expected to have any material impact on the net tangible assets per share and earnings per share of the Company for the financial year ending 31 March GT markets and develops sustainable automated transit networks for personal and group transportation. It holds important proprietary technology and licenses in relation to the Free Ranging On Grid technology for personal rapid transit and group rapid transit applications and the design of vehicles. None of the Directors or substantial shareholders of the Company has any interest, direct or indirect, in the Proposed Subscription other than through their shareholdings in the Company. 3 30 JUNE 2016 FOR IMMEDIATE RELEASE SMRT INTERNATIONAL AND UNITED TECHNICAL SERVICES INVEST IN NETHERLANDS-BASED 2GETTHERE 1. SMRT International Pte Ltd (SMRT International) and United Technical Services (UTS) today announced their investments in 2 Getthere Holding B.V. (2getthere), a Netherlands-based company that designs and makes a family of Automated Vehicles (AV). 2. SMRT International is acquiring 1 a 20% stake worth 4 million (S$6 million 2 ) in 2getthere, while UTS is increasing its holding in 2getthere to 11% against the same valuation. 3. These investments are a strategic step that will deepen 2getthere s technological capabilities as a leading market provider of AV systems. It will also enhance the delivery of current and new projects in the Middle East and Asia Pacific. Mr Carel van Helsdingen, CEO of 2getthere, said, We are very proud to reach an agreement with two of our longstanding overseas partners. Investments by these industry leaders will support the realisation of the projects currently under contract and our continuous development and integration of new technologies into our solutions. 4. 4 5. 2getthere Middle East and UTS Chief Operating Officer, Mr Ziad Al Askari said, 2getthere s solution is aligned with the push for greater autonomous transport within the Middle East in general, and specifically in the United Arab Emirates. With this investment we can accelerate our contribution to Dubai s 2030 goal to make 25% of all trips within the city driverless, as recently announced by Vice President and Prime Minister of the UAE and Ruler of Dubai His Highness Sheikh Mohammed bin Rashid Al Maktoum. 6. Mr Carel van Helsdingen concluded: The investment and involvement of SMRT and UTS in 2getthere further strengthens the ability to deliver complete, and completely automated, systems to our customers today. Our systems and applications will grow into scenarios of increased complexity, incrementally shifting into higher degrees of mixed operations, from applications in controlled environments towards semi controlled environments. In pursuit of this roadmap, we will work within 2getthere and with our partners to enhance the technology so as to ensure the safety and capacity under mixed operations. New AV opportunities in the Middle East and Singapore 7. 2getthere Middle East, a joint venture between UTS and 2getthere, signed a contract to supply a system based on the 3 rd generation Group Rapid Transit (GRT) vehicle (Annex A) for an undisclosed project earlier this year. This is 2getthere s second AV system in the Middle East after its Personal Rapid Transit system in Masdar City, Abu Dhabi. 8. Established in Singapore since April this year, 2getthere Asia Pte. Ltd (2getthere Asia), a joint venture between SMRT Services Pte Ltd and 2getthere, has been awarded its first consultancy project for a major Singapore client to assess the feasibility of implementing the GRT system within the client s premises. In addition, 2getthere Asia remains on schedule to trial the first 3 rd Generation GRT vehicle in Singapore by the end of this year. 9. SMRT International has also been actively exploring opportunities in the region. For example, it has signed a Memorandum of Understanding with Singaporean consultancy firm Ectivise Solutions Pte. Ltd and the Baku International Sea Trade Port (Port of Baku) in Azerbaijan. The two companies will advise and support the Port of Baku in its efforts to enhance the operating effectiveness of the port through new technologies and innovative solutions, including a GRT system. These systems are guided transit modes with driverless operation, featuring computercontrolled vehicles. The vehicles navigate on virtual routes, using odometry and artificial landmarks for calibration through a guidance control system.
