Promotion Overview and Value Proposition The Evolve the Edge promotion (the Promotion) provides an attractive promotion discount on the purchase of qualifying new Ethernet Routing Switch 4000, 5000, VSP 4000 and WLAN 9100 series products for the campus and branch office when replacing either existing legacy Avaya/Nortel or other qualifying vendor Ethernet edge switch/wlan platforms installed in a customer network. The promotion can also be used to attach Avaya Identity Engines (IDE) and Network Management for access control and management upsell. GBICs/pluggable interfaces are also included. This Promotion provides authorised Avaya distributors and resellers based and operating in EMEA and India with an additional incentive to reach out to their legacy Avaya/Nortel and other vendor installed-base customers and demonstrate the benefits of Avaya s latest Ethernet edge switch, WLAN and access control solutions. For customers, it offers an attractive incentive to replace their existing legacy Ethernet edge switch infrastructure today and benefit from: - A faster, more flexible and scalable edge network - Consolidation of up to four devices into one to save money, space and power - Up to 50%* greater energy efficiency - A simpler, more secure and more reliable plug and play infrastructure - Better manageability and supportability with the latest lifetime warranty - Enhanced access control and management with Avaya Identity Engines and Network Management (* Source: Miercom 2011) This Promotion is available to authorised Avaya Networking distributors and resellers (1) with a legacy Avaya/Nortel customer installed-base, and/or (2) that wish to target customers with a legacy Ethernet edge switch and/or WLAN installation from another qualifying vendor, and/or (3) are targeting greenfield WLAN 9100 opportunities within the Avaya Global Growth Markets (GGM) Theatre (excluding Greater China). Products included in this Promotion The following products are those specifically included for Purchase under this Promotion: - All Ethernet Routing Switch 4000 series models (excluding 4500GT/GTX, 4500GT/GTX-PWR and 4526T/PWR) - All Ethernet Routing Switch 5500 series models - All Ethernet Routing Switch 5600 series models - All Virtual Services Platform 4000 series models - All WLAN 9100 series models and options (excluding wall mounting brackets and upgrade licences) - All Identity Engines options (excluding software upgrades and Guest Manager Starter Kit) - All Network Management options including Configuration and Orchestration Manager (COM) and Bulk Configuration Manager (BCM) Products that qualify for Replacement under this Promotion include: - All legacy Nortel Ethernet edge switches including Nortel BayStack/Ethernet Switch 253, 325, 350, 380, 420, 425, 450, 460, 470, Business Policy Switch (BPS) 2000, Ethernet Routing Switch 1400, 1600, 2500, 3510, 8300 and the Business Ethernet Switch (BES) series - All legacy Avaya Cajun switches This information is for the use of Avaya and its Authorised T2 Resellers Page 2 of 7

This list is available from your Avaya Distributor or Channel Account Manager who will also be able to advise on other replacement options. Suggested Model Replacements This table shows the suggested replacement Avaya ERS and WLAN AP models for the most widely deployed legacy Nortel units. It is for guidance only, and customers are free to replace any qualifying legacy Avaya/Nortel or other vendor unit with any qualifying model of ERS 4000/5000, VSP 4000 or WLAN 9100 AP on a one-for-one, two-for-one or four-for-one (i.e. where consolidating switch ports) basis. For ERS 8300 replacements, each interface module is considered to be the equivalent of one switch platform. ERS 3500 is available under the separate 3500 Stack promotion. Ordering and Claims Process Orders placed against this Promotion are to be processed as per the following: 1. The customer chooses to purchase new Avaya Ethernet edge switches and/or WLAN 9100. 2. The reseller requests the promotional pricing for the switches from the distributor. 3. The distributor creates a quote within the Avaya Enterprise Configurator (EC) Data tool, usually with a Non-Engineered Solution (Merchandise) quote. 4. When quote status is ready to order the distributor checks for promotions via the check for promotions button. The Evolve the Edge promotion is then selected from the list (if more than one promotion can apply to that quote). Promotion discounts are then applied to the quote giving the reseller price. The quote must be created and the promotion applied by 26 th March 2015. 5. The distributor requests approval of the reseller quotation from the local Avaya Distribution Account Manager or Channel Account Manager via email. This pre-approval will include an indication of the appropriate discount level. This information is for the use of Avaya and its Authorised T2 Resellers Page 3 of 7

6. Once approved, the distributor quotes the promotional pricing to the reseller. 7. The reseller provides the end customer with a detailed quotation based on the promotional pricing. This quotation should provide information regarding the promotional saving. 8. The end customer places a purchase order on the reseller. 9. The reseller places a purchase order on the distributor by 26 th March 2015. 10. The customer and reseller complete and sign the Certificate of Intent to Destroy, and return it to the distributor at the same time that the order is placed. The Certificate of Intent to Destroy is kept by the distributor for a minimum period of six months after the Promotion end date (including any Promotion extensions that may be subsequently announced by Avaya) to support the back-end rebate claim and any subsequent Avaya audit that may occur. A Certificate of Intent to Destroy is not required for IDE & Network Management, or for WLAN 9100 greenfield deployments in GGM (excluding Greater China). 11. The distributor satisfies the reseller purchase order by supplying product, back-filling as required. The Sales Out date must be no later than 31 st March 2015. 12. The distributor claims the appropriate back-end rebate to be reimbursed through the normal SBA backend rebate claims process. All claims for orders placed under the Promotion must quote the appropriate Promotion Code and Quote Number, and claim the appropriate rebate based on the Avaya Pricing Model (APM). Where applicable, the distributor must be prepared to produce the Certificate of Intent to Destroy to support the claim if requested to do so by Avaya. 13. Within 30 days of the commissioning of the new Avaya Ethernet Routing Switches or Virtual Services Platforms in the customer network, the reseller sends a list of model and serial numbers of the replaced legacy platforms to the distributor for any subsequent Avaya audit that may occur. The distributor retains this list for a minimum period of six months after the Promotion end date (including any Promotion extensions that may be subsequently announced by Avaya). This is not required for IDE & Network Management, or for WLAN 9100 greenfield deployments in GGM (excluding Greater China). 14. Where binding quotations are issued and carry-over past the scheduled expiry date of the Promotion, the distributor is to consolidate any and all outstanding quotations and forward this information to their Avaya Distribution Account Manager to ensure correlation with any subsequent orders placed. Terms and Conditions 1. This Promotion is only valid for orders placed on the distributor between 7 th April 2014 and 26 th March 2015 (Promotional Period). 2. The Sales Out date and distributor rebate claims submission to Avaya must be by 31 st March 2015. 3. Distributors must retain the completed Certificate of Intent to Destroy (where applicable) and list of legacy platform models and serial numbers for a minimum period of six months after the Promotion end date (including any extensions). Avaya reserves the right to audit the reseller and distributor and verify proof of destruction. 4. This Promotion is available to authorised Avaya Networking distributors and authorised resellers with a legacy Avaya/Nortel customer installed-base and/or legacy other vendor customer installed-base located in Europe, Middle East and Africa (EMEA) and India. The Promotion may also be used for greenfield WLAN 9100 opportunities within the Avaya GGM Theatre (excluding Greater China). 5. The terms and conditions outlined herein will be in effect for the duration of this promotion (hereinto defined as the Promotion). 6. The word Partner in these terms and conditions means the Avaya Distributor or Reseller that claims discounts under the Promotion. Partner must be authorized for each product line/service offerings and meet any additional requirements for reselling specific products/services. Partner is not automatically authorized for a product line /service by virtue of receiving this notice. 7. Breach of any of the terms and conditions within this document may result in Partner being de-authorized as an Avaya Partner. In addition, Avaya has the right, to claim damages from any Partner participating in this Promotion, in the sum of the difference between the price at which the Avaya products are sold pursuant to this Promotion, and the price which the Partner would have paid under normal circumstances, without the Promotion. 8. All sales made from this Promotion are fulfilled under the terms and conditions under which Partner has agreed to resell products and services. This Promotion does not alter or change the terms and conditions under which Partner has agreed to resell products and services unless otherwise specifically stated in this Promotion. 9. Avaya expressly disclaims any and all liability relating to the results of any of its marketing plans or promotions. 10. The Avaya account representatives have no authority to interpret or vary the terms of this Promotion. 11. Avaya reserves the sole right to interpret and establish the terms and conditions of this Promotion. 12. Partner must place a single Purchase Order on their Distributor for all material codes included in the approved quote, upon which the promotional discount has been authorized. The Distributor must execute product shipment, invoicing all claim details, including mandatory materials, with invoices dates that are on or before the promotion claim by date. claim by date will be viewed as a non-compliant purchase order and should be rejected by the distributor. Distributor claims received post the last promotion claim by date reporting period will be rejected by Avaya. 13. All IP Office licenses must be ordered as a License Key within either the ADI or PLDS system. Use of Certificates is not allowed when receiving transactional preferential pricing (promotions, special bids, deal registration, etc). 14. This Promotion may not be used in conjunction with any other Avaya promotion unless otherwise specified within the terms and conditions of this Promotion or another Avaya promotion. 15. All orders must be placed through Avaya s order management system or an authorized Distributor. Billing, shipment, and payment of equipment purchased under this Promotion follow standard Avaya procedures. 16. Information contained herein is confidential and proprietary information of Avaya and is provided for the internal use of Avaya and its authorized Partners. Except as specifically authorized in writing by Avaya, the Partner shall not alter any terms and conditions of this promotion. Any attempted alteration shall be deemed null and void and of no force or effect. In no event shall Avaya be liable for any errors or omissions resulting from the information contained herein. 17. Partner s participation in this Promotion is Avaya partner's acceptance of the terms and conditions of this Promotion. In the event that Partner does not agree with any terms or conditions of this promotion, Partner may not participate in this program. 18. Both Avaya and the Partner agree that customer information, or any other sales-related information, provided under this Promotion is confidential and proprietary whether marked as such or not. Avaya agrees that it shall use such information solely for the purposes of this Promotion or for internal Avaya operation management. 19. It is Partner s responsibility to ensure all products purchased under this Promotion are resold to End Users within the Territory which Partner is authorized by Avaya to resell Products. It is Partner s responsibility to ensure no Products sold under this Promotion are resold to unauthorized resellers and/or intermediaries. Breach of this condition shall be considered material. 20. Avaya reserves the right to audit all elements of the resale of the Avaya products purchased under this Promotion, for validation that the Products have been resold to End Users within the Territory which Partner is authorized by Avaya to resell Products and to ensure the Promotion requirements are adhered to. Avaya shall be the sole arbiter as to what proof may be required and the Partner is obliged to provide such proof. 21. Orders to be installed as demonstration equipment, defined as hardware and software purchases for use in internal offices, demonstration centers, training facilities, technical labs, and other locations exhibiting Avaya products for customer viewing, do not qualify for this Promotion. 22. All system upgrades purchased under this Promotion require the Avaya partner to register the system with Avaya in accordance with the terms and conditions under which Avaya partner has agreed to resell This information is for the use of Avaya and its Authorised T2 Resellers Page 6 of 7

Avaya products and services. Failure to do so within the specified time frame will result in the Avaya partner forfeiting any and all promotion incentives. 23. Avaya may confirm the location and installation of all Avaya products sold/licensed under this promotion. 24. All terms and conditions identified in the Reseller Sales Reporting Policy, the Distributor Sales Out Reporting Policy and the Avaya Back End Credit policy not specifically identified above, continue to apply to the sales of all Avaya product. 25. Effective with the launch of the Promotion Module April 7 2014, it is the Partner s responsibility to ensure that any promotional discount applied to a quote is approved in accordance with the specific terms outlined in the respective promotion offer documentation, for use in the installation location country of the customer. If a Partner applies a promotional discount to a deal outside of the defined and stated parameters posted in the promotion offer definition, the Partner is liable for penalties described in these promotional terms and conditions.
