Bank receives the right to go for more than one service provider if L2, L3, L4, and so on match the prices offered by L1. Since the telecom services vary from geography to geography, even in a city, L1 is assured of 50% of new procurements of SIM cards in the states where it offers the services. L2 is assured of 30% and L3 of 20% of new procurements. However, if L1, L2 and L3 do not provide services in a particular geographical area, Bank reserves its right to procure SIMs from other vendors and such procurements would be outside the quota for the L1, L2 and L3. It would be up to the Bank to place orders depending upon the quality of network available in a particular area. Bank will notify successful Bidder(s) in writing by letter or fax/email that its Bid has been accepted. Bank receives the right to go for any or all the Service Provider(s) who so ever matches the L1 bid. Since the telecom services vary geographically, Bank reserves its right to procure from Service Provider(s) as recommended by its business operating units in that particular geographical areas. Service Provider is also responsible for ensuring that the sub-contractor comply with all security/confidentiality requirements and other terms and conditions as applicable to Service Provider mentioned in this Agreement. Bank reserves the right to conduct independent audit in this regard. iii. Before engaging Sub-Contractor, the Service Provider shall carry out due diligence process on sub-contracting/ sub-contractor to the satisfaction of the Bank and Bank shall have access to such records. iv. In the event of sub-contracting, the Service Provider shall ensure that suitable documents including confidentiality agreement are obtained from the sub-contractor and the Service Provider shall ensure that the secrecy, security and safety of Bank s data / processes is maintained. v. Service Provider shall provide subcontracting details to the Bank and if required, Bank may evaluate the same. Notwithstanding approval of the Bank for sub-contracting, the Service Provider shall remain liable to the Bank for all acts/omissions of sub-contractors. vi. The Bank reserves the right to ask Service Provider and Service provider shall change/ amend Page 6 of 8
