Customer has the option of choosing 100 MMS picture messages and/or 300 minutes to 084 and 087 numbers for Value versions with Opt in Options (further detail on Opt in Options below ). Unlimited minutes and texts Each voice Connection on Vodafone Business Advance/ Business Plus price plan has unlimited calls to UK mobiles and UK landlines (starting 01, 02, 03) and standard UK text messages made or sent (as applicable) from and to the UK. call service will be charged the Vodafone Business Advance/ Business Plus Standard prices detailed in this guide. International Customer s standard Charges for international calls, texts and video calls are set out below. Customer has the option of choosing an International Discount (as listed below, one discount only) and/or 100 international text messages with Opt in Options. There is also the option of adding one International text discount. This is per connection, more details detailed further in guide. All other call and text types on the Vodafone Business Advance/Business Plus price plan shall be charged at the out of bundle rates set out in this Product Catalogue Guide. Calls made through the return call service via voic are not included in the Customer s allowance and will be charged 37.5p (Minimum call charge of a minute and then charged per second) for returning calls made to Vodafone UK mobile standard UK landline (starting 01, 02 or 03), other UK mobile networks within the UK within the UK. Travelling for business no longer has to mean expensive bills for calls, texts or data. We have a range of solutions to offer the best value when using mobile devices abroad. Roaming and International options Vodafone World Rates Vodafone World Rates are the basic charges a customer pays when abroad. The countries are grouped into zones. Usage in Regulated Europe will cost no more than 13.82p to make a call, 3.63p to receive a call, 4.3p to send a text message and 14.55p per MB. Rates in our Europe Zone 2 will be higher. The data capping rate is within our Europe Zone and our Rest of the World Zone. Customers on standard data rates will receive a notification (if they are opted in to receive notifications) when they have used 80% and 100% of their monthly allowance. Once the cap is reached, customers won t be able to use mobile internet abroad for the rest of the monthly period unless they contact Vodafone. (This only applies if the customer has opted in to receive cap notifications). Mobile Commercial Rules & Policies Disconnections - Buy Out Should a customer leave Vodafone Partner Services whilst in their contractual term they will be required to pay contractual charges for the remainder of their contract. As this is defined as Billed Revenue, the Partner will receive their percentage share of contractual payment that shall be used to recover any remaining outstanding Advance Payments of Commission. Payment will only be made providing the customer is invoiced the contractuals, if a Partner is invoiced contractuals on the customers behalf payment will not be made. Disconnections - Bad Debt If a customer disconnects through bad debt the revenue share will 1) cease to be paid on any account that we submit for Disconnection as a result of non-payment and, 2) be paid on Billed Revenue not cash collected unless continuation of service has been agreed by mutual consent of Vodafone Partner Services and the appropriate Partner. If a customer is disconnected for bad debt whilst there is remaining outstanding Advance Payments of Commission still to be recovered, the remaining outstanding amount will be clawed-back in full at point of Disconnection. If a bad debt is later recovered (including contractual obligations) by a Vodafone Partner Services third party debt collector Vodafone Partner Services will not pay any additional Commission on cash recovered. Out of Commitment Base We expect your Out of Commitment Base to be no greater than 15% of your total base. Should your Out of Commitment Base exceed this at the end of any given quarter then we reserve the right to withhold all revenue share payment on these connections for each following quarter until your Out of Commitment Base falls back below this threshold at the end of any subsequent given quarter. Mobile Broadband, SIMO and 30 day plan connections are excluded from this measurement. Churn We expect your Churn to be no greater than 14%. Churn is defined as the number of Disconnections (excluding migrations) divided by your average Managed Customer base over a three month period, multiplied by 4 to give an annualised figure that is expressed as a percentage. Should your Churn figure exceed 14% at the end of any given quarter then we reserve the right to withhold all revenue share payment on your Out of Commitment Base connections for each following quarter until your Churn figure falls back below this threshold. We will reinstate payment of Revenue Share in respect of your Out of Commitment Base for the quarter following the quarter in which it returns to below the 14%. Adding / Removing Bolt-Ons and Price plan Changes For all business advance models if you add a bolt-on to an existing mobile only connection within 30 days of either initial connection date or renewal activity you will receive an Advance Payment based on a 24 month tenure. If you add a bolt-on at any other point during the customer s term then no Advance Payment will be paid, you will receive revenue share monthly on the contracted MAF. A downward migration is classed as a change to a price plan with a lower line rental, or a change of service which has a detrimental impact on the ARPU of the account. For the avoidance of doubt, this includes removing any secondary subscription including UK and International Voice, , Text or Data bolt-ons. A customer can only downward price plan migrate in conjunction with a renewal where the contract is extended. A customer can only price plan migrate down one step of the ladder when recommitting via an In-Life Renewal unless written commercial approval is given. Secondary connections, text, data, bolt-ons, cannot be removed mid contract unless written commercial approval is given. In life customers on Mobile Broadband contracts cannot migrate downwards without prior commercial approval. This includes at point of in-life renewal. 70

56 Roaming and International Vodafone Migrations If you wish to migrate a customer any contractual obligations must be settled in full with the current Vodafone channel. This means that customers will start a new contract and standard renewal commercial terms will apply. Existing contract end dates cannot be mapped across channels. If you gain connections via a consolidation with prior commercial approval this will be treated as a standard migration i.e. you will be paid Commission in line with your chosen model as if the deal were a renewal. Should you lose connections via consolidation to another channel then you will be recompensed Fraud Where a customer has been disconnected for non-payment and has never paid a bill, Vodafone will deem that customer to have been fraudulently connected. For these disconnections, any revenue share paid, upfront advances, incentives and volume bonuses will be clawed back. In addition, through routine investigation or other means, where an active connection is suspected to be fraudulent, the Business Partner will provide a copy of the correctly completed contract and all relevant documentation for Vodafone to establish whether actual fraud occurred. Should this be found to be in order, then no further action will be taken. Should the Business Partner fail to comply with the request for documentation within 30 days of the request, all revenue share paid, upfront advances, incentives and volume bonuses will be clawed back. Where the requested documentation is submitted to Vodafone but is clearly found to be fraudulent (based on reasonable expectations of the Business Partner s employees or representatives to be able to identify fraud, rather than specific expertise), all revenue share paid, upfront advances, incentives and volume bonuses will be clawed back. Full details of any actual fraud will be made available to the Business Partner in order that they can review this and take appropriate correcting actions. Fraud will include but is not limited to: Amendments to a customer contract post signature that the customer is unaware of or has no record of. Forged or inappropriate signatures on documents. Obtaining blank copies of customer purchase orders or the like. Placing the customer on a contract term that the customer has not agreed to. Knowingly accepting connections that will have zero usage. No time limits shall apply to any commission clawback in relation to fraud. Vodafone reserves the right to claw back at any point where fraud is discovered. Non-Compliance As well as the above specific cases for clawback, all other customer disconnections within the first six months of connection may also be subject to clawback where it is shown that the Business Partner has not complied with credit checking and /or other operational procedures. Business Partners will be required to provide evidence of compliance by submitting copy contracts and proofs. Where no evidence of compliance is submitted or substantiated, any revenue share paid upfront advance, incentives and volume bonuses will be clawed back from the Business Partner. This does not affect Vodafone s right to audit contracts from time to time, as part of routine business procedures. Zero-Usage Clawback For Company Caller, Commercial Caller and Business Caller Price plan, Vodafone will monitor for any zero usage after connection. Where it is found that a price plan connection has no minutes or data usage, any upfront paid in respect of that connection (including any volume bonuses and incentives) will be clawed back from the Business Partner. Disconnect/Reconnect (D/R) Vodafone shall also clawback any revenue share paid, upfront advances, incentives and volume bonuses for any new connections where a D/R has been identified. A D/R is defined as an existing Vodafone customer who either: Disconnects the existing connection within 365 days before making a new connection or Disconnects the existing connection within 365 days after making a new connection. This applies to D/R within the same Vodafone billing base (e.g. ZYGO to ZYGO), or across Vodafone s various billing bases (e.g. Libra to ZYGO), and across all Vodafone s sales channels (i.e. Indirect to Indirect, or Direct to Indirect). Any Business Partner found to have deliberately encouraged the use of D/R on three or more occasions shall be subject to termination. For the purpose of this policy a customer who is ported out to another Network and subsequently ported back in to VF within 12 months will be defined as a Disconnect/Reconnect. 71

These numbers are often provided by organisations such as banks, travel agencies or Government departments, for their end customers or users to call them on. From 1 July 2015, the regulator Ofcom is changing the way these numbers are charged. These changes are designed to make the cost of calls clearer, and are being communicated through a campaign called UK Calling. 65 Internet over Ethernet Overview Customers can now run One Net Business voice and their business broadband over the same single Ethernet circuit, and all from a single supplier Vodafone. The Ethernet service uses a 100mb pipe, which previously only carried voice traffic. We ve now segmented it so that it can carry both voice and internet service. The pipe is split as follows: 1. Up to 10MB (10%) of the circuit is totally protected for the voice service 2. Up to 90MB is available bandwidth for the customer to use for company Internet access. All required equipment for One Net Business must be supplied by Vodafone. The Partner will not be charged for faulty equipment. If the customer wishes to upgrade their desk phone to a higher priced device (I.e. Cisco 525) then they will be charged 75 directly onto their bill. Partners will be charged the price of the standard device. For office moves the new router (always required to test the connectivity) will be built into the price to the Customer. Once the customer has reached their minimum contract term / commitment date, the cost of the equipment has been covered and at that point they own the equipment. Office Moves The following charges apply to all One Net Business customers using DSL and FTTC: 1-25 fixed users fixed users These charges do not attract revenue share. If the customer has an Ethernet circuit, due to the large costs involved in moving Ethernet customers, the customer will be charged the Ethernet install fee ( 2,500) on top of the standard office move pricing. In addition to this if the customer has served less than 12m on their current Ethernet Circuit they will be charged pro-rata up to month 12 as a minimum term. E.g. customer who has served 6m on current circuit would be charged: 2500 Applicable standard office move charge 6m x Ethernet line rental. Exceptions to charges may be considered as part of a resign and subject to commercial approval.
