1 UOB BUSINESS INTERNET BANKING SERVICE (BIB) REGISTRATION FORM GUIDE Essential Information to Know UOB BIB helps to enhance the efficiency of your business and improve the way you manage your cash flow. Through BIB, you have all your account information at your fingertips for better decision-making and you will also enjoy full control of your online banking transactions. An individual can play DUAL roles e.g. CA/CU or CA/CS. Note: There is no need for an individual to be both CS and CU, as CS has all the CU capabilities plus the authority to approve transactions. 2. A unique User ID is required for every role. If an individual is CA/CU or CA/CS, he/she will have two User IDs one for each role. 3. Every role requires a Token to login to BIB. Token fee applies. 4. If an individual play dual roles, only one Token is required. 5. CS approves transactions via BIB can differ from the existing Current Account approval mandate. Submission Please complete all fields in the Registration Form and attached required documents. The Registration Form must be signed by the following Authorised Personnel: Nature of Business BIB Service Registration Form Additional Document Required to be authorised by Sole Proprietorship Owner - Partnership All Partners - Clubs, Societies and Associations Authorised Personnel defined in the Minutes of Meetings Minutes of Meetings Companies, including Sole Directorships and Limited Liability Partnerships (LLPs) Authorised Personnel defined in the UOB BIB Resolution UOB BIB Resolution to be signed by: a) Two Directors, or b) One Director and Company Secretary, or c) For Sole Directorship: Sole Director, or d) For LLP: All Partners of the LLP - Statutory Boards and Ministries Authorised Personnel defined in the Account Operating Resolution Please send the completed Registration Form to BIB Section, UOB Ltd, Robinson Road P.O. Box 1282, Singapore Upon receiving your fully-completed Registration Form by UOB, it will take approximately 5 business days to process. 2 GLOSSARY TERM Account Linking DESCRIPTION UOB / FEB Current, Time / Fixed Deposit and Loan accounts held by your Company can be linked to UOB BIB Service for online access. Company ID This is the Login ID which will represent your Company. All users will login using this Company ID and their respective User IDs. Contact Person This is the person whom we will contact for enquiries pertaining to BIB. Company Registration Number The registration number as indicated in the Registry of Company document. Designated Account Token and subscription fees (if any) will be debited from this account. All correspondence relating to your UOB BIB Service will be sent to the mailing address for this account. Group Company Functions The parent company can apply for UOB BIB Service to view and/or transact on the accounts of both the parent and affiliated companies. Token To use existing token for related companies, please submit BIB Private Token Request Forms Token Owner (CYB-82/F) & Token Sharing (CYB-83/F). Token Owner to be completed by company which has applied for the existing token. Token Sharing to be completed by company which will be using the privatised token. Transaction Approval Mandate This is only applicable if you have registered for Professional Package and/or Premium Option(s). The transaction approval mandate indicates the number of Signatories required to approve transactions and their approval limit. User ID This is the User ID for each CA or CS to login. All users will login using the Company ID and their respective User IDs. If you are playing both Administrator and Signatory roles, please assign a unique UserID for each role. You can customise your User ID by filling in the field on the registration form, 8 to 20 characters with no spaces or special characters. PART 5 : DESIGNATED ACCOUNT FOR FEES Please indicate a UOB / FEB CURRENT account as your designated account. Token and Subscription fees (if any) will be debited from this account. If the designated account has insufficient funds or is closed, we will collect our charges from your other current account maintained with us. All correspondence relating to your UOB BIB service will be sent to the mailing address for this account S G D When left blank, we will auto link the designated account if you have only one SGD account.. PART 6 : TRANSACTION APPROVAL MANDATE The mandate indicates the number of signatories required to approve transactions and their approval limit. It does not apply for Stop Cheque requests and Bulk Collection services where only one signatory approval is required. 4 PART 8 : COMPANY USER TOKEN REQUEST (OPTIONAL) Do you require additional token(s) for Company User(s)? Yes. Please indicate the number of Company User token(s) required: Please note that any Company User (CU) who is also a Company Administrator (CA) within the same company can use the same token. It is not necessary to purchase a CU token to this CU if he/she is a CA / CS of the company and already has a token. The Bank will waive the charges for up to 3 new tokens issued. A S$20 fee (inc GST) applies for every additional token. PART 9 : DECLARATION BY APPLICANT 1. I/We hereby - apply for UOB Business Internet Banking (BIB) Service as set out above. - confirm that I/we have been provided with copies of the UOB BIB Service Agreement, and have read, understood and hereby agree to be bound by each and all of the terms (save for the definition of Customer Affiliate in Clause 11.1 of the BIB Agreement; which shall be replaced by the definition at paragraph 3 hereinbelow) therein as may be amended and prevailing from time to time. - confirm that the terms and conditions of the United Overseas Bank Limited applicable to each and all of the services for which I/we have applied have been made available to us, and that I/we have read, understood and hereby agree to be bound by each and all of such terms and conditions, as may be amended and prevailing from time to time. - confirm that each and all the Company Signatories named herein are authorised to operate and utilise any and all services granted and provided to me/us through the UOB BIB Service, and that the mandate and authority conferred on each of the Company signatories as set out in Part 4 herein shall apply in this respect. - confirm and agree that any existing mandate or instructions which I/we may have with the UOB Group Bank(s) will not apply in relation to my/our utilisation of UOB BIB Service. - confirm that all the information provided herein are true and accurate to the best of my/our knowledge as at the date of this application. - authorise United Overseas Bank Limited to issue Login Password(s) and Token(s) to the authorised Company Administrator(s) and Signatory(s), where applicable. - confirm that, in the event of any change in the identity of the Company Administrator and/or the Company Signatory, I/we shall revoke the respective User IDs through the submission of a request, instruction or relevant maintenance form to United Overseas Bank Limited. - authorise United Overseas Bank Limited to debit all subscription and token fees, administration and service charges relating to my/our application and/or use of UOB BIB Service from the Designated Account. 2. Enclosed is a certified true copy of our company s Board Resolution (not applicable for sole proprietorship and partnership). 3. I/We agree that the definition of Customer Affiliate in Clause 11.1 of the BIB Agreement shall be replaced by the following definition: Customer Affiliate means any person, body corporate, partnership, firm or other entity in which the Customer directly or indirectly: a. owns all or part of the capital or business assets; or b. has the power to exercise any voting right in such entity; or c. has the legal power to direct or cause the direction or general management or affairs of the entity in question; or d. has the power to appoint more than half the members of the supervisory board, board of directors or bodies legally representing such entity; or e. has the right to manage the business of such entity. 4. Group Company Functions (Optional): I/We understand that if I/we require Group Company Functions to perform enquiry or transactions on accounts held by my/our Affiliated Company(s), namely: I/We will also attach a UOB BIB Service Registration Form (For Affiliated Company) for each Affiliated Company to be registered, together with a certified true copy of each Affiliated Company s Board Resolution. 6 Notes on UOB ealerts! A. Details of UOB ealerts! notifications: 1. UOB ealerts! are available for business current accounts in both SGD and foreign currencies that are offered by UOB. 2. UOB ealerts! will only be available from Monday to Friday excluding public holiday. 3. UOB ealerts! notification for each current account can be set up to a maximum of five mobile phone numbers / addresses. Notification via SMS is only available to Singapore registered mobile phone numbers. 4. UOB ealerts! consist of the following notifications: Account Balance Account Balance Below Threshold Incoming Funds Notification will be sent twice a day at 9 am and 6 pm. This notification is optional. Notification will be sent at 9 am and 6 pm. User will be notified that the account balance has fallen below the minimum threshold. Threshold must be set at least 5,000 units and above in the currency of the account to be alerted. If not specified, default threshold will be set at 5,000 units of the account currency. This notification is optional. Incoming funds from Inter Account Funds Transfer, MEPS, Inward Telegraphic Transfer and Trade transactions will be alerted every two hours from 9 am to 7pm and sent up to five times daily at 11 am, 1 pm, 3 pm, 5 pm and 7 pm if the incoming funds equal or exceed 5,000 units in the currency of the account. One SMS / per transaction will be sent. Default threshold will be set at 5,000 units of the account currency. Debit Notification Debit notification for all types of debits will be sent up to five times daily at 11 am, 1 pm, 3 pm, 5 pm and 7 pm if the debit amount is equal or exceed 5,000 units in the currency of the account. Default threshold will be set at 5,000 units of the account currency. Return of Cheques Deposited Return of Cheques Deposited notification will be sent at 2 pm. This service is only applicable for SGD and USD cheques cleared by Singapore Automated Clearing House. Only cheques returned before 2 pm will be notified and does not include late returns. Default threshold will be set at 5,000 units of the account currency. 5. Frequency and actual time of notifications received are indicative and are subject to change and UOB reserves the right to change the frequency and timing of notifications without prior notice.
