1 Message Board Questions and Answers Addendum No. 1 State of Florida Department of Management Services INVITATION TO BID Commercial Off-The-Shelf (COTS) Software ITB No.: M December 16, 2013 Addendum 1 includes the revisions to the ITB and the responses to the Message Board questions posted under the solicitation in MyFloridaMarketPlace. The ITB is hereby revised with the following changes: Section 3.1 MFMP Registration. The following sentence is amended as follows: The awarded vendor(s) will be required to pay the required transaction fees as specified in section 14 of the PUR 1000, unless an exemption has been requested and approved prior to the award of the contract pursuant to subsection (h) (1)(h), Florida Statutes. Section References. The following sentence is amended as follows: References shall pertain to current and ongoing software sales or services or those that were completed prior to November 18, 2013 January 6, Section LAR s National Advertised Price The following sentence is amended as follows: The discount percentages, as submitted by the Respondents for this bid will be applied to the Publisher s and LAR s nationally advertised price list to determine all contract pricing. Section 5 Selection Methodology After the period ending the sentence, Respondents are to provide pricing for all items by fillin an entire row with pricing for either Florida Government Price or Academic Price or both., the following section is inserted: Any software listed for which there is no corresponding individual user license or server license, if an item is sold as part of a suite of products or is no longer available, please mark that cell as N/A. The Respondent may include the product as part of their offer, but pricing for that item will not be evaluated at part of the Required Software evaluation. If the software is selected as one of the Required Software products for evaluation and it is one that has been discontinued or is offered as part of a suite and no individual software pricing is available, then another software product will be selected using the same method identified within the solicitation to replace that item.

Question Response MSG14927 We have reviewed the ITB and would like to confirm that the ITB is only for companies that sell products from the following software publishers: Symantec Oracle Adobe NetMotion McAfee VMware Research-in-Motion CommVault In other words, companies that sell COTS document management software not offered by the companies above would not be eligible - is our understanding correct? 4 3 MSG Please consider changing the cutoff date for software sales from the current November 18, 2013 to the date the proposal is due, which currently is January 6, The State of Florida should consider all deals completed up to the submission date because all deals completed prior to the beginning of the State of Florida s evaluation period for this RFP should be relevant and acceptable. In fact deals closed before November 18th versus January 6th are no more relevant than deals closed before January 6th. Section is revised to include experience through January 6, Section d will not be revised d This section includes this requirement: Documentation must demonstrate a minimum of five (5) years experience from July 1, This requirement prevents the state from awarding this contract to resellers of newer, innovative COTS solutions who in many cases have not had reseller channels for five years. It is in the best interest of the State of Florida to make an exception for newer, innovative COTS solutions that are just establishing a reseller channel. By not allowing for new COTS solutions the state is limiting itself to only acquiring legacy COTS solutions that have been in existence for the past 20 years. The impact of this prevents the state from taking advantage of newer COTS solutions that represent significant savings to the State of Florida. 5 5 MSG16062 After reviewing the products you requested in Required Software section it appears that several of the items are not sold by themselves and several of the items are not sold anymore or are discontinued. In that case how should the bidder proceed/respond? Thank you! 6 MSG16104 In Section 7.3 the State mentions that Cloud Software is Out of Scope. Will the State reconsider this stance and allow Cloud Software? By not allowing for new COTS solutions that are currently available from large Cloud Vendors the state is limiting itself to only acquiring only legacy COTS solutions that have been in existence for the past 20 years. The impact of this prevents the state from taking advantage of newer COTS solutions that represent significant savings to the State of Florida. 7 MSG16103 <<Vendor>> has read the bid document for ITB No M COTS Software, and respectfully submits the following questions for consideration. 1. Section How will the State verify all respondents are utilizing the same publishers price lists, since some publishers offer multiple price lists? 2. Section & Market Basket 1 spreadsheets states discounts percentages will be applied to Publisher s and LAR s nationally advertised price list to determine all contract pricing. Which price list will the contract pricing be based upon, since the Publisher s price list and LAR s price list may vary, and there is no column for the LAR s nationally advertised price on the Market Basket spreadsheet? 3. Section Please confirm the percentage for the contract transaction fee for this contract. Thank you. See first page of Addendum 1. Cloud software is out of scope. 1. Publishers' price lists are being requested for verification and validation purposes, not as a basis for award. 2. In the Vendor Price sheet, are Nationally Advertised Price and MSRP the same? On the pricing sheets, it says MSRP Discount but in the ITB document section 10.2, it says discount percentage will be applied to Software Publisher s price list. Can you clarify? See response to question number 7.

9 11 MSG16121 <<Vendor>> would like to submit the following questions regarding ITB No M Commercial Off-The-Shelf (COTS) Software: Question: ITB SPECIAL CONDITIONS SECTION 10.2 COST. The discount percentages, as submitted by the Respondent for this bid, will be applied to the Software Publisher's and LAR's price list to determine all contract pricing. Please confirm that if the Software Publisher and Respondent s national advertised price lists differ, the discount offered will be applied to the retail price indicated in the Respondent s nationally advertised price list. Question: ITB SPECIAL CONDITIONS SECTION 10.4 SOFTWARE REQUIREMENTS. Please confirm that the state acknowledges that as a reseller of the third party publisher s software license, the Contractor is not authorized by the publisher to modify any of the publisher s license terms. The software publisher s end user license agreement terms and conditions will apply to all software license purchases and to the extent any such terms conflict with the terms of this Section 10.4, it is the customer s responsibility to negotiate any changes to the license terms directly with the Software Publisher. Does the state acknowledge that all rights and obligations with respect to the software, including but not limited to product warranty, intellectual property infringement indemnification, and software license rights will flow directly between the purchaser and the software publisher? 10.2 Cost - See response to question Software Requirements - This section speaks for itself. 12 MSG16136 Below are questions we have for the COTS Bid. 1 How shall the respondent price out a product on the pricing sheet where there is more than one option per product? Example, Symantec DLP offers multiple licensing and pricing options as it s a suite of products that can be purchased modularly or completely. 2 Is there and what is the fee amount associated with this contract and could that % change over the length of the contract?
