Proven functions have been further improved and safeguard a familiar handling of the product. Due to the continuation of the plug concept, the valve adapter concept and the working behaviour, the OEM Actuator 5 is 100% compatible to his predecessor, but there is more: The energy consumption has been reduced by approximately 45%. The OEM Actuator 5 product family is available in different models, types, designs and variants, for almost all valves in the range of floor heating/cooling as well as building automation systems, in thermal or motor driven versions. 4

This way the world-wide leader offers a motoric valve drive for small-valve applications, where high actuation force, maximum valve path and a precise and thermally independent control are critical. A perfectly matched gear with robust high-end step motor ensures absolute smoothness of operation with maximum control quality over the entire lifetime. The actuator demonstrates its full potential on balanced valves, circuit control valves or in fan coil units. Variety of types As 2- or 3-point valve drive or with 0 10 V control voltage it offers the right actuation type for every application. The freely configurable parameters as e. g. the valve path of up to 8.5 mm, the actuation force of 100, 125, 150 and 200 N, and two running times, ensure extensive variation possibilities ex factory. This allows an even more precise matching to the valve type. 16 Thermal valve drives OEM Actuator 5: Proportional with feedback Continuous, thermo-electric valve drive for heating and cooling applications. The control of the valve drive is performed by a 0-10 V DC signal via a central DDC system or by a room thermostat. The valve drive has a back channel for giving out a 0-10 V signal. This signal transmits information about the current valve position as well as about possible errors to the DDC installation. Principal area of application is the building management systems range. The integrated valve path recognition automatically detects the valve path. This allows an optimal use of the active control voltage range. Furthermore we reserve the right to charge all other resulting costs, e. g. charges due to increased bank expenses, etc. 6. Upon payment default of the buyer, or fundamental deterioration of his credit-worthiness after contract conclusion, all claims will become payable immediately, even in the case of deferral. Moreover, in this case we are entitled to demand pre-payment or security deposits and rescind all existing conclusions after a suitable grace period. The buyer will meet all the costs thereby incurred. IV. Deliveries 1. We endeavour to keep stated delivery times. The agreement of binding delivery dates requires the written form. 2. If any given delivery times, or agreed delivery dates or delivery deadlines, cannot be met or are delayed due to cases of Force Majeure, war, industrial action, lock-out, political unrest, transport impediments, official measures etc., possible claims of the buyer resulting from the delivery delay are excluded. The same applies if delivery times are delayed due to unforeseeable, other hindrances, no matter whether these occur in our premises or in the premises of our subcontractors (e. g. interruption of operation, fire damage, unforeseeable difficulties in material sourcing, etc.). 3. Partial deliveries are permissible as far as these are reasonable to the buyer. 4. We are liable towards the buyer for delivery delays according to the legal provisions, if the delivery delay is based on a premeditated or grossly negligent breach of duty for which we are responsible. If the delivery delay is not based on a premeditated or grossly negligent breach of contract, our liability is limited to the foreseeable, typically occurring damage. 5. Order changes coming in before or after order confirmation reception can only be processed if possible cost arising through these are assumed by the purchaser and if a corresponding delay of the delivery time is accepted. V. Transfer of risk 1. The buyer has to bear the risk of shipping. 2. The risk is transferred to the buyer as soon as the delivery leaves our factory, and even if freight-free delivery and assembly has been agreed. If the shipment is delayed at the request of the buyer, the risk shall transfer to the buyer with the notification of readiness for shipment. If requested by the buyer, the delivery will be insured against transportation and fire damages at the expense of the buyer. 3. Without other instructions of the buyer, the mode of transport, the transport route and the packaging will be chosen as usual in trade at our discretion at the buyer s cost. VII. Reservation of proprietary rights 1. We retain the title to the goods delivered until the complete settlement of all our claims, to which we are entitled to as a result of the business transaction with the buyer. The buyer must insure the goods subject to retention of title against theft, damage, destruction and accidental loss (in particular fire and water) and has to prove the coverage on our request. The buyer must give us information on the whereabouts of the goods subject to retention of title and shall permit us and persons we have authorised to enter the place where the goods are stored. 2. In case of a processing of the delivery items and their connection we shall acquire co-ownership of the new item created in the ratio of the value of the goods subject to retention of title to the value of the new item created through the processing. The invoice value, alternatively the market value, is applicable to the value of the goods subject to retention of title and the value of the new item, for which the point of time of processing is applicable for the value of the processing. The buyer will become active for us during the processing, however without acquiring any claims against us with respect to the processing. 3. The buyer has the right to sell or process the goods subject to retention of title in the ordinary course of business, as long as he has not fallen behind in payments. The buyer herewith already now assigns the claims to which he is entitled from such sales, to the full extent by way of security, to us. Subject to revocation we authorize the buyer, acting on his behalf, to collect all debts or claims assigned to us for his account. Upon our request, the buyer will declare such assignment, and submit to us any required information or documents. 4. If the value of the securities exceeds our demands about more than 25%, we have the obligation to release the exceeding part of the securities due to us to the buyer at his demand or on demand of his creditors. 5. The buyer must inform us immediately, if execution is levied over goods subject to retention of title, or over claims transferred to us by assignment of future claims. The buyer shall bear any costs and damages. VIII. Export orders Deliveries to other countries will only be carried out using our Terms of Sale and Delivery. If the goods are being delivered to another member state of the European Union (EU), the buyer is obliged to forward his VAT identification number applicable for the delivery plus a declaration of professional sector before the dispatch of the goods. If the legislation of the ordering party s country aggravates the transfer of the purchase price to us, or if the value of the currency of that land decreases, we are entitled to reject the deliveries, without any claims for compensation, or to claim a corresponding modification of the terms of purchase and of the periods of delivery. Furthermore, the ordering party is entitled to immediately settle possible exchange rate fluctuations which are unfavourable for us, if orders are paid in another currency than Euro. According to the Rules of Conciliation and Arbitration of the International Chamber of Commerce, disputes will be finally adjudicated by one or more arbitrators nominated according to these rules, if both parties agree to these proceedings. IX. Design changes We reserve the right to carry out design changes at any time, however we are not obliged to perform such changes also at products already delivered. X. Copyright If any deliveries are made according to drawings, samples, or further indications of the buyer, and if patent rights, model rights or trademark rights of third parties are violated by this, the buyer is liable to us for the damages resulting from this and for the lost benefits. XI. Data protection We use an EDP system. The buyer hereby grants us his express agreement for the processing and storage of data which have become known in the scope of contractual relations and which are necessary for order processing. XII. Place of performance and jurisdiction The place of delivery shall be the respective place of dispatch. The place of performance for payment is the headquarters of Möhlenhoff, Salzgitter. The headquarters of Möhlenhoff, Salzgitter is the agreed and exclusive place of jurisdiction for all disputes arising from the contractual relationship. XIII. Final clauses Should individual stipulations of this Terms of Sale and Delivery be or become ineffective, the legal validity of the remaining stipulations stays unaffected by this. The respective stipulation must be replaced by an effective stipulation coming as close as possible to the aspired commercial purpose. The same applies to contractual gaps Möhlenhoff GmbH VI. Guarantee / Indemnification 1. Apparent defects of our delivery shall be communicated in written form without delay or within ten days at the latest from delivery. Hidden defects must be notified in written form within 10 working days after discovery thereof. Items complained about must be kept ready for a visual inspection by us or by our representatives in the status they had at the time of the detection of the alleged defect. No liability shall be accepted for normal wear and tear. 2. We shall rectify justifiably asserted defects in our performance by supplementary performance. We have the right to choose whether the supplementary performance is done by remedying the defect or delivering an item free of defects. In case of failure of the supplementary performance within an adequate time scheduled herefore, the buyer has the right to withdraw from the contract or to demand an adequate price reduction. 3. In general the warranty period lasts for 36 months from the date of production. Different warranty periods are expressly stated in our quotations. 4. Indemnification claims of the buyer on whatever legal grounds are excluded. This does not apply to cases of premeditation or gross negligence, due to hazard to life, body or health, for liability according to the product liability law, for warranty we have assumed for which damage due to a liable violation of fundamental contractual duties or in other cases of a legally obligatory liability. The liability for the culpable breach of fundamental contractual obligations is however limited to compensation to the extent of assessable damage, which is typical in these contractual contexts. 5. Any claims from warranties shall only be the prerogative of the direct buyer and are not assignable. 63
