Eligibility: Except where regulated or restricted by law, E.D.SMITH Dessert Lovers Sweepstakes (the Sweepstakes ) is open to legal residents of Canada provinces excluding Quebec, who are eighteen (18) years of age or older at time of entry. Employees, contractors, directors, and officers of E.D.SMITH FOODS, LTD (the Sponsor or E.D.SMITH ), TAGGA Media, Inc., and other companies associated with the promotion, development, and administration of the Sweepstakes, and their respective parents, subsidiaries, affiliates and advertising and promotion agencies (collectively, Sweepstakes Entities ), as well as the immediate family members (parent, child, sibling, and spouse) and those living in the same household of each, are not eligible to enter or win. Other eligibility requirements and conditions of participation are set forth below in the official rules ( Official Rules ) for the Sweepstakes. Entry Period: The Sweepstakes begins at 12:00am EST on February 2 nd, 2015 (the Sweepstakes Start Date ) and ends at 11:59pm EST on February 16 th, 2015 (the Sweepstakes End Date ) (Sweepstakes Start Date and the Sweepstakes End Date together comprise Entry Period (the Entry Period ). Entries must be submitted during the Entry Period in order to be eligible for the Sweepstakes. Entries submitted before or after the Entry Period will be void. 3. How To Enter: During the Entry Period, eligible individuals have the following options to enter the Sweepstakes: a. Upon access, you will need to complete the Signup Page as detailed below. b. Via Smart Phone: Using your smart phone, go to the Sweepstakes site and follow the directions to enter the Sweepstakes. Standard message and data rates of your mobile service providers may apply and are your responsibility. Upon access, you will need to complete the Signup Page as detailed below. c. Via Facebook: Using your smart phone, tablet or computer, go to the Dessert Lovers Sweepstakes tab found within E.D.SMITH s Facebook page. Alternatively, a URL may be posted on E.D.SMITH s Facebook page during the Entry Period. Upon access, you will need to complete the Signup Page as detailed below. d. Via Pinterest: Using your smart phone, tablet or computer, go to E.D.SMITH s official Pinterest page and click on any Dessert Lovers Sweepstakes related posts, which will lead you to the Signup page. Upon access, you will need to complete the Signup Page as detailed below. e. Via Instagram: Using your smart phone, tablet or computer, go to E.D.SMITH s official Instagram page and copy/paste the URL found in any of the Dessert Lovers Sweepstakes related posts into your web browser and access the

2 Signup page. Upon access, you will need to complete the Signup Page as detailed below. f. Via Web Banner: Using your smart phone, tablet or computer, go to E.D.SMITH website and click on the Dessert Lovers Sweepstakes web banner. Upon access, you will need to complete the Signup Page as detailed below. g. Signup Page: Using your web browser or any of the entry methods outlined above, to enter the Sweepstakes you will need to complete the following steps on the Signup Page: 1. Follow the E.D.SMITH official Pinterest page by clicking the Follow us on Pinterest button under Step 1 2. Provide the information requested and agree to the Terms & Conditions of the Sweepstakes 3. Pin the recipe content onto your personal Pinterest page as per the instructions on the Signup Page under Step 2 4. Entry Limit: One (1) Sweepstakes registration Entry per person during the Entry Period will be accepted regardless of the number of addresses used. Any additional attempted entries from the same person or account are void and will be automatically eliminated. All online entries must be completed by 11:59pm EST on February 16 th, 2015 on Sweepstakes End Date to be eligible for the drawing. 5. Void Submissions: Sponsor is not responsible for lost, incomplete, stolen, damaged, garbled, corrupt, illegible, late, or unintelligible entries, or for printing or other errors appearing in these rules or other Sweepstakes materials, misprints or errors in other Sweepstakes-related information, garbled communications, failures or malfunctions of internet connections, phones, phone lines, telephone systems, technical or mechanical malfunctions, or other malfunctions, problems or errors, whether caused by equipment, programming used in this Sweepstakes, processing errors, human errors or otherwise. Sponsor reserves the right, at its sole discretion, to void any entries from Entrants whom Sponsor believes have attempted to tamper or have tampered with the administration, security, or fairness of this Sweepstakes. 6. Prize Winner Selection: One (1) potential Winner ( Prize Winner ) and two (2) backup Winner(s) (the First Backup Winner and Second Backup Winner ) will be chosen by a random drawing ( Prize Winner Drawing ) from all eligible Entries received during the Entry Period. The Prize Winner will be selected on February 17 th, 2015 by 5:00pm EST on the day after the Sweepstakes End Date. The Prize Winner Drawing will be conducted by the Sponsor or its representatives, whose decisions are final and binding in all matters relating to this Sweepstakes. 7. Prize and Approximate Retail Value ($75): The Prize Winner will receive one (1) dessert lovers prize pack containing: three (3) jars of E.D.SMITH Triple Fruits Spreads, three (3) cans of E.D.SMITH pie filling, one (1) silicone cookie sheet liner, one (1) silicone spatula, one (1) 5 pack cookie cutter, one (1) 5 pack measuring cups and one (1) 5 pack measuring spoons. 8. Winner Notification: The Winner will be notified via to the address submitted with the Entrant s registration to the Sweepstakes, or by telephone to the phone number provided, within seven (7) days after the Winner is chosen. To claim the Prize, the Winner must respond to the notification within seven (7) days after the notification is sent. If the Winner fails to respond to the prize notification within seven (7) days or if the Winner is otherwise deemed ineligible, the Prize will be forfeited and the First Backup Winner will be deemed the Winner. The First Backup Winner will be notified via to the address submitted with the Entrant s registration to the Sweepstakes, or by telephone to the phone number provided, within seven (7) days after the initial Winner is disqualified. The First Backup Winner must respond to the notification within seven (7) days after the notification is sent. If the First Backup Winner fails to respond to the prize notification within seven (7) days or if the First Backup Winner is

3 otherwise deemed ineligible, the Prize will be forfeited and the Second Backup Winner will be deemed the Winner. The Second Backup Winner will be notified via to the address submitted with the Entrant s registration to the Sweepstakes, or by telephone to the phone number provided, within seven (7) days after the First Backup Winner is disqualified. The Second Backup Winner must respond to the notification within seven (7) days after the notification is sent. If the Second Backup Winner fails to respond to the prize notification within seven (7) days or if the Second Backup Winner is otherwise deemed ineligible, Sponsor will award the Prize to an alternate winner by random drawing from among all remaining eligible Entries. 9. Requirements of Potential Winners: Except where prohibited, a potential winner will be required to correctly answer the mathematical skill testing question via phone, on a mutually agreeable time, or . If a potential winner incorrectly answers the mathematical skill-testing question or fails to answer the question on the agreed upon time, he/she will be disqualified and an alternate entrant may be selected in his/her place from all remaining entries. All federal, provincial and local taxes are the sole responsibility of the winner. Except for the prize values, the Prize Winner will not receive any additional monetary compensation or acknowledgement for participation in the Sweepstakes, any advertisement or other material. Except as specifically provided herein, each Prize Winner is solely responsible for all expenses and fees, including, without limitation, taxes, related to any prize or this Sweepstakes. Reporting and payment of all applicable taxes resulting from acceptance or use of any prize are the sole responsibility of the winner. If a potential Winner is found to be ineligible or not in compliance with these Official Rules, the potential Winner will be disqualified and a backup winner will be selected. 10. Sweepstakes Privacy: Information submitted in connection with the Sweepstakes will be treated in accordance with these Official Rules and Sponsor s privacy policy (as may be amended from time to time), currently available at provided that, in the event of any conflict between these Official Rules and such privacy policy, the terms and conditions of the Official Rules shall prevail. Entrants may choose to opt-out of future notifications by following the opt-out instructions provided with each such . Conditions, Disclaimers, and License: By entering the Sweepstakes, each Entrant agrees that: (a) he or she will abide by and be bound by these Official Rules; (b) the entry becomes solely the Sponsor s property and will not be acknowledged or returned; (c) neither Sponsor nor any of the Sweepstakes Entities, nor any of their officers, directors, employees, agents or representatives are responsible for claims, injuries, death, losses or damages of any kind resulting from, in whole or in part, directly or indirectly, participation or inability to participate in the Sweepstakes, or the awarding, acceptance, use, misuse, possession, loss or misdirection of a Prize; (d) Sponsor is not responsible for any inability of the Winner to accept the Prize for any reason; and (e) Sponsor has the sole right to decide all matters relating to the Sweepstakes, including fact, interpretation, eligibility, procedure, fulfillment, and disputes from the Sweepstakes. Although Sponsor attempts to ensure the integrity of the Sweepstakes, neither Sponsor nor any of the Sweepstakes Entities are responsible for the actions of Entrants or other individuals in connection with the Sweepstakes, including attempts by Entrants or other individuals to circumvent these Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned by reason of damage by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical limitations or

4 failures, strikes, industry conditions, bankruptcy or liquidation, marketplace demands, applicable law, unforeseen obstacles, or any other causes which, in the sole opinion of Sponsor, could corrupt, compromise, undermine, or otherwise affect the administration, security, fairness, integrity, viability, or proper conduct of the Sweepstakes, Sponsor reserves the right in its sole and absolute discretion to modify these Official Rules, and/or to cancel, terminate, modify or suspend all or any part of the Sweepstakes, and in the event of cancellation or termination, to select a winner from among all eligible nonsuspect entries received up to the time of such cancellation, termination, modification, or suspension, as applicable. If the Sweepstakes is terminated by Sponsor as set forth above, Sponsor will post notice of such termination on the Site. The possibility of inclusion in such drawing will be each Entrant s sole and exclusive remedy under such circumstances. Proof of submitting entry will not be deemed receipt of such entry by Sponsor. RELEASE AND INDEMNIFICATION: BY ENTERING THE SWEEPSTAKES, ENTRANTS AGREE TO RELEASE AND HOLD HARMLESS THE SPONSOR, FACEBOOK, INSTAGRAM, ANY OTHER SOCIAL MEDIA PLATFORM UTILIZED BY SPONSOR FOR THIS SWEEPSTAKES AND EACH OF THEIR RESPECTIVE PARENTS, SUBSIDIARIES, AFFILIATES, ADVERTISING AND PROMOTION AGENCIES, OTHER COMPANIES ASSOCIATED WITH THE SWEEPSTAKES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, REPRESENTATIVES, AND AGENTS (THE RELEASED PARTIES ) FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, RIGHT, CLAIMS OR CAUSES OF ACTION OF ANY KIND ARISING, IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE SWEEPSTAKES OR PARTICIPATION IN ANY SWEEPSTAKES-RELATED ACTIVITY, OR RESULTING DIRECTLY OR INDIRECTLY FROM ACCEPTANCE, POSSESSION, USE, OR MISUSE OF THE PRIZE AWARDED IN CONNECTION WITH THE SWEEPSTAKES INCLUDING, WITHOUT LIMITATION, PERSONAL INJURY, DEATH, AND/OR PROPERTY DAMAGE, AS WELL AS CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY. 13. Limitations on Liability: Neither Sponsor nor any other Released Party shall be liable to the Winner or any other person for failure to supply the Prize or any part thereof by reason of any acts of God, any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s), or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), transportation interruption of any kind, civil disturbance, insurrection, riot, or any other cause beyond Sponsor s sole control. In addition, neither Sponsor nor any other Released Party shall be responsible for: (a) any technical errors associated with the Sweepstakes, including lost, interrupted, or unavailable internet service provider, network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Sweepstakes; (c) mechanical, network, electronic, computer, human, printing or typographical errors; or (d) any other errors or problems in connection with the Sweepstakes, including, without limitation, errors that may occur in the administration of the Sweepstakes, the announcement of the Winner, or in any Sweepstakes-related materials.

Publicity Release: Except where prohibited by law, by entering the Sweepstakes, or by winning, entrants grant to Sponsor and its respective designees the right to publicize the entrant s name, photograph, image, likeness, voice, statements, and certain biographical information in all manner and media, worldwide and in perpetuity, for advertising, trade and promotion purposes, worldwide and in perpetuity, in any and all forms of media, now known or hereafter devised (including, without limitation, the Internet), without additional compensation, and without opportunity for review. 15. Agreement To Official Rules: By participating in the Sweepstakes, each Entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Sweepstakes. The Sweepstakes will be run in accordance with the Official Rules, subject to amendment by Sponsor. Each Entrant must comply with the Official Rules and will be deemed to have received and understood the Official Rules by participating in the Sweepstakes. The terms of the Sweepstakes, as set out in the Official Rules, are not subject to amendment or counteroffer, except as set out herein. If any provisions of the Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. Disputes and Governing Law: All issues and questions concerning the construction, validity, interpretation and enforceability of these Sweepstakes Rules, or the rights and obligations of entrants and the Sponsor, in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of Ontario, without giving effect to any conflict of law rules or provisions. Entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of, or connected with, this Sweepstakes or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by the Ontario Provincial court; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs, but in no event including legal fees, disbursements or court costs; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages, and any other damages, other than for actual out-of-pocket costs. 17.
