4 AGREEMENT This Agreement is made between: NEWPATH WEB PTY LTD ACN of Level 8, 350 Collins Street, Melbourne, Vic, 3000 ("Newpath WEB") And THE PARTY NAMED AS THE CUSTOMER IN THE PARTICULARS ("Customer") Background A. Newpath WEB is a website designer and developer. B. The Customer has requested Newpath WEB to design and develop 1 website for the Customer capable of being hosted on the Internet. C. The parties have agreed that Newpath WEB will design and develop 1 website for the Customer, subject to the terms and conditions set out in this Agreement. The parties agree as follows: The Parties agree to be bound by the terms and conditions as set out in this Agreement and Newpath WEB's Website Development Terms and Conditions. Where Newpath WEB's Website Development Terms and Conditions conflicts with the terms of this Agreement, the term or condition of Newpath WEB's Website Development Terms and Conditions takes precedence over any conflicting term or condition of this Agreement.

5 PROCESS & SCOPE Project Requirements Creative, HTML, Core Development, Quality Assurance, and deployment of organization website. The website will be developed using the WordPress CMS. Technology/3rd Party Software Adobe Photoshop, HTML, CSS, JavaScript/jQuery, PHP, WordPress, MySQL. Deployment Environment Hosting Services owned and managed by Florey VST, with Newpath WEB s ongoing assistance and support where required. Newpath WEB can also host the site should Florey VST require this. Client Deliverables Content (Text, Logo) Images in appropriate format Accurate and timely feedback Hosting environment Any 3 rd party licenses Wireframes/Design/HTML Wireframing will form the basis for this project, with a Digital Producer leading the wireframing process as the first element of the project. This will kick off with a workshop between Florey VST and Newpath WEB. Wireframing is an extremely important phase of the web development process. Newpath WEB does not engage on any development based project without first embarking on wireframing as part of the process. While it s tempting to skip this step and proceed from the design brief and information architecture directly into design, it pays huge dividends to create wireframes somewhere in between of conceptual site planning and actual development of a site. Wireframing will allow you to do several things far more efficiently, and the time and effort you put into this phase pays dividends in the greater scheme of things. Wireframing allows a specialist consultant at Newpath WEB the opportunity to engage at a granular level with each client, to make best practice recommendations that will set their

solution apart from the crowd. This process is crucial in giving the client solution a unique perspective, and making it genuine best of breed in it s given industry.

Wireframing will be completed by the Digital Producer, and presented to Florey VST in digital format, where each page will be clickable and able to be annotated by both Newpath WEB and the client. The wireframe process illustrates the layout of a web page. Using different shapes (such as boxes, ovals, and diamonds) to represent content, functional, and navigational elements, these shapes displays their placement on the page. HTML coders use the diagrams to wire each page, connecting links, attaching content, and so on. Newpath WEB will design and create (in conjunction with Florey VST) up to 5 concept draft designs for the website. A further 5 iterations to the selected design form part of the scope of this project. A senior creative director will be allocated to Florey VST to perform the creative brief process, starting with a creative workshop between Florey VST and Newpath WEB. Once the creative process has been completed, and approved by Florey VST, front end development will be started. It is at this point in the project that staging URL s will be shared with Florey VST for progress to be viewed via a staging site. 8 ios: iphone 5 & 4S Android : Samsung Galaxy S, Samsung Galaxy Ace Tablet ios: ipad 2 Android: Samsung galaxy tab 10.1 User Acceptance Testing Newpath WEB utilises a web based Quality Assurance and testing tool that allows client interaction via logins for all client stake holders. The client will be supplied the ability to be a part of a formal UAT process, to test and confirm that the scope defined above has been delivered and the website and mobile website are working as per the scope. Deployment/Delivery The websites will be deployed on the client selected server environment. Newpath WEB can assist in selection of this environment. Out of Scope Following items are out of scope: Anything not listed in the scope is out of scope. Warranty A 90 day warranty is provided with all projects delivered by Newpath WEB. Once a solution has been signed-off, we transition into a warranty period where the project team will continue to be available to fix any bugs you may discover in the period of the warranty. This period is defined in the offered solution and may be extended through maintenance contracts.

9 PROJECT MANAGEMENT APPROACH STAGE 1: INITIAL SETUP We use Basecamp ( ) for all project management/tracking (referred to Project Path). When your account is set up, other members of your team who have a say in the project will be given access to the project in Project Path. All relevant members from our organisation are also added at this stage. We also add our Chief Technology Officer (Maninder Bains), Chief Operations Officer (Sameer Jain) and Chief Executive Officer (Nathan Sinnott) with access to the project for their constant review and input. STAGE 2: WORKING TOGETHER All communication and collaboration will be recorded in Project Path. Our project management approach strictly follows Openness and Clarity. All Team members and stakeholders should be aware of what is happening at all times, hence we work hard to ensure all communication is recorded in Project Path so as all parties have a central source of project information and detail. 10 PROJECT EXECUTION METHODOLOGY The Newpath WEB project execution methodology consists of the following phases: Discovery/Analysis Information Architecture Design Development Deployment 1.1 DISCOVERY / ANALYSIS This phase consists of the following stages: Pre Approval Stage Requirement Analysis Scope Estimation /Statement of Work Post Approval Stage Information Architecture Design 1.2 INFORMATION ARCHITECTURE Once the pre-sales process is completed, the post-sale begins with development of Information Architecture. The key deliverable of this phase is the creation of a series of wireframes. Wireframes are 'sketches' of page designs that contain all the information, content and navigation of a real page, without any graphic design. Wireframes work in much the same way that architectural blue prints define a building's structure. Figure 1: Wireframes

1.3 DESIGN Once approved, the wireframes are converted into a series of graphical mock-ups. The mocks include design elements and color scheme and represent the actual look and feel of the website.

Figure 2: Wireframe to Mock Typically, three rounds of revision are required to finalise the required look and feel for the website This process demands close interaction between the client and Newpath Web; as feedback, comments, and critiques will be discussed and implemented Once approved by the stakeholders of the project, the mocks are converted into a web template from which the bulk of the web pages are created The HTML templates include title, heading, and sub-heading graphics as well as navigation buttons and JavaScript rollovers HTML pages also contain any company branding consistent with artistic look and feel of the website HTML content pages are designed to facilitate future updating and modification by any reasonably skilled programmer

13 Early feedback, user engagement, and adaptation, leading to a refined system that more closely meets the real needs of the stakeholders Managed complexity; the team is not overwhelmed by analysis paralysis or very long and complex steps The learning within an iteration can be methodically used to improve the development process itself, iteration by iteration 1.5 DEPLOYMENT Upon successful completion of quality assurance, and user acceptance testing, Newpath WEB will seek written approval from the client that the scope of the project has been met, and an error free, usable solution as expected by the client has been delivered. At this stage, Newpath WEB will launch the end product into its destined environment and provide formal notification of this deployment. The end product is now entered into its warranty period, and tracked throughout that time to ensure it remains bug and error free. At the completion of the warranty period, the project is archived in Newpath WEB s Project Path system.

The requirements for any third-party components, if not mentioned in this document, will be intimated to the client before the start of development. The end-product will be made available with a three month warranty. It is the responsibility of the client to do acceptance testing within 3 months from delivery. Any change request after the allocated period will be chargeable. In the case of server crash or site hack, Newpath WEB will only be responsible for the retrieval of the source code. Loss of data will not be accounted for.

The products, services and charges contained herein are valid until 31/01/2014. Newpath WEB reserves the right to refuse to provide the services if the Customer s acceptance of this Agreement is received by Newpath WEB after this date; 2.
