3 3 ZSE Group is the largest distributor of electric power and provider of electric power and gas in Slovakia. Almost ninety years in the Slovak market has allowed the ZSE Group to combine the international reputation of the E.ON Group by creating possibilities for cooperation, professional development and opportunities for our experts to work in the European energy market within E.ON Group. Who We Are Incorporating Západoslovenská energetika, a.s. into E.ON Group, with assets on two continents, was a challenge yet also created an opportunity to expand international cooperation and knowledge exchange at all levels. ZSE Group distributes electric power and sels electric power and natural gas, and all related services, to nearly a million customers in all categories. Companies of ZSE Group are: Západoslovenská energetika, a.s. and its daughter companies Západoslovenská distribučná, a.s., ZSE Energia, a.s., Enermont spol. s r.o., ZSE Development, s.r.o. and E.ON Business Services Slovakia, spol. s r.o. Electric power is distributed to customers over networks of very high voltage (110kV), high voltage (22kV) and low voltage (0.4kV) through various distributing and transformation devices. This network is spread over 14,920 square kilometres. ZSE Group is an important employer in Western Slovakia by providing jobs to almost 2,000 people.
4 4 Our History ZSE Group has been supplying electric power to the market more than 90 years. As of 2011 is a stable supplier of the second commodity gas. Since its establishment, ZSE has gone through many changes with various legal forms until it evolved to its current form incorporated, with various foreign shareholders. Here are the milestones of Západoslovenská energetika, a.s.:
5 5 July 2002 Company restructuring begins to prepare Západoslovenská energetika, a.s. to enter the free market for electric power. 5 th September 2002 Forty-nine percent of Západoslovenská energetika, a.s. shares is transferred to E.ON Energie AG. This marks the end of the first phase of the Company s privatisation. Západoslovenská energetika, a.s. becomes part of the global network of E.ON Energie companies. 19 th November 2003 European Bank for Reconstruction and Development (EBRD) and E.ON Energie sign the contract for the sale of 9% of German shares in Západoslovenská energetika, a.s. 1 st July 2007 The legal unbundling of the Company (requested by the European legislation) results in establishing a separate operator of the distribution system. The ZSE Group is established on this date. 20 th December 1921 The first General Meeting of Západoslovenská Elektrárna is held. 1 st June 1922 Západoslovenská Elektrárna is registered as a legal entity. Karol Stuchlý becomes the first employee and director. The Company begins construction of a new electric company with headquarters in Bratislava. 3 rd September 1990 Západoslovenské energetické závody is established as an independent state-run energy company. 27 th May 2008 E.ON Energie AG put its 40% of the share in Západoslovenská energetika, a.s. into its fully owned daughter company E.ON Slovensko, a.s. 13 th December 2012 Conclusion of the Company s shares transfer: 9% of the Company s share held previously by EBRD London to E.ON Energie AG realized on 21st August 2012, 1% of the Company s share held by E.ON Slovensko, a.s. to E.ON Energie AG approved by the General meeting on 19th December st November 2001 After 55 years Západoslovenské energetické závody once again becomes incorporated. 13 th June 2002 Representatives of the Slovak government and E.ON Energie Holding sign the contract to transfer 49% of the shares of Západoslovenská energetika, a.s. to E.ON Energie. The value of this contract is 330 million EUR.
6 6 What We Do Západoslovenská energetika, a.s. Západoslovenská energetika, a.s. (ZSE) is a leading energy company in Slovakia. In 2002 it became a part of the German energy group E.ON. On 1 st July 2007 ZSE established two daughter companies for the operation of distribution system and for energy trades and sales. This split was based on the European Union Directive on common rules for the internal market in electricity repealing that has been implemented into Slovak legislation by Act No. 656/2004 Coll. on energy. New companies Západoslovenská distribučná, a.s. and ZSE Energia, a.s. are 100% daughter companies of ZSE. ZSE continues to provide customer services including invoicing for all types of customers residential customers, commercial customers and strategic Slovak companies. Západoslovenská distribučná, a.s. The Company started its operations on 1 st July 2007 as a 100% daughter company of ZSE. The Company is responsible for the operation of distribution systems. It holds all required licenses and is regulated by Regulatory Office for Network Industries. Západoslovenská distribučná, a.s. was established on 20 th April 2006 with headquarters at Čulenova 6, Bratislava. Performing provisions of Section 32(10) of new Act on Energy, the title ZSE Distribúcia, a.s. was changed to Západoslovenská distribučná, a.s. on 1 st January 2013.

8 8 ZSE Energia, a.s. The Company started operations on 1 st July 2007 as a 100% daughter company of ZSE. The Company trades and sells electricity and natural gas the region of Western Slovakia and beyond and focuses on providing long-term, reliable services with affordable prices in a way that corresponds with environmental protection and European Union regulations. The Company conducts activities in accordance with Energy Law and the permit to supply and distribute electricity issued by Regulatory Office for Network Industries. The Company was also issued a business licence that lists all its activities. Any decision to change the character of the business can be made only by the Company s General Meeting. ZSE Energia, a.s. with headquarters at Čulenova 6, Bratislava, was established on 18 th August 2006 and was entered into the Business Register on 22 nd September Enermont spol. s r.o. The Company was established on 1 st July 2003 as a builder of energy facilities. It is a 100% daughter company of ZSE. The Company builds turn-key projects, provides engineering services, assembling and installation of technologies, construction of transmission lines, construction and maintenance of high- and low voltage above-ground lines, construction of in-ground high- and low voltage electric power lines, disassembling of electric devices, household connections, construction of street light networks, construction and maintenance of 110kV lines, installation of fiber optic cables and other in-ground cables, transportation services, and others.
9 9 ZSE Development, s.r.o. ZSE Development, s.r.o. was established on 4 th February 2012 by renaming the OTC, spol. s r.o. Západoslovenská energetika owns a 100% share in ZSE Development, s.r.o. E.ON Business Services Slovakia, spol. s r.o. The Company provides information technology services in Slovakia. It started operations on 1 st July E.ON Business Services Slovakia is a provider of a wide variety of IT services. E.ON Business Services Slovakia provides complete IS/IT solutions for primarily utility companies. The Company s capabilities and competencies are substantial and can encompass the entire life cycle of information systems and technologies from an initial analyses of the client s business processes to the implementation of projects to long-term operations and support of IS/ IT solutions. Západoslovenská energetika, a.s. owns 49% of the company s shares; 51% of shares are owned by E.ON Business Services Slovakia. A majority of shares in E.ON Business Services Slovakia is owned by its German mother company E.ON Business Services GmbH in Hannover.
10 10 Shareholders and ZSE shares The acquisition of a share in Západoslovenská energetika, a.s. (ZSE) by European Bank for Reconstruction and Development (EBRD) is its first capital investment in a Slovak energy company.
11 11 The majority owner of ZSE is the National Property Fund of the Slovak Republic which owns 51% of the company shares. During the privatisation process in September % of shares of ZSE were sold to E.ON AG, the largest energy conglomerate in Europe, through its holding company E.ON Energie AG in Munich. In November 2003 E.ON Energie AG signed the sales contract for 9% of its shares in ZSE with the EBRD. When E.ON Energie AG purchased part of ZSE, it was the beginning of an extensive Company restructuring. The first phase of this process was finished in a record time of nine months, on 1 st July Since E.ON Energie AG has interests in distribution companies of neighbouring countries (the Czech Republic and northern Hungary), its investment in Západoslovenská energetika, a.s., represents the company s effort to create cooperative synergy in the region. Purchase of 9% of the shares of ZSE by the EBRD from E.ON Energie AG strengthened the positive perception of the Slovak energy industry among foreign investors. On 27 th May 2008, E.ON Energie AG put its 40% of the share in ZSE into its fully (100% of the share) owned daughter company E.ON Slovensko, a.s. On 21 st August 2012 transfered 9% of the Company s share held previously by EBRD London to E.ON Energie AG. The General meeting held on 19th December 2012 approved the transfer of 1% of the Company s share capital held by E.ON Slovensko, a.s. to E.ON Energie AG. 12 12 Who We Want to Be ZSE Group aspires to keep fulfilling all of its customers needs and strengthen its position in the highly competitive environment of the energy markets. One of the main priorities for ZSE Group is the ability to compete with other international energy companies on the liberal energy markets. The key factors identified for achieving this goal are: quality of provided services reliability of distribution and supply of electric power development of new products and services minimum impact on the environment In years , Západoslovenská energetika, a.s. went through significant management changes resulting from new legal requirements that came into effect after Slovakia entered the European Union. Corporate Affairs Division it oversees the overall Company administration that includes internal and external communication, strategy and regulation, legal affairs, OSH & environment and translation services Services for Electricity Distribution Division it is responsible for technical support of the distribution networks and reading of electric power metres Customer Services Distribution it provides a complete set of services for customers Finance and Internal Services Distribution it provides financial services As a result, the Company has been focusing on key activities, since 1 st April 2010 in five organizational units:
13 13 In 2003 Západoslovenská energetika, a.s. created three new companies Enermont spol. s r.o., E.ON Business Services Slovakia, spol. s r.o. and ZSE Development, s.r.o. Due to the unbundling compliance that required separation of electricity sales from its distribution, on 1 st July 2007, the Company established two other daughter companies: Západoslovenská distribučná, a.s. responsible for distribution of electricity to the end customers and ZSE Energia, a.s that purchases and sells electricity and manages business relations with customers. We have created the customer services manual in which we set standards for good customer service in terms of reliability and quality of electricity supply as well as in terms of personal approach to solving customers problems and answering their concerns. The challenge that the management and all employees of ZSE Group are facing now is to build an effective, successful company that will become a reliable and attractive part of the European energy market, able to take care of customers needs and fulfill expectations of its shareholders. 14 14 Our Customer Determines Our Success Customer services Our priority is to provide the highest level of customer services and build the reputation of a reliable business partner who provides services and consulting that meet our customer requirements and needs. We perceive quality of our services as a combination of optimum price and innovative approach to designing individualised products for our customers. Key customers A key customer is the customer with an annual consumption exceeding 2GWh. ZSE Group is attempting to become a long-term partner for this group of customers because the Company knows their challenges and needs and therefore is able to design innovative solutions exclusively for them. This segment of customers requires a very individualised approach that we provide through key account managers.
15 15 Commercial consumers The needs of commercial consumers with their total consumption not exceeding 2GWh per year are fullfilled through account managers or in our business offices. There are six offices in the region of Western Slovakia Bratislava, Trnava, Trenčín, Nitra, Nové Zámky and Dunajská Streda. In addition to regular services for commercial consumers, these offices will become places for energy consulting. Residential consumers Services for the largest of customers provided by business offices as well as through call center with a 24-hour available service. After dialing (during the work day from 07,00 to 19,00 h), our trained operators are ready to answer your questions, to complete invoice payments, to assist with contracts, electricity supply, and to provide additional information. Our call center also provides general information for other groups of customers. Dual fuel offer In 2012 we also expanded our portfolio to dual fuel offer to provide our customers better price in compare to traditional supplier, and to simplify communication with just one energy supplier.

17 17 How Energy Gets to You ZSE Group uses all available options to ensure the reliable distribution of electric power at high quality for an optimal price. ZSE Group also participates in the preparation and construction of projects that will utilise renewable sources of energy. Electric power is distributed through a dense network of very high-, high- and low voltage electric power lines and facilities that enhance its distribution and transformation. In the region of Western Slovakia ZSE Group also operates a bulk remote delivery system that allows the customers to optimise their electric power consumption. This is a modern dispatching system based on operating all technological devices using GSM and GPRS systems. Reliability of electric power delivery is guaranteed not only by the state-of-art technology but also by highly qualified employees who constantly monitor status of the system. ZSE Group introduced more technological innovations and increased the quality of services. One example of this is an increased flexibility of mobile units thanks to the use of the GPS system which allows an immediate response to a changing system situation. In case of emergency such a system allows steps to be put in place steps that help keep the balance in the distribution system and help eliminate a problem or defect.
18 18 What We Care About ZSE Group is fully aware of its responsibility toward the environment in which it operates.
19 19 Therefore its responsibility towards community does includes not only the supply of electric power, but also includes participation in developing projects and activities that bring happiness and fulfillment in people s lives. ZSE Group provides financial support to youth sport and recreation, to arts and crafts, to healthcare and education. We also undertake the project called Disenchanting of Castles which has been since its very beginning aimed to help castle ruins where Slovak scouts and ZSE Group employees carry out voluntary work. Through taking actions and promoting specific projects aimed at developing and helping the community we demonstrate our pro-social orientation and we believe that these actions are beneficial for our society as well as ourselves. Západoslovenská energetika, a.s. is also active in environmental protection. We give ongoing attention to the protection of soil and water, nature and landscape and last, but not least, to the protection of air. By implementing ecological projects we use pro-active approach to the protection of avifauna and the prevention from soil and water contamination. We try to reduce our impact on the environment by reducing the volume of waste produced and deposited in landfills.
