4 CARL X Questions Hosted from Solution Evaluation Committee Disaster Recovery Two Options to Meet Library Needs: Data Only TLC provides data backups to Library on a nightly basis In the event of an extended disruption of service ( Disaster ) at the Hosted Data Center, Library would be responsible for procuring hardware for installing the application and TLC would assist with the recovery and data restoration Data Backups are provided via an automated transfer (SFTP) to a Library-designated file location Minimal additional cost for the Library (primarily increased bandwidth and charges per incident) Ideal for Libraries who have an existing VMWare infrastructure Recovery Time Objective is 10 Days (after Library infrastructure is available to TLC) Recovery Point Objective is 24 Hours (via daily backups) (Note: David from library IT suggested the potential of utilizing the existing ILS hardware infrastructure for the DR site for this option during the Technical Review Team presentation)

5 CARL X Questions Hosted from Solution Evaluation Committee Disaster Recovery Two Options to Meet Library Needs: Full Disaster Recovery TLC implements a secondary site as a warm backup at Zayo (location is determined based on Library geography) Data is transferred to secondary site real-time via log shipping In the event of an extended disruption of service ( Disaster ) at the Hosted Data Center, Library and TLC coordinate to transition to the new center TLC finalizes any outstanding database updates TLC starts the application at the secondary site Library modifies DNS entries to point to the new site Library establishes a new VPN connection Additional charges for the Library for the Secondary Site Recovery Time Objective is 4 hours Recovery Point Objective is 0 Hours

6 CARL X Questions Hosted from Solution Evaluation Committee System and Organization Controls 2 (SOC 2) Type II report TLC provides Cloud hosting services through Zayo Group Holdings, Inc. (NYSE:ZAYO) TLC/CARL utilizes Cloud Services and Managed Firewall Services from Zayo in our CARL X Hosted Solution. Zayo Compliance includes: SOC 2 Type II, HIPAA/HITECH, ISO 27001, and PCI-DSS 3.2 TLC/Zayo does not release final certification reports, however, a letter of attestation from the audit company that provided the certification may be released to third parties upon request.

7 Why remain CARL X with TLC/CARL X? A successful partnership is not based on technology, it is based on service. Current functionality is important, but when evaluating an enterprise software development partnership making a decision based on features and functionality at a single point in time does not account for totality of the vendor/client/community relationship over the life of such a contract. Broward County made the right decision 25 years ago, and TLC has been a stable and dependable vendor partner through the life of our contract. Our history of providing enterprise technology and customer service without disruption to the library and community should be considered. TLC has delivered on the premise of a enterprise software contract, delivering ongoing software development and responsive customer service for over 25 years, without any major disruption of business continuity or services.

8 Why remain CARL X with TLC/CARL X? History TLC customer since 1990, CARL ILS customer since Initial (5-yr) contract with CARL was executed in June, 1993 (25+ years ago) - The Library chose to purchase and install CARL X in 2008 under the original contract - The second amendment was executed in The third amendment was executed in 2016 Note the original contract was for 5 years with one year renewals at the County's discretion following that (which they did for the next 18 years) until the most recent (3rd) amendment which was for 3 years.

11 Financial Review Memo TLC / CARL X Team Debt to Equity Ratio Current Ratio The Debt to Equity Ratio is a measure of a company's financial leverage calculated by dividing its total liabilities by stockholders' equity. It indicates the proportion of equity and debt the company is using to finance its assets. A high debt/equity ratio generally means that a company has been aggressive in financing its growth with debt. The Current Ratio is a liquidity ratio that measures a company's ability to pay short-term obligations and is calculated by dividing current assets by current liabilities. The higher the current ratio, the more capable the company is of paying its obligations. * A ratio under 1.0 suggests that the company would be unable to pay off its obligations if they came due at that point.
