3 ADWEC The Abu Dhabi Water and Electricity Company (ADWEC) is a wholly owned subsidiary of the Abu Dhabi Water and Electricity Authority (ADWEA) and is the 'Single Buyer and Seller of Water and Electricity' in the Emirate of Abu Dhabi. The key role of ADWEC is to act as a guarantor of the security of supply of water and electricity to consumers in the Emirate of Abu Dhabi. This role is fulfilled through careful short-term and long-term balancing of supply and demand (Demand Forecast and Generation Expansion Planning), through long-term PWPAs with the Power & Water Producers, through the Bulk Supply Tariff (BST) sales agreements with the Distribution Companies (DISCOs) and Fuel Supply Agreements (FSA) with Fuel Suppliers. ADWEC is certified according to the following Standards ISO 9001:2008, ISO 14001:2004 and OHSAS 18001:2007. 5 ADWEC's EXPORTS With the start of the Emirates National Grid (ENG) in 2006 ADWEC started exporting electricity to the other UAE utilities. ADWEC exports electricity to the other UAE utilities via the ENG from capacity located in the Emirate of Abu Dhabi, as well as directly to the other utilities from the ADWEA Fujairah F1 and F2 stations located in the Emirate of Fujairah. ADWEC also exports water from the ADWEA Fujairah F1 and F2 stations to the Northern Emirates (excluding DEWA). Since 2006 ADWEC has exported electricity to the following UAE utilities: Federal Electricity and Water Authority (FEWA) Sharjah Electricity and Water Authority (SEWA) Dubai Electricity and Water Authority (DEWA) Fujairah Energy (FE) Since 2006 ADWEC has been the largest exporter of electricity within the GCC. With the start of the GCC wide electricity Grid in 2011, via the interconnection with Saudi Arabia, and interconnection with Oman, ADWEC continues to be the dominant player in GCC electricity trading. 8 9

7 PLANNING & STUDIES DIRECTORATE ADWEC Demand Forecasting Process PSD Functions:- * Advise ADWEA on optimal capacity expansion plan. * Collect statistical information and publish Statistical Reports. * Prepare water and electricity Demand Forecasts for the Emirate of Abu Dhabi. * Prepare and publish an Annual Statement of Future Capacity Requirements. * Provide statistical information to ADWEA and external agencies. * Examine prospects for Demand Side Management (DSM). * Provide key inputs toprocurement & Contracts Directorate (PCD) for BST, AIS and budget submissions. * Verify the plausibility of the monthly IWPP invoices. 8 PROCUREMENT & CONTRACTS DIRECTORATE BST Calculation Process PCD Functions:- * Prepare and publish the annual Bulk Supply Tariff (BST). * Prepare AIS submission & ADWEA Operating Company Budgets. * Manage the IWPPs' implementation process for new capacity. * Purchase fuel (gas) for the use by licensed Power & Water Producers. * Manage the Fuel Supply Agreements (FSA) and certify payments. * Assist Finance and Administration Division (FAD) with financial settlement. * Prepare / negotiate Supply Agreements (SA) with non-emirate consumers. * Monitor the performance of the PWPAs, BST, FSA & SA agreements. * Prepare / Negotiate Agreements for Renewable Projects. * Liaise with the Regulation and Supervision Bureau (RSB). 9 FINANCE & ADMINISTRATION DIVISION Flow of Payments & Products FAD Functions:- * Ensure Central Settlement System functionality in operation. * Settle all payments due to the licensed Producers and fuel suppliers. * Invoice outside Emirate customers for supplying water and electrcity. * Prepare ADWEC accounts in line with ADWEA Group financial policies. * Ensure sufficient company funds to meet third party payment commitments. * Prepare annual Financial Statements and Regulatory Accounts. * Ensure effective finance and audit processes. * Administer payments to suppliers and staff. * Provide general and administrative services to ADWEC
