1 Workshare Transact a deal Getting Started Guide
2 a deal in Workshare Transact your deal quickly so you can move on to the next transaction. Workshare Transact automates many of the closing processes, like finalizing the closing binder or bible, so closing the deal is fast and ordered. Workshare Transact is a web-based application that enables you to create, manage and close legal deals online. It automates the transaction process so a deal moves faster and it keeps the checklist in a central workspace so you can find documents quickly. 3 Add execution versions Execution versions are exchanged in the Documents checklist tab. Upload a file, which will be designated as the execution version. Alternatively, designate the latest file version as the execution version. 3
4 Upload schedules and signature pages The Documents checklist tab is also the place to organize any schedules and signature pages. Upload schedules. Upload signature pages. When you upload a signed agreement or signature page, you can select an Assigned Party to indicate which party signatures are contained in the file. If you do, the relevant parties are automatically checked off under the checklist item s Parties. 4
5 Add final versions You can choose whether you d like to use Workshare s bespoke PDF tool to create a the final version (bible version) or whether you d like to upload a pre-existing final version from your computer. Upload a file as the final version. Designate the latest version as the final version. Use Workshare s PDF tool to create a the final version (see next page). 5 i The execution version needs to be uploaded before you can use Workshare to create a final version.
6 Create closing binders (bibles) You can create the closing binder (bible version) using Workshare s bespoke PDF tool. Select the menu next to any execution version in the checklist and click Open Final Version builder. The execution version of the document automatically forms the basis of the final version, and individual pages from the signature pages and schedule files can be inserted. 1 Select signature pages 2 Drag pages from the signature/schedule preview into the final 3 and schedule files version on the right. from the checklist. To drag the whole file into the final version, choose Select all. To select multiple pages, hold down Ctrl as you click them. Hover over a page to zoom in on it or delete it. To rearrange a page, drag it to a new location. You can drag unwanted pages from the final version into the trash. To recover pages you ve removed, click the trash. 4 When you re happy with the final version, click Create final version. It will appear in the Final Versions tab (see next page). 6
7 See all final versions The Final Versions tab provides a place for users to view all the final versions of the transaction documents following the closing of the deal. All final versions uploaded to or created in the documents checklist appear here. 7
8 Download the closing binder (bible) When the deal has closed, you can download all final versions and related files that make up your closing binder (bible) as well as its index page. See next page for more information about the index page. 8 + Participants who want to store all the deal files locally can download them by selecting Bulk download and choosing All files presently added to [deal name].
9 Create an index for the closing binder (bible) When you bulk download the closing files in a deal, you have the option to create an index page. This is a Word document that helps you stay organized. It provides a hyperlink to each of the final versions and related files that you downloaded. 9
10 Create a bespoke closing binder (bible) You can give parties different versions of the closing binder that are tailored to their interests and leave your original workspace unaffected. Tion From your deal list, click Create new deal. Give the deal a name and click Create Deal. From the list of available deals, select your original deal. Select the Include files checkbox and click Replicate selected. Use edit mode to tailor the checklist (see next page). Once you re ready, download the closing binder (page 8) To help keep your deals organized, choose a deal name that reflects the purpose of the closing binder.
11 Tailor a bespoke closing binder (bible) When you re creating a bespoke closing binder (page 10), you can use edit mode to delete, rename and reorder folders and documents according to a party s interest. Turn edit mode on. Edit folders: To delete, click To reorder, drag To rename, click its name. Edit documents: To delete, select To reorder, select To rename a document, click it s name. 11
